Terms and conditions of the agreement تفاقيةالاأحكام وشروط

Preamble:

Whereas the company is licensed by the Securities and

Commodities Authority to practice in securities brokerage

activity and as the client wishes to trade in the securities

through the company on the basis of orders and

instructions issued by the client on his sole discretion and

in accordance with terms and conditions mentioned in this

agreement. Accordingly two parties acknowledge their

capacity and validity to sign this agreement with

following items and conditions:

الأوراق المالية ن الشركة من الشركات المرخصة من قبل هيئة إحيث

والسلع بمزاولة نشاط الوساطة في الأوراق المالية.

وحيث إن العميل يرغب في التداول في الأوراق المالية من خلال

الشركة وذلك بناء على الأوامر والتعليمات التي يبديها العميل وفقا

فقد ، وعليه وفقا للشروط والأحكام الواردة بهذه الاتفاقيةالمطلق و هلتقدير

أقر الطرفان بأهليتهما وصلاحيتهما للتعاقد وفقا للبنود التالية:

Article (3): Risk disclosure

1-Trading in securities involves several risks which may

lead to the loss of all or part of investing capital of the

client. As securities prices are rising, these prices may

also be dropped with big margin, which may lead to client

losses due to fluctuations in prices. Moreover,

monetization or selling of securities may become difficult

due to low demand, in addition to numerous other risks

may be exposed to the client. As the client exempt the

company from any responsibility for any harm that may

consequential except for infringement or default or breach

of the conditions mentioned in the Convention.

2-Client denies responsibility for any damage caused to

him due to any delay or non-execution of trading orders

in cases beyond the control of the company.

البند الثالث: بيان المخاطر

قد تؤدي إلى إن التعامل بالأوراق المالية ينطوي على عدة مخاطر -1

، فكما أن أسعار الأوراق خسارة العميل لرأسماله المستثمر أو جزء منه

المالية قابلة للارتفاع فإنه يمكن لهذه الأسعار أيضا أن تنخفض بنسبة كبيرة

قد تؤدي إلى إلحاق خسائر بالعميل بسبب التقلبات في الأسعار وكذلك قد

وبيعها صعبة نظرا لانخفاض الطلب تصبح عملية تسييل الأوراق المالية

عليها، هذا بالإضافة إلى مخاطر أخرى عديدة قد يتعرض لها العميل.لهذا

يبرئ العميل ذمة الشركة من أي مسئولية عن أي أضرار قد تلحق به عدا

ما ينتج عن التعدي أو التقصير أو مخالفة الشروط المذكورة في الاتفاقية.

من أي مسئولية عن أى أضرار تلحق به كما يبرئ العميل الشركة -2

بسبب أى تأخير أو عدم تنفيذ أوامر التداول في الحالات الخارجة عن

إرادة الشركة .

Article (4): Sharia Compliant Securities Trading

Section

When opening an account ,customer will determine

whether wishing to trade securities compatible with the

provisions of Sharia or all listed securties .

Client can modify choice in trading in all securities

or securities compliant with sharia in accordance with

methods of notification mentioned in the contract.

Sharia committee Board revise the Sharia Compliant

securities list on a regular basis and provide the Company

with the updated list ,if securities removed from this list

,client registered in this division can’t issue buying orders

on these securities and only sell orders are allowed.

قسم تداول الأوراق المالية المتوافقة مع احكام الشريعة : رابع البند ال

الإسلامية

عند فتح الحساب يحدد العميل ما إذا كان يرغب في التداول في الأوراق

مع أحكام الشريعة الإسلامية ام كافة الأوراق المالية .المالية المتوافقة

يجوز تعديل إختيار العميل بالتداول في كافة الأوراق المالية أو الأوراق

المالية المتوافقة مع أحكام الشريعة بأخطار الشركة طبقا لطرق الإخطار

المذكورة في العقد.

المالية المتوافقة مع تقوم هيئة الرقابة الشرعية بمراجعة قائمة الأوراق

أحكام الشريعة الإسلامية بشكل دوري وتزود الشركة بالقائمة المحدثة ،

إذا تم حذف أوراق مالية من القائمة لن يستطيع العميل المسجل في هذا

القسم إصدار أوامر شراء على تلك الأوراق وسيسمح بإدخال أوامر البيع

فقط .

Article (5):Company Rights

1. The Company will get cash against buy transactions

before implementing any buy orders, maximum before

the settlement date.

2. The Company will get the agreed commission for

execution in accordance with applicable regulations and

decisions.

3. The Company have the right for additional fees charged

to client are stated in the agreement appendix .brokers

may change the fees anytime.

4. The Company have the right to sell the securities

previously bought for and on behalf of client if the client

did not pay its liabilities as per the followings:

A- Sell the securities executed for a client that did not pay

its due amounts within 2 working days after getting

market approval. The selling shall be at market price and

client bear all losses arising from this transaction. In

case of realizing profit, it will be deposited in investor

protection fund account.

: حقوق الشركةخامس البند ال

على المقابل النقدي للأوراق المالية عن عمليات الشراء تحصل الشركة .1

قبل تنفيذ أي أوامر شراء ، وبحد أقصى قبل تاريخ التسوية.

فيذ عمليات التداول وذلك وفقا العمولة المقررة لتنالشركة تتقاضى .2

للأنظمة والقرارات المطبقة.

يحق للشركة مصاريف إضافية التى يتحملها العميل محددة حسب ملحق .3

الاتفاقية التداول مع العميل والذي يمكن للوسيط تعديلها في أى وقت.

بيع الاوراق المالية التي سبق للشركة شراؤها باسم و .يحق للشركة 4

بسداد التزامه عنها ، و ذلك على العميل لحساب العميل إذا لم يكن قد قام

النحو التالي:

بيع الأوراق المالية محل الصفقة التي تم تنفيذها حال لم يلتزم العميل -أ

أن يتم بسداد ثمنها خلال يومي التسوية بعد أخذ موافقة السوق و على

البيع بسعر السوق و يتحمل العميل الخسارة الناشئة عن ذلك البيع و في

حال تحقيق أرباح يتم ايداعها في حساب صندوق حماية المستثمرين .

في حال عدم كفاية ناتج عملية البيع للمبالغ واجبة السداد، فان الشركة -ب

الأضرار تحتفظ بحقها في المطالبة بباقي المبالغ و التعويضات عن

الفعلية إن كان ثمة وجه لذلك.

B-In case the selling proceeds did not cover the payments

due, the company reserves the right to claim the

remaining amount and compensations for actual damages

if applicable.

C-The company’s due amounts have the priority in the

proceeds of sale of client’s securities.

D- Prevent the client from transferring his securities in

case of non-payment of the company’s due amounts.

يمنع العميل من تحويل أوراقه المالية في حال عدم سداد المبالغ -د

Article (6):The Company Commitments

The company is committed within the framework of this

Agreement as follows:

1. Apply prudent man rule in its dealings in accordance

with the provisions of the law and the regulations

issued in implementation thereof, putting into

consideration the conditions and regulators on which

the license is issued, trade rules and principles of

honesty, justice, equality and interests of clients; and

implement their orders issued to the company

according to the precedence of their receipt.

2. To act always with honesty and integrity in the interest

of the client and to refrain from any action leading to

damages of the client, other brokerage co., or the

overall market such as to give a misleading or incorrect

status for the security price or size of trading .

3. Separation of its accounts and clients' accounts

according to accounting separation regulation issued by

the authority.

4. Enter buy and sell orders in trading system

immediately once the client's orders are received, to be

input according to the precedence of receiving the

orders.

5. Add outcome of securities sells transactions in the

client's account on the same day of transactions'

settlement as per rules governing the market, or as

agreed.

6. Notify the client in writing or (SMS) or via the agreed

method in this agreement, about the executed

transactions in his account, once executed, and the

client may object to any transaction by reporting that to

the company via the same method of communication

about any mistake or objection to the transactions

performed on his account within (3) working days from

the date of his notification.

: التزامات الشركة سادسالبند ال

الاتفاقية بما يلي:تلتزم الشركة في إطار هذه

بذل عناية الرجل الحريص في تعاملاتها وفقا لأحكام القانون والأنظمة . 1

تنفيذا له ، وأن تراعي دوما الشروط والضوابط التي صدر على الصادرة

التجارية ومبادئ الأمانة والعدالة والمساواة أساسها الترخيص والأعراف

مرهم الصادرة إليها وفقا لأسبقية أوا العملاء وتنفيذوالحرص على مصالح

.ورودها

. التصرف دوما بالأمانة والنزاهة لما فيه مصلحة العميل والامتناع عن 2

أي عمل يؤدي إلي الإضرار بالعميل أو الوسطاء الآخرين أو السوق

كإعطاء صورة مضلله أو غير صحيحة عن سعر الورقة المالية أو حجم

تداولها.

لضوابط وآلية فصل 3 . الفصل بين حساباتها وحسابات العملاء وفقا

الحسابات الصادرة عن الهيئة.

إدخال أوامر البيع والشراء إلى نظام التداول فور تلقيها الأوامر من . 4

العميل ، على أن يتم الإدخال وفقا لأسبقية تلقي الأوامر.

حساب العميل في ذات يوم إضافة ناتج عمليات بيع الأوراق المالية في .5

Article (7): The Client rights:

The client shall be entitled the following rights under

this agreement:

1- To issue buy and sell orders to the company, the

company shall not carry out any transaction without

his order, unless permitted in specific cases by the

applicable laws and regulations and in accordance

with the provisions of this agreement.

2- To cancel or amend all the orders issued to the

company and have not been executed in trading

systems, as long as the company could have repealed

or modified the same.

Article (8): Client commitments:

The client, in the scope of this agreement, shall be

committed to:

1-Provide the company with all the information it

requires to verify his identity.

2-Pay for the buy of securities' amounts, commissions,

fees and other actual charges within the limits

prescribed by law or regulations or decisions adopted

in this regard and in accordance with the provisions

of this agreement. Moreover, the company shall

deduct such commissions, fees or actual charges

from the client's account without the need to obtain

his approval for the same.

3-To authorize the company, under this agreement, for

disclosing any information related to the client or his

trading, that may be requested by the Authority or the

Markets or the state law enforcement bodies

يلتزم العميل في إطار هذه الاتفاقية بما يلي:

تزويد الشركة بكافة المعلومات التي تطلبها للتحقق من هويته. -1

سداد قيمة عمليات الشراء للأوراق المالية والعمولات وأي رسوم أو -2

مصاريف فعلية أخرى في الحدود التي ينص عليها القانون أو القرارات

منالفعلية تقوم الشركة بخصم هذه العمولات أو الرسوم أو المصاريف

حساب العميل لديها دون الحاجة إلى الحصول على موافقته.

الإفصاح عن أي معلومات قد -بموجب هذه الاتفاقية -تخويل الشركة -3

تطلبها الهيئة أو الأسواق أو جهات إنفاذ القانون في الدولة تتعلق بالعميل

أو تعاملاته.

Article (9): Company' fees and commissions

1-The Market or the Authority, from time to time,

imposes fees and commissions on trading, through

Company.

2-The Company agrees to pay fees and commissions

listed in the previous article that are imposed as per

laws of market and authority.

3-Taking into consideration previous subsection (1) the

investor shall pay commission due to the

Company and any other agreed fees to the extent that

execution of buy or sell orders issued by client

(Whether the execution was in whole or in part) on

trading day.

a. Article (10): Company records 1 -The Company shall save the client's data for all trade

transactions, whether in the form of documents or in electronic

form, as follows:

(A) Copies of all instructions forms signed by the client and

confirmation letters sent to him.

(B) Copies of all correspondence with client via fax

or email.

(C) Records for all phone calls with the client

related to instructions.

2.The client acknowledges and agrees that the records and /or

registrations mentioned in the previous paragraphs of this article will

be taken as an argument and evidence if any dispute rises between

the parties. Both parties agree to consider what will be mentioned

below, are considered sufficient evidence to prove existence of a

mandate to the Company by the client regarding any orders in the

trading system by the Company on behalf of the client:

(A) The Company receipt of the client's instructions by e-mail or

fax.

(B) Recording of phone calls that took place between client and

Company, where client gives verbal instructions.

(C) Company receipt of written orders from client on company 's

forms.

Article (11): Maintain trading confidentiality The Company shall maintain strict confidentiality of all information

relating to the client, which were delivered or obtained for the purposes

of this agreement, including without limitation, personal data, trading

activity and ownership of securities. At the same time, client agrees that

such secrecy is not incompatible with the duties of the Company to

disclose information to the Market and / or Authority.

Article (12): Assignment Neither of the parties may release his rights or obligations under

this agreement or subcontracting or issue of license or dispose of

them in any form without the prior written consent of the other

Article (13): General Provisions 1-Client acknowledges that all documents and

information submitted by him are legal, and that the sources of all

funds that are used in trading through the company, are all

legitimate.

2-Client undertakes to inform the broker of any

information or data that may be changed in the future.

3-Client acknowledges that he is aware of all the terms and

conditions of this agreement, and he is aware of the risks of trading

in shares and securities markets.

4-All fees and relevant costs referred to in the Agreement are subject

to a Value Added Tax (VAT). The VAT percentage and its

implications are governed by the Gulf Cooperation Council (GCC)

common VAT agreement executed on 27/11/2016 and the

UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax and

the Executive Regulations issued thereto.

b. Article (14): Amendment and addition

1. If any of the parties, during the validity this agreement,

wishes to make any amendment or addition to the terms and

conditions contained therein, he shall send a written request to

the other party indicating the details of the amendment or

addition to the address specified in the parties details enclosed

to this agreement; and any amendment, change or addition to

this agreement, will not be valid unless the two parties agreed

in writing by signing together.

2.The two parties may not agree on any modification to any of

the provisions of this agreement in contravention of provisions

of the law, regulations and decisions issued pursuant thereto.

التعديل والإضافة عشر: رابعالبند ال

تعديل أو إذا رغب أي من الطرفين أثناء سريان هذه الاتفاقية في إجراء أي .1

مكتوبا إضافة على الشروط والضوابط الواردة فيها، فعليه أن يرسل طلبا

للطرف الآخر يوضح فيه تفاصيل التعديل أو الإضافة المطلوبة على العنوان

المحدد في بيانات الطرفين المرفقة بهذه الاتفاقيــة ، ولا يعتد بأي تعديل أو تغيير

لم يتم ذلك باتفاق الطرفين بشكل مكتوب أو إضافة إلى هذه الاتفاقية ما

وبتوقيعهما معا.

لا يجوز للطرفين الاتفاق على إجراء أي تعديل على أي من أحكام هذه .2

الاتفاقية وذلك بالمخالفة لأحكام القانون والأنظمة والقرارات الصادرة بمقتضاه.

Article (15):

Termination of the Agreement:

The Agreement shall be terminated in the following cases:

1. Both parties agree in writing to terminate this agreement.

2. Any of the parties wishes to terminate the agreement, has to

notify the other party in writing before thirty (30) days from

date of his wish to terminate it, provided that all rights and

obligations in the implementation of the agreement shall be

settled, without prejudice to any rights arising out of the

company because of this agreement .In all cases, without

prejudice to termination, rights and obligations between the

two parties remains in effect between the parties until the

same will be settled .

3.Termination of the agreement in the event of the

customer breach his obligations in agreement.

ودون المساس بأى حقوق الشركة الناشئة والمترتبة بسبب هذه الاتفاقية

الأتفاقية.

وفي جميع الأحوال، لا يخل إنهاء الاتفاقية بما نشأ من حقوق والتزامات

بين طرفيها وتبقى سارية المفعول بين الطرفين إلى أن يتم تسويتها.

Article (16): Notifications

The parties agreed that notifications required by this

agreement shall be delivered by means of notification

including the parties details.

وسائل الإخطار المحددة في هذه الاتفاقية.

Article (17):Interpretation and disputes

The interpretation of this agreement, the rights and obligations

of the parties in accordance with the laws and regulations

applicable and valid in U.A.E. Both Parties agreed to settle

any dispute may arise between them amicably, however in

case of their failure of solving such dispute amicably within

(7) days, then it will be referred to Dubai Courts, U.A.E.

Article (18):Issuance and signing of the Agreement:

2. In the event of any dispute arise regarding the interpretation

or application of this agreement, the Arabic version will be

3. The parties signed this agreement and thus become valid

and fully binding both of them to work thereof.

4.This Agreement was issued in two original copies; each

party has received a copy to work thereof.

Market & Abu Dhabi securities Market , negotiations for

sale & purchase in Dubai Financial Market & Abu Dhabi

Securities Market Therefore , please read the terms &

conditions carefully , as they are binding for both parties .

Definitions: The words and phrases mentioned below

carry the same meanings mentioned in front of each unless

otherwise construed as per the context.

The Company: means Al Safwa Mubasher Financial

Services Est. or any of the branches

The customer : Any natural person or corporate body

concluded this contract with Al Safwa Mubasher Financial

Services. For this service, by filling the application forms

specified for the service mentioned before, and acceptance

of the terms & conditions herein with the company’s

approval.

The account: The account in the name of the customer for

his service supply.

Personal Computer (PC):Computer used by the customer

This service is a system used by the brokerage

company so as to enable the client to enter the orders

relating to the direct purchase or sale of securities via the

“internet” as soon as the system receives the order. It will

start checking the possibility of the performance thereof

and passing it automatically to the e-dealing system

applicable in the market, The system allows access to all

transactions and cash account and shares for the client for

the system of service – it has been agreed from both

التبليغ خطيا من العميل بذلك الشركة

Article 1 : The preamble is deemed to be an integral part

of he contract and read with it .

Article 2 : The customer’s approval on this agreement

clarifies his full knowledge of securities trading field .

Article 3: Usage of the “service” by the customer secures

that the customer assumes all the articles specified in this

contract.

Article 4: the customer shall solely assume all risks caused

from the service – the contract subject – unless that is

resulting from company’s omission.

Article 5: The Company undertakes to supply the “service

“for the customer who shall be responsible to provide and

maintain the items and expenses & charges for operation.

The company shall not be liable for any defects in

programming used by the customer or in case the customer

uses any additional device or programs causing hazards for

the safety and efficiency of the “service “– or any virus in

the PC of the customer which reveals the important

personal data of the customer which shall be borne by the

customer.

Article 6:

The client shall have access to detailed information about

the "service" and on a regular basis and follow those

instructions carefully, through the company website.

Article 7: The company has the right to stop the “service

“from the customer at any time and for any duration

without prior notice or stating the reason.

Article 8 : In case the customer discovers any wrong

operation registered in his account through the service ،

then the customer should inform the “ company “ within

24 hours ( through normal media ) provided ، he should

avail the “company “ with his name , account No. & No.

of ref. The company verifies the matter whether the error

is from the customer’s side or not. The company informs

the customer of the result at the earliest.

Article 9: The company supplies the customer with the

user’s name and the password at the 1st access to the

service by email, The “Customer is obligated to change the

password before using the services .and the user assumes

his full responsibility to protect the user’s name and

password and any other information provided by the

company as per his declaration in this agreement. “The

customer “assumes to keep safe the user’s name and the

password without leakage and take necessary precautions

when using the service in some other computer. The

customer absolves the company of any damages arising

from non-compliance or misusage.

Article 10. The customer makes all precautions for

prevent fraudulent usage for the user’s code & the

password.

Article 11. The “customer” fully understands that the user

code and the password identify the customer. Therefore،

any operations through the user code & the password are

deemed to be executed by the customer. The company

considers the user to the customer who is solely

responsible for all operations and orders in his accounts

executed through the service using his identification and

deemed to be explicitly approval of operations & orders .

على عدم تمكن العميل من استخدام الخدمة لأي سبب كان

يعلن العميل بموجبه ويوافق على أنه لا يكتسب أي حق : البند العشرون

متعلق بأي برنامج أو رموز لبرامج الحاسب الآلي أو أي مواصفات أو

الخدمة علاوة على ذلك لا يكتسب "العميل" أي حق لأي ملكية فكرية أو

عدم توفر رصيد كاف لتنفيذ التعليمات -

عدم وجود تعليمات كافية لتنفيذ العملية -

أو الجهات الخارجية التي الشركةالتأخير أو وجود أي خلل تقني لدى -

تتعامل معها ما لم يكن ذلك ناتجا" عن التقصير أو التعدي من الشركة .

المدخلة إلى النظام : إن العميل يدرك بأن الأوامرالبند الرابع والعشرون

قد لا تعالج بصورة فورية، وأن أي تأخير قد يحصل يتحمله العميل وحده.

: يوافق العميل بأن أي تأخير قد يحصل في البند الخامس والعشرون

نظرا لسرعة معالجة الأوامر المدخلة إلى النظام لا يتحملها الوسيط،

التغيير في الأسعار.

2Article 1

If the customer doubt that someone manipulating its

accounts through service or that the user name& password

has been vulnerable to detection by another team,

abide by the customer to inform the company as soon as

possible in writing to notify the Co about the incident.

Client remain responsible on all transactions resulted from

using his user name & password till end of day of

company receiving the notification.

Article 13: The Company shall have the right to reject any

application for supplying the service at its discretion.

Article 14: The customer authorizes the company to act

according to his instructions through the service.

Article 15: The customer undertakes that all transactions

made through the service mentioned are subject to

restrictions by the company without prejudice for the

terms & conditions, and the company reserves the right to

revoke any operation, and make any settlements required

in the account / accounts affected.

Article 16 : The registers , records , documents & other

documents of the company related to the transactions are

deemed to be reliable conclusiveness in settlement of

disputes concerning the figures , transactions , details ,

expenses & charges , documents , instructions or any other

disputes arising between the company and the customer .

Article 17: Company provides e-trade software to the

client free of charge, knowingly that the client could

subscribe in “Mubasher Pro” application for real time

quotes and trading which costs AED 150 every three

months , to be deducted from the client’s account upon

getting the service. In case of any fees amendment , client

shall be notified.

Article 18: The company is not liable for any damage,

loss, costs or charges whatsoever, incurred by the

customer as a result of violation of terms & conditions.

Article 19 : The customer admits he has been notified by

the company about the restrictions of technology at present

, on using the service . The provision of service depends

on applications & restrictions of technology, the company

is not liable for failure for using the service for any reason

by the customer.

Article 20: The customer hereby, declares and admits that

he shall have no right related to any programs or codes of

computer programming or specifications or technology or

information provided by the company to the customer,

moreover, the customer shall have no right for intellectual

property or right of publication for the above mentioned.

Artice 21 : The customer undertakes he shall not copy or

amend the programs or pages or documents provided by

the company or any transfer any programs to another

computer .

Article 22: Both the customer and the company may

cancel subscribing in the service and the customer can do

that against written application. The company can cancel

the customer’s subscription at any time by notice without

any liabilities towards the company.

هذه الشروط والأحكام خاضعة لنصوص : البند السابع والعشرون

الشروط و الأحكام والإتفاقيات ذات العلاقة التي قام العميل بإبرامها ، أو

التي يمكن أن يقوم العميل بإبرامها بعد ذلك.

يعتبر إدخال رمز المستخدم وكلمة السر بمثابة : شرونالبند الثامن والع

موافقة تامة وناجزة على الشروط والأحكام الواردة أعلاه.

تغيير الأحكام والشروط بعد إعلام للشركة: يحق البند التاسع والعشرون

الشركةالعميل خطيا/ إلكترونيا / شفهيا،ويعتبر التعديل نافذا ما لم تستلم

إعتراضا خطيا من العميل في موعد أقصاه سبعة أيام من تاريخ إخطار

العميل كما يحق للشركة تغيير البرمجيات المستخدمة في الخدمة والخدمات

المقدمة دون إعلام العميل مسبقا بهذا الإجراء .

: البند الثلثون

لكترونية بموجبه بالقبول والعمل بناء على تعليمات إ الشركةيفوض العميل

بالخصم الشركةالتي يتم توفيرها عن طريق الخدمة ، كما يفوض العميــل

أو بالإضافة فــي الحساب / الحسابات الخاصة للمعاملات التي تتم من

خلال الخدمة.

: والثلثون ىداالبند الح

يقر العميل بأنه على علم بجميع قوانين و تعليمات هيئة الأوراق المالية

والسلع بالدولة وسوق دبي المالي وسوق أبوظبي للأوراق المالية الخاصة

بإدخال أوامر البيع والشراء وتعديلها ، وغيرها من القوانين و التعليمات

قر العميل بأنه يتحمل المنظمة لعمليات التداول بالأسواق المالية بالدولة ، وي

كافة المسؤولية والمخالفات التي يمكن أن تحدث للشركة نتيجة لعدم إلتزامه

بهذه القوانين والتعليمات.

تفسر وتخضع هذه الإتفاقية وكافة المستندات البند الثاني والثلثون :

Article 23: The Company is not liable for any faults or damage

resulting from delay or non-availability of instructions

comprising:

- Non-availability of sufficient balance to execute

instructions

- Non-availability of sufficient instructions for executing

the process

- Non-compliance of instructions mentioned or no clarity

for customer information.

- Delay or technical failure in the company or related

other sources not resulting from omission or piracy.

Article 24 : The customer perceives that the entered feeding to

the system may not be processed instantly – any delay should be

incurred by the customer .

Article 25: The customer agrees that delay in processing should

not be borne by the agent due to rapid change in rates.

Article 26 : The company and its staff are not responsible in all

cases , other than omission , for any direct or indirect damage or

force majeure causing losses due to failure in telecom ,

performance , technical errors , breakdown , delay in processing

or virus .

Article 27 : These terms & conditions are subject to related terms

& conditions and agreements already concluded by the customer

or may be concluded by him later on .

Article 28 : Entering the user code and the password are deemed

to full approval of the terms & conditions above .

Article 29 : The company shall have the right to change the

terms & conditions after written / electronic / verbal notice – the

amendment is deemed to be valid unless the company receives

written objection from the customer within seven days from the

date of notice to the customer . The company shall have the right

to change the programming used in the service without informing

the customer .

Article 30: The company is hereby, authorized by the customer

to accept and act according to electronic instructions available in

the service, as well as to deduct or to add in the accounts / the

accounts of transactions made through the service.

Article 31 : The customer undertakes his knowledge of all the

laws and the instructions of Securities & Commodities Authority

in the country , Dubai & sale & purchase orders and

amendments , and other laws and instructions regulating the

dealing operations in stock exchange . The customer undertakes

to bear the responsibility and the offenses resulting from non-

compliance with the laws & instructions.

Article 32: This agreement & all documents attached are

construed and governed by local laws & federal laws within

effect in the country. Both parties duly agree on the jurisdiction

of Dubai courts in case of disputes or claims or legal procedures

arising or related to this agreement

Article 33: All fees and relevant costs referred to in the

Agreement are subject to a Value Added Tax (VAT). The VAT

percentage and its implications are governed by the Gulf

Cooperation Council (GCC) common VAT agreement executed

on 27/11/2016 and the UAE Federal Decree-Law No. 8 of 2017

on Value Added Tax and the Executive Regulations issued

thereto.
