General Assembly Minutes should contain the following information:1. Result of election of the Board of Directors and Committee Members;2. Approval of the Development Plan and/or Annual Plan and Budget;3. Presentation and acceptance of Cooperative Annual Progress Report including the AFS, Performance Audit Report, Social Audit Report and List of Officers and Trainings Undertaken /Completed by the GA;;
4. Appointment of the CDA Accredited External Auditor;5. Acceptance of the management and committee report by the GA
On the submitted Audited Financial Statements (AFS): - There were AFS audited by an External Auditor with expired accreditation. (MC 2009-03)
Common findings that may easily be complied with the assistance of CDS IIs and the big brother cooperatives established within the area such as: - The Membership Registry Book does not contain the required minimum information pursuant to MC No. 2012-16;
- Members’ Subscribed and Paid-up shares are not covered by subscription agreement; (Sec. 6 Rule 10 of IRR)
- The cooperative does not issue share capital certificate; (Sec. 7 Rule 10 of IRR)
-The cooperative does not maintain a share and transfer book; (Art. 52 of RA 9520)- The cooperative has no existing Election Rules and Guidelines; (Rule 7 of IRR)
- Election Rules and Guidelines adopted by the cooperative does not include mandatory training requirements for the officers; (MC 2013-02)
- The cooperative has no organizational structure as prescribed under MC No. 2011-07;
The cooperative does not have any of the following:
1. Annual Development Plan; (Art. 33 RA9520)
2. Code of Governance and Ethical Standard, (Rule 7 of IRR)
3. Policies and procedures on Conflict Management ; (Rule 7 of IRR)
4. Continuous education program or human resource development program for its officers, members and employees.
