(i) ORGANIZATION, FUNCTIONS AND DUTIES
Visvesvaraya Jala Nigam Limited, Bangalore is a wholly owned
undertaking of the Government of Karnataka managed by the Managing
Director, nominated by the Government of Karnataka who functions under
the Superintendence, control and direction for the Board of Directors. All the
Directors of the Company are also nominated by the Government as per the
Articles of Association. The Company functions under the administrative
control of the Water Resources Department of Government of Karnataka.
Functions
The Government of Karnataka have entrusted the Upper Bhadra project,
Yettinahole Integrated Drinking Water project for implementation and
Vanivilas Sagar & Gayathri reservoir projects for Operation and
Maintenance.
In keeping with the demands of Kolar & Chikkaballapur districts which have
been facing persistent drought situation owing to poor rainfall and depletion
of groundwater without any permanent source of irrigation, the Government
have constituted an expert committee to study alternative sources of water
availability from different sources to provide permanent irrigation facilities to
these districts. Any such project approved by the Government recommended
by the Expert Committee will also be entrusted to VJNL for implementation.
Duties
To plan, investigate, estimate, build, operate and maintain all kind of
infrastructure, dams, reservoirs, barrages, weirs, canals lift irrigation schemes,
tank filling and such other irrigation infrastructure/works required for
implementation and maintenance of the projects entrusted by the
Government.

(iii) THE PROCEDURE FOLLOWED IN DECISION MAKING PROCESS
INCLUDING CHANNELS OF SUPERVISION
The company operates in accordance with the powers vested in the
Board under the Companies Act 2013, related statues and Memorandum and
articles of Association and the powers delegated by the Board to its Sub-
Committees namely, Technical Sub-committees, Finance Committee, Tender
Scrutiny Committee and Estimate Review Committee and the Managing
Director, Chief Engineer and other sub-ordinate Officers. In exercise of the
delegated powers, the Department Codes (D code, Karnataka Finance Code,
Accounts code etc.) are followed, besides the guidelines, Government Orders,
Circulars issued by the Government from time to time on any specific matter
or issue. The procedure prescribed under the “Karnataka Government
Secretariat Manual of office Procedure” will be followed.
The functional heads of technical, finance, administration, accounts and
corporate affairs report to the Managing Director and the heads of the
projects, i.e. Chief Engineer. Zonal heads who are the heads of the project
offices have the supervisory control over the Superintending Engineers at the
Circle level. The Superintending Engineer has supervisory control over the
Divisional Offices headed by the Executive Engineers who supervise the Sub-
Division level Offices. The Special Land Acquisition Officers also function
under the Administrative control of the Company and report to the Managing
Director through the Chief Administrative Officers/Chief Engineer
depending upon the issues involved.

(iv) NORMS SET BY IT FOR THE DISCHARGE OF ITS FUNCTION
Funds towards capital expenditure shall be released only in
respect of projects which are administratively approved by the
Government
Tenders are called only after detailed investigation and
preparation of estimates of the works involved.
Only approved Schedule of rates are to be considered for
preparation of estimates. For other items, data rates are to be
considered.
The irrigation related structures are to be constructed/designed
in accordance with the design manual.
The Nigam follows the Karnataka Transparency in Public
Procurement Act 1999.
Nigam practices transparency in all its activities.
