Njemn plochy v prvnm a druhm nadzemnm podla jsou pronajaty renomovanm spolenostem, jako nap. Albert Hypermarket, C&A, Orsay, Hervis, Datart, GATE, Reno i CCC boty. Restaurace, kavrny a cukrrny nabzej nvtvnkm a cestujcm pjemn posezen a monost rychlho oberstven.
In terms of traffic, the Mercury shopping centre in esk Budjovice is a unique construction near the city centre, which combines a multifunctional shopping centre with a bus station on the rooftop.
The uniqueness of the project is the synergy of pedestrian and automobile traffic, an integrated bus service, and the train station, which is linked to Mercury via an underpass.
The Mercury Centre is designed as a building with three floors, with the roof for the partially covered bus station, and two underground floors offering parking for 717 cars. The daily average attendance at the centre is around 20,000 visitors.
The spaces on the first and second floors are leased to renowned companies such as the Albert Hypermarket, C&A Orsay, Hervis, Datart, GATE, Reno and CCC shoes. Restaurants, cafes and pastry shops offer visitors and passengers a pleasant stay and convenient dining.

The entire Retail Book team has tried to create the most com-prehensive and complete publication about the retail market in the Czech and Slovak republics. All summary information in the printed version of Retail Book is presented in tables given in map form and compiled as of 30 November 2010. A con-tinuously updated survey of all the information is available at www.retailbook.cz.

All tenants of Czech and Slovak shopping centers with more than five business units under one brand have been included in the survey. Individual tenants are categorized according to the product line, or for one product line according to the number of stores in the chain.
surVey of existing anD PlanneD shoPPing Centers
A summary of all existing and planned shopping centers, retail parks, supermarkets and hypermarkets with malls can be found in the nationwide survey, with more details available in the map for the region or for the regional seat.
Each existing shopping center is described in a full-page card. The designation of new is given for all projects built and opened after 1990. Even planned projects have their own card if it was possible to obtain sufficient information about them.

These merchant settlements formed on the locations of todays cities like
Prague, Lovosice, Hradec Krlov, Regens-burg, Passau, Bratislava, and Sopron. Cities gradually arose in these places, although they rather had the character of villag-es up until the Middle Ages. Historically the first major expansion of trade in the Czech and Slovak lands took place in the seventh century during the rule of Great Moravian Empire, when the tribes here were led by a merchant named Samo.
Experts estimate that there were around one hundred Czech cities around the year 1200, about two hundred in Poland and three hundred in Hungary. The expansion of cities was mostly due to the granting of rights to organize local markets.

Venice, Genoa, Milan and Florence were the only cities in the Middle Ages to have over 100,000 inhabitants. At that time only a few cities had more than 10,000 people. Such small populations corresponded to the small areas of these cities, which were situated on areas of 20 hectares. A large city usually had an area of more than 50 hectares. In terms of size the largest city was Constan-tinople, in the west the larger cities were Paris and, after the establishment of New Town, Prague. New Town by itself was one of the largest locations of its time: indeed, just one of its three squares Livestock Market (todays Charles Square) is almost half the size of the average medieval town.

One of the oldest working routes was the Silk Road, the commercial link be-tween China and the West. The records of activities on this trail go back to before 1,000 B. C.The main roads survived from the Roman era until the late Middle Ages. The main trade routes ran from Hamburg via Mainz and Basel to Italy, with offshoots in an easterly direction through Magdeburg, Poznan and Kiev, and westerly through Cologne, Paris and Bordeaux to Spain.

The Amber Trail is one of the oldest and most famous trading routes. Starting in the Roman era, it led from the Baltics (specifically from the mouth of the Vistula) through the Moravian Gate to Carnuntum (near Vienna). Later, the Amber Trail ran from sites on the coast of the North Sea and Baltic Sea
through the Vistula and Dnieper, to Italy, Greece, to the Black Sea and to Egypt.

The Golden Path is the collective name for the system of North-South trade routes including the Danube waterway. The path had been in use since prehistoric times with a slight decline occurring between the Hussite Wars and the Thirty Years War, when traffic on the path for all intents and purposes ended. It was also meant to strengthen direct links like the one con-necting Prague and Venice.The Golden Way brought an unprec-edented economic boom to the areas it ran through, for example the settlements of Prachatice, Volary, Waldkirchen and Passau. Up to 1,200 pack horses passed through Prachatice weekly, bringing more than three million litres of salt an-nually. The traffic on the trail even had to be regulated by special regulations for pack animals.

The influx of luxury goods for feudal lords and the resurgence of international ex-change came about as the result of the Crusades and the establishment of trade links between Europe and the Orient.
DisCoVeries of the 15th Century anD the rise of the ComPany
Overseas discoveries increased the range of goods, thereby resulting in a significant
increase in turnover. The growing volume of goods made representation in business matters essential. The merchant simply could not afford to be away from his place of busi-ness for so long and so began to send his employees on regular business trips. Later he began to explore the use of the kontor, or business office. In an attempt to spread the risk of trade among more people, companies began to emerge. The first companies were maritime in nature: the ship owner, the captain, crew and passengers. They shared in the cost of the trip and determined the division of profits in advance. Cooperation in trade led to the development of komenda, whereby one merchant was responsible for purchasing goods and another for sell-ing them. The first joint stock companies began to appear and divide up the market. The Mus-covite English Trading Company, formed in 1576, had a monopoly on business in the Russian North; the African Company cre-ated in 1588 profited from the slave trade; founded in 1612, the Dutch East India Com-pany oversaw business with India, while the Eastern Company dominated English trade with the Baltic and Scandinavia.
At the turn of the 18th19th century, com-mercial trade was completely divided into wholesale and retail sectors. Retail remained a door-to-door affair and was further divided into general stores and grocers.

The mail-order business in Czechoslovakia was developed after World War II. At the end of the 1960s, the mail-order houses offer-ing consumer goods were Magnet Pardubice and Dona Prostjov.
Present Day
Today the mail-order business is on the decline. In addition to traditional clothing catalogs with associated domestic goods, gar-dening catalogs have become dominant in this field. Na potku 20. let byla maloobchodn sfra nejkoncentrovanj v prmyslovch a l-zeskch mstech. Nejvce osob z celko-vho potu vdlen innch pracovalo v obchodu v Jablonci nad Nisou, Karlovch Varech, Teplicch a Liberci. Praha se s po-tem obyvatel pracujcch v maloobchodu umstila a za tmito msty.V prbhu 20. let se maloobchod rychle rozrstal mrn k tomu, jak se mnily spotebitelsk nvyky a ivotn standard a do znan mry konkuroval obchodnm domm. Pibvalo prodejen spotebn-
ho zbo vyrbnho sriov ve velkch podnicch (konfekce, pleten zbo, obuv). Jeho relativn nzk cena zaruovala odbyt a pijateln obrat.

Zatkem 30. let bylo v eskch zemch vce ne 170 tisc prodejen, ve kterch pracova-lo na 340 tisc osob. Podl potravinskch prodejen se pohyboval okolo 55 %. Krom toho existovaly prodejny spojen s vrobou (pekastv, cukrstv, eznictv, uzenstv) v potu asi 35 tisc jednotek.
Vlen aPoVlen Doba
Vlen a povlen obdob pineslo vraz-n zmny v etnosti obchodn st, i kdy se v podstat nemnila jej struktura a kvalita. Koncem roku 1945 bylo evidovno v es-kch zemch 82 tisc prodejen, z eho 76 tisc provozovali soukrom podnikate-l, 4,7 tisce spotebn drustva a zhruba 1,2 tisc sttn organizace prodejny vel-kch znrodnnch prmyslovch podnik. Po 2. svtov vlce se obchod rychle vzpamatoval z vlen strnulosti, vzrostl zahranin obchod, zaali se modernizovat prodejny a rozioval se sortiment. Vvoj byl zastaven v roce 1948 postupnou likvidac soukromho sektoru ve prospch sttnch podnik vzniklch na zkladech znrodnnch a zabranch majetk. Ob-chod byl likvidovn z hlediska soukromho vlastnictv ale i sociln vnosti.

Commercial trading organized into busi-ness associations formed the largest re-
tail group. Typical of them was the so-called kramsky, or shop. On average, two people worked in shops like these throughout the Czech lands. In retail, no real form of affiliated shops developed in significant size. When there were affiliated shops, they dealt mainly with the distribution of imported colonial
goods, which were sold in great quantities at gas stations like Sfinx, Naftaspol, Brothers Zikmund, Kralupska Company, etc. The business network of consumer coop-eratives was the second most important component of the retail sector. While their sales were oriented on general merchandise of rather standard quality, comparatively similar private stores offered a wider selec-tion of goods, and often with better quality.

In the early 1920s, the retail sector was mostly concentrated in industrial and spa towns. Of the total number of lucrative ac-tivities, most people worked in the shops of Jablonec nad Nisou, Karlovy Vary, Teplice and Liberec. Prague placed behind these cities in terms of the number of inhabitants working in the retail sector.During the 1920s, the retail trade grew rap-idly in proportion to changing consumer habits and living standards, and to a large extent it began competing with depart-ment stores. Stores offering mass-produced consumer goods were proliferating in ma-jor enterprises (clothing, knitwear, shoes). Relatively low prices guaranteed sales and an appreciable turnover.

At the beginning of the 1930s, there were more than 170,000 stores in the Czech lands, employing 340,000 people. The proportion of food stores was around 55%. In addition, shops associated with production (baker-ies, confectioneries, meat packing plants) numbered around 35,000. the War anD PostWar PerioD
The war and postwar period brought about significant changes in the number of com-mercial networks, although its structure and quality basically remained unchanged. At the end of 1945, there were 82,000 stores registered in the Czech lands, of which 76,000 were run by private entrepreneurs, 4,700 by consumer cooperatives and about 1,200 by state organizations stores belong-ing to large nationalized industries. Following World War II, business quickly recovered from the lethargy of war, for-eign trade increased, and stores began to modernize and expand their assortments. This development was halted in1948 by the gradual destruction of the private sector in favor of state-owned enterprises based on nationalizing and confiscating property. Not only was the store liquidated from the point of view of private property, but also in terms of social esteem.

Central Planning
A network of modern shops was built throughout Czechoslovakia, consisting of supermarkets and department stores as part of urban development. Supermarkets accounted for about 60% of all food sales. Although these new stores were oversized
and their volumes of stock large, there was a constant shortage of consumer goods. Prices were controlled and rarely reflected actual values, especially for basic foodstuffs, which were kept disproportionately low. Some prices even went unchanged for many decades. On the other hand, prices for cloth-ing increased.
However, if we compare purchasing power with prices then and today, there have been no major changes for many commodities.

The 1980s saw an attempt to modernize the retail network. New supermarkets were constructed and combined with the self-service wholesale sector.
During the last nine years of the socialist period, the number of retail stores in the network decreased, but this was offset by an increase in store sizes.
Post-reVolutionary PerioD
A look at the number of business entities shows that in 1990 practically the entire market was concentrated in 250 business enterprises, of which 70 state business en-terprises controlled by the Ministry of Trade and Tourism dealt with the largest volumes.
The development in commercial licenses after 1990 proceeded at an unusually rapid tempo.
Compared to 1989, retail sales in 1995 grew by 126%.

Mobile shops were a phenomenon of the socialist era and its attempt to keep villages supplied. They gradually disappea-red after 1989, with only a few local private operators still
in business. Similar to mobile shops are the yellow vehicles of Family Frost, which announce their offer of ice cream and other frozen goods with a classic jingle. The company was founded in 1990 in the eastern part of Germany and within two years had expanded operations to include Hungary, the Czech Republic, Poland, Croatia, Slovenia, Spain and Portugal. The company has since upgraded its form of sales, namely by no longer making regular stops according to a schedule, rather by filling individual orders and delivering them to the home.
mobile shoPs on the rebounDThanks to the popularity of farmers markets and the general popularity of selling products directly from growers and farmers, from small dairy and meat producers and fishermen, perhaps this form of sales can expect a rebound.A compromise between the stand and brick-and-mortar shop is just right for farmers markets, which are experiencing unprece-dented interest from consumers. However, their volume of sales remains minimal and there are not many areas with space to build a permanent market hall with stalls. Moreover, not just tempora-ry stalls but those of a permanent nature as well often face the problem of strict health and veterinarian standards.Several companies even have plans to set up a rental operation for these vehicles so that farmers and market operators can try the mobile shop for themselves.

There are lawyers and then there are lawyersWe posed questions to Dr. Dana Konkov, Ph.D., LL.M. and her colleagues from AKK:
For more than five years the Czech law firm AKK has been providing legal services dealing with Czech law in several languages, in particular in German and English. The quality of its services is derived from the many years of experience accumulated by its attorneys from their past associations with international law firms and senior positions in developer companies and major firms. Complicated legal cases and seemingly intractable situations are challenges they gladly accept. As we have discovered, they provide legal assistance for, among other things, purchasing firms, companies, and real estate projects, including due diligence, for the implementation of developer projects, including related administrative procedures, for property rentals, the transformation of companies, in litigation and in many other areas.
We asked Dr. Dana Konkov, Ph.D., LL.M., the frequently asked question whether to submit disputes to arbitration.
Dr. Dana Konkov, knows the ins and outs of arbitration from the perspective of an arbitrator at the Arbitration Court attached to the Economic Chamber of the Czech Republic and Agricultural Chamber of the Czech Republic, and from the perspective of a legal representative for the litigants. The indisputable advantage she sees in arbitration is its speed and the fact that rulings are not subject to appeal. An enforceable decision can be reached quicker by choosing arbitration and the threat of a disproportionate increase in the amount of interest due from delays caused by disputes moving through the courts over the course of many years can be avoided. Another positive aspect, in the opinion of Dr. Dana Konkov, is the opportunity to choose an arbitrator with the appropriate professional qualifications, which some judges may lack for especially complicated cases. In her experience
she has unfortunately encountered cases where the arbitrators demonstrated disappointing expertise. Choosing an arbitrator should not, therefore, be handled arbitrarily. She recommends arbitration, but it depends on the quality of the arbitrators. In cases where one of the parties is part of an international group, objections can be expected to be raised against an arbitration clause providing that a Czech arbitration court should decide. In such a case, there is always the possibility of choosing the International Arbitration Centre of the Austrian Federal Economic Chamber in Vienna, where arbitrators with knowledge of Czech and Slovak law are listed. The reputable arbitral tribunal at the International Chamber of Commerce (ICC), seated in Paris, can also be recommended, even though relatively high fees have to be reckoned with. Alternatively, arbitration proceedings before the Chambers of Commerce in Switzerland can be considered depending on the nature of the case and the parties.

but also contracts submitted within the framework of procurement procedures under the Public Procurement Act, whereby contractual penalties should be one of the evaluation criteria used for making the award to the contractor. The contractor often has no choice but to accept an unlimited contractual penalty at the time of receiving the award. However, it can also represent the eventual liquidation of the contractor. Clients are always strongly advised by AKK with regard to this risk, but the final decision is usually of a business nature. Contractors that want to win contracts often have no choice but to accept the risky conditions set by the contracting authority. If a client comes to a law office after a contractual partner has levied a penalty, it is often already too late and the case ends up in court or in arbitration. Contracting authorities are well aware that it is much easier to levy penalties than seek compensation for damages, because the cause of the damages, the amount, and the fact that the contractor is responsible for them has to be demonstrated. Perhaps the riskiest aspect involves the combination provision of stipulating that the building work must be completed on time without any defects or unfinished work under penalty of sanctions and calculated daily. We know from experience that to complete a major construction without any defects or uncompleted work is practically impossible.
We asked Mgr. Klra Bechov on how to prevent losses due to the premature termination of leases by tenants.
The current trend in the leasing market indicates that some tenants are trying to terminate their lease contracts early. If the tenant and the lessor cannot come to an agreement and the lease is terminated due to breach of contractual obligations, typically for tenants arrears of rent and operating costs, the lessor often demands that the tenant also pays compensation for damages due to lost profit from payments of rent up until the end of the originally negotiated period of the lease. According to the law, however, such compensation for damages cannot be awarded in the future because the relationship between the parties has ended. It is therefore necessary to negotiate in the lease contract a claim for a certain amount of damages or a contractual penalty if it happens that the lease is terminated due to reasons on the side of the tenant. It is likewise advisable to secure adequate surety, bank guarantees, or parent company guarantees in the event of default.
