I strongly support the pending OneWest Bank and CIT Bank merger. I am a California native, born andraised in Los Angeles. I am college-educated in the Bay Area and also have a graduate degree from theBay Area. I have never lived or worked anywhere except in the State of California. I can certainlyappreciate what OneWest is doing, which is to create a viable and financially strong unified bankheadquartered in Los Angeles County (and Southern California). This presence is important to thisregion for both jobs and lending purposes, and demonstrates the commitment that the financialcommunity has to the Greater Los Angeles area, and beyond. With many financial institutions based inother states (such as New York (Chase), Minnesota (Wells Fargo) and North Carolina (Bank ofAmerica)), we need and must have a strong regional California bank which will look at servicing theCalifornia community first and which strives to support the endeavors of Southern Californians. I recallat one time when both Bank of America and Wells Fargo Bank were based out of California. I alsorecall that when those institutions left, so did many jobs and also the real commitment to the bankingneeds of the California community, in favor of a more national presence. On behalf of Operation HOPE, Inc. (HOPE}, I am writing to lend our support of the proposed merger between OneWest Bank, N.A. and CIT Group.

The mission of HOPE is to make free enterprise work for all through financial dignity empowerment programs. Since its inception, HOPE has served more than 2 million individuals and directed more than $1.5 billion in private capital to America's low-wealth communities.

I have known Joseph Otting, CEO of OneWest Bank, since he was an executive with another partner, Union Bank, then Union Bank of California. I next heard his name when it was announced that he would become the CEO of a bank, which purchased a very troubled institution --lndyMac Bank.

Not only was lndyMac troubled, and played a significant (and negative) role in the subprime mortgage crisis, it was led by a man whom had questionable character. Such is not the case with Mr. Otting, and his positive stewardship and growth of OneWest Bank since the acquisition has confirmed what I thought I knew about him. OneWest Bank has more than stabilized from its pre-acquisition path, it has materially added to Southern California in LMI and minority communities. It is hard for me to believe that OneWest Bank would not continue along this positive path, once merged with CIT, creating a 70B institution headquartered in Southern California.

Since 2012, OneWest Bank has been a committed partner to our mission and programs. Their partnership with HOPE enabled our organization to:

1. Pilot the HOPE Business In A Box (HBIAB) program in Los Angeles, California. HBIAB is a national initiative that bridges the gap between entrepreneurial aspirations and experience. Students attending schools in low-to-moderate income communities go through a financial education and entrepreneurship-training program. Students have the opportunity to compete for a small grant to finance their business venture.

In addition to providing seed funding for the pilot HBIAB program in Los Angeles, OneWest Bank employees volunteer as business mentors to students participating in the Los Angeles program. Volunteers help students develop a business plan and prepare for the fast pitch competition.

2. Launch a new HOPE Inside Center adjacent to the OneWest Bank branch in Northridge, California. This is a moderate-income community with minorities representing 89.2% of the population.

HOPE Inside is a HOPE Center operating within an existing bank branch, credit union, etc. to serve the under-banked and underserved. HOPE Inside's Small Business Development Program offers entrepreneurial training courses and one-on-one technical assistance to local small businesses. By helping small businesses succeed, the program helps to

create jobs and economic development in low-to-moderate income communities.

As a result of HOPE's partnership with OneWest Bank, HOPE has been able to promote "silver rights" and make free enterprise and capitalism work for the poor, working class and the middle class; as well as assist and inspire the next generation of global stakeholders.
