THE NEED TO IMPROVE ORAL HEALTH

“Dental caries (tooth decay) remains the most prevalent chronic disease in both children and adults, even though it is largely preventable.”1

Prevalence 42% of children 2 to 11 have had dental caries in their primary teeth. Unmet needs 23% of children 2 to 11 have untreated dental caries. Severity Children 2 to 11 have an average of 1.6 decayed primary teeth and 3.6 decayed primary surfaces. Black and Hispanic subgroups and those with lower incomes have more severe decay in primary teeth. Black and Hispanic subgroups and those with lower incomes have more untreated primary teeth. The issue of caries is only one precursor that indicates oral health and subsequently the overall general health of the entire U.S. Population. In the era of the Affordable Care Act, prevention will be the primary method of cost containment. Oral Health will gain more prominence as linkage to systemic diseases is brought to light.

FUNDING NEEDS

First TrancheTo bring the enterprise to commercialization in approximately 12-16 months from the date of funding streams’ initiation, DCB is raising up to $1,000,000 in exchange for equity in Dent-Chew Brush, LLC. The investment of $1M be in exchange for 12.5% equity. Ten thousand (10,000) units represent DCB’s total equity. Each unit equals 100 shares. Each share is valued at $8.00. The minimum transaction is ten (10) units valued at Eight Thousand Dollars ($8,000) and thereafter additional investment in $8,000 increments equal to ten (10) units.

• First tranche funding level = 2% equity @ $160,000 ($80,000 / point)

N.B.: An investor may have the option to invest $1M initially to eliminate the possibility of there not being a second and/or third tranche, in the event equity funding is not be needed* (see Section IX of the Bus. Plan)
