NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS COMPETITION. THE YOUTUBE SPACE LAB COMPETITION IS RUN BY SPACE ADVENTURES, LTD., 8000 TOWERS CRESCENT DRIVE, SUITE 1000, VIENNA, VA 22182 AND YOUTUBE, LLC, 901 CHERRY AVENUE, SAN BRUNO, CA 94066 (“SPONSORS”).

PLEASE NOTE THAT THIS IS NOT A PRIZE DRAW BUT A SKILL-BASED COMPETITION. PLEASE ALSO NOTE THAT THESE OFFICIAL RULES DO NOT CONSTITUTE A TENDER AND TENDER LAW, REGULATIONS AND PRINCIPLES DO NOT APPLY.

THE YOUTUBE SPACE LAB IS A COMPETITION OPEN TO ELIGIBLE PERSONS BETWEEN THE AGES OF 14 – 18. SEE RULE 3 FOR ELIGIBILITY DETAILS.

THE YOUTUBE SPACE LAB SKILL-BASED COMPETITION INVITES ELIGIBLE PERSONS TO SUBMIT AN IDEA FOR A SCIENCE EXPERIMENT TO BE CONDUCTED IN A MICROGRAVITY ENVIRONMENT ON THE INTERNATIONAL SPACE STATION. THE COMPETITION WILL BE COMPRISED OF AN OPEN ENTRY SUBMISSION PHASE, SUBMISSION JUDGING TO DETERMINE FINALISTS, FINALIST PUBLIC VOTING, AND THEN CULMINATING IN A SECOND ROUND OF JUDGING FOR ONLY THE FINALISTS TO SELECT GLOBAL AND REGIONAL WINNERS.

VOID WHERE PROHIBITED OR RESTRICTED BY LAW. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS COMPETITION.

1. Competition Dates and Times: The YouTube Space Lab competition described in these Official Rules (the “Competition”) begins October 11, 2011 at 12:00:01 AM Pacific Time U.S. (“PT”) GMT -8:00 (+1:00 daylight savings offset) (9:00:01 AM CET), and ends on or about March 13, 2012 at 11:59:59 PM PT (8:59:59 AM CET) (“Competition Period”) with the deadline for submission of entries being December 7, 2011. For the purposes of these Official Rules, a “day” shall begin at 12:00:01 AM PT and end at 11:59:59 PM PT. The YouTube computer runs the official clock for the Competition and will solely determine the time by which an entry is received. During the Competition Period there are a series of events which start and end on or about the dates and times noted below:

2. Competition Entities: Space Adventures, Ltd., 8000 Towers Crescent Drive,Suite 1000, Vienna, VA 22182, USA; YouTube, LLC, 901 Cherry Avenue, San Bruno, CA 94066, USA (Space Adventures together with YouTube the “Sponsors”); Lenovo, 1009 Think Place, Morrisville, NC 27560, USA (“Promotion Partner”); Marden-Kane, Inc., 1055 Franklin Avenue, Suite 300, Garden City, NY 11530, USA (“Competition Administrator”). Sponsors, Partner and Competition Administrator are collectively referred to as the “Competition Entities”.

3. Eligibility: Participation in this Competition is open to individuals who are between the ages of 14 – 18 on the date of submission of an Entry (as defined below). An eligible person must have his/her parent’s or legal guardian’s permission to enter this Competition. Eligible persons who are legal residents of France must have the permission of both of their parents or legal guardians to enter this Competition (as applicable). Sponsors reserve the right to verify an individual’s eligibility to participate in the Competition (including, without limitation, that the individual has his/her parent’s or legal guardian’s permission to enter this Competition, if applicable) by requesting proof of identity and/or eligibility in a form acceptable to Sponsors (including, without limitation, government issued photo identification). At any time during the Competition, Competition Administrator reserves the right to request minor Entrant to provide a signed consent form of a parent/legal guardian agreeing to the provisions of this section, as well as the terms and conditions of these Official Rules. Failure to provide such proof to the satisfaction of the Sponsors in a timely manner may result in disqualification.

Minors – Parents and Guardians: The parent(s) or legal guardian(s) of an Entrant as well as each Team Member, if applicable (as defined in Rule 4) under the legal age of majority in his/her jurisdiction of residence: (a) will ensure that the Entrant in respect of whom they agree to these Official Rules will comply with these Official Rules; and (b) warrants that he/she agrees to these Official Rules and gives the consents contained herein, including permission for his/her child/ward to participate in this Competition. The parent(s) or legal guardian(s) of each such Entrant agrees to indemnify the Released Parties (as defined below) for and against: (a) any claims made by the Entrant, his or her legal guardian(s), or any member of his or her family against the Released Parties in connection with the Competition; and (b) any losses (including any liability) caused by any conduct of the Entrant which is inconsistent with these Official Rules.

Ineligibility: The Competition is not open to citizens or residents of Cuba, Iran, North Korea, Sudan, Myanmar/Burma, Syria, Zimbabwe and any other U.S. sanctioned country. Void in Brazil and where prohibited by law. Employees, officers, directors, agents, representatives and their immediate family members (which means parents, spouses, children, siblings, in-laws, grandparents and grandchildren and their respective spouses, regardless of where they reside) or residents in the same household (whether legally related or not) of the Competition Entities and their respective parents, affiliated and subsidiary companies, advertising and promotion agencies, legal and financial advisors, any and all other companies associated with this Competition (including other institutions listed on the Competition Site who are involved in judging), are not eligible to enter or otherwise participate in this Competition.

4. How to Enter the Competition

Step 1 - Registration: Individuals who wish to enter the Competition may do so individually or as part of a team of two (2) to three (3) individuals (each, a “Team”). Each individual participating in this Competition, whether participating as a team member or as an individual, shall be referenced herein as an “Entrant”. Entrants and/or Teams must first register for the Competition. Entrants will be instructed to submit their “Registration Form” (registration) online at the YouTube Space Lab site, http://www.youtube.com/spacelab (the “Competition Site”).

During registration, Entrants must supply their age and YouTube will assign them to one of two age categories, 14-16 or 17-18 based on their ages on the date of submission of an Entry. If entering as a Team, the eldest team member will be recognized as the “Team Leader” and the age of the Team Leader shall determine the age category associated with that Team’s registration. Additionally, Entrants must supply their country and YouTube will assign them to one of three regions, the Americas region, Europe, Middle East and Africa region and Asian Pacific region. If entering as a team, the country of the Team Leader will be used. Entrants (or if entering as a Team, the Team Leader) must have or create a free YouTube account. To register for a YouTube account, go to http://www.youtube.com/account and follow the instructions provided. Once an individual joins a Team, that individual may not participate with another Team, nor can that individual enter alone.

As part of the registration and entry process for participation in the Competition, potential Entrants will be required to click where indicated to signify that they have read, understood, accept, and agree to be bound by these Official Rules and the terms hereunder, including but not limited to the releases of liability, and including the Entrant’s acceptance of the decisions of the Competition Entities and the Judging Panel as defined in Rule #4 (which, notwithstanding any term of these Official Rules or the Competition Site, are final and binding in all respects, without prejudice of any claim that could be filed before the Court).

Step 2 – Parent/Guardian Consent to Participate: Upon receipt of the Registration, YouTube will e-mail the parent(s)/guardian(s) of the Entrant and (if applicable) to the parent(s)/guardian(s) of all Team Members requesting consents to participate. YouTube will use the parent(s)/guardian(s) e-mail address that the Entrant provided during registration. YouTube reserves the right to verify any parent’s/guardian’s e-mail address at its sole discretion and Sponsors’ inability to verify such e-mail address may result in disqualification of Entrant. Parent(s)/guardian(s) consent is a requirement for Entrants (and Team Members, if applicable) deemed minors in the area where they reside. Parent(s)/guardian(s) must click to “Accept” the terms of the online consent, including (a) that their child/ward will comply with these Official Rules, (b) a warranty that their child/ward is capable of agreeing to these Official Rules and giving the consents contained herein, (c) an agreement to indemnify the Released Parties for and against any claims made by the Entrant, his/her parent or legal guardian, or any member of his/her family against the Released Parties in connection with this Competition and any losses (including any liability) caused by any conduct of the Entrant which is inconsistent with these Official Rules by a designated date/time before an Entrant or Team is eligible to submit an entry. Sponsors may send one reminder e-mail, and one “Last Chance” reminder e-mail, to Entrants or parent(s)/guardian(s) in event consent deadline is near. FAILURE TO OBTAIN CONSENT FROM A PARENT/GUARDIAN (OR, IF A RESIDENT OF FRANCE, BOTH PARENTS/GUARDIANS) WILL MEAN THAT AN ENTRANT (DEEMED A MINOR IN THE AREA WHERE HE OR SHE RESIDES) OR TEAM MAY NOT SUBMIT AN ENTRY IN THIS COMPETITION. For individuals or Teams who have successfully registered, all communications from Contest Entities will be sent to the individual entrant or the Team Leader via e-mail provided at registration.

Step 3 – Submit an Experiment: Entrants can submit up to three (3) original and distinct entries either as individuals or as part of a Team comprised of up to three (3) persons. You may enter this Competition individually or as part of a Team, but not both. The entry will include the experiment idea, which follows the technical, creative, and legal entry requirements explained in Rule #5 below (an “Entry”). Each Entry submitted by an Entrant or Team must be substantially different from any other Entry submitted by that Entrant or Team.

Registration and Entry may be submitted anytime during the “Open Call for Entries” (See Rule #1) at http://www.youtube.com/spacelab. Entries not submitted in accordance with the instructions provided on the Competition Site and in these Official Rules may be disqualified, at the sole discretion and determination of the Competition Entities.

All eligible Entries will be scored by a panel of independent judges (each, a “Judge” and collectively, the “Judges” or “Judging Panel”), who will select the top-scoring Entries, which will be deemed Finalists (see Rule #7). Finalist Entries will be posted for public voting and scoring by the panel of independent judges (see Rules #8 and #9). Following the completion of the Finalist Public Vote, a second Judging Panel will select the top-scoring Finalist Entries, which will be deemed Global and Regional Prize Winners.

5. Entry Scope Requirements, Technical Requirements and Experiment Restrictions:

Entry Scope Requirements: An Entry must include the following elements:

1. Experiment Question : The scientific question the Entrant wants to test in his/her experiment.

2. Hypothesis : An educated guess at answering the scientific question.3. Method : A simple explanation of the methods used to conduct the experiment testing the

hypothesis in Microgravity. 4. Results : The expected results of the experiment.

NOTE: Creating a prototype of the experiment is optional but encouraged as it may make the experiment idea easier for the judges to understand.

Technical Requirements:

� Entries must be submitted at http://www.youtube.com/spacelab after parental consent is confirmed no later than 11:59:59 PM PT on December 7, 2011. Be sure your video is formatted and encoded in accordance with the requirements listed on the YouTube website.

� Running time for video: Maximum two (2) minutes. Sponsors may at their discretion allow Entries that run up to 10 seconds longer than two (2) minutes.

� Language: Entries are preferred in English, but will be accepted in German, Italian, Spanish, French, Hebrew, Polish, Japanese, Russian, Dutch, Korean, and Chinese. Language used for the Entry will have no impact on one's opportunity to win.

� Broadcast Setting: When uploading a video Entry, the broadcast setting must be set to “Public”.

� Embedding: Your video must have the YouTube embedding functionality turned “on”. You can enable embedding of your video on external sites by following these steps:1. Select "My Uploaded Videos" in your account. 2. Click the "Edit Video Info" button to the right of the video in question.3. Click the "Broadcasting and Sharing Options" section.

4. Click the radio button next to "Yes, external sites may embed and play this video"5. Click the "Update Video Info" button at the bottom of the page.

Further requirements regarding the permissible content and format of the Entries are specified in Rule #6 below.

Experiment Restrictions : All parts and materials used within the experiment must fit within the rules and regulations of the space agencies responsible for the International Space Station. The winning entries will be adapted into space flight materials, equipment, and procedures deemed safe for space flight. Experiments submitted by Entrants must not:

i. include the use of any sharp items;ii. contain any small particles or liquids that are not in sealed containers;iii. involve use or misuse of any hazardous chemicals, human or animal tissues or body

parts, other than the tissues and body parts listed in the Experiment Guidelines, as is legally permissible in the entrant’s country of residence;

iv. include any elements prohibited by the Experiment Guidelines.

6. Entry Terms: By entering, Entrants (and if eligible minors, their parents/legal guardians) residing in countries where YouTube is localized agree to comply with YouTube’s Terms of Service (http://www.youtube.com/t/terms) and Privacy Policy (http://www.youtube.com/t/privacy_at_youtube) specific to their localized version of the YouTube Site, all of which are incorporated by reference into these Official Rules. Usage of YouTube and/or any other Google Property is subject to the Terms of Service of each respecting site governing such use and Entrants (and if eligible minors, their parents/legal guardians) agree to comply with all such Terms. The United States version of said terms, guidelines, and policies will be in effect for Entrants not residing in an eligible country with a localized version of the YouTube Site. By entering, regardless of country of entry, each Entrant (and, if an eligible minor. his/her parent/legal guardian) represents and warrants that he or she has obtained all of the rights, licenses, and permissions in writing from any person who may have helped or participated in the creation of the Entry (or from parent(s)/legal guardian(s) if any such person(s) is considered a minor in their country of residence); and that his or her Entry conforms to these Official Rules, the requirements of the Competition Site, and

(i) does not contain any use of the names, likenesses, photographs, or other identifying elements, in whole or in part, of any other person other than the Entrant or a member of the Entrant’s Team, living, or dead, except as required to cite sources used as part of the Entry;

(ii) does not include trademarks, logos, emblems or copyrighted material not owned by Entrant(s) (including but not limited to company names, music, photographs, works of art, or images published on or in websites, television, movies, or other media) or otherwise infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property rights;

(iii) is not subject to any third party agreement(s) and no third party consents and/or licenses are required in connection herewith, and that the Competition Entities will not be required to pay or incur any sums to any person or entity, including without limitation, any copyright collecting societies or holders of copyrights, neighboring rights, or moral rights, or persons representing such, and any person acting on their behalf as a result of its use or exploitation of the idea, Entry materials or rights therein;

(iv) includes proof that any required permits from local authorities and other permissions have been obtained;

(v) does not defame, misrepresent, or contain disparaging remarks or any other content which could adversely affect the name, reputation or goodwill of the Released Parties or any other individuals and/or entities;

(vi) does not contain pornographic or sexual content, hateful content of any kind (including racism, sexism, etc.), content which promotes violence or harm to another living creature, or any other offensive, obscene or inappropriate content;

(vii) does not include threats of any kind or that intimidate, harass, or bully anyone; and(viii) does not violate any local, state, national or international law or post any content that

would encourage or provide instructions for a criminal offense;

Competition Administrator reserves the right to disqualify any Entrant who, in their sole discretion, they determine has violated the Official Rules of this Competition or breached a representation (scientific or otherwise) or warranty at any time during the Competition.

Entries that do not comply with these Official Rules as determined by Competition Entities, in their sole discretion, will be disqualified from the Competition and will not appear on the Competition Site. Entrant (and if an eligible minor, his/her parent/legal guardian) agrees that Released Parties (as defined below) are not responsible for any unauthorized use of Entries by third parties. The Competition Entities do not guarantee the posting of any Entry.

Technical Limitation of Liability: To the extent permitted by applicable law, neither the Competition Entities nor any of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, legal and financial advisors, any and all companies associated with this Competition including Space Adventures, Ltd., Lenovo, JAXA, ESA, or any other entities that may be added to the Competition Site as participating in this Competition after these Official Rules are published, and each of their respective officers, directors, shareholders, agents, licensees, licensors and employees, nor any Internet access providers (collectively “Released Parties”) (except where due to the intentional misconduct or gross negligence of a Released Party) are responsible for incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the Competition Site, for problems uploading any Entries or downloading any Competition-related materials from the Competition Site or for late, lost, stolen, damaged, misdirected, incorrect, garbled, delayed, undelivered or incomplete Entries, or other materials. For purposes of these Official Rules, receipt of Entry occurs when the YouTube servers successfully receive the uploaded Entry on the Competition Site and record the required Entry information. Any Entry/Entrant information collected during the Competition shall be used only in a manner consistent with the consent given by Entrants, at the time of entry, with these Official Rules (specifically including YouTube’s Privacy Policies referred to above).

7. Judging to Determine Finalists: The Judging Panel will score all eligible Entries submitted during the Open Call for Entries based on the following “Judging Criteria” (with a maximum score of 100 points):

� Understanding and use of science and the scientific method (25 points)� How effective Entrant/Team was in communicating the experiment idea (25 points)� Innovation and creativity of experiment idea (25 points)� Evaluation of the idea and presentation as a whole (25 points)

Space Adventures (together with NASA) will review potential Finalist entries to ensure they are feasible to be performed on the International Space Station. The Contest Entities, at any time during the judging process, reserve the right to void an Entry if it is deemed that an experiment is, in fact, not replicable on the International Space Station, either due to material restrictions and unavailability and/or factors related to the time required of astronauts to conduct the experiment.

The Judging Panel will identify the top ten (10) highest scoring Entries per age group (14-16, 17-18) for each “Region” (as outlined below) and these Entrants will be deemed the “Potential Finalists”. Additionally the Judging Panel may select up to five (5) alternates per age group for each Region (each, an “Alternate”).

In the event of a tie for any Region, all tied eligible Entries will be independently re-evaluated by a tie-breaking Judge using the Judging Criteria above to break the tie. The Judging Panel’s decisions are final and binding in all matters relating to the Competition. If a Team or an Individual has submitted multiple Entries (maximum three (3) per Entrant/Team), the Competition Entities in their sole discretion may limit the number of Entries advancing to the Public Vote stage to one (1) per individual Entrant/Team.

The Judging Panel will select up to sixty (60) total Finalist Entries based on the above Judging Criteria as follows:

1. Americas Region:a. Up to 10 Entries in age category 14-16b. Up to 10 Entries in age category 17-18

2. Europe, Middle East and Africa Region:a. Up to 10 Entries in age category 14-16b. Up to 10 Entries in age category 17-18

3. Asia Pacific Region:a. Up to 10 Entries in age category 14-16b. Up to 10 Entries in age category 17-18

Up to five (5) Alternates per age group and Region may also be selected in the event any potential Finalist is unable to accept Finalist status or is otherwise ineligible according to these Official Rules, for a total of up to thirty (30) Alternate Finalists. All Finalist videos will be displayed on the Competition Site for the Finalist Public Vote (see Rule #8 below).

Potential Finalist & Alternates Notification: The Potential Finalists and Alternates (Including all Team Members of any such Finalist or Alternate, as applicable) will be notified of their selection via e-mail on or about December 16, 2011 and they (or if eligible minors, their parents/legal guardians) will be required to sign and properly execute the following documents and return them via e-mail or facsimile (and subsequently by mail to Competition Administrator (i.e., Marden-Kane, Inc.) by December 22, 2011:

(1) An Affidavit (or, a Certificate or Declaration (as applicable)) of Eligibility and Publicity Release, unless prohibited by law;

(2) An Entrant Agreement and Release; (3) Such other and further agreements as may be required by the Sponsors;(Together, the “Releases”).

If any such Potential Finalist or Alternate Finalist is a minor in his/her jurisdiction of residence, the Releases must be filled out and signed by Entrant’s parent(s) or legal guardian(s), who will be responsible for fulfilling all requirements imposed on minor Finalists stated herein (and, in addition, if the Potential Finalist is a minor in Spain and a legal guardian, as opposed to a parent, signs the Releases, the Entrant’s legal guardian will need to notify Public Prosecutor (“Ministerio Fiscal”) of the content of the Releases). Sponsors may send one reminder e-mail to Entrants, or parent(s)/guardian(s) in event consent deadline is near. If any Releases sent by any means to a Potential Finalist are returned as undeliverable, if a Potential Finalist cannot be reached after a maximum of two (2) attempts or fails to properly execute and return all Releases described herein (as applicable) within the time period noted, or if a Potential Finalist is found not to be eligible or not in compliance with these Official Rules, the Potential Finalist (and his/her Team, if applicable) will be disqualified and such Entry will not be included in the Finalist Public Vote, and, at the sole discretion of the Competition Administrator, the Alternate and/or individual who submitted the next highest scoring feasible Entry will be notified, time permitting.

Please note that the “Affidavit of Eligibility and Publicity Release” contains consent to use Finalists’ full names, image, voice, likeness, city of residence, background, stories, biographical material, Entry and photographs for promotional purposes in connection with this Competition, in any and all media, including but not limited to print, digital and electronic media, cell phone, computer, TV, radio, DVD, CD, audio and audiovisual media (now known or hereafter devised), in any language, throughout the world and without additional compensation (as described further in Rule #14). For Finalists who are legal residents of France, full names, address, image, voice, likeness, city of residence, background, stories, biographical material and photographs will only be used for a duration of ten (10) years as of date of acceptance of these Official Rules. For the avoidance of doubt, the refusal of such consent to a publicity release will not prevent Potential Finalist from receiving a prize.

8. Finalist Public Vote: The approximately sixty (60) Finalist Entries will be posted on the Competition Site, by age group and by Region for voting by the online community. Voters will have the opportunity to critically evaluate Entries, using the Judging Criteria stated above, and to vote a maximum of once per Entry per day during the Finalist Public Vote period beginning on January 3, 2012 at 12:00:01 AM PT and ending on January 10, 2012 at 11:59:59 PM PT. Votes in excess of stated daily maximum for any Entry by a single voter will be disqualified.

“Votes Received” Score: When judging to determine Regional Winners (as defined in Rule #9 below), the votes received during the Finalist Public Vote will account for 25% of a Finalist Entry’s score. To determine the “votes received” score, the votes that each video received will be tallied at the end of the Finalist Public Vote period. Votes received after the end of Finalist Public Voting Period will not be tabulated. The Finalist Entry that received the highest vote total shall receive a score of 25 points. All other Finalist Entries will be given a score in proportion based on the number of votes received in comparison to the Finalist that received the highest vote total. For example, if the highest vote total received by a Finalist Entry is 50 votes, that video would receive 25 points for “votes received”. As such, a Finalist Entry receiving 20 votes would then receive 10 points, since 20 out of 50 votes would yield a proportional score of 10 out of 25 points. For the avoidance of doubt, the “votes received” score is dependent upon the amount of votes a Finalist Entry receives as well as the highest vote total received by any Finalist Entry.

9. Judging to Determine Winners. Along with the Finalist Public Vote, a second independent Judging Panel comprised of high profile individuals from the arts and sciences selected by NASA/Space Adventures will be convened to determine winners. The judging to determine winners begins on or about January 3, 2012 and ends January 30, 2012. The judging to determine winners will evaluate all aspects of each Finalist Entry, including the Finalist Public Vote, using the following “Finalist Judging Criteria” (with a maximum score of 100 points):

� Understanding and use of science and the scientific method (20 points)� How effective Entrant/Team was in communicating the experiment idea (20 points)� Innovation and creativity of experiment idea (20 points)� Evaluation of the idea and presentation as a whole (15 points)� Votes received (as described in Rule #8 above) (25 points)

The highest scoring Finalists for each age group (14-16, 17-18) in each Region (as outlined below) will be deemed the “Regional Winners” and the highest scoring Finalist overall in each age group (14-16, 17-18) will be deemed the “Global Winners”, subject to verification of eligibility and compliance with these Official Rules.

In the event of a tie, all tied Entries will be independently re-evaluated by a tie-breaking Judge using the Finalist Judging Criteria above to break the tie. The Judging Panel’s decisions are final and binding in all matters relating to the Competition.

Regional Winners: Judges will select Regional Winners as follows:1. Americas Region:

a. One (1) Regional Winner from Finalists in age category 14-16b. One (1) Regional Winner from Finalists in age category 17-18

2. Europe, Middle East and Africa Region:a. One (1) Regional Winner from Finalists in age category 14-16b. One (1) Regional Winner from Finalists in age category 17-18

3. Asia Pacific Region:a. One (1) Regional Winner from Finalists in age category 14-16b. One (1) Regional Winner from Finalists in age category 17-18

Global Winner Selection: From all Regional Winners as outlined above, Judges will select Global Winners as follows:

1. One (1) Global Winner from age category 14-162. One (1) Global Winner from age category 17-18

Regional Prizes: Global Winners and remaining Regional Winners will all be awarded a Regional Prize.

There are a total of eight (8) prizes: Two (2) Global Winner Prizes and six (6) Regional Prizes. The Winners and Winners’ Entries will be designated as such and featured on the Competition Site on or about January 31, 2012.

Designation as a Finalist or a Winner is subject to verification of eligibility and proof of compliance with these Official Rules, maintaining compliance with these Official Rules and approval by the Sponsors. If a Finalist or Winner is found not to be eligible or not in compliance with these Official Rules, such person and/or team will be disqualified and the Sponsors may select an alternate Entrant with the next highest score (as appropriate for the Finalist/Winner at

issue), to be an alternate Finalist or Winner based on the Criteria even if the disqualified person or team member’s names or Entry may have been shown or announced online.

Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by the Competition Entities and/or Competition Administrator in their sole discretion. Use of these techniques, or of script, macro, or any automated system to vote or with the intent to impair or subvert the integrity of the voting process is prohibited and all such votes will be void and, further, may lead to the disqualification of the applicable Entry. The Judging Panel’s decisions are final and binding in all matters relating to the Competition (without prejudice of any claim that could be filed before the Court). “Views” of Entries on YouTube shall not count as votes. All votes are subject to verification. The Sponsors reserve the right, in their sole discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsors) for any votes cast, to be considered valid for the purposes of this Competition. Failure to provide such proof in a timely manner may result in disqualification of any votes that cannot be verified, in Sponsors’ sole and absolute discretion.

10. Competition Winners: Up to eight (8) prizes are available to be awarded. Description of the winner selection breakdown can be found in Rule #9. Depending on the number of eligible and qualified Entries received by Sponsors, they reserve the right to (i) select fewer Finalists and/or Winners (if there is an insufficient number of eligible and qualified Entries received) or (ii) to select more than the number of Winners disclosed in these Official Rules. (The Regional Prize Winners and Global Winners are collectively called the “Competition Prize Winner(s)”)

Note: All Entrants (and, if eligible minors, their parents or legal guardians) acknowledge and agree that the Competition Entities reserve the right to disqualify any Entrant at any time, in their sole discretion, on the basis of anything contained in or learned or obtained as a result of any submitted Releases, or any other forms requested by the Competition Entities that, in their sole opinion, would constitute a breach of these Official Rules or otherwise.

11. Prizes:

Global Winner Prize: The two (2) Global Winners or members of the Winning Teams will each receive the following: a) The opportunity to have their winning experiment conducted on the International Space Station by NASA and streamed live on YouTube, if feasible given NASA’s space operations schedule and operational constraints;b) One of the following two (2) options:

i) A four (4)-day/three (3)-night trip to Tokyo, Japan, to watch the rocket transporting the winning experiments take off for space flight, hosted by JAXA and presented by Space Adventures, Ltd., and a tour of the JAXA facilities.

ii) After reaching the age of majority, a trip to Moscow, Russia, to take a seven (7)-day cosmonaut training course, presented by Space Adventures, Ltd.;

c) The Regional prize trip to Washington, D.C. USA and the ZERO-G Experience presented by Zero-G Corporation, a subsidiary of Space Adventures, Ltd. Details regarding prizes and restrictions are stated below.

Global Prize Conditions: Conducting the Winning experiment is subject to NASA’s space operations schedule and operational constraints. If it is deemed by NASA that the Winning

experiment cannot be conducted on the International Space Station, no alternate prize or prize substitution will be awarded. The flight to the International Space Station will take place tentatively in 2012. Projected date of conducting experiment in space will be provided to winners approximately 2-3 months prior to the event and will be announced on the Competition site pending notification from NASA to Competition Entities. All dates are subject to change given the complexities of space travel.

Tokyo Trip Details: Trip to Tokyo, Japan, if selected by the Global Winners or members of the Winning Teams, will tentatively take place in 2012. Trip amenities include round-trip economy air transportation for each Winner/Team Member (and one (1) parent/legal guardian for each, if a minor) from a major gateway city airport located within a reasonable distance (in the sole discretion of the Sponsors) to the Winner’s/Team Member’s home (or from a major gateway airport in a nearby YouTube localized country, if the winner resides in a country where YouTube is not localized) to Tokyo, Japan (if any Winner/Team Member lives within a two hundred (200) mile radius of Tokyo, Japan, a ground transportation allowance (provided as a check) may be provided at the Sponsors’ discretion and no compensation or substitution will be provided in lieu thereof); round-trip ground transportation in Tokyo, Japan to hotel/airport via private car/van/bus, as determined by Sponsors (if a Winner/Team Member is not eligible for air transportation, round-trip airport-to-hotel transportation will not be provided); standard hotel accommodations at a hotel of Sponsors’ choice (one room (1), single or double occupancy, as determined by Sponsors) and round-trip ground transportation to/from hotel and prize related events. Approximate Retail Value (“ARV”) of Tokyo trip prize is: US$6,000 (4,376 Euros (according to the exchange rate as of September 14, 2011) per Winner/Team member. Actual value of the Tokyo trip may vary based on city of origin.

Moscow Trip Details: Trip to Moscow, Russia, if selected by the Global Winners or members of the Winning Teams, will take place once the Winner has reached the age of majority in his/her jurisdiction. Trip amenities include round-trip economy air transportation for each Winner/Team Member from a major gateway city airport located within a reasonable distance (in the sole discretion of the Sponsors) to the Winner’s/Team Member’s home (or from a major gateway airport in a nearby YouTube localized country, if the winner resides in a country where YouTube is not localized) to Moscow, Russia (if any Winner/Team Member lives within a two hundred (200) mile radius of Moscow, Russia, a ground transportation allowance (provided as a check) may be provided at the Sponsors’ discretion and no compensation or substitution will be provided in lieu thereof); round-trip ground transportation in Moscow, Russia to hotel/airport via private car/van/bus, as determined by Sponsors (if a Winner/Team Member is not eligible for air transportation, round-trip airport-to-hotel transportation will not be provided); standard hotel accommodations at a hotel of Sponsors’ choice (one room (1), single or double occupancy, as determined by Sponsors) and round-trip ground transportation to/from hotel and prize related events. ARV of Moscow trip prize is: US$58,000 (42,305 Euros (according to the exchange rate as of September 14, 2011) per Winner/Team member. Actual value of the Moscow trip may vary based on city of origin.

Regional Winners: The Regional Prize winners, including all applicable Team members will each receive up to a three (3)-day/two (2)-night trip (length of trip dependent on country of origin and associated travel times at Sponsors’ discretion) to Washington, D.C. USA for the “Winner Announcement Event” and the ZERO-G Experience presented by Zero-G Corporation, a subsidiary of Space Adventures, Ltd. The ZERO-G Experience is a flight aboard a specially modified Boeing 727, which performs parabolic arcs to create a weightless environment allowing passengers to float as if in space.

Regional Trip Details (For Global Winners and Regional Prize Winners): Trip will take place in March 2012. Trip amenities include round-trip economy air transportation for each Winner/Team Member (and one (1) parent/legal guardian for each, if a minor) from a major gateway city airport located within a reasonable distance (in the sole discretion of the Sponsors) to the Winner’s/Team Member’s home (or from a major gateway airport in a nearby YouTube localized country, if the winner resides in a country where YouTube is not localized) to Washington, D.C. USA (if any Winner/Team Member lives within a two hundred (200) mile radius of Washington, D.C. USA, a ground transportation allowance (provided as a check) may be provided at the Sponsors’ discretion and no compensation or substitution will be provided in lieu thereof); round-trip ground transportation in Washington, D.C. USA to hotel/airport via private car/van/bus, as determined by Sponsors (if a Winner/Team Member is not eligible for air transportation, round-trip airport-to-hotel transportation will not be provided); standard hotel accommodations at a hotel of Sponsors’ choice (one room (1), single or double occupancy, as determined by Sponsors) and round-trip ground transportation to/from hotel and prize related events. ARV of Regional trip prize is: US$15,683 (11,439 Euros (according to the exchange rate as of September 14, 2011) per Winner/Team member. Actual value of the Regional trip may vary based on city of origin.

Total maximum ARV of all prizes: US$630,294 (459,733 Euros (according to the exchange rate as of September 14, 2011). All prize values listed above are in United States Dollars and Euros and may vary based on the currency in each Winner’s jurisdiction of residence. Final value of all prizes is dependent on the final number of Team Members for each winning Entry.

General Travel Conditions:

Winners who reside outside the United States will be required to depart from and return to an international airport in one of the YouTube localized countries. Details will be provided. The expense of getting to a qualified departure airport and returning home from same airport is the responsibility of the respective winner and escort.

Specific travel arrangements will be made by agent of the Sponsors. Sponsors and agents of the Sponsors retain sole discretion for the selection of departing airport, destination airport, airline carrier, flight times and destination hotel. Winners will be required to provide passport information approximately thirty (30) days prior to any and all prize trips for security clearance purposes. The date, time, and location of trips may be changed at the sole discretion of the Sponsors, and Winners and parent/guardian escort (if required) may be required to travel on fifteen (15) days or less notice. If a Winner/parent/legal guardian cannot travel during the travel dates that are selected by the Sponsors, then that Winner or Team shall be deemed to have forfeited that portion of the prize. Released Parties are not liable for any expenses incurred as a consequence of flight cancellation/delay. Winner/Team members and parent/guardian travel companion (if applicable) must travel together on the same itinerary and are responsible for obtaining all required travel documents (e.g., acceptable photo ID, passport, visa, vaccination certificates, etc.) and any required (or optional) insurance (health, travel, etc.) prior to travel. Winner/Team members and parent/guardian travel companion (if applicable) are also responsible for all costs and expenses incurred in connection with obtaining all required travel documents as well as any insurance. Prizes may be forfeited if: (a) proper travel documents for any and all travel are unattainable or not attained for any reason within the time required by the Sponsors; (b) the Winner/Team member did not have the unqualified right, at the time of being selected, to re-enter his/her country of origin after leaving the country; or (c) if any immigration or travel documentation complications arise which prohibit a Winner or Team member and/or

their parent/guardian escort from entering the destination country. In the latter event, the Winner/Team member, parent or guardian as the case may be, will be solely responsible for arranging and paying for travel back to their point of origin. Each of the Winners/Team members is solely responsible for determining and complying with all applicable international/domestic travel procedures and restrictions. Winners/Team members (and, if eligible minors, their parents or legal guardians) must comply with all hotel check-in requirements, including but not limited to the presentation of a major credit card. Specifics of this travel package are subject to availability and remain solely at discretion of the Sponsors. Complete terms and conditions of trip will be furnished with notification. Travel must be made through the Sponsors’ agent on a carrier of Sponsors’ choice. Reservations are subject to availability. Travel restrictions and blackout dates may apply. All costs and expenses associated with prize acceptance and use not specified herein as being provided, including, without limitation, all federal, state, local, county, provincial and other taxes (including income and withholding taxes), luggage fees, travel documents, insurance, meals, incidentals, in-room charges, telephone calls, beverages, gratuities, and any other expenses not specified in these Official Rules are the sole responsibility of the Winners/Team Members.

If any Winner/Team member is unable to participate in any portion of a trip and/or accept a prize for any reason, no compensation or substitution will be provided in lieu thereof and Competition Entities will have no further obligation to such Winner/Team Members. ZERO-G Experience will take place within the United States. Terms and conditions apply and all participants will be required to attend a pre-flight training session.

Winners may be subject to health or similar conditions in order to participate in the Zero-G flight experience. All Zero-G passengers will be asked to sign a Medical History Form that includes a series of questions pertaining to certain medical conditions. If you do not have any of these conditions, it will not be necessary to consult with a doctor. If you do have any of the indicated conditions, you must confer with your personal physician and obtain his/her sign-off. If you are pregnant, have heart or back problems, you should consult your physician to see if this experience is appropriate for you. Information pertaining to participation in the Moscow cosmonaut training course including, but not limited to, spaceflight training and medical information, is available a t http://spaceadventures.com/index.cfm?fuseaction=Other_Spaceflight_Experiences.Space_Flight_Training. Prize details are subject to change. Complete terms and conditions will be disclosed to the winners at time of prize award.

Prize Conditions for Minors: If any Competition Prize Winner is a minor in his/her jurisdiction of residence at time of prize award, the prize will be awarded in the name of his/her parent(s) or legal guardian(s), who will be responsible for fulfilling all requirements imposed on winners set forth herein; however, the Competition Prize Winner, and not his/her parent(s) or legal guardian(s), will participate in the activities outlined above. If a Competition Prize Winner is a minor in his/her jurisdiction of residence and he/she is required to travel as part of his/her prize, he/she must be accompanied by one (1) of his/her parents or legal guardians (“Travel Companion”). Winners (and Travel Companions) must execute and return a Travel Companion Liability Release, and a Travel Companion Publicity Release (unless prohibited by applicable law) (collectively, the "Travel Companion Release Forms") prior to issuance of travel documents. Travel Companions must be of legal age of majority in their jurisdictions of residence. Failure to return Travel Companion Release Forms in a timely manner may prevent potential Competition Prize Winner (and his/her parent or legal guardian) from participating in the trip For the avoidance of doubt, the refusal of such consent to a publicity release will not prevent the potential Winner and/or Travel Companion from receiving or participating in a prize.

General Prize Conditions: The prizes are not transferable, assignable or redeemable for cash except at Sponsors’ sole discretion. All federal, state, country, provincial and other tax liabilities (including income and withholding taxes) and any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the responsibility of the Competition Winners. Each Competition Winner who is a legal resident of the United States will be issued a 1099 for the actual value of his/her prize. Winners and Travel Companions must comply with all venue and activity rules and regulations. Failure to do so may result in forfeiture of such portion(s) of prizes. All details of any prize not specified herein are at the Sponsors’ sole discretion and complete terms and conditions of prizes will be disclosed to the winners at time of prize award. In the event the Global Winners or Regional Prize comes from a Team Entry, the entire Team (as designated at time of each entry) will be eligible to receive all elements of the respective prize. Competition Entities are not responsible for any issues, technical or otherwise, that may affect the successful live streaming of the space experiments. Space Adventures has entered into an Agreement under which NASA will make reasonable efforts to conduct the Global Winners’ experiments on board the International Space Station. However, should situations arise beyond the control of Space Adventures or NASA that prevent the successful completion of the experiments, the Competition Entities reserve the right to award the remaining prizes as the limit of their liability.

12. Notification of Competition Winners: The Potential Competition Winners will be notified of their selection as Regional Winners via e-mail and/or phone on or about January 31, 2012. If any documents sent to the potential Competition Winners by any means are returned as undeliverable, if the Competition Administrator is unable to contact a potential Finalist within the time noted in the correspondence or, if any potential Finalist or parent(s)/guardian(s) fails to properly execute and return all documents described herein in the time noted, or if the any such Entrant is found not to be eligible or not in compliance with these Official Rules, he/she will be disqualified and a runner-up will be selected and notified as an alternate Finalist for the category at issue. For the avoidance of doubt, the refusal of such consent to a publicity release will not prevent any Winner from receiving the applicable prize. In the event that potential Finalist or Winner is disqualified for any reason, Sponsors may award the prize to a runner-up for the category at issue even if the disqualified potential Finalist or Winner's name or Entry may have been shown or announced online or elsewhere.

13. Ownership of Entry/Grant of Rights: Entrant will retain ownership to his/her Entry subject to the version of the YouTube Terms of Service applicable to the Entrant based on country of residence. However, by entering the Competition, and to the extent allowed by law, Entrants (and if eligible minors, their parents/legal guardians) grant the Competition Entities and their respective affiliates, licensees, promotional partners, developers, legal representatives, assigns, agents and licensees (collectively, the “Licensed Parties”), a perpetual (except in France, Italy and Spain, for the duration of rights), worldwide, royalty-free, non-exclusive, sub licensable, unconditional and transferable license to edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, adapt, create derivative works and compilation works from, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entrant's (or Team’s) Entry, statements, including, but not limited to, all materials submitted in connection with the Competition, as well as any additional photographic images, video images, portraits, documents, interviews or other materials relating to the Entrant or Team and arising out of his/her participation in this Competition (with or without using the Entrant's name) in any and all media, including but not limited to print, digital and electronic media, computer, cell phone DVD, CD, TV, radio, audio and audiovisual media (whether such media is now existing or hereafter devised), in any language, throughout the world, and in any manner, for trade, advertising,

promotional, commercial, or any other purposes in connection with this Competition and the use of the Entry, without further review, notice, approval, consideration, or compensation to Entrant or any third party.

For Polish residents, the worldwide license is being granted at the moment of the Entry is submitted for the Competition, for the non-revocable period of five (5) years without a right of termination. Any Competition Winners’ participation in the Winner Announcement Event and any associated audio or video recordings, practices or other events associated with the Winner Announcement Event shall be owned by YouTube Inc. who may exploit, edit, modify, and distribute the Winner Announcement Event performance and all elements of such participation, including, without limitation, the names and likenesses of any persons or locations embodied therein, in any and all media now known or hereafter devised, in any language, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to Competition Winners or any third party.

In the case where any Entrant is a minor in his/her jurisdiction of residence, the above license must be granted by the Entrant’s parent or legal guardian, unless such minor is emancipated in accordance with the provisions of any applicable laws.

To the extent permitted by law, each Entrant (and, if an eligible minor, his/her parent /legal guardian) waives and releases the Released Parties from any and all claims that each Entrant may now or hereafter have in any jurisdiction based on “moral rights” or “droit moral” or unfair competition with respect to Licensed Parties’ exploitation of Entries without further notification or compensation to Entrants of any kind. Each Entrant (and, if an eligible minor, his/her parent/legal guardian) unconditionally and irrevocably consents to any act or omission by the Licensed Parties that would otherwise infringe his/her moral rights and present and future rights of a similar nature conferred by statute anywhere in the world whether occurring before or after this consent is given, and agrees not, unless there has been any use of an Entry or any derivative works thereof in a manner contrary to these Official Rules, to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Released Parties or any other person in connection with this Competition, on the grounds that any use of any Entry, or any derivative works thereof, infringe or violate any rights, including moral rights, of any Entrant and/or any participant therein. In the event that the waiver of moral rights as stipulated above is unenforceable or invalid, Entrants (and, if eligible minors, their parents/legal guardians) thereby acknowledge and agree that Competition Entities are authorized to exercise all moral rights to the Entries, including but not limited to a right to publish, alter and adapt such Entries, and, where applicable, also to join such Entries with other works of mind, and include such Entries into a collective work or database. For the avoidance of doubt, the Entrants (and if eligible minors, their parents/legal guardians) agree to the publication and/or reproduction of their Entries. Entrants may be asked to submit their original video, presentation files, entry materials, research documentation, works cited, or other documentation/materials deemed necessary by the Sponsors in their sole discretion. Failure to do so may result in disqualification.

14. Rights of Publicity: By entering the Competition, except where prohibited by law, each Entrant (and, if an eligible minor, his/her parent/legal guardian) agrees that the Licensed Parties shall have the right and permission to use and announce the name, picture, voice, background and biographical data, photograph, testimonial, or other likeness and/or prize information or personal exposition (and/or any edited portion thereof), and/or any information contained in his/her Entry for promotional, advertising, publicity and/or other purposes in relation to the Competition in any and all media, now or hereafter known, including but not limited to all digital

and electronic media, computer, cell phone, TV, radio, audio and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, in perpetuity (or, if a French or Spanish resident, for a period of ten (10) years as of the date of acceptance of these Official Rules) and in any manner, for trade, advertising, promotional, commercial, or any other purposes in connection with this Competition and the use of the Entry without further review, notice, approval, consideration, or compensation of or to Entrant. In the case where the Entrant is a minor in Spain and his/her legal guardian, rather that his/her parent is granting any of the above rights and permissions, such legal guardian must notify to the Ministerio Fiscal of such permissions.

15. Limitations of Liability: Except where prohibited by law and to the extent that the negative consequences described below are the foreseeable result of matters within the Released Parties’ reasonable control and are the direct consequence of negligence or default by any of them, the Released Parties are not responsible for any incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the YouTube Site, for the inability to upload or download any Competition-related materials from the YouTube Site, or for late, lost, damaged, misdirected, delayed, garbled, incorrect inaccurate, stolen, damaged, or incomplete Entries or votes.

EACH ENTRANT (AND, IF AN ELIGIBLE MINOR, HIS/HER PARENT/LEGAL GUARDIAN) ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL COMPETITION RULES, AGREES TO BE BOUND BY THE DECISIONS OF THE COMPETITION ENTITIES, WITHOUT PREJUDICE OF ANY CLAIM THAT COULD BE FILED BEFORE THE COURTS, WARRANTS THAT S/HE IS ELIGIBLE TO PARTICIPATE IN THIS COMPETITION, AND AGREES EXCEPT TO THE EXTENT THAT ANY PERSONAL INJURY OR DEATH IS CAUSED BY THE RELEASED PARTIES' INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW THAT THE RELEASED PARTIES SHALL NOT BE RESPONSIBLE FOR ANY CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND (INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES, INDIRECT OR CONSEQUENTIAL LOSS), ASSERTED AGAINST ANY OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH THE USE, ACCEPTANCE, OR MISUSE OF ANY ENTRY MATERIAL, OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY COMPETITION-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR FROM THE RESPECTIVE ENTRANT'S BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE COMPETITION, INCLUDING THESE OFFICIAL COMPETITION RULES. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION IS A VIOLATION OF THE LAW AND, SHOULD SUCH AN ATTEMPT BE MADE, THE COMPETITION ENTITIES AND EACH OF THEIR LICENSEES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. GLOBAL AND REGIONAL WINNERS (AND ANY MINOR WINNER’S PARENT(S) OR LEGAL GUARDIAN(S)) ACKNOWLEDGE AND UNDERSTAND THAT IN THE COURSE OF PARTICIPATING IN THE ZERO-G MICROGRAVITY FLIGHT, SUCH WINNER MAY HAVE THE OPPORTUNITY TO ENGAGE IN VARIOUS ACTIVITIES WHICH MAY BE CONSIDERED TO BE DANGEROUS. EACH PRIZE WINNER (AND ANY MINOR WINNER’S PARENT(S) OR LEGAL GUARDIAN(S)) FULLY APPRECIATES AND ACCEPTS THE ACTUAL OR POTENTIAL LEGAL LIABILITY AND/OR RISK OF DEATH OR INJURY THAT MAY RESULT FROM PARTICIPATING IN THE REGIONAL PRIZE (AS APPLICABLE), AND PERSONALLY ASSUMES ALL RISKS OF INJURY OR DEATH AND, EXCEPT WHERE SUCH INJURIES, LOSSES OR DAMAGES ARE THE DIRECT CONSEQUENCE OF INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE OR DEFAULT BY ANY OF THE RELEASED PARTIES, HEREBY RELEASES THE RELEASED PARTIES FROM ANY AND ALL COSTS, INJURIES, LOSSES OR DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, CLAIMS FOR ANY AND ALL PHYSICAL AND/OR MENTAL INJURIES, INFLICTION OF EMOTIONAL DISTRESS, DAMAGE OR LOSS TO ANY PERSONAL PROPERTY, LOSS OF INCOME, OR ANY OTHER TORT OR CAUSE OF ACTION IN CONNECTION THEREWITH DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, TO PRIZE WINNER’S PARTICIPATION IN THE REGIONAL PRIZE (AS APPLICABLE). THE PRIZE WINNERS WILL NEED TO MEET HEALTH REQUIREMENTS AND SIGN ADDITIONAL RELEASE DOCUMENTS ISSUED BY THE PARTY THAT OPERATES THE FLIGHT EXPERIENCE BEFORE THEY WILL BE ALLOWED TO PARTICIPATE IN THE FLIGHT EXPERIENCE. PARTICIPANTS MUST BE IN GENERALLY GOOD HEALTH AND WITHOUT PHYSICAL DISABILITIES WHICH WOULD CREATE A HAZARD EITHER FOR THE PARTICIPANT OR OTHER PARTICIPANTS. 16. General Conditions: The Competition Entities’ and Judging Panel’s decisions are final and binding in all matters relating to this Competition, including interpretation and application of these Official Rules (without prejudice of any claim that could be filed before the Court). In the event of any discrepancy between these Official Rules and the FAQ’s published for this competition, the Official Rules takes precedent. Potential Finalists, and parent(s)/legal guardian(s of minors being considered as Potential Finalist, Competition Winners and other Entrants at Competition Entities’ sole discretion may be contacted by Competition Entities via e-mail, phone or via the YouTube messaging system. In the event of a dispute as to the identity of an Entrant based on an e-mail address, the Entry in question may be disqualified subject to the Competition Entities’ sole discretion. The Competition Entities reserve the right, in their sole discretion, to disqualify any individual found tampering with the entry process or entry materials or otherwise interfering with the proper administration of the Competition or violating these Official Rules and void all associated Entries and/or votes. The Competition Entities may cancel, modify, or suspend the Competition (or portion thereof) due to a force majeure event or any other event beyond the Competition Entities’ reasonable control. In the event of termination, subject to the approval of the RACJ in Quebec, Competition Administrator reserves the right, at its sole discretion, to determine the Finalists, Alternates and/or Competition Winners (as applicable) from among all non-suspect, eligible Entries received up to time of such action using the judging procedure set forth herein. Each Entrant (and, if an eligible minor, his/her parent/legal guardian) hereby acknowledges and agrees that the relationship between the Entrant and the Competition Entities is not a confidential, fiduciary, exclusive or other

special relationship, and that the Entrant’s decision to submit an Entry in connection with this Competition does not place the Competition Entities in a position that is any different from the position held by members of the general public with regard to elements of the Entry, other than as set forth in these Official Rules.

17. Similar Ideas: Each Entrant understands and acknowledges that: i) Competition Entities have wide access to ideas, stories, designs, film, tape, video, and other materials, and those new ideas are constantly being submitted to it or being developed by their own employees; ii) many ideas or stories may be competitive with, similar to, or identical to content in the Entry and/or each other in theme, idea, plot, format, or other respects; iii) Entrants will not be entitled to any compensation as a result of Competition Entities' use of any such similar or identical material that has or may come to Competition Entities, or any of them, from other sources. Except where prohibited by law, each Entrant (and, if an eligible minor, his/her parent/legal guardian) acknowledges and agrees that the Released Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the Entrant’s copyright in and to the Entries. Finally, each Entrant acknowledges that, with respect to any claim by an Entrant relating to or arising out of any Competition Entities' actual or alleged exploitation or use of any Entry or other material submitted in connection with the Competition, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek any injunctive or other equitable relief or in any way enjoin, otherwise interfere with, delay, or interrupt the production, distribution, exhibition, or other exploitation of any production based on, or allegedly based on, the Entry, and Entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

18. Personal Data: Personal information collected from Entrants will include: name, age, e-mail, country of residence, language of Entry, school name, school location and contact e-mail, as well as Parent(s)/Guardian(s) name and e-mail (collectively, “Personal Information”) and transferred to the Sponsors and Contest Administrator. All Personal Information will be used by the Sponsors and Administrator in accordance with the YouTube Privacy Policy located online at http://www.youtube.com/t/privacy_at_youtube and in addition as otherwise set out in these Official Rules for the purpose of administering this Competition. Each Entrant (and his/her parent/legal guardian) expressly agrees to the use of his/her person information for such purpose. Personal information will be retained for eight (8) months from date of submission of Entry. Personal Information will be held by Sponsors for a period of eight (8) months and Contest Administrator for a period of eight (8) months. Sponsors will not sell, share or otherwise disclose Personal Information collected in any manner with third parties, other than those parties necessary to fulfill the above purposes, unless Entrant has given his prior express consent to receive additional information from Sponsors or a third party. Entrants have a right of access to, modification and withdrawal of their Personal Information. Entrants also have the right of opposition to the data collection, under certain circumstances, in accordance with applicable law. To exercise such right, an Entrant may email [email protected]. The data controller and data recipient is: YouTube, LLC, 901 Cherry Avenue, San Bruno, CA 94066. Please note that upon the date of submission of an Entry, Entrants’ Personal Information will be transferred to the United States and other countries which do not provide an adequate level of protection according to EU data protection regulations, for the purpose of administering this Competition. We will take all steps reasonably necessary to ensure that your Personal Information is treated securely and in accordance with the Google Privacy Policy and these Official Rules in respect of such transfer. By entering the Competition, Entrants expressly agree to such transfer.

19. Choice of Law: Unless the laws relevant for the domicile of the registered YouTube user provide otherwise, this Competition is governed by United States law and is subject to all applicable federal, state, and local laws. Except where prohibited by law, any and all legal actions or claims arising in connection with this Competition must be brought in a court of competent jurisdiction in the County of Santa Clara, in the State of California.

20. Country Specific Notices: If any provision of these rules is invalid under the law, rules or regulations of a particular country, it will only apply to the extent permitted. In addition to the tax liability disclosures in these rules, Competition Winners are subject to abide by the income reporting and, if applicable, the payment of any taxes due per the laws, rules and regulations of the winners’ country of residence.

For Canada: For Quebec, Canada residents only, all legal requirements concerning the La Regie des Alcools des Courses et des Jeux (the “Regie”) shall apply. If a Competition Winner is from Canada, he or she may be required in writing to assign any copyright to the applicable Competition Entity.

Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Regie for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Regie only for the purpose of helping the parties reach a settlement.

For Mexico: By entering the Competition, Entrants from Mexico hereby expressly agree and accept that for all that is related to the interpretation, performance and enforcement of this Official Rules, each of them expressly submit themselves to the laws of the United States of America and to the jurisdiction of the competent courts in the County of Santa Clara, in the State of California, United States of America, expressly waiving to any other jurisdiction that could correspond to them by virtue of their present or future domicile or by virtue of any other cause.

For Germany: (i) Released Parties shall be fully liable for intent and gross negligence as well as for damages caused by injury to life, body or health; (ii) In an event of slight negligence, Released Parties shall be liable only for breaches of a material contractual obligation (cardinal duty). A “cardinal duty” shall be defined as an obligation whose fulfillment makes the implementation of this contract possible and on the fulfillment of which the contracting parties may therefore generally rely; (iii) in the event of slight negligence, as outlined in Clause (ii), Released Parties shall not be liable for any lack of commercial success, lost profits and indirect damages; (iv) Liability in accordance with the above Clauses (ii) and (iii) shall be limited to typical, foreseeable damages; (v) This limitation of liability shall apply mutatis mutandis to the benefit of the employees, agents and vicarious agents of the Released Parties; (vi) Any potential liability on the part of the Released Parties for any warranties and for claims based on the German Product Liability Act shall not be affected.

For UK: Notwithstanding anything elsewhere in these Official Rules, no person’s or entity’s liability for death or personal injury caused by its negligence shall be limited in any way, and nor shall their ability for fraud or for any other matter where liability may not as a matter of law be limited or excluded.

Where these Official Rules provide for discretion exercisable by a Competition Entity that could otherwise be capable of causing a significant imbalance in the parties’ rights and obligation hereunder, to the detriment of a consumer and contrary to the requirement of good faith, shall be exercised reasonably and in good faith.

For Italy: If a Competition Winner is from Italy, he or she may be required in writing to assign any copyright to the applicable Competition Entity.

Right to Withdraw for Legal Residents of Italy: Should the Entrant be a consumer, according to Article 64 of the Italian Consumer Code, he/she will be entitled to a period of ten (10) business days to withdraw his/her Entry into a Competition without any penalty or cause. The period for exercising the right of withdrawal may be exercised by sending a letter stating the Entrant’s desire to withdraw via e-mail to [email protected] (provided that confirmation is also given by certified e-mail no later than forty-eight (48) hours thereafter) by no later than ten (10) days following the date of his/her Entry.

21. Competition Winners’ List: On or about March 13, 2012 the names of the Competition Winners will be posted on the Competition Site.
