In the year 2003, on Tuesday, December 16, the shareholders of Geovic Cameroon S.A met in an combined general shareholders' meeting, in Yaounde, at the Hilton Hotel, having been convened by the Board of Directors in the presence of tHe statutory auditor Jean Marie MOMO.

L'an 2003, le mardi 16 decembre a 10 heures 35 minutes, les actionnaires de La Societe GEOVIC CAMEROON S.A. se sont reunis en Assemblee Generale Mixte, a Yaounde Hilton Hotel sur la convocation de son Conseil d'Administration, en presence du commissaire aux comptes Jean Marie MOMO.

Mr. Buckovic, Chairman of the Board of Directors, presided.

L'assemble'e est prGsidee par Monsieur Buckovic, President du conseil d'administration.

Messrs Gary MORRIS and ALEOKOL Jean Marie, present and accepting, were called upon to act as scrutinizers. Maitre Pierre-Christian NSEGBE attorney and counsellor, present at the meeting, was designated as secretary.

Various observations were exchanged ; concerning the point 4, the statutory auditor mentioned that the accounting work is still on going by Cabinet RIQUIER, and as soon as the accounting work is completed he will proceed to certification and present his report to the next shareholder's meeting.

As there were no further requests for the floor, the Chairman put the following resolutions, set forth on the pre-cited agenda, to a vote

The Board of Directors of Geovic Cameroon S.A. unanimously approved the following resolutions'.

1. Effective 01 March 2004, Mr.- Gary R_ Morris is hereby appointed as General Manager of the Company and in this capacity is directly responsible to the Board of Directors. Mr. Edouard Bateky, Deputy General Manager, will report to Mr Morris. Mr. Moms will have overall responsibility for carrying out the corporate objectives of Geovic Cameroon. He has been involved in all aspects of Company activity for the past three years and the Board looks forward to the leadership role Gary will fulfill as we advance the Company to the status of a major Cameroon corporation. With respect to the mining project, Mr. Morris will report directly to Mr. David C. Beling, Senioi Vice President, Operations for Geovic Ltd who is charged with the responsibility to advance the project into puHlueiion m the nuv.t cost-effective, value-added manner.

2. Also effective 01 March 2004, Mr. Gary R. Morris will assume the role of Chairman of the Board of Directors of Geovic Cameroon, replacing Mr. William A. Buckovic who will continue as a Director of the Company. The Board extends its sincere thanks to Mr Buckovic for leading the way and guiding the Company, since inception, to the increasingly prominent position it has now attained
