ST. PATRICK Magonus Sucatus was born in the fourth century to wealthy parents in Roman Britain. His father and grandfather were deacons in the church. Magonus would later be-come Patricius or Patrick.

At age 16, Patrick was kidnapped and sold into slavery in Ireland, where for six years he worked as a shepherd. Eventually, Patrick es-caped his captivity on a rescue ship and fl ed to France.

When he returned to Ireland as a Christian missionary, he often used

a shamrock to explain the Holy Trin-ity to potential converts. The three leaves of the shamrock represented the Father, Son and Holy Spirit.

Because snakes or serpents were symbolic to the pagan religion, St. Patrick has often been depicted driv-ing the snakes out of Ireland – most likely a metaphor for banishing paganism from Ireland. Historians and biologists have said there were no snakes in Ireland at the time.

After 30 years of bringing Chris-tianity to Ireland, St. Patrick died – revered as a champion for Chris-tianity, and eventually known as the patron saint of Ireland.

ERIN GO BRAGHBecause of Irish immigration to America during the potato famine years, Irish communities became widespread, especially in bigger cities like Boston and New York City. But the Irish never forgot their homeland, and on St. Patrick’s Day the Irish eyes were smiling. They brought to America a celebration that would forever be in the hearts of all people. For on St. Patrick’s Day, everyone is Irish.

THE REVELERSAND PARADES

The fi rst recorded St. Patrick’s Day parade took place in New York City March 17, 1762, when a small band of Irish New Yorkers marched to

an inn to celebrate the day. The St. Patrick’s Day parade tradition even pre-dated the signing of the Decla-ration of Independence.

That fi rst parade was held on low-er Broadway; as the Irish danced their way down the street with great pride, they were free to speak their language, sing their songs and play the traditional bagpipes. For the fi rst few years, military units organized the parades. After the War of 1812, Irish fraternal societies began spon-soring St. Patrick’s Day events.

The parade grew, eventually pro-ceeding toward Old St. Patrick’s Cathedral in Lower Manhattan, where the Archbishop of New York addressed the crowd before revelers scattered to the bars.

The St. Patrick’s Day parade in New York City is today reminiscent of its roots. Only the marching rev-elers are allowed – no fl oats, autos or other commercial entities are al-lowed to participate. Not that they could with a quarter of a million people marching down Fifth Av-enue in front of more than 2 million spectators.

On St. Patrick’s Day following Sept. 11, the parade was dedicated to po-lice, fi refi ghters, workers and all those who had lost their lives to the terrorist attacks. Around midday, all of the marchers and spectators paused for two minutes and they turned to face south toward the twin towers, as a prayer was said for the victims. It was said one could hear a pin drop during the tribute. That 2002 parade was the largest to-date, with about 300,000 marchers and three million spectators.

TRADITIONSGREEN

At one point in history in Ireland, the Irish were not allowed to show their patriotism by wearing green. So, Irish Americans free to wear whatever they wanted made sure that St. Patrick’s Day in the U.S. was as emerald green as the coun-tryside of Ireland. The wearing of the green was actually a tradition that originated in America.

Green poodles, green hair, green beer, green rivers: Green, green, ev-erywhere there’s green.

“Give an Irishman lager for a month, and he’s a dead man. An Irishman is lined with copper, and the beer cor-rodes it. But whiskey polishes the copper and is the saving of him.” - Mark Twain in “Life on the Mississippi”

The day after St. Patrick’s Day, the Irishman might need to down a few whiskeys to polish his copper be-cause on St. Patrick’s Day the green beer is fl owing as fast as the Arkan-sas River.

It’s not set in stone, but green beer probably originated in Boston or New York City because of large populations of people with Irish heritage. One theory for green beer centers on the “drowning the sham-rock” custom. After the parades on St. Patrick’s Day, the men would head over to the pubs, drop a sham-rock into their whisky and drink it down – all for good luck. But more likely, some bartender bloke decided one St. Patrick’s Day to throw a bit of green food coloring in the beer, in keeping with the color of the day. Whatever its beginnings, green beer on St. Patrick’s Day is as popular as, well, a green river.

While New York City and Boston had their parades, Chicago came up with a green river, and we’re not talking mossy green. The Chicago

River becomes a bright green – the kind of green Colorado landscapers and garden lovers would die for. And dying is what it’s all about.

It all started in 1962 when city work-ers used dyes to trace illegal sewage discharges. They decided the green dye could provide an unparalleled way to celebrate St. Patrick’s Day. The Chicago mayor at the time, Richard Daley, wanted to dye the lake. Yes, Lake Michigan. How-ever, many thought his idea was a bit over the top, so they settled for the river. They released 100 pounds of green vegetable dye into the river that year, which kept it green for a week.

Since 1962, male members (no women allowed) of the Butler fami-ly have had the distinction of throw-ing green dye into the Chicago River. Today, it’s about 40 pounds of biodegradable vegetable dye that lasts for a day only.

The late Stephen Bailey, one of the green river instigators, has said the “road from Chicago to Ireland is marked in green. From the Chicago River to the Illinois River, then to the Mississippi, up the Gulf Stream and across the Atlantic you can see the beautiful green enter the Irish Sea, clearly marking the way from Chicago to Ireland.”

LEPRECHAUNSAND MORE

Corn beef and cabbage is the tradi-tional meal of St. Patrick’s Day, but cabbage is the only thing Americans have in common with the traditional Irish grub of March 17. In Ireland, cabbage was served with Irish ba-con, but when Irish immigrants moved to America, they substituted

corned beef because bacon was too expensive. It is believed that Jew-ish neighbors introduced them to corned beef.

The shamrock, as previously noted, was a teaching tool for St. Patrick. But it has also become a symbol of good luck. Of note though, the shamrock is not a four-leaf clover, which was the “good luck charm” of Ireland pre-Christianity.

Leprechauns, according to legend, were tiny fairies who made shoes. The 2-feet tall little people were also guarding a treasure that had been buried by the Danes, who at one time had conquered Ireland. Since the fairies held the secret to hidden treasures, the humans tried to catch them and force them to lead

the way to the pot of gold. But the fairies were hard to catch because they could “vanish” right before the human eye. When they weren’t making shoes or guarding the trea-sure, they were making merry by drinking, singing and dancing.

St. Patrick’s Day also is a window to spring. Many times, celebra-tions are framed in sunshine and warmth or dogged with snow and cold. However, as Adrienne Cook once said, “St. Patrick’s Day is an enchanted time – a day to begin transforming winter’s dreams into summer’s magic.”

Happy St. Patrick’s Day!

Medium/Clairvoyant/Tai Yi Energy - Tami Urbanek

Under mental, emotional, or physical stress? Low immune system? Anxiety? Depression? Lack of focus?

Tai Yi means Supreme Movement and is an ancient form of Chinese energy work that is similar to acupuncture and can assist in many ailments.

FREE 30 MINUTE CONSULTATION WITH SESSION

Are you aware the sun has had unusual activity? One may question, ‘so what?’

Indeed, a wonderful question. The activity of the sun effects the elec-tromagnetic energy fi eld of the earth. When that occurs, it effects the electromagnetic energy fi eld of each human being. The depth of the effect differs for each person based on the strength of each person’s electromagnetic energy fi eld.

If one has a weakened energy fi eld, the symptoms can be in feeling de-pressed, a lowered immune system, easily infl uenced in one way or an-other, lack of mental focus, and an-ger. If one has a weakened energy fi eld, the unusual solar activity will effect one in a negative sense. It ac-tivates painful issues that may not have been activated. Directly from National Aeronautics and Space Administration’s (NASA) website: “The August 1st (2010) event real-ly opened our eyes”, says Karl Shri-jver of Lockheed Martin’s Solar and Astrophysics Lab in Palo Alto, CA. “We see solar storms can be global events, playing out on scales we scarcely imagined before.” This is, but, one example of the recent solar activity. There was a more recent event this month of March which

TAI YI-SOLAR FLARE

one can fi nd on NASA’s website as well.

Solar activity will continue to in-crease and cause issues with our electronics, electricity, water sup-ply, food supply, and communi-cation. The strength of the solar activity will increase as we move forward in 2011 and especially into 2012. This has nothing to do with the doom and gloom predictions from many New Age and religious groups about a coming end to the Earth in 2012. However, as solar storms increase, people’s fear of survival will increase as well.

As one’s fear of survival increases, one begins buying into false predic-tions of the end of the Earth. Our United States government advises people to stock up on 30 days of food and water in case of any natu-ral disaster, such as an extreme bliz-zard or some other activity that may disrupt our food and water supply. This is wise advice.

The solar activity will bring up painful issues which one needs to examine. The Tai Yi treatment Solar Flare can assist with the coming so-lar storms/activity. Solar Flare was created to assist the body during so-lar storms and assist in shielding the body temporarily during chemtrails. This treatment also assists the im-mune system. The solar fl ares bring up the lowest common denominator in the mind, which is survival, fear, jealousy-when left unchecked. This treatment is long term for solar ac-tivity.

“One Call Resolves it all!”

THE GREEN SCHEME

By Nick Yanez

Ever have one of those nights. You know the kind, when the morning after everything seems

so hazy. You’ve awaken to a glowing beam of sunlight, beside you, a Lithu-anian refuge holding your eldest sis-ters wedding ring offering you a slice morning-bread. As your mind tries to process what seems like utter nonsense, you sit up to realize you’ve somehow stumbled into a nudist colony in the hot springs of the mountainside. You’re wearing jeans, and quite frankly, the mayor of this community doesn’t like you offending his culture with your ri-diculous outfi ts. He asks you to remove your jeans…

Of course later, everything works out when you and your friend stumble upon a camera in the trunk of the car you’ve stolen; it carefully documents the night with photographs, reminding you how it all happened.

Now time for a statistic! It’s true that 87% of those nights happen on the night of St. Patrick’s Day. And if you’re going to lose control of both your mind

and body, as well as walk away with a memorable (or not-so-memorable?) experience, you might as well do it at the greatest place on Earth. This place is Pinz Bowling Center. Or is Rodz Bar & Grill? Well, the truth is it’s all one in the same, so the answer is both!

Pinz and Rodz, along with The Alterna-tive 103.9 present to you, this St. Pat-rick’s Day, the time of your life. With Live Music, Green Beer, Prizes and Giveaways, and “Green Pin Bowling” there is no lack of entertainment. It’s the only place to be in the Tri-Lakes area and beyond. This Thursday, March 19th, Pinz gives you a lean, green, un-stoppable scheme. It includes all of the aforementioned activities and more, including the fl avoristic twist that you and friends add to the party.

So prepare for a night consumed by laughter and bliss, by optimism and en-tertainment, by a train of unbelievable events that will lead you to a place of fulfi llment and self-discovery; a place called loving life. And while you may not want to have one of those nights, you may also lose yourself in the mo-ment, and have no choice in the mat-ter.

What’s the Difference Between Loan Modification, Short Sale & Foreclosure?

And What Will They Do To My Credit?

Loan Modifications, Short Salesand Foreclosures... Everyone istalking about them...and many arehaving to decide which route willbe the best for their situation.

Here is a simple explanation of each:

ModificationsMost struggling homeowners will

first attempt to modify their currentloan in order to obtain lower monthlypayments for a specified time peri-od. Loan modifications have beenpushed by the federal governmentthrough programs like the HomeAffordable Modification Program(HAMP).

Decreasing monthly mortgagepayment into a manageable amountis sometime an easy fix. Be awarethough that many lenders won't con-sider modifying your loan unlessyou're at least 90 days behind onyour mortgage, which can cause asignificant drop in your credit score(50-100 points).

Short Sales If you don’t qualify for a loan modi-

fication, and you cannot afford thepayment, the option then is to sellyour house. If the house is worthless than what is owed you wouldthen talk with your Real EstateAgent about qualifying for a ShortSale.

MORE DETAILS / VIDEO Regarding Short Sales vs Foreclosure:www.SellByShortSale.info

Short sales typically harm creditscores more than loan modificationsbut less than foreclosures.

ForeclosuresWhen Loan Modifications and

Short-Sale attempts fail, borrowerstypically have one final option:Foreclosure. Borrowers who under-go foreclosure will see their creditscores plummet after the scores arefirst tarnished by the nonpayment ofthe mortgage. In most foreclosurescenarios, credit scores continue todecline until the process ends, whichcould be as long as one to twoyears.

All three have a negative impacton borrowers' credit scores. The sizeof that impact, however, may vary.

When Can You Buy Again?Foreclosure: 7 Years for a Conven-tional Loan; 3 Years for an FHA or VAShort Sale: 2 Years for a Conven-tional Loan if you put 20% Down, 4Years if you put 10% Down, and 7Years if you put less than 10%Down; 3 Years for an FHA or VA

NOTE: Employment Consequensesfor Foreclosures (that are not affect-ed by Short Sales): In jobs thatrequire Security Clearances, yourcurrent and future employment canbe challenged, reassigned or termi-nated! Do your research!

• On March 18, 1911, Irving Berlin copyrights the biggest pop song of the early 20th century, “Alexander’s Ragtime Band.” In the fi rst two decades of the 20th century, musical popularity was based not on the sale of recorded performances, but on the sale of sheet music. DON’T BE HOODWINKED BY NIGERIAN SCAMS

Nigerian scams have been around almost as long as the Internet, and more seniors are falling for

them as more of us go online.

Nigerian scams are elaborate ruses to separate you from your money. That’s the bottom line. Here are two exam-ples:

One version of the scams preys on your good nature via email. It might talk about needing “absolute confi dential-ity” and governments or churches that need to get cash out the country. They’ll offer you money for your help -- big money. You just need to pay an upfront fee -- which you’ll never see again.

In another version, they’ll ask you for your bank-account information so that all of their millions can be held safely in your bank account. You’ll be paid, of course, they say. But how long do you think your money will stay in your ac-

count once you give them your account number?

The National Crime Prevention Council has a fi le with hints to help identify Ni-gerian scams. Beware if emails ...

• Claim to be from a foreign govern-ment or church.• Ask for your help.• Insist on confi dentiality.• Identify you by name.• Ask for your banking information.• Have a sense of urgency to act imme-diately.• Promise to give you money for your help.

Some of the scams are very good, which is why so many people fall for them. But with a little investigation and a lot of suspicion, you can avoid these scams and hold on to your money.

Ask yourself: How did they get your name and address? Likely it came from a database of seniors.

To arm yourself with more information, go to the FBI’s website at www.fbi.gov/ and click on Scams & Safety. Look for Common Fraud Schemes.

HEPATITIS CCAN LEAD TO

LIVER CIRRHOSISDEAR DR. DONOHUE: When he was 20, my son came down with hep-atitis C. He’s never said how he got it, but he was running around with a very wild bunch then. He still has the virus at age 27. Should he be treated? He never was. I wonder what’s in store for him, and if he can marry and have a family. Can he? -- C.S.

ANSWER: Worldwide, 175 million people are infected with the hepatitis C virus. In the U.S., 4 million carry it. Between 70 percent and 80 percent of infected people will harbor the vi-rus for life. Of that number, around 20 percent develop liver cirrhosis in 20 years, and a smaller number are stricken with liver cancer. Hepatitis C is the most common reason for a liver transplant.

People catch the virus in a number of ways. Sharing needles to inject drugs is one way. Health-care workers can get it from an accidental stick with a needle used on an infected person. Before 1992, blood transfusion was a major source of infection. Tattooing or body piercing by unlicensed prac-titioners or those who do not adhere to sterile techniques is another route of transmission. Sex with multiple part-ners is a possible way of contracting the illness. Sex with a single partner who has the virus is not a common route of passage. Your son can marry and possibly but not likely infect his wife, and will not infect his children.

This young man has to establish him-self with a doctor. Lab tests will show if his liver is suffering any damage, and blood tests give a reliable esti-mate of how great a number of viruses is circulating in his blood. Treatment

will hinge on that information. A liver biopsy might be necessary. Some doc-tors feel all who show evidence of cur-rent infection ought to undergo treat-ment.

He should completely abstain from alcohol. Drinking puts his liver in fur-ther jeopardy.

The booklet on hepatitis A, B and C explains these common infections in detail. Readers can obtain a copy by writing: Dr. Donohue -- No. 503W, Box 536475, Orlando, FL 32853-6475. Enclose a check or money or-der (no cash) for $4.75 U.S./$6 Can. with the recipient’s printed name and address. Please allow four weeks for delivery.

***DEAR DR. DONOHUE: How does someone with AIDS die? How long does one live after being diagnosed with AIDS? Can a person with AIDS cook for his or her family without fear of giving the virus to loved ones? -- D.R.

ANSWER: AIDS kills in a number of ways. It so weakens the immune sys-tem that an infection brings death. Or the weakened immune system allows the growth of a cancer that proves fa-tal. AIDS also can interfere with the production of proteins and other body materials needed for life, and the per-son wastes away.

The incredible progress made in the treatment of AIDS allows most infect-ed people to live 30 to 40 years after the diagnosis is made, very close to a normal life span. This is possible in countries where people have ready ac-cess to the many AIDS medicines.People with AIDS can cook for their family without any fear of transmit-ting the virus.

SAFE IN THE STORMFood safety during power outages is extremely important.

With more possible storms approaching, are you ready to handle a power outage? To help you keep your food supply

safe during a power outage, the following procedures and guide-lines are recommended:

Chest freezerWithout power, a full upright or chest freezer will keep every-thing frozen for about two days. A half-full freezer will keep food frozen one day. If you expect the power will be coming back on fairly soon, you can keep food frozen longer by not opening the door. Keep a thermometer in all your freezers and refrigerators to check the temperature once the power is back on.

Refrigerator-freezer combinationWithout power, the refrigerator section will keep food cool 4-6 hours depending on the kitchen temperature and how often you open the refrigerator door. A full, well-functioning freezer unit should keep food frozen for two days. A half-full freezer unit should keep things frozen about one day. Block ice can keep food on refrigerator shelves cooler. PICKS OF THE WEEK“The Fighter” (R) -- Directed by David O. Russell (“Three Kings”), “The Fighter” is an above-average boxing movie about the real-life story of Micky Ward (Mark Wahl-berg) and his unconventional road to win-ning the light-welterweight title.

Like most sports movies, “The Fighter” hammers home most of the usual cliches: A plucky underdog from the wrong side of

the tracks overcomes the odds to win the championship, etc. But thanks to some good performances by Wahlberg and Christian Bale (who plays his crack-addict brother), “The Fighter” rises slightly above the usual melodramatic fare we’re accustomed to.

“Hereafter” (PG-13) -- As director Clint Eastwood edges ever closer to the sweet release that only death can bring, it seems only natural that his latest fi lm tackles the concept of The Afterlife.

Matt Damon stars as George Lonegan, a blue-collar fella who acquired psychic abilities following a childhood illness. His brother (Jay Mohr) wants to turn George into a celebrity, but he’d rather try to live a normal life with his girlfriend (Bryce Dal-las Howard). Meanwhile, a French jour-nalist (Cécile De France) has a near-death experience following a natural disaster in India and a London boy named Marcus

(Frankie McLaren) suffers the loss of his twin brother and is sent to foster care.

Through a series of events, George, the journalist and Marcus fi nd each other as they seek answers to the mysteries of life and death.

“The Switch” (PG-13) -- Jennifer Aniston stars in yet another movie where she at-tempts comedy, and then cries a lot. In this one, she plays Kassi, a single woman who wants a baby, but is tired of waiting around for Mr. Right. So, she fi nds a suitable sperm donor (Patrick Wilson). At Kassi’s “in-semination party,” her neurotic -- and very drunk -- best friend Wally (Jason Bateman) switches his baby batter with the donor’s. And because he’s three sheets to the wind, he promptly forgets what he’s done the next day.

Fast-forward seven years, and Wally begins to notice that Kassi’s son, Sebastian, exhib-

its the same neurotic qualities as himself. Cue Hilarity and Anistonian Waterworks.

FINANCIAL FOCUS

LOOKING FOR INCOME?

CONSIDER PREMIUM

BONDSProvided by Adam Grayson

of EdwardJones Investments

As an investor, you want your money to grow so that you can achieve your important goals,

such as a comfortable retirement or college for your children. But you may also invest to increase your cash fl ow. In fact, without a strong cash fl ow, you may be forced to dip into your growth-oriented investments to pay for short-term needs — and if you do this repeatedly, you could damage your prospects for attaining your long-term goals. That’s why you’ll want to look at different ways of boosting your cash fl ow — one of which may be premium bonds.

To understand the nature of premium bonds, you’ll fi rst want to be famil-iar with the relationship between a bond’s price and its interest rate. When a bond is issued, it sells for face (“par”) value, which is the amount returned to the bondholder when the bond matures. This bond also comes with a “coupon” rate — the interest rate that the bond will pay throughout its lifetime. So, for example, if you paid $10,000 for a 10-year bond with a coupon rate of fi ve percent, you would earn $500 per year, every year. If you held the bond until it matured, you’d also get your $10,000 back, pro-vided the issuer doesn’t default. But if market interest rates move up to six percent, and you wanted to sell your fi ve-percent bond before it matures, you’d have to offer it at a discount from the $10,000face value. Con-versely, if market rates were to fall to four percent, you may be able to sell your $10,000 bond for more than its face value, because investors will be

willing to pay a premium to earn the higher interest rate.

Now, let’s fl ip the equation, so that instead of being a bond seller, you’re a buyer. If you want to increase your investment income, you might be in-terested in a premium bond. You pay a premium for the bond in return for higher interest payments for the life of the bond, and, if you hold it until maturity, you’ll still get the face value back (again barring a default).

Furthermore, because premium bonds pay higher interest, they also pay a greater proportion of their cash fl ow before they mature, in comparison to discounted or “par” bonds. This helps provide for greater price stability, so if interest rates rise or fall, premium bond prices typically will not de-crease or increase as much as those of discount or par bonds.

Keep in mind that while premium bonds are attractive to you because of their higher interest rate, they are un-attractive to bond issuers for the same reason. In fact, when market interest rates fall, some issuers may try to re-deem (“call”) these bonds so that they can issue new ones at the lower rates. Obviously, if your premium bond were to be called, your cash fl ow might take a hit. That’s why, when investing in premium bonds, you might want to look for those that have at least lim-ited call protection — in other words, they can’t be redeemed for a certain number of years.

Your portfolio should comprise a number of different investments de-signed to work together to meet your long-term fi nancial goals. So give premium bonds some consideration as part of a well-diversifi ed portfolio.

Before investing in bonds you should understand the risks involved, includ-ing interest rate risk, credit risk and market risk.

THE SCAM REMAINSTHE SAME OR NEW YEAR,

SAME OLD SCAMS

The Better Business Bureau has named the Top 10 scams for the year 2010. Some of the scams are surprising, especially since

they’ve been around for so long and people are still falling for them.

Here are a few highlights from the BBB list:

Job-hunting scams: What the scammers really

want is your Social Security number and personal information such as your bank account number.

Debt-relief services: They want your money up-front, leaving you more broke than you already are. Complaints to the BBB are up 30 percent in the last year alone.

Work-from-home schemes: If you fl ip to the back of magazines as far back as the 1970s, you’ll fi nd ads for working at home. Nothing has changed. The scammers still promise to teach you the secrets to fi nding work you can do at home, or will send you craft kits to put together, and then tell you the work isn’t up to their standards.

Identity theft: While you’re not at fault if a com-pany leaves its computers wide open to security breaches, millions of people make the mistake of being sloppy in their own security -- in email, giv-ing information over the phone, opening attached fi les and not shredding mail with your name on it.

Scambusters [www.scambusters.org] has made its annual prediction of which scams will be the Top 10 for 2011. Many are the same as last year ... and the year before: Nigerian scams, economy (work at home, loan modifi cation, foreclosure), iden-

tity theft (computer hacking, malicious software, hijacking social media information), skimming (credit-card information at ATMs) and people at the door (collecting for charity, contractors who take advance money but don’t do the work.)

The only reason certain scams make the Top 10 lists year after year is that they work. Scammers aren’t going to stay with something that doesn’t net them a lot of money.

Be more vigilant and suspicious this year. Scam-mers are out to relieve you of your dollars any way they can. Dissect emails, be suspicious of downloads, don’t buy anything over the phone unless you initiate the call, beef up your computer security and get help with it if you don’t know how, pick your own charities to donate to, and say no to contractors who come to your door.

TOO MANY CHIEFS AND NOT ENOUGH INDIANS = DEATH

OF A BUSINESS© March, 2011, Lisa Welch Stevens, Esq.

This may sound “undemocratic” or even “un-American”, but after nearly 15 years of practicing business law, I am a fi rm

believer in there being only one, clear, unam-biguous “boss” of any business. The title of this article comes from the old idiom of “too many chiefs and not enough Indians”; i.e., if there are too many competing bosses, and consequently, too few workers, whatever endeavor they are en-gaged upon will ultimately fail.

This is most obviously apparent with unrelated third parties who enter into business with each other. If each partner has an equal say, eventu-ally there will be a deadlock, and the business will have to break up. Fifty/fi fty partnerships eventually fail if each partner has an equal say in things. For this reason, I always strongly rec-ommend that business partners either (1) do not have an equal say (i.e., one partner gets at least 51% say); or (2) that there be a formal agree-ment between the owners, specifying procedures for deadlock situations, and for one or more of the owners to exit the business if necessary. Trust me – you don’t want to go to litigation over these issues; a district court case that goes to trial can easily cost $30,000 - $50,000 or more.

Where a business is to be owned by a husband

and wife, things get a little trickier. Again, I usually recommend that, if the business is to be owned “jointly” by a husband and wife, that it not be owned 50%/50%, but at least 51%/49%. This puts the spouses on basically even footing economically, but avoids a deadlock situation. Another alternative is to have only one spouse as the actual title owner of the ownership interests in the business. As Colorado is a marital prop-erty state, in the event of a divorce, how an as-set like a business is titled is not determinative of its status as sole or marital property. If it was acquired during the marriage, it will most likely be treated as marital property. A third alternative is to title ownership 50%/50%, but to, as with a third party partner, have a written agreement between husband and wife regarding resolution of deadlocks, and exit provisions.

It may seem ridiculous to take such precautions when the business partners are spouses, or other family members. However, the costs of not do-ing so can be signifi cant – and I do not mean only fi nancial costs. There WILL be a time when partners disagree, if not sooner then later. And

the effects on personal relationships can be hor-rible. It is one thing to disagree over purchasing a piece of equipment, or hiring an employee. It is another thing to disagree over whether to sell a business, close it down, or expand it.

The best time to make arrangements and agree-ments to avoid deadlocks is before any such deadlocks have arisen, while everyone still likes each other, and is getting along. It is not only cheaper, it is far less expensive from an emotion-al point of view, and helps to preserve personal relationships.
