SUMMARY The Senior Project Finance Manager (SPFM) provides OpTerra Energy Services (OES) public and private customers consulting services for their energy solutions financing in California (and as needed in other regions), which includes expertise on public financing programs for energy efficiency, distributed generation and renewable energy. The SPFM will monitor and track legislative, regulatory and market changes that impact financing opportunities for potential customers. The SPFM will research state project financing programs and provide information to customers on project financing; this includes working with local school districts, colleges, governmental agencies, etc. regarding governmental processes to secure financing and grants. OES is an energy service company (ESCO) involved in performance contracting. RESPONSIBILITIES The Senior Project Finance Manager will: Work with OpTerra Business Development leaders to understand the dynamics of each vertical market segment in which OpTerra competes and the nuances of the customer base. Work in conjunction with OES’s sales force and marketing department, to identify, develop and acquire new customers and expedite the closing of contracts by providing to those customers financing information to assess finance alternatives as part of the OES marketing package. This helps provide OES with a competitive advantage by providing a full range of customer services and significantly improves cash flow in support of OES business plan by assuring that customer’s project funding is arranged concurrent with, or in close proximity to, the execution of OES’ Implementation contract. Consult with prospective customers’ financial decision makers (Chief Financial Officers, Controllers, etc.)and leverage those relationships to create customer financing solutions that eliminate project funding as an issue / obstacle in the sales process in order to shorten sales cycle and increase project management productivity. This will require a complete understanding of public and private sector financial and purchasing processes and financing structures and requirements. Develop and maintain sector specific financing guidelines for the sales force in support of their cold call sales and the leveraging of existing sector customers. Perform risk review on all projects to validate project economics and financing assumptions. This will include analytical modeling and financing sensitivity analysis for all proposed projects and their

SUMMARY

RESPONSIBILITIES

The Senior Project Finance Manager will:

• Work with OpTerra Business Development leaders to understand the dynamics of each vertical market segment in which OpTerra competes and the nuances of the customer base.

respective financing structures to assure risk mitigation and customer cash flow and OES margin optimization.

• Function as a required signatory on all California and Hawaii risk review packages within delegated authority.

• Review contract and transaction structure for compliance with authorizing legislation (where applicable).

• Identify new and expanded business opportunities to sales and operations management as a result of the availability of various financing packages and structures.

• Research and track enabling procurement and financing legislation. • Disseminate information to sales and operations personnel as appropriate. • Maintain project database for all closed projects. • Monitor Payment & Performance bond expiry and consents to assist with pro rata reduction of guaranty

exposure. • Perform credit screens on prospective customer and credit review requirements for customers nearing

the end of the contracting process. • Provide Supplier Qualification (SQ) support when requested by Legal Team. Pull D&B report, review all

available financial documents including the D&B report and provide a brief write-up via email within 72hrs of the initial request.

• Perform special projects as directed, including, but not limited to: M&A due diligence on potential acquisitions, development/refinement of OES standard operating procedures, ongoing refinements to OES’ pricing model, creation and maintenance of unique energy project financial models as specific structures are identified and evolve.

• Work with Project Finance colleagues and CFO to develop and establish new internal financing programs as requirements arise (includes Private Label Program(s), Master Purchase Agreement Programs, and state mandated conduit financing programs).

• May perform other duties as assigned

EDUCATION AND EXPERIENCE

Required:

• Bachelor of Science or Master’s degree (preferred) from an accredited college or university in Business Administration, Finance/Economics or related field and

• A minimum of 10 years of related experience in banking, leasing, corporate finance or public finance industries.

• Comprehensive knowledge of, and proficiency at, and transactional experience in leasing, public and corporate finance, project credit enhancement, and transaction documentation.

SKILLS AND ABILITIES

• Strong time management skills needed to coordinate numerous time-sensitive projects within project deadlines.

• Must demonstrate excellent written and oral communication skills to effectively communicate complex transactions to senior level customer decision makers and work effectively with OES Sales and Operations and sister companies.

• Time management and project scheduling skills, MS Project, Primavera, or other CPM software • Ability to successfully manage multiple projects, and schedule, and maintain high customer satisfaction • Good oral presentation skills • Ability to thrive in an entrepreneurial environment. Ambitious and self-motivated.
