PURPOSE: To provide real estate services to include but not limited to the marketing, advertising, selling and acquiring of commercial properties by SAHA and its affiliates. This is in alignment with the SAHA Board-approved Preservation & Expansion Policy and two-year work plan. FINANCIAL IMPACT: The listing agent will market SAHA properties. For this service, they will receive a fee of 2.59% for a 200-unit residential property, 2.75% for a warehouse property, and 2.9% for vacant land or industrial property. For transactions where a buyer is represented by another broker, the buyer's broker would receive up to 3%. The total Realtor fees that may be paid on any commercial transaction will not exceed 5.9% and will be paid from the proceeds of the sale of SAHA properties. SUMMARY: On August 20, 2012, SAHA issued a "Request for Proposals RFP# 1207-958-83-3858 for Residential Real Estate Broker Services, which closed on September 26, 2012. The RFP was published on our website, Electronic State Business Daily (ESBD), La Prensa, the Express News and various other venues (See Advertisement List). A total of three proposals were received in response to the RFP: Belmares Properties (HABE and WBE), Cano & Company (HABE), and Robbie Casey Commercial Realty (DBE, ESBE, SBE, and WBE). All proposals were evaluated on experience, personnel, sales plan, price and the strength of the Section 3 and SWMBE Plans. After the initial evaluation of the submitted proposals, interviews were conducted with the top two proposers: Belmares Properties (HABE and WBE) and Cano & Company (HABE). Based upon the above factors, Cano & Company (HABE) and Belmares Properties (HABE and WBE) were the highest rated responsive and responsible company. Cano & Company's (HABE) staff has 32 years of commercial experience working directly with several governmental entities, such as: Bexar County Juvenile Detention Center, Bexar County Adult Probation Office, U.S. Postal Service, and Alamo Area Council of Governments. RESOLUTION 5309, AUTHORIZING A CONTRACT FOR COMMERCIAL REAL ESTATE BROKERAGE AND CONSULTING SERVICES WITH CANO & COMPANY AND BELMARES PROPERTIES FOR A PERIOD OF ONE YEAR WITH THE OPTION TO RENEW FOR TWO ADDITIONAL ONE-YEAR PERIODS

WHEREAS, the San Antonio Housing Authority, a Texas public instrumentality (“SAHA”) was created under chapter 392 of the Texas Local Government Code (the “Act”) to provide decent, safe and sanitary housing; and

WHEREAS, SAHA created and approved a Preservation and Expansion Policy that guides the strategic decision-making regarding real estate assets;

WHEREAS, SAHA and its affiliates maintain a portfolio of commercial and/or Industrial properties;

WHEREAS, SAHA requires the assistance of Real Estate Brokers for commercial or industrial properties so that it can be in alignment with the approved Plan for the liquidation of non-performing assets;

WHEREAS, this Board of Commissioners has reviewed the foregoing and determined that the action herein authorized is in furtherance of the public purposes of SAHA and its affiliates;

WHEREAS, staff requests that the Board of Commissioners authorize the President and CEO to approve and execute a contract for Commercial Real Estate Brokerage and Consulting Services with Cano & Company and Belmares Properties for a period of one year with the option to renew for two additional one-year periods;

NOW, THEREFORE, BE IT RESOLVED that the Board of Commissioners of SAHA hereby:

1) Approves Resolution No. 5309, authorizing contracts for Commercial Real Estate Brokerage Services and Consulting services with Cano & Company and Belmares Properties on commission for a period of one year with the option to renew for two additional one-year periods; and

2) Approves commissions as submitted in their proposal ranging from 2.59% to 2.9% for listing the property and an additional 2.59% to 2.9% if broker also represents the buyer, depending on the type of property. All acquisitions will carry a 2.5% fee for every $1,000; and

3) Authorizes the President and CEO to execute all necessary documents associated with this matter.
