Hereinafter called as the “LANDOWNERS” represented by their nominate, appointed Development Agreement cum General Power of Attorney Holder M/s. In terms the Landowners and Developer jointly known as "VENDOR" (which shall mean and include all their heirs, executors, administrators, legal representatives, nominees and assignees etc., of the One Part).

Mrs. VADAPALLI SWARNALATHA W/o. PALNATI NARENDRANATH, aged about 29 years, Occupation: Private Employee and residing at Plot No.____, Road No.6, new Nagole Colony, Nagole, Hyderabad.(Hereinafter called the “VENDEE” which expression shall mean and include all their legal heirs, representatives, administrators and assignees etc., of the Second Part).

WHEREAS the above named Landowner No. 1 herein is the absolute owner and peaceful possessors of Part of House bearing No. 1-115/1/8, on Part of Plot No. 7, in Survey No. 86 (Part), admeasuring 300.0 square yards equivalent to 250.8 square meters, situated at Richmond Park, KONDAPUR Village, Serilingampally Mandal and under GHMC Circle, Ranga Reddy District, Telangana, having purchased the same by duly registered Sale Deed bearing document No.8866/2007 of Book I, dated; 05/07/2007 registered at Joint Sub Registrar, R.O., Ranga Reddy District.

WHEREAS the above named Landowner No. 2 herein is the absolute owner and peaceful possessors of Part of House bearing No. 1-115/1/8, on Part of Plot No. 7, in Survey No. 86 (Part), admeasuring 300.0 square yards equivalent to 250.8 square meters, situated at Richmond Park, KONDAPUR Village, Serilingampally Mandal and under GHMC Circle, Ranga Reddy District, Telangana, having purchased the same by duly registered Sale Deed bearing document No.8865/2007 of Book I, dated; 05/07/2007 registered at Joint Sub Registrar, R.O., Ranga Reddy District.

THUS in the above manner the Landowners (K. Swetha & K.Shruthi) hereinabove became the absolute owners and possessors of the above mentioned properties described particularly in the Schedule ‘A’ Property and they have already holding a construction permission, obtained from Greater Hyderabad Municipal Corporation, for the construct of Residential Project / Complex in the Schedule ‘A’ Property vide its Permit File No. 79558/26/09/2013/HO, Proceedings No.36364/HO/WZ/Cir-12/2014, dated; 12/09/2014, subject to certain terms and conditions.

WHEREAS the Landowners herein order to develop the “Schedule ‘A’ Property” hereunder, written for better advantage proposed the Developer who is having experience in construction line to undertake the construction of residential complex in the schedule ‘A’ property.

WHEREAS the Developer on mutual discussions with the Landowners have accepted for the said proposal made by the Landowners and agreed to take up for construction on the following terms and conditions.

AND WHEREAS the Landowners herein have entered into a Development Agreement cum General Power of Attorney with the Developer and jointly executed and registered the same bearing document No.4580/2015 of Book I, dated; 03/06/2015, registered at Office of the Sub Registrar, Kukatpally, Ranga Reddy District relating to development of the Schedule - A property in the ratio of 40:60 i.e., 40% of built up area to the landowners and 60% of built up area to the developer.

Page No.3THE Building complex is being built at the schedule ‘A’ property and shall

be named and title was known as “SPRING FIELD”.WHEREAS, the Developer have constructed a Semi Finished Flat No.402

in Fourth Floor of ‘Spring Field’ with a built-up area of 1490 square feet consisting three bed rooms (including common area and covered one car parking space), together with proportionate undivided share of land admeasuring 60.0 square yards out of total land measuring 600.0 square yards, being constructed on House No. 1-115/1/8, on Plot No. 7, in Survey No. 86 (Part), situated at Richmond Park, KONDAPUR Village, Serilingampally Mandal and under GHMC Circle, Ranga Reddy District, Telangana, described morefully in the Schedule - B annexed hereto and hereinafter referred to as Schedule ‘B’ Property, the schedule ‘B’ property has fallen under the developer share who is now the VENDOR in this document.

NOW WHEREAS the Vendor have offered to sell the SCHEDULE ‘B’ PROPERTY, free from all encumbrance, demands, attachments etc., to the VENDEE herein, for a sale consideration of Rs.29,80,000/- (Rupees Twenty Nine Lakhs Eighty Thousand only) and the VENDEE has also agreed to purchase the same for the said sale consideration.

NOW THIS DEED OF SALE WITNESSETH AS FOLLOWS:

That in pursuance of the above offer and acceptance of said sale consideration of Rs.29,80,000/- (Rupees Twenty Nine Lakhs Eighty Thousand only) the VENDEE has paid the entire sale consideration amount to the VENDOR in the following manner;a) Rs.__________ /- (Rupees ____________________ only) by Cash,b) Rs.__________ /- (Rupees __________________ only) by loan availed from

_________, vide their cheque No. ________, dated; __/__/2016, drawn on ____________,

for which the VENDOR hereby admits and acknowledged the receipt of the total sale consideration. The VENDOR hereby further also confirms the receipt of the sale consideration of the proportionate undivided share of land of Schedule ‘B’ Property.

1. The VENDOR hereby sell, convey, grant and transfer by way of absolute sale of the property as described in SCHEDULE ‘B’ PROPERTY together with all existing ways, passages, water sources, light liberties, easements and appurtenances thereto in favour of the VENDEE.

2. The VENDOR have delivered vacant physical possession of the property as described in SCHEDULE ‘B’ PROPERTY to the VENDEE and VENDEE shall hold the SCHEDULE ‘B’ PROPERTY absolutely and beneficially forever.

3. The VENDOR declares that they have got subsisting, valid and marketable title over the SCHEDULE ‘B’ PROPERTY and that the VENDOR can convey the SCHEDULE ‘B’ PROPERTY in favour of the VENDEE.

4. The VENDOR covenant that there are no encumbrances, charges, mortgages, gifts or any other bonds of sureties etc., over the SCHEDULE ‘B’ PROPERTY and that it is free form all encumbrances and charges. In the event of any

encumbrances or charges are found over the SCHEDULE ‘B’ PROPERTY, the same shall be indemnified by the VENDOR to the VENDEE.

Page No.45. The VENDEE shall have peaceful possession and enjoyment of the property as

described in SCHEDULE ‘B’ PROPERTY along with the other flat owners free from any interruption, disturbance by the VENDOR or his/her/its heirs.

6. The VENDOR undertake to do and execute such other and further acts, deeds or things as may be necessary to protect the title of the VENDEE hereby granted and conveyed. The VENDEE shall not put forth any independent or exclusive claim right or title over the land on which the building complex is constructed and its facilities such as jointly enjoyed by all the Flat owners and the common amenities and facilities such as Drainage, Light, Water and open places shall be enjoyable by all the Flat Owners.

7. The VENDEE shall become a member of the Society or Association to be formed by all the Flat owners of “SPRING FIELD” and that the VENDEE shall abide by the rules and regulations/byelaws of the said Society or Association.

8. The Society or Association shall be the administrators and supervisors of common services such as corridors, passages, staircases, drainage, water supply, maintenance of bore wells, electricity, staircases and other properties of common enjoyment and also for maintenance of Society or Association Staff and Welfare activities as the General body of the Society or Association may consider necessary by passing resolution and the VENDEE shall pay to the Society or Association its share of amount towards membership fee/maintenance charge periodically as stipulated by the Society or Association.

9. The VENDEE shall pay the property taxes over the SCHEDULE ‘B’ PROPERTY as assessed by the concerned authorities and such other rates, taxes, sales tax and other amounts payable in future from time to time, that may be payable by the VENDEE to the concerned authorities, after handing over the SCHEDULE ‘B’ PROPERTY.

10. The VENDEE shall periodically carryout all internal repairs of the SCHEDULE ‘B’ PROPERTY and maintain and keep the same in good condition.

11. The VENDEE shall not make any encroachment or keep any obstacles or store any goods or display any sign boards in common areas or passages, which may cause inconvenience or disturbance or hindrance to the other flat owners of the complex.

12. The VENDEE shall not change the elevation and shall not put up any sign boards or display boards above the roof of the building or on any side of the flat.

13. The VENDEE shall park his/her vehicle only in the common parking area in his/her allotted parking Space.

14. The VENDEE shall not at any time demolish or cause to be demolished the SCHEDULE ‘B’ PROPERTY or any part of the building complex such as staircase and parking areas, drainage pipes, cables, water sources, gutters, wires and other conveniences and shall not carry out any new constructions of whatsoever nature in the said building or in any part thereof nor shall make any additions or alterations in the SCHEDULE ‘B’ PROPERTY without the prior permission of the Society or Association and from the local Authorities concerned.

15. The expression of common amenities and facilities shall mean and include the general passages, common passage, foundations, columns, walls, corridors,

roofs, lobbies, staircase besides entrances and gates of the building and common parking area etc.

16. The VENDEE hereby agrees to use the common overhead tank jointly along with the other flat owners and undertakes to pay proportionate water charges periodically.

17. The VENDEE hereby agrees that they will use the SCHEDULE ‘B’ PROPERTY for residential use only and shall not use the same for any other purpose, which may cause nuisance or disturbance to the neighbouring occupants of the building and shall not use the same for any illegal or immoral purposes.

18. The VENDEE covenants that there will not throw any dust, rubbish, rags and wastes or permit the same to the complex, which may cause damage, loss, or inconvenience to other occupants of the building.

19. The VENDEE shall not store in the building any explosives or goods of destructive nature or heavy weight material which may affect or destroy the nature of the building or which are likely to cause fire or explosion etc., or damages.

20. All the terms and conditions of this Sale Deed shall apply to all the Tenants / Lessees or authorized agents of the VENDEE.

21. It shall be the responsibility of the VENDEE to obtain necessary documents duly signed by such tenants / occupants of the SCHEDULE ‘B’ PROPERTY, with the undertaking to pay the maintenance charges to the Society or Association regularly.

22. All demands raised by T.S., Transco towards transformers and accessories, service connection charges, water works and security deposit etc., are payable by the VENDEE.

23. The VENDOR has to allot the parking place to the VENDEE of the flat in the residential building complex only.

24. The VENDEE shall permit the VENDOR, or his/her/their agents with or without worker and others at all reasonable time to enter into and upon the said flat area or any part thereof for the purpose of making repairs of any part of the building and hence for manufacturing, rebuilding, cleaning, laying and keeping in order etc.

25. THE VENDEE shall not claim any right nor shall raise objections for the additional structures, construction of the terrace by the VENDOR and shall not object to the inconvenience if any caused during such constructions.

26. After completion and handing over of the Building complex to the Society or Association, the VENDEE shall pay all the applicable taxes etc. directly to the appropriate authorities. The VENDOR shall not remain responsible for such payments.

27. The rights of the Flat are conferred as mentioned above without any right over or below or any side of the flat external to it.
