It is the intention of Region 14 Education Service Center (herein “Region 14 ESC”) to establish a Master Agreement for HVAC Equipment, Installation, Service, & Related Products for use by Region 14 ESC and other public agencies supported under this contract. This Request for Proposal is issued on behalf of the National Cooperative Purchasing Alliance through a public agency clause, which provides that any county, city, special district, local government, school district, private K-12 school, higher education institution, state, other government agency, healthcare organization or nonprofit organization may purchase Products and Services through this contract. Respondents will be required to execute the NCPA Administration Agreement upon award. This contract will allow agencies to purchase on an “as needed” basis from a competitively awarded contract. Respondents are requested to submit their total line of available products and services. While this solicitation specifically covers HVAC Equipment, Installation, Service, & Related Products, respondents are encouraged to submit an offering on any or and all products and services available that they currently perform in their normal course of business. Responses shall be received no later than the submittal deadline in the offices of Region 14 ESC at the address below: Region 14 Education Service Center 1850 Highway 351 Abilene, Texas 79601 Immediately following the deadline, all responses will be publically opened and the respondents recorded. Any response received later than the specified deadline, whether delivered in person or mailed, will be disqualified. Faxed or electronically submitted responses cannot be accepted. Responses must be sealed and plainly marked with the company name and the opening date and time. Two (2) bound and signed copies of the proposals and Two (2) electronic copies on CD, DVD, or flash drives (i.e. pin or jump drives) shall be provided.

Introduction/Scope

♦ Region14ESConbehalfofitselfandallstates,localgovernments,schooldistricts,andhighereducationinstitutionsintheUnitedStatesofAmerica,andothergovernmentagenciesandnon-profitorganizations(herein“PublicAgency”orcollectively“PublicAgencies”)issolicitingproposalsfromqualifiedvendorstoenterintoaMasterAgreementforacompletelineofHVACEquipment,Installation,Service,&RelatedProducts.

♦ Region14ESC,astheleadpublicagency,haspartneredwithNCPAtomaketheresultantcontractavailabletoallparticipatingagenciesintheUnitedStates.NCPAprovidesmarketingandadministrativesupportfortheawardedvendorthatpromotesthesuccessfulvendor’sproductsandservicestoPublicAgenciesnationwide.TheVendorwillexecutetheNCPAAdministrationAgreement(Tab2)uponaward.VendorshouldthoroughlyreviewalldocumentsandnoteanyexceptionstoNCPAtermsandconditionsintheirproposal.

♦ Awardedvendor(s)shallperformcoveredservicesunderthetermsofthisagreement.Respondentsshallprovidepricingbasedonadiscountfromtheirstandardpricingschedulesforproductsand/orservicesoffered.RespondentsmustprovideexplanationonhowtheywillprovideeitherCatalogand/orpricelistsintheiraccompanyingproposal.Pleasespecifywheredifferentpercentagediscountsapply.Additionalpricingand/ordiscountsmaybeincluded.

♦ Eachserviceproposedistobepricedseparatelywithallineligibleitemsidentified.Servicesmaybeawardedtomultiplevendors.Respondentsmayelecttolimittheirproposalstoasingleservicewithinanycategory,ormultipleserviceswithinanyandallcategories.

♦ NationalCooperativePurchasingAlliance(NCPA)Ø TheNationalCooperativePurchasingAlliance(herein“NCPA”)assistspublicagenciesto

increasetheirefficiencyandreducetheircostswhenprocuringgoodsandservices.Thisisaccomplishedbyawardingcompetitivelysolicitedcontractsthatareleveragednationallybycombiningthevolumesandpurchasingpowerofentitiesnationwide.Ourcontractsareavailableforusebyanyentitythatmustcomplywithprocurementlawsandregulations.

♦ ItistheintentionofRegion14ESCandNCPAtoachievethefollowingobjectivesthroughthisRFP.Ø ProvideacomprehensivecompetitivelysolicitedMasterAgreementofferingProductsand

ServicestoPublicAgencies;Ø AchievecostsavingsofVendorsandPublicAgenciesthroughasinglecompetitive

solicitationprocessthateliminatestheneedformultipleproposals;Ø CombinethepurchasingpowerofPublicAgenciestoachievecosteffectivepricing;Ø ReducetheadministrativeandoverheadcostsofVendorsandPublicAgenciesthrough

stateoftheartpurchasingprocedures.

♦ VendorScope

Ø ItistheintentionofRegion14ESCtoestablishacontractwithvendor(s)forHVACEquipment,Installation,Service,&RelatedProducts.Awardedvendor(s)shallprovideproductsandperformcoveredservicesunderthetermsofthisagreement.Offerorsshallprovidepricingbasedonadiscountfromamanufacturer’spricelistorcatalog,orfixedprice,oracombinationofbothwithindefinitequantities.Additionalpricingand/ordiscountsmaybeincluded.IfOfferorhasexistingcooperativecontractsinplace,Offerorisrequestedtosubmitpricingequalorbetterthanthosethatareinplace.Multiplepercentagediscountstructureisalsoacceptable.Pleasespecifywheredifferentpercentagediscountsapply.

Ø Each service proposed is to be priced separately with all ineligible items identified.

Servicesmaybeawardedtomultiplevendors.Offerorsmayelecttolimittheirproposalstoasingleservicewithinanycategory,ormultipleserviceswithinanyorallcategories.

Ø Region 14 ESC is seeking a service provider that has the depth, breadth and quality of

resourcesnecessarytocompleteallphasesofthiscontract.Inaddition,NCPAalsorequestsanyvalueaddproductorservicethatcouldbeprovidedunderthiscontract.

Ø WhilethissolicitationspecificallycoversHVACEquipment,Installation,Service,&Related

Ø NoassignmentofcontractmaybemadewithoutthepriorwrittenapprovalofRegion14ESC.Purchaseordersandpaymentcanonlybemadetoawardedvendor.AwardedvendorisrequiredtonotifyRegion14ESCwhenanymaterialchangeinoperationismade.

♦ Disclosures

Ø Respondentaffirmsthathe/shehasnotgiven,offeredtogive,norintendstogiveatanytimehereafteranyeconomicopportunity,futureemployment,gift,loan,gratuity,specialdiscount,trip,favororservicetoapublicservantinconnectionwiththiscontract.

Ø Therespondentaffirmsthat,tothebestofhis/herknowledge,theofferhasbeenarrivedatindependently,andissubmittedwithoutcollusionwithanyonetoobtaininformationorgainanyfavoritismthatwouldinanywaylimitcompetitionorgiveanunfairadvantageoverothervendorsintheawardofthiscontract.

♦ RenewalofContract

Ø Unlessotherwisestated,allcontractsareforaperiodofone(1)yearwithanoptiontorenewannuallyforanadditionalfour(4)yearsifagreedtobyRegion14ESCandthevendor.

♦ FundingOutClause

Ø Any/allcontractsexceedingone(1)yearshallincludeastandard“fundingout”clause.Acontractfortheacquisition,includinglease,ofrealorpersonalpropertyisacommitmentoftheentity’scurrentrevenueonly,providedthecontractcontainseitherorbothofthefollowingprovisions:

Ø Retainstotheentitythecontinuingrighttoterminatethecontractattheexpirationofeachbudgetperiodduringthetermofthecontractandisconditionedonabesteffortsattemptbytheentitytoobtainappropriatefundsforpaymentofthecontract.

♦ Shipments(ifapplicable)

Ø Theawardedvendorshallshiporderedproductswithinthewrittenestimateofdeliverytimebythevendortotheentityafterthereceiptoftheorderunlessmodified.Ifaproductcannotbeshippedwithinthattime,theawardedvendorshallnotifytheentityplacingtheorderastowhytheproducthasnotshippedandshallprovideanestimatedshippingdate.Atthispointtheparticipatingentitymaycanceltheorderifestimatedshippingtimeisnotacceptable.Alldeliveriesshallbefreightprepaid,F.O.B.destination.

♦ TaxExemptStatus

Ø Sincethisisanationalcontract,knowingthetaxlawsineachstateisthesoleresponsibilityofthevendor.

♦ PaymentsØ Theentityusingthecontractwillmakepaymentsdirectlytotheawardedvendorortheir

affiliatesaslongaswrittenrequestandapprovalbyNCPAisprovidedtotheawardedvendor.

♦ Addingauthorizeddistributors/dealers

Ø Awardedvendorsareprohibitedfromauthorizingadditionaldistributorsordealers,otherthanthoseidentifiedatthetimeofsubmittingtheirproposal,tosellundertheircontractawardwithoutnotificationandpriorwrittenapprovalfromNCPA.

Ø AwardedvendorsmustnotifyNCPAeachtimeitwishestoaddanauthorizeddistributorordealer.

Ø PurchaseordersandpaymentcanonlybemadetoawardedvendorunlessotherwiseapprovedbyNCPA.

Ø Pricingprovidedtomembersbyaddeddistributorsordealersmustalsobelessthanorequaltothepricingofferedbytheawardedcontractholder,unlessotherwiseapprovedbyNCPA.

♦ Pricing

Ø Allpricingsubmittedtoshallinclude,asacostofsaletotheawardedvendor,theadministrativefeetoberemittedtoNCPAbytheawardedvendor.Itistheawardedvendor’sresponsibilitytokeepallpricinguptodateandonfilewithNCPA.Forthosepricingrequiringannualorperiodicpricingupdates,awardedvendorsareexpectedtoprovidethesechangesassubmitted.

Ø Alldeliveriesshallbefreightprepaid,F.O.B.destinationandshallbeincludedinallpricingofferedunlessotherwiseclearlystatedinwriting

Ø All supplies, equipment and services shall include manufacturer's minimum standardwarrantyandone(1)yearlaborwarrantyunlessotherwiseagreedtoinwriting.

♦ BestPriceGuaranteeØ TheawardedvendoragreestoprovidepricingtoRegion14ESCanditsparticipating

entitiesthatarethelowestpricingavailableandthepricingshallremainsothroughoutthedurationofthecontract.

Ø TheawardedvendoragreestolowerthecostofanyproductpurchasedthroughNCPAfollowingareductioninthemanufacturerorpublisher'sdirectcost.

Ø Theawardedvendoragreesallprices,terms,warranties,andbenefitsgrantedbythevendortoMembersthroughthiscontractarecomparabletoorbetterthantheequivalenttermsofferedbyvendortoanypresentcustomermeetingthesamequalificationsorrequirements.

♦ Warranty

Ø Proposalsshouldaddresseachofthefollowing:

§ Applicablewarrantyand/orguaranteesofequipmentandinstallationsincludinganyconditionsandresponsetimeforrepairand/orreplacementofanycomponentsduringthewarrantyperiod.

§ Availabilityofreplacementparts§ Lifeexpectancyofequipmentundernormaluse§ Detailedinformationastoproposedreturnpolicyonallequipment

♦ AdministrativeFee

Ø AllpricingsubmittedtoRegion14ESCshallincludetheadministrativefeetoberemittedtoNCPAbytheawardedvendor.

Ø The awarded vendor agrees to pay administrative fees toNCPAof threepercent (3%).(SaleswillbecalculatedforfiscalyearofJanuary1stthroughDecember31standreseteachyear)

♦ AuditrightsØ Vendorshall,atVendor’ssoleexpense,maintainappropriateduediligenceofallpurchases

madebyanyentitythatutilizesthisAgreement.NCPAandRegion14ESCeachreservetherighttoaudittheaccountingforaperiodofthree(3)yearsfromthetimesuchpurchasesaremade.ThisauditrightshallsurviveterminationofthisAgreementforaperiodofone(1)yearfromtheeffectivedateoftermination.IntheStateofNewJersey,thisauditrightshallsurviveterminationofthisAgreementforaperiodoffive(5)yearsfromthedateoffinalpayment.Suchrecordsshallbemadeavailable to theNewJerseyOfficeof theStateComptrolleruponrequest.

Ø Region14ESCshallhavetheauthoritytoconductrandomauditsofVendor’spricingthatisofferedtoeligibleentitiesatRegion14ESC'ssolecostandexpense.Notwithstanding theforegoing, in theevent thatRegion14ESC ismadeawareofanypricingbeingoffered toeligible agencies that is materially inconsistent with the pricing under this agreement,Region 4 ESC shall have the ability to conduct an extensive audit of Vendor’s pricing atVendor’s sole cost and expense.Region14ESCmay conduct the audit internally ormayengageathird-partyauditingfirm.Intheeventofanaudit,therequestedmaterialsshallbeprovidedintheformatandatthelocationdesignatedbyRegion14ESCorNCPA.

♦ Indemnity

Ø Theawardedvendorshallprotect,indemnify,andholdharmlessRegion14ESCanditsparticipants,administrators,employeesandagentsagainstallclaims,damages,lossesandexpensesarisingoutoforresultingfromtheactionsofthevendor,vendoremployeesorvendorsubcontractorsinthepreparationofthesolicitationandthelaterexecutionofthecontract.

♦ LicensesandDutytokeepcurrentlicensesØ Vendor shall maintain in current status all federal, state and local licenses, bonds and

permits required for the operation of the business conducted by vendor. Vendor shallremainfullyinformedofandincompliancewithallordinancesandregulationspertainingtothelawfulprovisionofservicesunderthecontract.Region14ESCreservestherighttostop work and/or cancel the contract of any vendor whose license(s) expire, lapse, aresuspendedor terminated.Vendor is expected toprovideall required license(s)with thisRFPresponse.

♦ FranchiseTaxØ Therespondentherebycertifiesthathe/sheisnotcurrentlydelinquentinthepaymentof

anyfranchisetaxes.

♦ SupplementalAgreementsØ Theentityparticipatinginthiscontractandawardedvendormayenterintoaseparate

supplementalagreementtofurtherdefinethelevelofservicerequirementsoverandabovetheminimumdefinedinthiscontracti.e.invoicerequirements,orderingrequirements,specializeddelivery,etc.Anysupplementalagreementdevelopedasaresultofthiscontractisexclusivelybetweentheparticipatingentityandawardedvendor.

♦ CertificatesofInsurance

Ø CertificatesofinsuranceshallbedeliveredtothePublicAgencypriortocommencementofwork.Theinsurancecompanyshallbelicensedintheapplicablestateinwhichworkisbeingconducted.Theawardedvendorshallgivetheparticipatingentityaminimumoften(10)days’noticepriortoanymodificationsorcancellationofpolicies.Theawardedvendorshallrequireallsubcontractorsperforminganyworktomaintaincoverageasspecified.

♦ LegalObligations

Ø ItistheRespondent’sresponsibilitytobeawareofandcomplywithalllocal,state,andfederallawsgoverningthesaleofproducts/servicesidentifiedinthisRFPandanyawardedcontractandshallcomplywithallwhilefulfillingtheRFP.Applicablelawsandregulationmustbefollowedevenifnotspecificallyidentifiedherein.

♦ Protest

Ø Aprotestofanawardorproposedawardmustbefiledinwritingwithinten(10)daysfromthedateoftheofficialawardnotificationandmustbereceivedby5:00pmCST.NoprotestshalllieforaclaimthattheselectedVendorisnotaresponsibleBidder.ProtestsshallbefiledwithRegion14ESCandshallincludethefollowing:

§ Name,addressandtelephonenumberofprotester§ Originalsignatureofprotesteroritsrepresentative§ IdentificationofthesolicitationbyRFPnumber§ Detailedstatementoflegalandfactualgroundsincludingcopiesofrelevant

documentsandtheformofreliefrequestedØ Anyprotestreviewandactionshallbeconsideredfinalwithnofurtherformalitiesbeing

considered.♦ ForceMajeure

Ø IfbyreasonofForceMajeure,eitherpartyheretoshallberenderedunablewhollyorinparttocarryoutitsobligationsunderthisAgreementthensuchpartyshallgivenoticeandfullparticularsofForceMajeureinwritingtotheotherpartywithinareasonabletimeafteroccurrenceoftheeventorcausereliedupon,andtheobligationofthepartygivingsuchnotice,sofarasitisaffectedbysuchForceMajeure,shallbesuspendedduringthe

continuanceoftheinabilitythenclaimed,exceptashereinafterprovided,butfornolongerperiod,andsuchpartyshallendeavortoremoveorovercomesuchinabilitywithallreasonabledispatch.

Ø ItshallbetheresponsibilityoftheVendortocomply,whenapplicable,withtheprevailingwagelegislationineffectinthejurisdictionofthepurchaser.ItshallfurtherbetheresponsibilityoftheVendortomonitortheprevailingwageratesasestablishedbytheappropriatedepartmentoflaborforanyincreaseinratesduringthetermofthiscontractandadjustwageratesaccordingly.

♦ Miscellaneous

Ø Eitherpartymaycancelthiscontractinwholeorinpartbyprovidingwrittennotice.Thecancellationwilltakeeffect30businessdaysaftertheotherpartyreceivesthenoticeofcancellation.Afterthe30thbusinessdayallworkwillceasefollowingcompletionoffinalpurchaseorder.

♦ CancellationforNon-PerformanceorContractorDeficiency

Ø Region14ESCmayterminateanycontractifawardedvendorhasnotusedthecontract,orifpurchasevolumeisdeterminedtobelowvolumeinany12-monthperiod.

Ø Region14ESC reserves the right to cancel thewholeor anypart of this contractdue tofailurebycontractortocarryoutanyobligation,termorconditionofthecontract.

Ø Region14ESCmayissueawrittendeficiencynoticetocontractorforactingorfailingtoactinanyofthefollowing:

♦ Providingmaterialthatdoesnotmeetthespecificationsofthecontract;♦ Providingworkand/ormaterialthatwasnotawardedunderthecontract;♦ Failing to adequately perform the services set forth in the scope of work and

specifications;♦ Failing to complete requiredwork or furnish requiredmaterialswithin a reasonable

amountoftime;♦ Failingtomakeprogress inperformanceof thecontractand/orgivingRegion14ESC

reason to believe that contractorwill not or cannot perform the requirements of thecontract;

Ø Uponreceiptofawrittendeficiencynotice,contractorshallhaveten(10)daystoprovidea

satisfactoryresponsetoRegion14ESC.Failuretoadequatelyaddressallissuesofconcern

may result in contract cancellation. Upon cancellation under this paragraph, all goods,materials,work, documents, data and reports prepared by contractor under the contractshallbecomethepropertyofRegion14ESCondemand.

If awarded vendor is going to do business in the State of Arizona, the following terms andconditionsshallapply♦ CancellationforConflictofInterest

Ø PerA.R.S.38-511aSchoolDistrict/publicentitymaycancelthisContractwithinthree(3)

years after Contract execution without penalty or further obligation if any personsignificantlyinvolvedininitiating,negotiating,securing,drafting,orcreatingtheContractonbehalfoftheSchoolDistrict/publicentityis,orbecomesatanytimewhiletheContractoranextensiontheContractisineffect,anemployeeoforaconsultanttoanyotherpartytothisContractwithrespecttothesubjectmatteroftheContract.Thecancellationshallbeeffectivewhentheawardedvendorreceiveswrittennoticeofthecancellationunlessthenoticespecifiesalatertime.

♦ RegisteredSexOffenderRestriction

Ø Pursuant to this order, the awarded vendor agrees by acceptance of this order that no

employeeoftheawardedvendororasubcontractoroftheawardedvendor,whohasbeenadjudicated to be a registered sex offender, will performwork on any School District’spremisesorequipmentatanytimewhenDistrictstudentsare,orarereasonablyexpectedto be, present. The awarded vendor further agrees by acceptance of this order that aviolation of this condition shall be considered a material breach and may result in acancellationoftheorderattheDistrict'sdiscretion.

♦ Contract’sEmploymentEligibility

Ø Byenteringthecontract,awardedvendorwarrantscompliancewithA.R.S.41-4401,A.R.S.23-214, the Federal Immigration and Nationality Act (FINA), and all other federalimmigrationlawsandregulations.ASchoolDistrict/publicentitymayrequestverificationofcompliancefromanycontractororsubcontractorperformingworkunderthiscontract.A School District/public entity reserves the right to confirm compliance in accordancewith applicable laws. Should the School District/public entity suspect or find that theawarded vendor or any of its subcontractors are not in compliance, the SchoolDistrict/publicentitymaypursueanyandallremediesallowedbylaw,including,butnotlimited to: suspension ofwork, termination of the contract for default, and suspensionand/ordebarmentoftheawardedvendor.Allcostsnecessarytoverifycompliancearetheresponsibilityoftheawardedvendor.

♦ TerrorismCountryDivestments

Ø Per A.R.S. 35-392, a School District/public entity is prohibited from purchasing from acompanythatisinviolationoftheExportAdministrationAct.

♦ FingerprintChecks

Ø IfrequiredtoprovideservicesonSchoolDistrict/publicentity’sproperty,awardedvendorshallcomplywithA.R.S.15-511(h).

♦ Indemnification

Ø Notwithstandingallotherprovisionsofthisagreement,SchoolDistrict/publicentitydoesnot agree to accept responsibility, waive liability, or indemnify the awarded vendor, inwhole or in part, for the errors, negligence, hazards, liabilities, contract breach and/oromissionsoftheawardedvendor,itsemployeesand/oragents.

♦ OpenRecordsPolicyØ BecauseRegion14ESCisagovernmentalentityresponsessubmittedaresubjecttorelease

aspublicinformationaftercontractsareexecuted.Ifavendorbelievesthatitsresponse,orpartsofitsresponse,maybeexemptedfromdisclosure,thevendormustspecifypage-by-pageandline-by-linethepartsoftheresponse,whichitbelieves,areexempt.Inaddition,therespondentmustspecifywhichexception(s)areapplicableandprovidedetailedreasonstosubstantiatetheexception(s).

Ø ThedeterminationofwhetherinformationisconfidentialandnotsubjecttodisclosureisthedutyoftheOfficeofAttorneyGeneral(OAG).Region14ESCmustprovidetheOAGsufficientinformationtorenderanopinionandtherefore,vagueandgeneralclaimstoconfidentialitybytherespondentarenotacceptable.Region14ESCmustcomplywiththeopinionsoftheOAG.Region14ESCassumesnoresponsibilityforassertinglegalargumentsonbehalfofanyvendor.Respondentareadvisedtoconsultwiththeirlegalcounselconcerningdisclosureissuesresultingfromthisprocurementprocessandtotakeprecautionstosafeguardtradesecretsandotherproprietaryinformation.

ProcessRegion14ESCwillevaluateproposalsinaccordancewith,andsubjectto,therelevantstatutes,ordinances,rules,andregulationsthatgovernitsprocurementpractices.NCPAwillassistRegion14ESCinevaluatingproposals.Award(s)willbemadetotheprospectivevendor(s)whoseresponseisdeterminedtobethemostadvantageoustoRegion14ESC,NCPA,anditsparticipatingagencies.Toqualifyforevaluation,responsemusthavebeensubmittedontime,andsatisfyallmandatoryrequirementsidentifiedinthisdocument.

Ø NCPAshallbeaffordedalloftherights,privilegesandindemnificationsaffordedtoRegion14ESCundertheMasterAgreement,andsuchrights,privilegesandindemnificationsshallaccrueandapplywithequaleffecttoNCPAunderthisAgreementincluding,butnotlimitedto,theVendor’sobligationtoprovideappropriateinsuranceandcertainindemnificationstoRegion14ESC.

Ø Vendorshallperformallduties,responsibilitiesandobligationsrequiredundertheMasterAgreementinthetimeandmannerspecifiedbytheMasterAgreement.

Ø NCPAshallperformallofitsduties,responsibilities,andobligationsasadministratorofpurchasesundertheMasterAgreementassetforthherein,andVendoracknowledgesthatNCPAshallactinthecapacityofadministratorofpurchasesundertheMasterAgreement.

Ø WithrespecttoanypurchasesmadebyRegion14ESCoranyPublicAgencypursuanttotheMasterAgreement,NCPA(a)shallnotbeconstruedasadealer,re-marketer,representative,partner,oragentofanytypeofVendor,Region14ESC,orsuchPublic

Agency,(b)shallnotbeobligated,liableorresponsible(i)foranyordersmadebyRegion14ESC,anyPublicAgencyoranyemployeeofRegion14ESCorPublicAgencyundertheMasterAgreement,or(ii)foranypaymentsrequiredtobemadewithrespecttosuchorder,and(c)shallnotbeobligated,liableorresponsibleforanyfailurebythePublicAgencyto(i)complywithproceduresorrequirementsofapplicablelaw,or(ii)obtainthedueauthorizationandapprovalnecessarytopurchaseundertheMasterAgreement.NCPAmakesnorepresentationsorguarantieswithrespecttoanyminimumpurchasesrequiredtobemadebyRegion14ESC,anyPublicAgency,oranyemployeeofRegion14ESCorPublicAgencyunderthisAgreementortheMasterAgreement.

Ø ThePublicAgencyparticipatingintheNCPAcontractandVendormayenterintoaseparatesupplementalagreementtofurtherdefinethelevelofservicerequirementsoverandabovetheminimumdefinedinthiscontracti.e.invoicerequirements,orderingrequirements,specializeddelivery,etc.AnysupplementalagreementdevelopedasaresultofthiscontractisexclusivelybetweenthePublicAgencyandVendor.NCPA,itsagents,membersandemployeesshallnotbemadepartytoanyclaimforbreachofsuchagreement.

♦ TermofAgreementØ ThisAgreementshallbeineffectsolongastheMasterAgreementremainsineffect,

provided,however,thattheobligationtopayallamountsowedbyVendortoNCPAthroughtheterminationofthisAgreementandallindemnificationsaffordedbyVendortoNCPAshallsurvivethetermofthisAgreement.

♦ FeesandReportingØ TheawardedvendorshallelectronicallyprovideNCPAwithadetailedmonthlyor

quarterlyreportshowingthedollarvolumeofallsalesunderthecontractforthepreviousmonthorquarter.Reportsshallbesentviae-mailtoNCPAofficesatfacilities.reporting@ncpa.us.Reportsaredueonthefifteenth(15th)dayafterthecloseofthepreviousmonthorquarter.Itistheresponsibilityoftheawardedvendortocollectandcompileallsalesunderthecontractfromparticipatingmembersandsubmitone(1)report.Thereportshallincludeatleastthefollowinginformationaslistedintheexamplebelow:

♦ GeneralProvisionsØ ThisAgreementsupersedesanyandallotheragreements,eitheroralorinwriting,

betweenthepartiesheretowithrespecttothesubjectmatterhereof,andnootheragreement,statement,orpromiserelatingtothesubjectmatterofthisAgreementwhichisnotcontainedhereinshallbevalidorbinding.

Ø AwardedvendoragreestoallowNCPAtousetheirnameandlogowithinwebsite,marketingmaterialsandadvertisement.AnyuseofNCPAnameandlogooranyformofpublicityregardingthiscontractbyawardedvendormusthavepriorapprovalfromNCPA.

Ø IfanyactionatlaworinequityisbroughttoenforceorinterprettheprovisionsofthisAgreementortorecoveranyadministrativefeeandaccruedinterest,theprevailingpartyshallbeentitledtoreasonableattorney’sfeesandcostsinadditiontoanyotherrelieftowhichsuchpartymaybeentitled.

Ø NeitherthisAgreementnoranyrightsorobligationshereundershallbeassignablebyVendorwithoutpriorwrittenconsentofNCPA.Anyassignmentwithoutsuchconsentwillbevoid.

DISADVANTAGEDBUSINESSPARTICIPATION

ThisContractissubjecttotherequirementsofTitle49,CodeofFederalRegulations,Part26,“ParticipationbyDisadvantagedBusinessEnterprisesinDepartmentofTransportationFinancialAssistancePrograms”,therefore,itisthepolicyoftheDepartmentofTransportation(DOT)toensurethatDisadvantagedBusinessEnterprises(DBEs),asdefinedin49CFRPart26,haveanequalopportunitytoreceiveandparticipateintheperformanceofDOT-assistedcontracts.

1) Non-DiscriminationAssurances.Contractororsubcontractorshallnotdiscriminateonthebasisofrace,color,nationalorigin,orsexintheperformanceofthisContract.Contractorshallcarryoutallapplicablerequirementsof49CFRPart26intheawardandadministrationofDOT-assistedcontracts.FailurebyContractortocarryouttheserequirementsisamaterialbreachofthisContract,whichmayresultintheterminationofthisContractorothersuchremedyaspublicagencydeemsappropriate.EachsubcontractContractorsignswithasubcontractormustincludetheassuranceinthisparagraph.(See49CFR26.13(b)).

2) PromptPayment.ContractorisrequiredtopayeachsubcontractorperformingWorkunderthisprimeContractforsatisfactoryperformanceofthatworknolaterthanthirty(30)daysafterContractor’sreceiptofpaymentforthatWorkfrompublicagency.Inaddition,Contractorisrequiredtoreturnanyretainagepaymentstothosesubcontractorswithinthirty(30)daysafterthesubcontractor’sworkrelatedtothisContractissatisfactorilycompletedandanylienshavebeensecured.Anydelayorpostponementofpaymentfromtheabovetimeframesmayoccuronlyforgoodcausefollowingwrittenapprovalofpublicagency.ThisclauseappliestobothDBEandnon-DBEsubcontractors.ContractormustpromptlynotifypublicagencywheneveraDBEsubcontractorperformingWorkrelatedtothisContractisterminatedorfailstocompleteitsWork,andmustmakegoodfaitheffortstoengageanotherDBEsubcontractortoperformatleastthesameamountofwork.ContractormaynotterminateanyDBEsubcontractorandperformthatWorkthroughitsownforces,orthoseofanaffiliate,withoutpriorwrittenconsentofpublicagency.

3) DBEProgram.InconnectionwiththeperformanceofthisContract,ContractorwillcooperatewithpublicagencyinmeetingitscommitmentsandgoalstoensurethatDBEsshallhavethemaximumpracticableopportunitytocompeteforsubcontractwork,regardlessofwhetheracontractgoalissetforthisContract.Contractoragreestousegoodfaitheffortstocarryoutapolicyintheawardofitssubcontracts,agentagreements,andprocurementcontractswhichwill,tothefullestextent,utilizeDBEsconsistentwiththeefficientperformanceoftheContract.

ENERGYCONSERVATIONREQUIREMENTS

ContractoragreestocomplywithmandatorystandardsandpoliciesrelatingtoenergyefficiencywhicharecontainedintheStateenergyconservationplansissuedundertheEnergyPolicyandConservationAct,asamended,42U.S.C.Sections6321etseq.and41CFRPart301-10.

FEDERALCHANGES

PublicAgencyInstructionsThispageprovidesguidancetopublicagenciesenteringintocontractswithbusinessentitiesthatarerequiredtofilePoliticalContributionDisclosureformswiththeagency.Itisnotintendedtobeprovidedtocontractors.WhatfollowsareinstructionsontheuseofformlocalunitscanprovidetocontractorsthatarerequiredtodisclosepoliticalcontributionspursuanttoN.J.S.A.19:44A-20.26(P.L.2005,c.271,s.2).AdditionalinformationontheprocessisavailableinLocalFinanceNotice2006-1(www.nj.gov/dca/lgs/lfns/lfnmenu.shtml).

1. Thedisclosureisrequiredforallcontractsinexcessof$17,500thatarenotawardedpursuanttoa“fairandopen”process(N.J.S.A.19:44A-20.7).

2. Thecontractormustdisclosecontributionsmadetocandidateandpartycommitteescoveringawiderangeofpublicagencies,includingallpublicagenciesthathaveelectedofficialsinthecountyofthepublicagency,statelegislativepositions,andvariousstateentities.TheDivisionofLocalGovernmentServicesrecommendsthatcontractorsbeprovidedalistoftheaffectedagencies.Thiswillassistcontractorsindeterminingthecampaignandpoliticalcommitteesoftheofficialsandcandidatesaffectedbythedisclosure.

a. TheDivisionhaspreparedmodeldisclosureformsforeachcounty.Theycanbedownloadedfromthe“CountyPCDForms”linkonthePay-to-Playwebsiteatwww.nj.gov/dca/lgs/p2p.Theywillbeupdatedfromtime-to-timeasnecessary.

b. Apublicagencyusingtheseformsshouldeditthemtoproperlyreflectthecorrectlegislativedistrict(s).Astheformsarecounty-based,theylistalllegislativedistrictsineachcounty.Districtsthatdonotrepresentthepublicagencyshouldberemovedfromthelists.

c. Somecontractorsmayfinditeasiertoprovideasinglelistthatcoversallcontributions,regardlessofthecounty.Thesesubmissionsareappropriateandshouldbeaccepted.

d. Theformmaybeused“as-is”,subjecttoeditsasdescribedherein.e. The“ContractorInstructions”sheetisintendedtobeprovidedwiththeform.Itis

recommendedthattheInstructionsandtheformbeprintedonthesamepieceofpaper.TheformnotesthattheInstructionsareprintedonthebackoftheform;wherethatisnotthecase,thetextshouldbeeditedaccordingly.
