CERSAI – AN INTRODUCTION
Central Registry of Securitization Asset Reconstruction and Security Interest of India (CERSAI) was established on 31st March, 2011 under SARFAESI Act. It is a company under section 8 of Companies Act, 2013. The objective of CERSAI is to maintain and operate a Registration System for the registration of transactions of securitization, asset reconstruction of financial assets and creation of security interest over property, as contemplated under the Chapter IV of the Securitization and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002 (SARFAESI Act) on payment of prescribed fees. This will help prevent fraud by way of multiple financing against same property/Security. Shareholding Pattern for CERSAI:

Assignment of debt (factoring) transactions – w.e.f. 02nd April, 2012.

CERSAI has been mandated by the Government of India to establish a Central KYC Registry;

Banks / Financial Institutions (FIs) will upload verified scanned images of IDs and address proofs of customers;
A unique Central KYC ID will be allotted to the customer and advised to him;
Financial institutions would be required to download the KYC documents from KYC Registry;
This would eventually lead to simplification of processes and reduce the time taken by customers. Further, it would result in huge cost savings for the banks / FIs.
Request for Empanelment (RFE)
CERSAI seeks a proposal from reputed consulting organisations to enable CERSAI to
empanel HR Consultants for facilitating hiring of specialized/generalist manpower
on regular/ contract basis and to help design and implement organisation structure
and HR processes to achieve the stated goals and objectives of the organization.
Under this engagement, CERSAI shall empanel HR Consultants for: -
Hiring manpower on short term/ contract basis in various positions including
Top Management positions and suggesting evaluation methods and
competency tests for internal selection/ promotions as per requirements of
CERSAI and as and when need arises/ intimated by the CERSAI from time to
time
Preparation of organization structure with roles and responsibilities
Documentation of HR processes and policy
CERSAI expressly stipulates that empanelment of a shortlisted bidders under this
RFE is on the understanding that this RFE contains only the principal provisions for
the entire assignment and that any other services which may be required in
connection with the successful implementation of the assignment shall be deemed to
be a part of the assignment. The empanelled bidder shall be required to undertake to
perform all such tasks, render requisite services as may be required for the successful
completion of the entire assignment.
CERSAI will release the Request for Proposal (RFP) to the empanelled bidders only
for specific scope of work as and when required as outlined in the RFE document.
1. PROJECT OBJECTIVE CERSAI places lot of emphasis on its human capital. Since employees are the most
valuable assets of any organization, it has also been organization’s endeavour to
focus on hiring the best candidates to achieve growth, turnover and competitive
advantage.
Given this, CERSAI would like to attract and develop the best talent.

2. SCOPE OF WORK
The bidders are expected to provide consultancy services towards the achievement of
three objectives as stated below:
2.1 Support CERSAI’s representatives to establish requirements for hiring manpower on regular/ contract basis in various positions and completing hiring of these positions
2.2 Recommend a suitable organization structure for CERSAI based on their key objectives and requirements
2.3 Design robust HR manual including all HR processes and policies to ensure attainment of objectives of CERSAI
Detailed description of the scope of work:
2.1 Support CERSAI’s representatives to establish requirements for hiring
manpower on regular/ contract basis in various positions and completing
hiring of these positions
Preparation of job specification in coordination with CERSAI for various
positions which CERSAI intends to hire
Undertake compensation survey and finalize the compensation structure in
consultation with CERSAI for these positions
Preparation of advertisement for filling positions identified by CERSAI on
regular/ Contract basis in various positions including Top Management
positions
To assist CERSAI to advertise these positions in leading print and digital
media according to CERSAI’s requirements
Identification of suitable candidates based on their experience, skill sets,
academic qualification for certain critical positions specified by CERSAI,
coordinating with them for their participation
Providing the complete list of applicants clearly indicating their eligibility or
otherwise for publishing on CERSAI’s website keeping a window for
objections, if any. Based on the objections received within stipulated period,
the bidder shall take appropriate corrective action, if necessary, and will
prepare final list of eligible candidates. This process of online objection and
appropriate corrective action, if necessary, shall be done by the bidder, report
of which shall be submitted to CERSAI
Process soft copies of applications and providing hard copies of these online
applications to CERSAI
Short-listing of applications received for further screening (decide various
screening process required for the job role) in consultation with CERSAI
Issuance of call letters and ensuring complete co-ordination with shortlisted
candidates
Arranging for various screening process including Psychometric Test (if
required), composition of Selection Committee etc., in consultation with

CERSAI
Facilitate conduct of interview by the Selection Committee constituted by
CERSAI
Perform background check on candidates for the position. The bidder should
ensure that the candidates identified should not have any police
record/criminal record against them. The antecedent should be in prescribed
format duly signed by Competent Authority
Handle and prepare answers for any recruitment related questions asked
under Right to Information Act as per the rules and regulations of
Government of India and/or decision of Hon’ble High Court/ Supreme Court
Arrange for medical test of all selected candidates, providing the medical
fitness certificate to CERSAI
Assist CERSAI in Internal selection/ promotion process including suggesting
evaluation methods & competency tests
Maintain a database of all applications received in response to the
advertisements and keep CERSAI updated on a weekly basis on the number
and profile of applications received
Submit a list of total applications received in all categories for the posts and
hand over the applications to CERSAI at the end of the engagement or as and
when required by CERSAI
Without prior written approval of CERSAI, the Consultant shall neither use
CERSAI’s name, nor place advertisements regarding recruitment on behalf of
CERSAI in the print or electronic media or in any other manner whatsoever
2.2 Recommend a suitable organization structure for CERSAI based on their key
objectives and requirements
Conduct internal discussions to establish business needs and objectives
Study benchmark structures and identify options for CERSAI’s top level
structure
Design and recommend top level (macro) organization structure options for
CERSAI aligned to the defined objectives
Sign off from management on top level structure
Expand the top level organization structure to last level including the
structure of support functions
2.3 Design robust HR manual including all HR processes and policies to ensure attainment of objectives of CERSAI
Design all the required HR policies and processes required for CERSAI,
including (illustrative):
o Code of Conduct
o Leave Policy
o Travel Policy

o Performance Management System / Policy
o Transfer & Promotion Policy
o Employee Administration (Leave, Attendance, Reimbursement
Process, Deputation etc.)

4. REQUISITIONS AND EVALUATION CRITERIA
It is proposed to have a Two Cover System for this RFE Response.

The proposals will be evaluated by CERSAI evaluation committee based on the
pre‐qualification and technical proposal submitted by the bidder
CERSAI will first open only the pre-qualification proposals which shall be
evaluated as per the specified criteria
In the second step, the technical proposal of only those bidders, who qualify in
the pre-qualification stage, shall be opened and evaluation will be done based
on the specified technical criteria

The evaluation committee shall evaluate the responses to the RFE and all
supporting documents / documentary evidence. Inability to submit requisite
supporting documents / documentary evidence would lead to rejection of the
proposal
The decision of the evaluation committee in the evaluation of responses to the
RFE shall be final
Technical bids will be evaluated for only those bidders who meet the eligibility
criteria as outlined in section 4.1
Only those bids with a technical score of >=75 shall be considered for
empanelment
All responses shall be evaluated to validate compliance of the bidders
according to the following criteria as per format and supporting documents
mentioned against each clause. Bidders who meet the eligibility criteria will be
required to make a presentation to the evaluation committee of CERSAI
4.1 Pre-qualification Proposal
CERSAI will first open only the pre-qualification proposals which shall be evaluated
as per the criteria specified below:

5. GUIDELINES Bidding agencies are advised to study this RFE document carefully before submitting
their proposals. Submission of a proposal in response to this notice shall be deemed
to have been done after careful study and examination of this document with full
understanding of its terms, conditions and implications.
In order to facilitate the evaluation by CERSAI and to ensure each proposal receives
full consideration, proposals should be accompanied by the documents as listed
below:

All information included in this Request for Proposal (RFE) is confidential and
only for the knowledge of the recipient. No information included in this
document or in discussions connected to it may be disclosed to any other party.
The Bidders should submit 2 printed copies of the proposal and a non-rewritable
CD as a single file in PDF format containing the Pre-qualification and Technical
Bid along with all annexures and forms/letters
The Bid should be submitted in two separate envelopes;
a. Pre-qualification Proposal
b. Technical Proposal
All pages of the proposal must be sequentially numbered and shall be initialled by
the Authorized Representative of the Bidder
The technical part of the proposal should not contain any pricing information
whatsoever on the services offered
The Bidder shall seal the Proposal in one outer and two inner envelopes, as
detailed below:

The second inner envelope marked “Technical proposal” shall contain the
Technical Proposal with 2 hard copies duly marked “Original” and “Copy”
A third sealed envelope shall contain the non-rewritable CD with the soft copy of the proposal in the pdf format
The hardcopies of the Pre-qualification and Technical proposal should be in separate sealed envelopes, clearly marked

6. SUGGESTIVE PAYMENT SCHEDULE – Will be formalised at the RFP Stage
7. RIGHTS OF CERSAI
At any time, CERSAI may, for any reason, modify the RFE Document by an
amendment
The amendment will be intimated to all proposers who confirm their intention
to participate by email
In order to accord prospective Bidders reasonable time to take the
amendment into account, CERSAI may, at its discretion, extend the last date
for the receipt of Bids
The Bidders are allowed to resubmit their bid, if required, after such
amendments
If CERSAI deems it appropriate to revise any part of this RFE or to issue
additional data to clarify an interpretation of provisions, it may issue
supplements to this RFE
CERSAI may, at its discretion, extend the deadline for submission of
proposals by issuing a corrigendum through email to all confirmed proposers,
in which case all rights and obligations of the project and the Bidders
previously subject to the original deadline will thereafter be subject to the
deadline as extended
CERSAI may terminate the RFE process at any time without assigning any
reason
CERSAI reserves the right to accept or reject any proposal, and to annul the
short listing process and reject all responses at any time without thereby
incurring any liability to the affected Bidder or Bidders or any obligation to
inform the affected Bidder or Bidders of the grounds for CERSAI action
8. GENERAL TERMS & CONDITIONS – PREQUALIFICATION & TECHNICAL BID
8.1 Prequalification and Technical Bid
Eligibility criterion for the bidders to qualify this stage is clearly mentioned in
Section 4.1- Prequalification Proposal. Bidder/s who meet these criteria would only
qualify for the second stage of evaluation. The Bidder/s would also need to provide
supporting documents for eligibility proof. During evaluation stage, CERSAI, at its
discretion, may ask the bidder for clarification in respect of its tender. The request
for clarification and the response shall be in writing, and no change in the substance
of the tender shall be sought, offered, or permitted.
CERSAI reserves the right to accept or reject any tender in whole or in parts without
assigning any reason thereof. The decision of CERSAI shall be final and binding on

all the bidders to this document and CERSAI will not entertain any correspondence
in this regard. CERSAI at its discretion may reject the proposal of the Bidder, without
giving any reason whatsoever, if in the CERSAI’s opinion the Bidder could not
present or demonstrate the proposed solution as described in the proposal.
8.2 Erasures & Alterations
Technical details must be completely filled up. All the corrections or alterations, if
any, should be authenticated. There should be no hand-written material, corrections
or alterations in the offer. Technical details must be completely filled up containing
correct technical information of the product being offered.
8.3 Tenure of Empanelment
The shortlisted bidders will be empanelled for a period of 3 years during which
CERSAI may, at its discretion, enter into a contract with the empanelled bidder
(depending on the commercial quote for any particular exercise) for hiring
manpower or undertaking other HR initiatives for CERSAI.
GENERAL TERMS & CONDITIONS – OTHERS
The bidders who wish to submit responses to this RFE should note that they should
abide by all the terms and conditions contained in the RFE. If the responses contain
any extraneous conditions put in by the respondents, such responses may be
disqualified and may not be considered for the selection process.
9.1 Execution of SLA / NDA
The successful bidder shall execute (a) a Service Level Agreement (SLA)/
Memorandum of Understanding, which would include all the services and terms and
conditions of the services to be extended as detailed herein and any other conditions
as may be prescribed by CERSAI; and (b) Non-disclosure Agreement (NDA). The
costs and expenditure should be borne by the bidder. The Bidder shall execute the
SLA/ MOU and NDA within one month from the date of acceptance of Letter of
Empanelment. The contract shall be executed by the authorized signatory of the
Bidder. A power of attorney to that effect shall be submitted by the successful
bidders.
9.2 Resources
Given the large-scale HR interventions, which may need to be undertaken by
CERSAI every year, the Empanelled bidder is expected to deploy appropriate quality

and number of resources for providing solutions in CERSAI. The strength and quality
of team will be specifically evaluated during the technical evaluation.
CERSAI reserves the right to insist the bidder to replace any team member with
another (with the qualifications and expertise as required by CERSAI) during the
course of assignment. The bidder will have to undertake that no such substitution
would delay the project timelines.
9.3 Professionalism
The bidder should provide professional, objective and impartial advice at all times
and hold CERSAI’s interests paramount and should observe the highest standard of
ethics while executing the assignment.
9.4 Adherence to Standards and compliance of laws
The bidder should adhere to laws of the land and rules, regulations and guidelines
issued by the various regulatory, statutory and Government authorities. It should
also ensure that it has complied all required legal compliances and it also has the
necessary permission and licenses to do the job as consultant.
The Bidder will be responsible for the authenticity and genuineness of the work
undertaken and will be liable for breach of contract if discrepancies/ violations are
observed. CERSAI reserves the right to ascertain information from the other
institutions to which the bidders have rendered their services for execution of similar
projects. Such feedbacks from high ranking officials would also form part of bidder
selection and any strong adverse comment/action about product or service would
make the bidder ineligible for further assessment/processing.
9.5 Expenses
It may be noted that CERSAI shall not pay any amount/expenses / charges / fees /
travelling expenses / boarding expenses / lodging expenses / conveyance expenses /
out of pocket expenses etc. other than the fees as per the final price of the successful
bidder mentioned in the commercial bid stage of any intervention. The commercial
bids will be invited at the Request for Proposal (RFP) stage.
9.6 Dispute Resolution
CERSAI and the vendor shall make every effort to resolve amicably, by direct
informal negotiation, any disagreement or dispute arising between them under or in
connection with the contract. If after 30 days from the commencement of such
informal negotiations, CERSAI and the vendor have been unable to resolve amicably
a contract dispute; either party may require that the dispute be referred for
resolution by formal arbitration.

All questions, disputes or differences arising under and out of, or in connection with
the contract, shall be referred to sole Arbitrator appointed by CERSAI and the award
of the arbitrator shall be final and binding on the parties. The arbitration and
reconciliation act 1996 and revisions, if any, thereof, shall apply to the arbitration
proceedings and the venue of the arbitration shall be at New Delhi. The expenses
incurred by each party with the preparation, presentation, etc. of its proceeding as
also the fees and expense paid to the appointed arbitrator by such party or on its
behalf shall be borne by each party itself.
9.7 Confidentiality
This document contains information confidential and proprietary to CERSAI.
Additionally, the vendors shall be exposed by virtue of the contracted activities to the
internal business information of CERSAI. Disclosures of receipt of this RFE or any
part of the aforementioned information to parties not directly involved in providing
the services requested could result in the disqualification of the vendors, premature
termination of the contract, and / or legal action against the vendors for breach of
trust.
Empanelled vendor shall have to sign a legal non-disclosure agreement with CERSAI
before starting any project.
The vendor (and its employees) shall not, unless CERSAI gives permission in writing,
disclose any part or whole of this RFE document, of the proposal and/or contract, or
any specification, plan, drawing, pattern, sample or information furnished by
CERSAI (including the users), in connection therewith to any person other than a
person employed by the bidder in the performance of the proposal and/or contract.
Disclosure to any such employed person shall be made in confidence and shall
extend only as far as may be necessary for purposes of such performance. The
employees or the third party engaged by the bidder shall maintain strict
confidentiality.
The vendor, its employees and agents shall not, without prior written consent from
CERSAI, make any use of any document or information given by CERSAI or its
Authorized personnel, except for purposes of performing the contract award. In case
of breach, CERSAI shall take such legal action as it may be advised. The Vendor has
to maintain confidentiality even after completion/ termination of the contract.
9.8 Governing Law and Disputes
The Bid and subsequent Contract with the empanelled bidder shall be governed in
accordance with the Laws of India and shall be subject to the exclusive jurisdiction of
Courts in New Delhi.
9.9 Limitation on Promotion

The vendor shall agree to make no reference of CERSAI for the procurement of
products and services hereunder or the agreement in any literature, promotional
material, brochures, sales presentation or the like without express prior written
consent of CERSAI.
9.10 Authorized Signatory
The empanelled bidder shall indicate the authorized signatories who can discuss and
correspond with CERSAI, with regard to the obligations under the contract.
The empanelled bidder shall submit at the time of signing the contract, a certified
copy of the extract of the resolution of their Board, authenticated by Company
Secretary, authorizing an official or officials of the company or a Power of Attorney
copy to discuss, sign agreements/contracts with CERSAI. The bidder shall furnish
proof of signature identification for above purposes as required by CERSAI.
9.11 Assignment
Neither the contract nor any rights granted under the contract shall be sold, leased,
assigned, or otherwise transferred, in whole or in part, by the vendor, and any such
attempted sale, lease, assignment or otherwise transfer shall be void and of no effect
without the advance written consent of CERSAI.
If the vendor undergoes a merger, amalgamation, takeover, consolidation,
reconstruction, change of ownership, etc. the service level agreement executed with
the vendor after award of purchase order shall be considered to be assigned to the
new entity and such an act shall not affect the rights of CERSAI under the executed
service level agreement.
9.12 Audit
CERSAI reserves the right to conduct an audit/ ongoing audit of the services
provided by the Vendor.
CERSAI would undertake to carry out security audit, vulnerability assessment,
usability audit etc. by in - house team, third party independent auditors or reputed
management consultants at specified intervals with prior information to the
successful bidder. The bidder to provide unconditional and complete support to carry
out the audit and arrange for rectification/updation of the findings as part of the
audit at no cost to CERSAI.
The external and internal auditors of CERSAI will be given right to review internal
controls of the Vendor. Any weaknesses highlighted during the audit must be
promptly rectified especially where such weaknesses may affect the integrity/internal
controls of the system and/or solution offered to CERSAI.
