NORTHROP GRUMMAN Amendment No. 11 To Supplement Agreement for Managed Services for Information Technology Between Texas Education Agency And Northrop Grumman Systems Corporation This Amendment No. 11 to the "DIR-SDD-2175 Managed Services Supplemental Agreement ," dated September 1, 2013, as amended (hereinafter referred to as the "Supplement") is entered into by and between Northrop Grumman Systems Corporation, a Delaware corporation, acting through its Systems Modernization and Services Division ("Northrop Grumman"), and the Texas Education Agency (hereinafter referred to as "TEA"), a state agency of the State of Texas (collectively referred to as "the Parties"). Whereas: TEA desires to terminate Northrop Grumman services for convenience effective October 31 , 2016 per its written notification to Northrop Grumman dated October 3, 2016. Pursuant to Article 22.G of the Supplement, Northrop Grumman includes the corresponding pricing adjustments and severance fee to the Exhibit J-2; Whereas: The Parties he rein desire to extend the Period of Performance for certain equipment on the terms and conditions as set forth below in this Amendment. In addition , the Parties' herein desire to make corresponding pricing adjustments to the Exhibit J-2, and Amendment No. 10 to the Supplement as previously submitted to TEA for signature, the terms and conditions of which are hereby incorporated by specific reference; Whereas: Pursuant to Article 22 of the Supplement, TEA will perform all unwind, hardware removal , packaging and shipping for each end user workstation; Whereas: Article 8.D of the Supplement provides in the event of theft, loss or damage beyond repair of leased equipment, while in possession of TEA, Northrop Grumman and TEA will mutually agree upon a fair market residual value of the equipment concerned. 1. With respect to the terminated Northrop Grumman services, TEA hereby exercises the option to extend the term of the TEA supplement for an additional two months term with the exception of those services desired in Article #21 below all services of Northrop Grumman under the supplement are terminated effective October 31 , 2016 and the Parties hereby agree to extend all other terms of the supplement through to 12:00 midnight on December 31 , 2016, provided TEA shall not have any right beyond October 31 , 2016 to order new or additional hardware under the Supplement. 2. In addition to all other obligations TEA has under this Amendment No . 11 with respect to return of the Equipment, pursuant to Section 22 .G of the Supplement entitled "Termination" TEA shall pay Northrop Grumman a settlement amount equal to Eighty Six Thousand Ninety Six and Fifty Eight Cents ($86,096.58), ("Settlement Fee") to be reflected on Northrop Grumman's December 2016 invoice, as a reasonable settlement fee for the work terminated towards the following costs: i. Accounting , legal, clerical and other expenses reasonably necessary for the preparation of termination settlement proposals and supporting data; ii. The termination and settlement of subcontracts including hardware, software, and lease costs; iii. Reasonable proportion of direct severance costs for Northrop Grumman employees assigned 100% to this Supplement and soon to be terminated from Northrop Grumman as a result of TEA's termination of this Supplement. If either of Northrop Grumman's desk- side technicians resigns from Northrop Grumman and are not employed by Northrop

Amendment No. 11 To

Supplement Agreement for Managed Services for Information Technology Between

Texas Education Agency And

Northrop Grumman Systems Corporation

This Amendment No. 11 to the "DIR-SDD-2175 Managed Services Supplemental Agreement," dated September 1, 2013, as amended (hereinafter referred to as the "Supplement") is entered into by and between Northrop Grumman Systems Corporation, a Delaware corporation , acting through its Systems Modernization and Services Division ("Northrop Grumman"), and the Texas Education Agency (hereinafter referred to as "TEA"), a state agency of the State of Texas (collectively referred to as "the Parties").

Whereas: TEA desires to terminate Northrop Grumman services for convenience effective October 31 , 2016 per its written notification to Northrop Grumman dated October 3, 2016. Pursuant to Article 22.G of the Supplement, Northrop Grumman includes the corresponding pricing adjustments and severance fee to the Exhibit J-2;

Whereas: The Parties herein desire to extend the Period of Performance for certain equipment on the terms and conditions as set forth below in this Amendment. In addition, the Parties' herein desire to make corresponding pricing adjustments to the Exhibit J-2, and Amendment No. 10 to the Supplement as previously submitted to TEA for signature, the terms and conditions of which are hereby incorporated by specific reference;

Whereas: Pursuant to Article 22 of the Supplement, TEA will perform all unwind, hardware removal , packaging and shipping for each end user workstation ;

Whereas: Article 8.D of the Supplement provides in the event of theft, loss or damage beyond repair of leased equipment, while in possession of TEA, Northrop Grumman and TEA will mutually agree upon a fair market residual value of the equipment concerned .

1. With respect to the terminated Northrop Grumman services, TEA hereby exercises the option to extend the term of the TEA supplement for an additional two months term with the exception of those services desired in Article #21 below all services of Northrop Grumman under the supplement are terminated effective October 31 , 2016 and the Parties hereby agree to extend all other terms of the supplement through to 12:00 midnight on December 31 , 2016, provided TEA shall not have any right beyond October 31 , 2016 to order new or additional hardware under the Supplement.

2. In addition to all other obligations TEA has under this Amendment No. 11 with respect to return of the Equipment, pursuant to Section 22.G of the Supplement entitled "Termination" TEA shall pay Northrop Grumman a settlement amount equal to Eighty Six Thousand Ninety Six and Fifty Eight Cents ($86,096.58) , ("Settlement Fee") to be reflected on Northrop Grumman's December 2016 invoice, as a reasonable settlement fee for the work terminated towards the following costs:

Grumman through midnight on November 30, 2016, the severance costs defined within this article will be modified in the total settlement fee agreed upon by both Parties . ; And

iv. Storage, transportation , labor, and other costs incurred, reasonably necessary for the preservation, protection, or disposition of the terminated inventory.

For the avoidance of doubt, the Settlement Fee stated above reflects an assumption by Northrop Grumman of a base of 2.5% of the 1,222 devices, at a Fair Market Value of $300.00, would not be returned as required for reasons of loss, theft or damage beyond repair by the Supplement, when all devices are accrued the actual percentage of non-returned equipment will be applied Northrop Grumman's invoice. The requirement to return fully functional equipment would not apply to the hardware listed in Exhibit J-5 Excluded Hardware attached to this amendment, the referenced equipment must be returned to Northrop Grumman by TEA. If more than 2.5%, of the hardware provided by Northrop Grumman, is not returned by TEA in accordance with the terms of the Supplement, including , without limitation for reasons of loss, theft or damage beyond repair, then in such instance, Northrop Grumman shall be entitled to an increase in the amount of the Settlement Fee to reflect such greater percentage of actual hardware that has been lost, stolen or damaged beyond repair or otherwise not returned per the Supplement.

3. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect the removal of services from the AM No. 1 - HP Compaq Pro 6300 (100) line. This removal of services will result in the following additional changes as reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference:

a. A $5,884.00 decrease for AM1 - HP Compaq Pro 6300 (100) line in FY201 7 from $11 ,768.00 in Amendment 10 to $5,884.00 in this Amendment No. 11

4. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect the removal of services from the AM No. 2 - HP Compaq Pro 6300 (200) line. This removal of services will result in the following additional changes as reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference:

a. A $34,097.78 decrease for AM2 - HP Compaq Pro 6300 (200) line in FY2017 from $45,865.78 in Amendment 10 to $11,768.00 in this Amendment No. 11

5. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect the removal of services from the AM No. 3 - Thin Client (1) line. This removal of services will result in the following additional changes as reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference :

a. A $294.20 decrease for AM No. 3 - Thin Client (1) line in FY2017 from $353.04 in Amendment 10 to $58.84 in th is Amendment No. 11

b. A $58.84 decrease for AM No. 3 -Thin Client (1) line in FY2018 from $58.84 in Amendment 10 to $0.00 in th is Amendment No. 11

6. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 1 O is amended to reflect the removal of services from the AM No. 4 - PSF Desktops (65) line. This removal of services will result in the following add itional changes as reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference :

a. A $17,210.70 decrease for AM No. 4- PSF Desktops (65) line in FY2017 from $21 ,035.30 in Amendment 10 to $3,824.60 in this Amendment No. 11

7. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect the removal of services from the AM No. 5 - HP 600 G1 (560) line. This removal of services will result in the following additional changes as reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference :

a. A $145,893.78 decrease for AM No. 5- HP 600 G1 (560) line in FY2017 from $178,844.18 in Amendment 10 to $32,950.40 in this Amendment No. 11

b. A $12,709.44 decrease for AM No. 5 - HP 600 G1 (560) line in FY2018 from $12,709.44 in Amendment 10 to $0.00 in this Amendment No. 11

8. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect the removal of services from the AM No. 5 - Special Desktop #1 - HP 600 G1 w i3 processor (1) line. This removal of services will result in the following additional changes as reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference:

a. A $294.20 decrease for AM No. 5 - Special Desktop #1 - HP 600 G 1 w i3 processor ( 1) line in FY2017 from $353.04 in Amendment 10 to $58.84 in this Amendment No. 11

9. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect the removal of services from the AM No. 5 - Special Desktop #2 - HP 600 G1 w i5 processor (2) line. This removal of services will result in the following additional changes as reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference:

a. A $529.56 decrease for AM No. 5 - Special Desktop #2 - HP 600 G1 w i5 processor (2) line in FY2017 from $647.24 in Amendment 10 to $117.68 in this Amendment No. 11

b. A $88.26 decrease for AM No. 5 - Special Desktop #2 - HP 600 G1 w i5 processor (2) line in FY2018 from $88.26 in Amendment 10 to $0.00 in this Amendment No. 11

10. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect a change in Period of Performance (POP) for the AM No. 6 - HP ProBook 640 G1 (100) line to twenty-nine (29) months, beginning August 1, 2014 and ending on December 31, 2016. This change in Period of Performance is reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference :

a. A $3, 97 4. 00 increase for AM6 - HP Pro Book 640 G 1 ( 100) line in FY2017 from $9,858.00 in Amendment 10 to $13,832.00 in this Amendment No. 11 .

11. Effective 1 November 2016, Exhibit J2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect a change in Period of Performance (POP) for the AM No. 6 - HP 90W Docking Stations (100) line to twenty-nine (29) months beginning August 1, 2014 and ending on December 31 , 2016. This change in Period of Performance is reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference:

a. A $330.00 increase for AM6 - HP 90W Docking Stations (100) line in FY2017 from $330.00 in Amendment 10 to $660.00 in this Amendment No. 11 .

12. Effective 1 November 2016, Exhibit J2 to Schedule J of the Supplement as described in Amendment 1 O is amended to reflect a change in Period of Performance (POP) for the AM No. 7 - HP Elitebook

a. A $7,294.40 increase for AM? - HP Elitebook 8460p (188) line in FY2017 from $18,356.32 in Amendment 10 to $25,650.72 in this Amendment No. 11 .

13. Effective 1 November 2016, Exhibit J2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect a change in Period of Performance (POP) for the AM No. 7 - 90W Docking Station (188) line to fifty-eight (58) months, beginning March 2012 and ending on December 31 , 2016. This change in Period of Performance is reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference:

a. A $530.16 increase for AM? - 90W Docking Station (188) line in FY2017 from $530.16 in Amendment 10 to $1 ,060.32 in this Amendment No. 11 .

14. Effective 1 November 2016, Exhibit J2 to Schedule J of the Supplement as described in Amendment 10 is amended to reflect a change in Period of Performance (POP) for the AM No. 7 - T7500 Desktops (5) line to seventy-one (71) months, beginning January 1, 2011 and ending on December 31 , 2016. This change in Period of Performance is reflected in Exhibit J-2 No. 11 that is attached to this Amendment No. 11 and incorporated herein by specific reference:

a. A $1 ,378.60 increase for AM? - T7500 Desktops (5) line in FY2017 from $1 ,672.80 in Amendment 10 to $3,051.40 in this Amendment No. 11 .

15. Effective 1 November 2016, Exhibit J-2 to Schedule J of the Supplement shall be deleted in its entirety and replaced by the Exhibit J-2 - No. 11 that is attached to this Amendment No. 11 .

16. For the avoidance of double, the equipment that is being extended pursuant to this Amendment No. 11 is detailed in Appendix A, Extended Equipment List, attached to this Amendment No. 11 which also is incorporated herein by specific reference ("Extended Equipment") .

17. Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is further amended to reflect a $104,600.48 decrease in FY2017 Total from $289,613.86 in Amendment 10 to $185,013.38 in this Amendment No. 11.

18. Exhibit J-2 to Schedule J of the Supplement as described in Amendment 10 is further amended to reflect a $12,944.80 decrease in FY2018 Total from $12,944.80 in Amendment 10 to $0.00 in this Amendment No. 11 .

19. For the avoidance of doubt, the Parties agree that the applicable Period of Performance end date ("Return Date") for all Equipment described in the Supplement as set forth in the new Exhibit J-3 attached to the amendment which by agreement of the Parties is hereby incorporated in the Supplement.

20. Pursuant to Section 22 entitled "Termination", TEA shall package and return to Northrop Grumman all Equipment on or before the last day of the applicable period of performance of each item as defined in Exhibit J-3. As stipulated below, TEA shall package and ship the items back to the either Northrop Grumman office at 7745 Chevy Chase Drive, Building 5, Suite 100, Austin , Texas, Attn : Jaime Rodriguez, or to an address to be provided at a later date. Northrop Grumman will notify TEA 45 days prior to the return of the Equipment.

The Equipment will be packaged and returned per the instructions provided in the Exhibit J-4 Northrop Grumman Packing Guidelines attached to this Amendment 11 and which by agreement of the Parties is incorporated into the Supplement.

Northrop Grumman and TEA will mutually agree upon a fair market residual value of the equipment concerned based on the equipment evaluation as reported by the leasing vendor. Northrop Grumman will have 45 days after receiving TEA's equipment to examine and report to TEA on hardware that is damaged beyond repair.

Any Equipment that has not been received prior to or on the final day of the applicable Period of Performance will be invoiced on a month to month basis without pro-ration, at the then current rate in effect immediately prior to the scheduled return date as defined in Exhibit J-3. Any delays of on-time receipt due to shipment are the sole responsibility of TEA

21. The Parties acknowledge and agree that TEA has terminated all Northrop Grumman services under the Supplement effective October 31, 2016 and Northrop Grumman shall have no obligation to provide any services to TEA outlined in the Supplement following such date, notwithstanding the extension of the Supplement Terms and Conditions through to December 31 , 2016, except that Northrop Grumman shall provide TEA or its designated service provider with knowledge transfer related to the current Northrop Grumman services including desk-side technical assistance, LANDesk and McAfee ePO through November 30, 2016 subject to;

(i.) the current Northrop Grumman employees who such services provided within the employment of the Austin , Texas Northrop Grumman programs office, and

(ii.) the continued availability to provide services. Notwithstanding the previous statement, if the two desk-side technicians, the LAN Desk and McAfee ePO Administrators are needed by Northrop Grumman in any fashion the needs of Northrop Grumman will supersede any requests of TEA during the final month of their employment by Northrop Grumman.

The Parties therefore further acknowledge and agree that TEA shall not be entitled to any credit from Northrop Grumman for the early return of any Equipment following the effective date of TEA's early termination notice.

22. Notwithstanding any early termination or expiration of the Supplement, the Parties further acknowledge and agree that TEA shall have the right to retain the Equipment through to and including the applicable scheduled return dates as set forth in Exhibit J-3.

23. In the event the Northrop Grumman supplied HP Pro Book 640 G1 is lost or damaged beyond reasonable wear and tear at the end of the Return Date, as defined in Exhibit J-3, another laptop of similar or better standards and specifications that is in good operating condition may be substituted and returned for the missing or damaged HP Pro Book 640 G1 .

24. In the event the Northrop Grumman supplied HP Elitebook 8460p is lost or damaged beyond reasonable wear and tear at the end of the Return Date, as defined in Exhibit J-3, another laptop of similar or better standards and specifications that is in good operating condition may be substituted and returned for the missing or damaged HP Elitebook 8460p.

25. Exhibit J-3 now included in the Supplement, reflects the Return Date for the Dell T7500 Desktop's. The Dell T7500 Desktop's are not eligible to be substituted.

26. In the event the Northrop Grumman supplied HP Compaq Pro 6300 is lost or damaged beyond reasonable wear and tear at the end of the Return Date, as defined in Exhibit J-3, another desktop of similar or better standards and specifications that is in good operating condition may be substituted and returned for the missing or damaged HP Compaq Pro 6300. A HP Compaq Pro 6300 may be substituted for a Northrop Grumman supplied HP 600 G1 on or before the total term

of the contract.

27. In the event the Northrop Grumman supplied HP 600 G1 is lost or damaged beyond reasonable wear and tear at the end of the Return Date, as defined in Exhibit J-3, another desktop of similar or better standards and specifications that is in good operating condition may be substituted and returned for the missing or damaged HP 600 G1 . A HP 600 G1 may be substituted for a Northrop Grumman supplied HP Compaq Pro 6300 on or before the total term of the contract.

28. Exhibit J-3 now included in the Supplement, reflects the Return Date for the PSF Desktop's. The PSF Desktop's are not elig ible to be substituted . TEA will provide the serial numbers and ship the PSF Desktops separately.

29. For any Equipment for which Northrop Grumman allows TEA to make a substitution, TEA must, in 45 days advance notice, deliver a replacement unit that is substantially equivalent or better than the equipment Northrop Grumman has supplied per the shipping instructions in item 20 above. TEA's notice must include the equipment type and serial numbers to be returned by TEA, and if a substitution will be made for a laptop or desktop that Northrop Grumman provided, the specifications of the processor, hard drive, random access memory (RAM), DC-ROM drive must be included for each piece of equ ipment.

30. This Amendment No. 11 shall be effective as October 31 , 2016 except as otherwise herein stated , after having first been signed by Northrop Grumman and fully executed by TEA.

31. Except as expressly provided herein all other provisions of the Supplement, remain unchanged and are in full force and effect and are ratified and affirmed by the Parties. By their execution and delivery of this Amendment No. 11 , neither Party waives or releases any default thereunder.

The Parties to this Amendment No. 11 have read and understand the terms and conditions and provisions set forth in this Amendment No. 11 and agree to abide by them. This Amendment No. 11 is signed and executed in duplicate originals by the representative of the Parties specified below who have certified that they are authorized to bind their respective Party.

Guideline Recommendations These guidelines have been designed to ensure that the equipment is recovered in a safe manner while protecting them from transport damage.

General Requirements:

• Always shrink wrap/foil every pallet, no matter how big or small

Use enough shrink wrap to both ensure stability and provide protection

Carriers will make a 24 hour pre-call to the customer site for verification on piece count and special access requirements in case of pickup service

• All password protection must be removed or set to factory defaults.

• Equipment cannot overhang the pallets

• If the collection is not taking place at the loading dock, there are loading restrictions or other special instructions please indicate on the pickup request form
