NISHAT GROUP1. Background

1.1 The National Electric Power Regulatory Authority ("NEPRA" or the

"Authority") issued to Nishat Mills Limited (the "Applicant" or the

"Company" or the "Licensee"), which is, inter alia, in the business of textile

manufacturing, a Generation License No. SGC/40/2008 dated 2 September

2008 (the "Generation License") under the Regulation of Generation,

Transmission and Distribution of Electric Power Act, 1997 (the "NEPRA

Act") and the National Electric Power Regulatory Authority Licensing

(Generation) Rules, 2000 (the "Generation Rules"). A copy of the Generation

License is attached herewith as Annexure A.

1.2 The term of the Generation License is ten (to) years expiring on 30 March

2018 (the "Generation License Expiry Date").

1.3 The Generation License covers the following three (3) power plants which are

situated in three (3) separate manufacturing plants of the Company carrying

out independent operations:

(a) Manufacturing plant at 5-KM, Nishat Avenue, off 22 KM,

Ferozepur Road, Lahore (the "Manufacturing Plant-I") having a

power generating plant (the "Power Plant-I");

(b) Manufacturing plant at 12-KM Sheikhupura-Faisalabad Road,

Bhikki, Sheikhupura (the "Manufacturing Plant-If") having a power

generating plant (the "Power Plant-If"): and

(c) Manufacturing plant at Faisalabad-Sheikhpura Road, Nishatabad,

Faisalabad (the "Manufacturing Plant-In") having a power

generating plant (the "Power Plant-Iff").

the "Existing Power Plants" and Manufacturing Plant-I,

the "Existing Manufacturing Plants")

1.4 The installed capacity at each Existing Power Plants as per the Generation

License:

(a) Power Plant-I installed capacity: 25.7 MW (Gross ISO);

(b) Power Plant-II installed capacity: 14.3 MW (Gross ISO); and

(c) Power Plant-III installed capacity: 37.886 MW (Gross ISO).

Accordingly, the Generation License was issued for the total installed capacity

of 77.886 MW (Gross ISO) (the "License Approved Installed Capacity").

1.5 As per the Generation License, the Company is supplying 1.2 MW of

electricity from its Power Plant-III to Masood Textile Mills Limited (a bulk

power consumer) without using any facility of or any arrangement with

FESCO.

2. N-ew Capacity/Supply of Capacity

2.1 Considering the growth in the business, the Company added/is adding in the

normal course of business:

(a) further power generation capacity in its Existing Power Plants by

replacing certain numbers of old generating units with new generating

units; and

(i) manufacturing plant No. 39 located at approximately 2 KM

away from the Power Plant-[ (the "Manufacturing Plant-TV")

having a power generating plant up to 4.2 MW (Gross ISO)

(the "Power Plant-IV") for self-consumption;

away from the Power Plant-I, with the specific address 21 KM

Ferozepur Road, near Masjid Ibrahim, Lahore (the

"Manufacturing Plant-V") having a power generating plant

up to [,7440 MW (Gross [SO) (the "Power Plant- V") for self-

(iii) Feroze Watwaan manufacturing plant located at

consumption; and

"Manufacturing Plant-Vl") having a power generating plant

alia, self ..consumption.

(c) In addition to three (3) new Manufacturing Plants lV, V and V[

mentioned in (b) above, the Company has one (L) separate new

manufacturing plant No.69 located at approximately 3.2 K!v'[ away

from the Power Plant-I (the "Plant No. 69") with no power generation

capacity.

2.2 The total installed capacity of the Power Plant-I, the Power Plant-If, the Power

PI:.w>iU, the Power Piant-Iv', the Power Plant-V and the Power Plant-Vi

(collectively, the "Power Plants") shall be 128.241 MW (Gross [SO) (the

(f) Power Plant-VI installed capacity: 19.380 MW (Gross ISO).

2.3 Schedule-I attached herewith provides complete details of the New Installed

Capacity, location, technology, interconnection arrangements, technical limits,

technical specifications and other details specific to the generation facilities

(i.e. the Power Plants) of the Licensee. Here it is clarified that except the

locations of the Power Plant-IV, the Power Plant- V and the Power Plant-VI,

and Plant No.69 all locations of the Power Plant-I, the Power Plant-II and the

Power Plant-III as provided In Schedul~-i attached with the Generation 'f

License are the sarne.

2.4 Schedule-II attached herewith provides complete details of the installed, de-

rated, auxiliary and net capacity of the Licensee's generation facilities (i.e. the

Power Plants).

') -_.) Furthermore, the Company is expecting further growth in its business and the

Company may require additional power generation capacity, for which the

Company will approach the Authority with all relevant details at an

appropriate time for further action.

2.6 The Company may also require In the normal course of its business to

shiftlsel!lbuy power generating units from time to time, but keeping itself

within the New Installed Capacity. The Company requests the Authority to

allow this.

NISHAT GROUP 2.7 The Licensee is aware that the Country is in an extreme shortage of electricity

and at the same time it needs foreign exchange and tax money to continue to

develop the energy infrastructure and to improve the ability of the ordinary

consumer to pay for the electricity consumed by him. As the power generated

or to be generated by the Licensee did/will not affect the interests of

consumers - in fact it protects/will protect the interests of consumers -

because the Licensee uses/will use its own resources to generate power

without impacting the consumers and its earning of foreign exchange through

export of its products and paying taxes to the national exchequer will add to

the ability of the Government to add more energy infrastructure which

ultimately benefits the consumers.

3. Modification

3.1 The Applicant seeks a modification of its Generation License as follows (the

"Modification"):

(a) The License Approved Installed Capacity shall be increased to the

New Installed Capacity (i.e. 123.241 MW (Gross [SO» in terms of

Schedule-~ and Schedule-rI attached to this Application;

Accordingly, Scheduled and Scheduk-ff of the Generation License is

proposed to be replaced in their entirety with the revised Schedule-I

and Schedule-II respectively attached to this Application. The revised

Schedulc-l attached to this Application exactly mirrors the same

locations of the Power Plant-I, the Power Plant-If and the Power Plant-

lll as were provided in Schedule-I attached to the Generation License.

IIII~ Locations of the Power Plant-Iv, the Power Plant- V, the Power Plant-NISHAT GROUP VI and Plant No.69 are new locations.

However, (i) the Manufacturing Plant-IV and the Plant No. 69 will be

added for the supply of power from the Power Plant-I, and (ii) the

Manufacturing Plant-VI will be added for the supply of power from the

Power Plant-Il, as per the request in paras 3.2 to 3.5 below. Locations

of the Manufacturing Plant-IV, the Plant No. 69 and the Manufacturing

Plant-VI are new, which are added to the revised Schedule-I attached

to this Application.

(b) Subject to the New Installed Capacity (i.e. 128.241 MW (Gross

ISO):

(i) the Company shall be allowed to generate 39.573 MW

(Gross ISO) at its Power Plant-I for self-consumption;

(ii) the Company shall be allowed to generate 21.364 MW

(Gross ISO) at its Power Plant-If for self-consumption;

(iii) the Company shall be allowed to generate 41.960 .MW

(Gross ISO) at its Power Plant-Ill for self-consumption and the

Company shall continue to supply 1.2 MW of electricity from

its Power Plant-Ill to Masood Textile Mills Limited (a bulk

power consumer) as per the Generation License without using

any facility of or any arrangement with FESCO;

(iv) the Company shall be allowed to generate 4.220 MW

(Gross ISO) at its Power Plant-Tv for self-consumption;

(v) the Company shall be allowed to generate 1.7440 MW

(Gross [SO) at its Power Plant- V for self-consumption;

IIII~NISHAT GROUP (vi) the Company shall be allowed to generate 19.38 MW

(Gross ISO) at its Power Plant-VI, inter alia, for self-

consumption;

(vii) the Company shall be allowed to supply power, inter alia,

for self-consumption as follows including: (a) 2 MW (Gross

[SO) from the Power Plant-I to the Manufacturing Plant-IV,

and (b) 2 MW (Gross ISO) from the Power Plant-I to the Plant

No. 69, as per paras 3.2 to 3.5 below; and

(viii) the Company shall be allowed to supply power for self-

consumption 7.5 MW (Gross [SO) from the Power Plant-If to

the Manufacturing Plant-VI as per paras 3.2 to 3.5 below; and

(c) The Generation License Expiry Date shall be extended to 30 March

2023 (the "Generation License New Expiry Date").

Statement of th~ ~easons in support of the Modification:

Since the Company is expanding/has expanded its business and with

the shortage of power available from the utility and the License

Approved Installed Capacity (i.e. 77.886 MW (Gross ISO» was/is

insufficient to meet the growing demand of the Company (which

growing demand is adding in foreign exchange and taxes to the

national exchequer), it is imperative for the Company to move for the

Modification.

Also, as per the proposed Modification, the Distribution/Supply

Mechanism (as defined in para 3.3 below) and the Distribution Facility

(as defined in para 3.4 below), among others, need to be addressed.

Statement of the impact on the tariff, quality of servIce and the

performance by the Licensee of its obligations under its Generation

License:

Since all the power generated/to be generated by the Power Plants is

utilized by the Company and only up to 1.2 MW (Gross ISO) is being

supplied to Masood Textile Milts Limited, a bulk power consumer,

from the Power Plant-HI (as per the Generation License), without

using any facility of or any arrangement with LESCO and/or FESCO,

there is no tariff. Hence, this requirement is not applicable. However,

the Licensee is operating and maintaining the feeder in accordance

with the applicable law and prudent utility practices. Therefore, the

Licensee is maintaining the quality of service and is performing as per

the Generation License.

Also, in view of the Modification, there shall be no impact (i) on the

tariff with Masood Textile Mills Limited, a bulk power consumer, and

it shall remain the same as per the Generation License, (ii) on the

Company's quality of service and (iii) on the performance of the

Company's obligations under the Generation License,

Supply of Power to Manufacturing Plant-IV, Plant No. 69 and Manufacturing

Plant-VI

3.2 The Company intends (a) to supply power, inter alia, for self-consumption to

its Manufacturing Plant-Iv and Plant No. 69 from the Power Plant-I; and (b)

to supply power self-consumption to its Manufacturing Plant-VI from the

Power Plant-II.

3.3 Since (a) the Manufacturing Plant-Tv and the: Plant No. 69 are approximately

2 KM and 3_2 KJV!: respectively away from the Power Plant-I; and (b) the

Manufacturing Plant- vr is approximately 10 KM away from the Power Plant-

II, the Company requires to deliver/supply power from the Power Plant-I to

the Manufacturing Plant-Tv and the Plant No. 69 and from the Power Plant-Il

to the Manufacturing Plant-VI for self consumption following the mutually

agreed mechanism of such delivery/supply of power between the Company

and LESCO (the "Distribution/Supply Mechanism"), which Distribution

Supply Mechanism shall also be applied for any other supply of power by the

Power Plants.

3.4 Considering the precedent of Gul Ahmed Textiles Mills Limited's case and

the Authority's decision on the same vide its letter No. NEPRA/R/LAG-

10/3832-33 dated 24 April 2006, the Distribution/Supply Mechanism

proposed by the Applicant is as follows: the Company shall construct at its

cost as per the applicable standards of LESCO the distribution lines in order to

supply power to the Manufacturing Plant-Iv and the Plant No. 69 from the

Power Plant-I and to the Manufacturing Plant-VI from the Power Plant-Il and

hand over such distribution facilities to LESCO (the "Distribution Facility"),

since LESCO is a distribution licensee, and the Distribution Facility may also

be applicable for other supplies.

3.5 If laying of the Distribution Facility is allowed by the Authority, the Licensee

agrees:

(a) that it shall lay the Distribution Facility at its cost and as pc;- the

applicable standards of LESCO;

(b) that LESCO will be the owner and operator of the Distribution

Facility and will have control over the same;

(c) that LESCO will maintain and operate the Distribution Faciiicy as

an isolated system from its existing distribution facilities as [:lUtL!~ll!y

agreed between the Company and LESCO;

(d) that LESCO while maintaining and operating the Distribution

Facility as an isolated system from its own distribution facilities (with

no direct or indirect inter-connection with the remaining LESCO

distribution facilities), LESCO may allow for purpose of consumption

by the Company's Manufacturing Plant-IV, Plant No. 69 and

Manufacturing Plant-VI inter-connection and usage of the Distribution

Facility to move and deliver power from the Power Plant-I to the

Manufacturing Plant-IV and the Plant No. 69 and from the Power

Plant-Il to the Manufacturing Plant-VI and such other supplies in

accordance with the NEPRA Act, the applicable documents and the

terms and conditions of the Generation License and the distribution

license granted to LESCO; and

(e) that a Distribution/Supply Mechanism to be agreed with LESCO

shall be provided to NEPRA and the Company will also provide any

additional mutually agreed mechanism if any.

Extension of Generation License Expiry Date

3.6 The expected useful life of the units comprised in the Power Plants for the

New Installed Capacity is not less than ten (10) years from the date of this

Application. The expected useful life of the Power Plants is mentioned in

ƒ�hedule-[ attached hereto.

3.7 The Licensee agrees to comply with the performance obligations as per the

applicable documents so that the interests of the entire concerned are fully

protected.

3.8 Accordingly, the Licensee requests for an extension of the Generation License

Expiry Date to the Generation License New Expiry Date (i.e, 30 March 2023)

since the said extension commensurate with the expected life of the Power

Plants.

4.1 Generation License Modification Fee: Attached as Annexure B is the Pay

Order No. 2220205 dated 21 January 2015 drawn on National Electric Power

Regulatory Authority in the amount of Rs. 314,235 (Net of Tax), being the

Generation License modification fee.

4.2 TIle Licensee agrees to pay any other fee/charge as per the applicable law for

the Modification of the Generation License as requested in this Application.

5 Relief Sought

5.1 In light of the foregoing submissions, the learned Authority is kindly requested

to:

Article-1Definitions

1.1 In this Licence

(a) "Act" means the Regulation of Generation, Transmission and

Distribution of Electric Power Act, 1997 (XL of 1997);

(b) "Authority" means the National Electric Power Regulatory Authority

constituted under Section 3 of the Act;

(c) "Licensee" means Nishat Mills Limited;

(d) "Power Purchaser" means a Distribution Licensee or a Bulk Power

Consumer who purchases electricity from the Licensee, pursuant to

a power purchase agreement for procurement of electricity;

(e) "Rules" mean the National Electric Power Regulatory Authority

Licensing (Generation) Rules, 2000.

1.2 Words and expressions used but not defined herein bear the meaning given

thereto in the Act or in the Rules.

Article-2Application of Rules

This Licence is issued subject to £~e provisions of the Rules, as amended

from time to time.

Article-3Generation Facilities

3.1 The location, size (capacity in MIfJ), technology, interconnection

specific to the power generation facilities of the Licensee are set out in Schedule-I

to this Licence.

3.2 The net capacity of the Licensee's generation facilities IS set out in

Schedule-I! hereto.

Article-4Term of Licence

4.1 The Licence is granted for a term of TerU1Ql years.

4.2 Unless revoked earlier, the Licensee may apply ninety days (90) days prior

to the expiry of the term of the Licence, for renewal of the Licence under the

Licensing (Application and Modification Procedures) Regulation, 1999

Article-5Li~ei1ce Fee.

After the grant of the Generation Licence, the Licensee shall pay to

the Authority the Licence Fee, in the amount and manner and at the time set out in

National Electric Power Regulatory Authority (Fee~~)Rules, 2002.

Article-6rariff

The Licensee is allowed to charge such tariff which has been agreed

between the Licensee and the Power Purchaser, pursuant to a power purchase

agreement.

Article-7---Competitive Trading Arrangement

7.1 The Licensee shall participate in such measures as may be directed by the

Authority, from time to time, for the development of a Cornpetitive Trading

Arrangement. The Licensee shall in good faith work towards implementation and

operation of the aforesaid Competitive Trading Arrangement in the manner and

time period specified by the Authority. Provided that, any such participation shall

be subject to any contract entered between the Licensee and another party with

the approval of the Authority.

7.2 Any variation or modification in the above-mentioned contracts for allowing

the parties thereto to participate wholly or partially in the Competitive Trading

Arrangement shall be subject to mutual agreement of the parties thereto and such

terms and conditions as may be approved by the Authority.

Article-S---Maintenance of Records

8.1 The Licensee shall keep complete and accurate record and data in respect

of all aspects of the generation business and the second-tier supply business, in

their original as well as in electronic form.

8.2 Without prejudice to the provisions of sub-rule 15(3) of the Rules, unless

provided otherwise under the law or the applicable documents, all record and data

shall be maintained for a period of five (5) years after the creation of such record

or data. The Licensee shall not destroy or dispose off any such record or data after

the aforesaid period without thirty days prior written notice to the Authority. The

Licensee shall also not dispose off or destroy any record Of data which the

Authority directs the Licensee to preserve.

8.3 For the purpose of sub-rule (1) of Rule 19 of the Rules, copies of records

and data shall be retained in standard and electronic form and all such records

and data shall, subject to jJst claims of confidentiality, be accessible by authorized

officers of the Authority.

8.4 AI! record and data maintained in an electronic form shall, subject to just

claims of confidentiaiity, be accessible to the staff authorized by the Authority.

Article-9Generating Capacity Reserve Requirements

The installed generating capacity of the Licensee shall not fall below 85%

(95% in the case of single consumer on a feeder) of the connected load and

generating capacity of the largest installed unit at the time of application for

Generation Licence.

Article-10----Compliance with Performance Standards

The Licensee shall conform to the relevant NEPRA rules on Performance

Standards as may be prescribed by the Authority from time to time.

Article-f lCompliance with Environmental Standards

The Licensee shall conform to the environmental standards as may be

prescribed by the relevant competent authority from time to time.

Article-12Provision of Information

11.1 The obligation of the Licensee to provide information to the Authority shall

be in accordance with Section 44 of the Act.

11.2 The Licensee shall be subject to such penalties as may be specified in the

relevant rules made by the Authority for failure to furnish such information as may

be required from time to time by the Authority and which is or ought to be or has

been in the control or possession of the Licensee

The location, size (capacity in MW) technology, interconnection arrangements,

technical limits, technical functional specifications and other details specific to the

Generation Facilities of the Licensee.

FROM THE PO\IIJER PLANT

The Power generated by Nishat Mills Limited from its distinctly located Thermal

Power Generation facilities of Plant-I. Plant-Z and PI3f1t-3, shall be dispersed to the Load

Center/Ring of LESCO and FESCO respectively,

The Interconnection/Transmission Arrangement for the above mentioned facilities

will be at 11 KV voltage as given in the Agfeements for Power Purchase (PPA) of

December 15, 2007 signed between NML and LESCO and of April 30, 2008 signed

between NML and FESCO respectively,

The final Interconnection and Transmission Arrangement (s). for the dispersal of

power, as agreed by NML, LESCO and FESCO st,ali b::: communicated to NEPRA in due

course of time.

IIII~NISHAT RESOLUTION NO 1938 DATED NOVEMBER 25,2014

OF THE BOARD OF DIRECTORS OF N[SHAT MILLS LTD

WHEREAS the Management of Nishat Mills Ltd "NML" intends to file an application for themodification of the generation license No. SGC/40/2008 dated September 02, 2008 of 77.886MW granted by NEPRA. The proposed license modification will allow NML to increase itsgeneration capacity up to 135.00 MW as and when require and to enter into an arrangement withDistribution Licensee (DISCOs) in NML area for owning/leasing, operating, managing andcontrolling transmission facilities by such Distribution Licensee (DISCOs), or any otherarrangement as suggested and agreed between NML and relevant Distribution Licensee(DISCOs) :-

In view thereof, following Resolution has been approved by the Board.

RESOLVED that the Chief Executive Officer, Director, Chief Financial Officer and/orCompany Secretary of the Company be and is/are hereby authorized singly to file an applicationfor the modification of the generation license of the Company with NEPRA and file anapplication, if required, for the distribution license with NEPRA or enter with DistributionLicensee (DISCOs) of relevant area for any arrangement/agreement for the distribution/supply orthe power from its plant to its new units and provide whatever information or comply with anyrequirement under the NEPRAlapplicable laws and file any other document/application oraffidavit or give statement regarding the above and represent the Company before NERP A anddo whatever is required in this regard, including but not limited to appointing/authorizing legalcounsels.

FURTHER RESOLVED that a certified true copy signed by the Chief Executive, any' of theDirector or the Company Secretary be issued to whom it may concern and shall remain enforceduntil notice in writing to the contrary duly signed by the Chief Executive, or any of the Directorsor Company Secretary be given.
