NUMBERS SPEAK LOUDER THAN WORDS

LABACE 2009 will continue to be the Latin American's meeting room forbusiness aviation. For years the Latin America Business Aviation Conference& Exhibition has been the main event of the segment in the region. Held inSão Paulo, the show is attended by industry consumers representatives andgovernment leaders.

Every year a new audience record is established and the show's double-digitgrowth speaks for itself. The previous edition, occurred at CongonhasAirport in São Paulo city last August, drew more than 11,130 attendees in three days – astonishingly 83% more than the previous year.Close to 50 aircraft were showcased on the static display and a total of 90 top exhibitors welcomed the public with premium products and services.

Surpassing even the most optimistic expectations, sales and agreementsregistered a 60% increase compared with last year's and summed up over US$ 340 million – not to mention the number of leads and dealsstarted up during LABACE.

The event is organized by Associação Brasileira de Aviação Geral – ABAG – partnered with the NBAA, from U.S., which is also in charge of othermajor business aviation events worldwide.

RULES & REGULATIONSAll Exhibitors must be Members of either ABAG or NBAA.

TYPES OF EXHIBITS IN VASP'S HANGAR AT CONGONHAS AIRPORTExhibits at LABACE 2009 are limited to those products or services directly relatedto the design, operation or servicing of business aircraft. LABACE Managementreserves the right to deny space to any company whose products or services arenot relevant to business aviation.

PRIORITY FOR SPACE ASSIGNMENT:PRIORITY-ONE EXHIBITORS are those companies who exhibited at LABACE 2008,whose Indoor or Chalet Village Exhibit Space is a minimum of 90sqm (968sqf) andwhose applications are received on or before February 18, 2009. Space assignmentsfor Priority-One Exhibitors will be determined by lottery drawing.

PRIORITY-TWO EXHIBITORS are those companies who exhibited at LABACE2008, whose Indoor or Chalet Village Exhibit Space is less than 90sqm (968sqf)and/or have committed at least US$10,000 in sponsorships for LABACE 2009 andwhose applications are received on or before February 18, 2009. Priority-TwoExhibitors will be placed after Priority-One qualifiers have been assigned space.Space assignments for Priority-Two Exhibitors will be determined by lottery drawing.

PRIORITY-THREE EXHIBITORS are those companies not meeting the requirementsestablished for Priority-One or Priority-Two Exhibitors, and whose applications arereceived on or before the February 18, 2009, deadline. Priority-Three Exhibitors willbe placed once Priority-One and Priority-Two Exhibitors have been assigned, spacepermitting. Space assignments for Priority-Three Exhibitors will be determined by lottery drawing.

PRIORITY-FOUR EXHIBITORS are those companies whose applications are receivedafter the February 18, 2009, deadline. Priority-Four Exhibitors will be placed oncePriority-One, -Two and -Three Exhibitors have been assigned, space permitting.Priority-Four Exhibitors will be placed in the order in which their applications arereceived. Be assured that LABACE Management will make every effort toaccommodate each applicant's preferred location. If, however, all booth choicesindicated by the applicant have been allocated, LABACE Management will assign the best available Exhibit Space.

INDOOR EXHIBIT SPACE PRICES:RAW BOOTH SPACE PRICE:Cost of Raw Booth Space is US$ 2,800 for each 3m by 3m (9.8' by 9.8') Booth Spaceor 9sqm (96.9sqf). Full payment is due by July 15, 2009.

PREMIUM SHELL-SCHEME BOOTH SPACE PRICE:Cost of Premium Shell-Scheme Booth Space is US$ 3,900 for each 3m by 3m(9.8´ by 9.8´) Booth Space or 9 sqm (96.9sqf). Full payment is due by July 15, 2009.

DISCOUNT: LABACE offers a special discount to companies making full payment - on a nonrefundable basis - on or before February 18, 2009.The prepaymentdiscount is US$ 50 for each 3m by 3m (9.8' by 9.8') Booth Space booked. Exhibitorsmaking payments after February 18, 2009 are not eligible for this discount.

RAW BOOTH: The price is US$ 2,750 for each 3m by 3m (9.8' by 9.8') Raw BoothSpace booked and paid in full by February 18, 2009.

PREMIUM SHELL-SCHEME BOOTH: The price is US$ 3,850 for each 3m by 3m(9.8' by 9.8') Premium Shell-Scheme Booth booked and paid in full by February 18,2009. Exhibitors submitting applications after the February 18, 2009 ARE NOTeligible for this discount.

STATIC DISPLAY / CHALET VILLAGE PRICES:The Static Display of Aircraft will be held on the VASP ramp of Congonhas Airport.The LABACE Chalet Village will be placed along the perimeter of the Static Displayin Space designated by LABACE.

STATIC DISPLAY (RAW RAMP SPACE) PRICE:Cost of Static Display Space Raw Ramp Space is US$ 255 for each 3m by 3m (9.8' by 9.8') Static Display Space or 9sqm (96.9sqf).

CHALET VILLAGE PRICE:Cost of Chalet Village Space is $2,800 for each 3m by 3m (9.8' by 9.8') Space.The Chalet Village is reserved solely for Exhibitors with aircraft(s) on the Static Display.

If full payment is not received by the July 15, 2008 deadline, LABACE Managementwill assume the Exhibitor has canceled their Static Display Space.

CANCELLATION POLICY:LABACE Management has a firm policy of no refunds for cancellations at any time.Exhibitors must strictly follow policies for payment in order to retain Exhibit Space.Reductions in Exhibit Space at LABACE will be considered cancellations.

Note: If either Indoor Booth Space or Static Display Space is not occupied by 3:00 PM on Wednesday,August 12, 2009, LABACE Management will consider itcanceled by the Exhibitor, and LABACE Management will use such space as it deemsappropriate.This rule must be strictly enforced, as lateness in setting up causesdifficulties with overnight cleaning crews and jeopardizes the opening of the Exhibits.

INDOOR EXHIBIT CONFIGURATIONS:STANDARD RAW BOOTH, PERIMETER WALL BOOTH, ISLAND BOOTHAND PERIMETER ISLAND BOOTH:

The Standard Raw Booth provided by LABACE Management measures 3m by 3m(9.8' by 9.8').A Standard Raw Booth is one or more 3m by 3m (9.8' by 9.8') standardunits in a straight line with Booths on either side and behind its back wall.

A Perimeter Wall Booth is a Standard Booth located on the outer-perimeter wall of the Exhibit Floor.

An Island Booth is an Exhibit having aisles on all four sides and requiring one ormore display levels. Island Booths requiring hanging signs, materials or components(not including lighting trusses) are permitted around the perimeter of the Hall only.

A Perimeter Island Booth is an Exhibit containing perimeter wall structures that has one or more display levels, is unfinished on any side and/or requires hangingsigns, materials or components (excluding lighting trusses).

Exhibitors occupying Standard Raw Booths, Perimeter Wall Booth, Island Booth and Perimeter Island Booth must adhere to the following regulations below.

Exhibit materials, components and identification signs will be permitted to a height of:Maximum Height Depth

3,3m (10.8') No limit - full use of purchased floor space is permitted.4m (13.1') Objects, materials above 3.3m (10.8') must be 1m (3.3')

from neighboring Exhibits.

IMPORTANT:All floor plans must be received at least 60 days prior (June 11, 2009) to the firstscheduled move-in date. Kindly remember that if the Exhibit floor plan is notsubmitted by this time, LABACE Management will not allow Booth construction to take place and consider it canceled by the Exhibitor and will assume the right touse such space as it deems appropriate.Although LABACE Management provides aisle carpet, Exhibitors are responsible for carpeting their own Booth Space. Exhibitors also are responsible for providingwhite fascia board dividing side and back walls.

MULTILEVEL AND COVERED BOOTHS:LABACE must approve all Multilevel and Covered Booths. Booth plans shouldindicate the name of the event and Booth number, specify maximum number of occupants allowed and have a structural engineer's stamp certifying that the platforms can bear the maximum occupant load. Certain Multilevel and CoveredBooths may require fire watches, smoke detection devices, fire extinguishers, multipleexits, etc., as required by Fire Prevention Officials.

For tents, awnings and canopies, drawings should include detailed plans showing size,height, location, anchoring areas and certification that the material is flame retardant.Further information on fire and safety regulations will be provided in the ExhibitorService Kit scheduled for distribution in late March 2009.The deadline to submitMultilevel and Covered Booth diagrams to LABACE Management is June 11, 2009.All Exhibitors with a Multilevel and Covered Booth must submit one copy of a scaledFloor Plan (with front and side elevations) to either one of the following:

INSTALLING AND DISMANTLING EXHIBITS:To ensure orderly and efficient installation, operation and removal of Exhibits and to eliminate confusion, LABACE Management has designated SATOR and other firms(listed in the Exhibitor Service Kit scheduled to be distributed in late March, 2009 as Official service contractors. LABACE Management holds these firms responsiblefor quality service and fair prices and will intercede on behalf of an Exhibitor in the event of faulty work or unfair charges. LABACE Management encourages all Exhibitors to place orders with these firms unless a permanent arrangement has been established with display house or outside contractor to set up anddismantle Exhibits.

Exhibitors will be admitted at 9:00 AM eachExhibit day for early preparation of displays only. No activities except Boothpreparations are to be scheduled in the Exhibit areas at any time other than officialExhibit hours. LABACE Management reserves the right to make changes to theabove schedule.

Note: Exhibits in either the Exhibit Hall or on the Static Display must not bedismantled before 6:00 PM on Saturday,August 15, 2009 (this includes movement of Display aircraft). Exhibitors found in violation of this rule will be ineligible for the indoor and outdoor Priority-One, Priority-Two or Priority-Three Lotteries in 2009. STATIC DISPLAY:All Static Display aircraft must arrive at Congonhas Airport no later than 12:00 PMon Wednesday,August 12, 2009. For safety reasons, LABACE Management reservesthe right to deny placement of aircraft not arriving by the stated deadline. Pleaseunderstand that all aircraft can not be placed into the Static Display at this time.However, LABACE Management requires sufficient time to coordinate Static Displayaircraft with Congonhas Airport. Static Display Exhibits must not be dismantledbefore 6:00 PM on Saturday,August 15, 2009, and aircraft movements should not begin until 6:30 PM. Exhibitors in violation of this rule will jeopardize placementin future LABACE Shows.

Aircraft information must be filled out online (wing number, ETA) by July 31, 2009,those aircrafts that do not supply the proper information will risk losing itsparticipation at LABACE.

Running aircraft auxiliary power units (APUs) in the Static Display area during Show days (August 13, 14 and 15, 2009) is not permitted for any reason. No supportvehicles of any kind may access the Static Display area during Show days.

Chalet Village set-up times will be distributed to Exhibitors at a later date and must be strictly adhered to. Chalets must be constructed and disassembled withinthe timeframe outlined by LABACE Management.

All Exhibiting Companies must submit to-scale diagrams of their proposed Display to LABACE for approval. Layouts should be sending to either one of the following:

RULES & REGULATIONSEXHIBITS CONTAINED WITHIN PURCHASED SPACE:All display material and demonstrations must be confined to the limits of theExhibitor's purchased display space both indoors and on the Static Display of Aircrafton Congonhas Airport.Therefore, please plan the size of Exhibits and Static Displaysappropriately. If many people are expected to congregate at one time, demonstrationareas should not be placed on the aisle line of the Exhibit. Normal aisle traffic cannotbe interfered with at any time. Exhibits should be installed so that they do notproject beyond the allotted space.

NOISE LEVELS:LABACE Management reserves the right to restrict Exhibits that, because of noise,method of operation or any other reason, become objectionable.

SUBLETTING OR SHARING EXHIBIT SPACE:No Exhibitor will assign, sublet or share the whole or any part of Exhibit Spacepurchased without the knowledge and consent of LABACE Management. Failure to advise LABACE Management in advance of shared Exhibit Space (includingdisplaying the advertising of another Company's products or services) may result in an additional minimum Exhibiting charge of US$ 2,800 per Company, per Booth or US$ 255 per Static Display Space.Advertising material of any description may be displayed and distributed only within the Display Space(s) assigned to theExhibitor presenting such material. No Exhibitor is to distribute materials outside of their assigned Exhibit Space without written approval from LABACE Management.

DIRECT SELLING:Direct selling on the Exhibit Floor and at the Static Display of Aircraft is prohibited.Canvassing by Exhibitors outside their assigned Booth Space and/or Static DisplaySpace is prohibited. Canvassing and solicitation, except by Exhibiting Firms, areprohibited within 80km (50miles) of the Exhibit Hall or Static Display of Aircraft on Congonhas Airport.

DISPLAY APPEARANCE REQUIREMENTS:No part of an Exhibit, or signs relating thereto, may be taped, nailed, tacked, stapled,pasted or otherwise fastened to ceilings, walls, doors, windows, painted surfaces,columns, marble or fabric in any way; no holes may be drilled, cored or punched in walls, floors, tarmac or ramp. No application of paint on signs, displays or otherobjects is permitted.The use of adhesive-backed decals or similar items is prohibited.Damages resulting from the failure to observe these rules will be billed to theExhibitor. Exposed parts of displays (including backs) must be completely finished so that they are not objectionable to other Exhibitors, Delegates or LABACEManagement.

HANGING SIGNS, MATERIALS, COMPONENTS, ETC.:In the interest of safety, with the exception of Perimeter Booths, Exhibitors' signs orother materials may not be attached to the ceiling or overhead beams of the ExhibitHall in any manner. Spotlights can be attached to the ceiling if they are focused onthe Display and do not interfere with other Exhibits. Exhibitors requiring signs hungover Perimeter Booths or spotlight rigging must submit requests to LABACEManagement for approval.All trusses and hanging signs must be assembled and hungby the official rigging contractor. Helium balloons and animals (including pets) are notpermitted in the Exhibit Hall or the Static Display of Aircraft on Congonhas Airport.

VIOLATIONS:By signing the LABACE Application/Contract for Exhibit and/or Static Display Space,the Exhibitor agrees to abide by these Rules & Regulations as interpreted byLABACE Management. In fairness to all participants, Exhibitors found in violation of LABACE Rules & Regulations in the Exhibit Hall or at the Static Display will berequired to make necessary changes on site at the Exhibitor's expense. If satisfactorychanges cannot be made, LABACE Management reserves the right to terminate anyand all rights to the Exhibit Space, and the Exhibitor will forfeit all fees paid.ViolatingExhibitors will be ineligible for the indoor Priority-One, Priority-Two or Priority-Three Lotteries in 2010 and/or will jeopardize placement at the Static Display of Aircraft.

LIABILITY:The Exhibitor is solely responsible for the safeguarding of materials, equipment anddisplays at all times. LABACE Management employs general security when the ExhibitHall and Static Display are closed. However, LABACE Management,VASP, CongonhasAirport and Infraero are not responsible for any loss, theft, damage, injury,or destruction of Exhibitor's property or the property of its agents or employees,by or from any cause whatsoever.The Exhibitor expressly releases LABACEManagement VASP, Congonhas Airport and Infraero and their respective officers,employees, Members and agents, from any and all claims for such loss, theft, damage,injury or destruction, or for loss of good will (whether or not in relation to anyproperty).

It is suggested that Exhibitors obtain insurance covering losses such as theft anddamage to property.The Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend and hold LABACE Management,VASP, CongonhasAirport and Infraero and their respective officers, employees, Members and agentsharmless from and against any and all claims, losses, injuries and damages to personsor property, governmental charges or fines and attorney's fees arising out of orcaused by Exhibitor's installation, removal, maintenance, occupancy or use of theExhibition premises, or any part thereof, or arising out of or caused by Exhibitor'sparticipation in Exhibition activities. CERTIFICATE OF INSURANCE:All Exhibitors are required to provide LABACE with a Certificate of Insuranceevidencing Commercial General Liability and Workers' Compensation and EmployersLiability prior to event set up.The certificate must be issued from an insurancecompany that has A.M. Best ratings of at least A - (VII) or better.

SECURITY:When the LABACE Exhibition and Static Display of Aircraft are open, there will be some perimeter security staffing. Notwithstanding the foregoing, LABACE,VASP,Congonhas Airport and Infraero will not be liable for loss or damage to Exhibitor'sproperty, as further provided under the section entitled "Liability." Exhibitors are advised to obtain additional insurance coverage in advance to cover losses suchas theft and damage to property. Fire hose cabinets, fireextinguishers, sprinklers, or any other fire-safety device must not be hidden,obstructed or otherwise disturbed.All materials used in Exhibit construction,decoration or as temporary cover must be certified as flame retardant.
