Keywords: Corporate Governance, Audit Committee, Family Ownership, Thailand

An audit committee plays its crucial roles in corporate governance system, so it helps to balance the rightsand benefits among related stakeholders. When the evidence of negative effect of family ownership on firm valuehave been found, this study questions that whether good characteristics of an audit committee have moderate effecton family ownership and firm value relationship. To find out the research question, using the three-level hierarchicalregression, the 10-year data from 2008 to 2017 of the companies in the SET100 in the Thai stock market are collectedand tested. The evidence confirms the negative effect of family ownership on firm value, but an audit committee withhigher independence and with more frequent of meeting can perform effectively in preventing the negative effect ofthe family members as controlling shareholders.

Keywords: Heart Rate Variability, HRV, Humming, Breathing

This study was aimed at researching the effects of guided breathing and humming on Heart Rate Coherence.Research indicates that HRV (an important autonomic function measure) was significantly associated with regionalcerebral blood flow in ventromedial prefrontal cortex (including anterior cingulate regions) and the amygdala. Slowbreathing and humming both enhance Heart Rate Variability coherence. The purpose was to articulate specific hum-ming activities and identify their relationship with HRV to establish an optimum pattern that is likely to maximizethe HRV. This customized humming pattern was leveraged to measure the effect of the pattern on autonomic nervoussystem parameters and also on cognition. The subjects were asked to breathe in a pattern proven to maximize reso-nance breathing and then they were also asked to practice different forms of humming and it was seen that hummingincreased HRV significantly more than their baseline and also more than breathing. The optimum humming patternwas identified and then relayed to the subjects. One humming pattern for 13s stood out as the best one amongst therest and worked the best for a majority of the people.
