• Installation on new as well as on previously installedwindows.

• 1-sashed Turn-Only and T&T, 2-sashed Turn-Only and T&T,as well as Tilt-Only windows.

• Installation on Maco espagnolettes with a 6.5mm to 25mmbackset (7mm spindle).

1.1. Advice:• Do not use a Turn-Only espagnolette with mounted Tilt-Only

stay-arm; it is not possible to unlock this!• Do not use any night-vent scissor-stays!• Do not use any scissors-stay restrictors or anti-slam devices!• Do not use any espagnolette special solutions for the handle

dimension!• Use the ‘4L‘ manual control on arched and pitched windows!

(hardware on the hinge-side)• Max. sash area in accordance with Maco guidelines• A stabilising stay is specified from 1400mm.• The opening distance is limited by the window‘s scissors-

stay.• A tilt-opening of 150mm can be achieved on Tilt-Only

windows (Restrictor scissors-stay or opening restrictor withbrake).

1.2. Consists of:• Windows drive-unit with linkage-bars (integrated in the

control system), the standard colours are white RAL 9003and silver RAL 9006.

1.4. Contact-striker installation instructions• Prepare a drill hole with at least an 8.5mm diameter when

installing the contact striker‘s cable. In order toaccommodate retro-relocating or soldering on a new contactstriker, a 50mm cable loop must be inserted into this drillhole.

PLEASE NOTE: Do not damage the cable while screw-fixingthe contact striker. The contact strikers‘ cable-ends are to beled away from the frame towards the alarm system.

• Suitable injection-moulded parts are available for theinstallation of the contact strikers in various profiles. Thesuitable injection-moulded part for your window profile canbe found in the corresponding profile page.

• The contact striker may not be crushed into the timber nor bedamaged (no mechanical load allowed, as this can lead tobreaking the contact striker).

• According to the VdS, the screws must be of non-magneticmaterial (V2A stainless steel screws).

• A maximum force with which the contact striker is supposedto be fixed has not been defined, as this depends on thescrew-fixing material and the installation location.

• The contact striker can also be used on aluminium windows.On steel windows, the steel in the direct vicinity of the contactstriker influences the radio switching distance and must bedetermined on site.

4MACO DOOR AND WINDOW HARDWARE (UK) LTD —TERMS AND CONDITIONS OF SALE

NOVEMBER 2003

DEFINITIONS

In these conditions "the company"means Maco UK and "thecustomer" means the person or the company to whom thisdocument is addressed.

CONDITIONS

These conditions shall form the basis of the contract betweenthe company and the customer. Notwithstanding anything tothe contrary in the customer's standard conditions of purchase,these conditions shall apply except so far as expressly agreedin writing by a properly authorised person at the head office ofthe company. No servant or agent of the company has thepower to vary these conditions orally, or to makerepresentations or promises about the condition of the goods,their fitness for any purpose or any other matter whatsoever.

Acceptance of OrderUnless otherwise expressly stated in writing, all quotations andestimates by the company are invitations to treat. Thecustomer's order is an offer and will become binding upon thecompany posting its confirmation of the order. A confirmedorder may only be cancelled or varied by the company'sconsent, the giving of the company's consent shall not in anyway prejudice the company's right to recover from thecustomer full compensation for any loss or expense arisingfrom such cancellation or variation. Any order may only becancelled if the cancellation is in writing addressed to theCompany at its Head Office at Maco Door and WindowHardware (U.K) Ltd, Eurolink Industrial Centre, Castle Road,Sittingbourne, Kent ME10 3LY, marked "cancellation" andreceived by the Company not more than three days after theoriginal contract has been completed.

GuaranteeThe customer shall carry out a thorough inspection of thegoods within a reasonable time after their delivery and shallgive written notification to the head office of the companyforthwith of any defects that a reasonable examination wouldhave revealed. In the case of other defects the customer shallgive written notification of any defects in the goods within 18months of the date of delivery or (if the goods have beensupplied by the company under a main contract with a defectsliability period) at the end of the defects liability periodwhichever is the shorter. Subject to compliance with the aboveobligations, which shall be a condition precedent to thecompany's liability the company will repair or replace (at itsoption) any components of the company's manufacture that faildue to faulty materials or workmanship. In the case of productsor components not of the company's manufacture, but suppliedby the company as part of a contract or order, the company will

assign to the customer its rights against its supplier and theserights shall be taken in extinction of and substitution for anyrights which the customer would otherwise have had alreadyagainst the company. The liability of the company under thisguarantee shall be limited to the invoice value of thecomponents replaced or repaired and the company shall notbe liable for any consequential loss or damage howsoevercaused. It shall be the duty of the customer to insure againstsuch consequential loss and to hold the company harmlesstherefore.

The company shall not be liable under the guarantee for anydefect in the goods resulting directly or indirectly from:-

a) misuse or negligenceb) incorrect installationc) their use in association withnon-compatible products

which are not to the company's specification or of thecompany's manufacture.

d) any form of modification from the original specification.

Deliverya) Unless otherwise stated, all quotations and estimates

assume delivery in full loads. The company reserves theright to charge extra for delivery in part loads whererequested by the customer.

b) The company shall deliver as near as possible to the site asa safe hard road permits. The customer shall provide at hisown expense the labour of unloading and stacking; suchlabour to be available during normal working hours on theday notified by the company for delivery.The customer shallunload with reasonable despatch. Damage due toinadequate site access or careless unloading shall be at thecustomers‘ risk. The customer shall indemnify the Companyfor any negligence/misuse in respect of the unloading.

c) The customer shall note any claim for short delivery and/orfor damage to the components on the delivery schedule atthe time of delivery and shall confirm such claims in writingto the company's head office within three working days ofdelivery. Compliance with this requirement shall be acondition precedent to any claim for short delivery and/ordamaged components. If short delivery does take place, thecustomer undertakes not to reject the goods but to acceptthe goods delivered as part performance of the contract.

d) The company undertakes to use its best endeavours todespatch the goods on a promised delivery date, but doesnot guarantee to do so and accepts no liability for latedelivery or any consequential loss arising there from. Timeof delivery shall not be of the essence of the contract unlessexpressly stipulated in writing. If the delivery is delayed bystrikes, lockouts or trade disputes (whether involvingemployees of the seller or a third party) , fire, accidents,defective materials, delays in receipt of raw materialsbought in-goods or components, Acts of God, explosion,tempest, war or threat of war, sabotage, insurrection, civildisturbance or requisition, Acts, restrictions, bye-laws,

prohibitions or measures of any kind on the part of anygovernmental, parliamentary or local authority, import orexport regulations or embargoes, difficulties in obtainingnew materials, labour, fuel, parts of machinery, powerfailure or breakdown of machinery or any other causebeyond the reasonable control of the company a reasonableextension of time for delivery shall be granted and thecustomer shall pay such reasonable extra charges as shallhave been occasioned by the delay.

e) Where the goods are not delivered by the company, but byan independent carrier, delivery by the carrier shall bedelivery to the customer.

f) If the customer fails to take delivery on the agreed deliverydate, or if no specific delivery date has been agreed, whenthe goods are ready for despatch, the company shall beentitled to store and insure the goods and to charge thecustomer the reasonable costs of doing so and to tender it'saccount for the price under condition 9.

Cost VariationAll quotations and estimates issued by the company are,unless otherwise stated, based on current cost of production(materials hours wages) and are subject to amendment on orafter acceptance to meet any recognised rise or fall in suchcost. Value Added Tax not included in the quotation or estimatewill be added where and at the rate applicable.

Government Taxes or LeviesAny variation to prices quoted as a result of government taxesand levies will be for the customer's account.

Terms of SaleThe customer shall pay the price as stated on the invoice within30 days of the end of the month in which deliveries are made,time for payment being of the essence of the contract. Paymentshall be made through the BACS system. In the event that thecustomer should fail to comply with this condition the companymay, at its sole discretion:

a) Suspend deliveries until payment is made; and / orb) Terminate the contract by 14 days notice in writing; and / orc) Treat the contract as repudiated by the customer (without

prejudice to the company‘s right to claim damages forbreach of contract.);and / or

d) Appropriate any payment made by the customer to such ofthe goods as have been delivered as the company maydetermine (or the goods supplied under the contractbetween the company and the customer); and / or

e) Charge interest (both before and after judgment) on theamount unpaid at the rate of 3% per annum above LloydsBank PLC bank rate for the time being in force until paymentis made (a part of a month being treated as a full month forthe purposes of calculating interest).

The customer shall pay all accounts in full and shall notexercise any rights of set off or counter claim against invoicessubmitted.

Title and Insurancea) Property in the goods shall remain vested in the company

until payment therefore shall have been made by thecustomer in full, and until such time as the property and thegoods pass to the customer, the customer shall hold thegoods as the company's fiduciary agent and bailee, andshall keep the goods separate from those of the customerand third parties and properly stored, protected and insuredand identified as the company's property. Until that time thecustomer shall be entitled to re-sell or use the goods in theordinary course of its business, but shall account to thecompany for the proceeds of the sale or otherwise thegoods, whether tangible or intangible, including insuranceproceeds, and shall keep all such proceeds separate fromany monies or property of the company and third parties,and in the case of tangible proceeds, properly stored,protected and insured. Until such time as the property in thegoods passes to the customer (and provided the goods arestill in existence and have not been resold) the companyshall be entitled at any time to require the customer todeliver up the goods to the company and if the customerfails to do so forthwith, to enter upon any premises of thecustomer or any third party where the goods are stored andrepossess the goods. The customer shall not be entitled topledge or in any way charge by way of security for anyindebtedness any of the goods which remain the propertyof the company but if the customer does so all moniesowing by the customer to the company shall (withoutprejudice to any other right or remedy of the company)forthwith become due and payable.

b) In the event that the goods become in anyway adapted orincorporated by the customer or any third party into anyother goods the customer shall pending sale of the goods soadapted as afore said of such composite goods hold thesame as security for repayment to the company of allmonies due in respect of the goods.

c) The customer is hereby appointed as the company's agentbut only in so far as is necessary to enable the customer topass title in the goods whether in the original state in whichthey were delivered by the company or so adapted asaforesaid or in such composite goods bona fide purchasersupon sale at a normal commercial price and on conditionthat the proceeds of sale shall be held by the customer in aseparate bank account on trust to pay to the company allmonies due from the customer to the company in respectthereof.

d) The customer shall from the time when under the terms ofthese conditions they become the sole risk of the customerfully insure the goods against all risks with a reputableinsurance company at its own expense. The insurance shallcover the company's interest in the goods, and the customershall cover the company's interest in the goods, and thecustomer shall hold a in separate bank account all moniespaid under such insurance in trust for the company and shallpay the same to the company on demand.

PackagingUnless otherwise agreed the goods shall be delivered in thecompany's standard packaging. Special packagingspecifications to meet the customer's requirements must bereferred to the company for review and acceptance. Ifaccepted by the company then any expenses incurred shall bethe customers and shall be invoiced accordingly.

LienIn addition to any rights of lien to which the company may bylaw be entitled it shall have a general lien on all goods of thecustomer in its possession (although such goods or some ofthem may be paid for) for the unpaid price of any other goodssold and delivered to the customer by the company under thesame or any other contracts.

WaiverThe company's right shall not be affected or restricted by anyindulgence of forbearance granted to the customer. No waiverby the company of any breach shall operate as a waiver of anylater breaches.

ReferencesAll orders are accepted subject to trade references beingsatisfactory.

ConstructionThe rights and obligations of the parties and all terms andconditions hereof and any disputes arising out thereof shallbeconstrued in accordance with English law to the jurisdictionof the courts of which the customer shall submit.

Product Modification/ImprovementAs a result of our continuous product improvement programmewe reserve the right to modify products, however such

modifications will be held within acceptable dimensional,weight and colour tolerances.

Return of GoodsGoods may be returned subject to the company's prioragreement and then only if they are standard stock items in "asnew" condition. The company has absolute discretion as tocharging for freight, and to charge a 20 per cent handling fee,on any goods returned.

CarriageCarriage charges will be added to all orders below £1500.00 invalue except where the customer specifically requestsovernight or other express services when carriage charges willbe added irrespective of the order value.

Insolvency of the CustomerIf the customer makes any voluntary arrangement with itscreditors or becomes subject to an administration order or(being an individual firm) becomes bankrupt or (being acompany) goes into liquidation (otherwise than the purpose ofamalgamation or re-construction) or an encumbancer takespossession or a receiver is appointed, or any of the property orassets of the customer ceases or threatens to cease carryingon business or the company reasonably apprehends that anyof the events mentioned above is about to occur in relation tothe customer and notifies the customer then the following shallbe invoked by the company. The company shall, withoutprejudice to any other right or remedy available to thecompany, be entitled to cancel the contract or suspend anyfurther deliveries under the contract without any liability to thecustomer, and if the goods have been delivered but not paid forthe price shall become immediately due and payable notwithstanding any previous agreement or agreements to thecontrary.
