Working with plastic pipes and fittingsTransport and storage of plastic pipes

Plastics are materials sensitive to impact and crushing at low temperatures.The temperature limit depends on the relevant material.

PP-RPVC-C +5 °C

PB –10 °C

Below these temperatures pipes and fittings would have to be protected particularly from impacts, crushing and other external mechanical stresses.

Plastic pipes and plastic fittings must be protected in principle from external influences. Direct sunlight, impacts and compressive stresses should be avoided. The pipes and fittings must be left in their packing until used. They should not be stored out of doors.

3 Scope of Delivery3.1 GeorgFischer’sproductrangeissubjecttochange.3.2 Theconfirmationofordershallgovernthescopeandexecutionofthecontract.

4 Data and Documents4.1 Technicaldocumentssuchasdrawings,descriptions,illustrationsanddataondimensions,

performanceandweightaswellasthereferencetostandardsareforinformationpurposesonly.Theyarenotwarrantedcharacteristicsandaresubjecttochange.

4.2 AlltechnicaldocumentsshallremaintheexclusivepropertyofGeorgFischerandmayonlybeusedfortheagreedpurposesorasGeorgFischermayconsent.

5 Confidentiality, Protection of Personal Data5.1 Eachpartyshallkeepinstrictconfidenceallcommercialortechnicalinformationrelatingto

thebusinessoftheotherparty,ofwhichithasgainedknowledgeinthecourseofitsdealingwiththeotherparty.Suchinformationshallneitherbedisclosedtothirdpartiesnorusedforotherpurposesthanthoseforwhichtheinformationhasbeensupplied.

5.2 InthecontextofthecontractualrelationwiththePurchaserpersonaldatamaybeprocessed.ThePurchaseragreestothedisclosureofsaiddatatothirdpartiessuchasforeignsubcontractorsandsuppliersetc.

6 Local Laws and Regulations, Export Controls6.1 ThePurchasershallbringtotheattentionofGeorgFischeralllocallawsandregulationsatthe

placeofdestinationwhichbearconnectionwiththeexecutionofthecontractandtheadherencetorelevantsafetyregulationsandapprovalprocedures.

6.2 Incaseofre-exports,Purchasershallberesponsibleforcompliancewithpertinentexportcontrolregulations.

7 Price7.1 Unlessagreedotherwise,thepricesshallbedeemedquotednetexworks(accordingtoIncoterms

oftheICC,latestversion)includingstandardpacking.Allsupplementarycostssuchasthecostofcarriage,insurance,export-,transit-andimportlicencesetc.shallbebornebythePurchaser.ThePurchasershallalsobearthecostsofalltaxes,fees,dutiesetc.connectedwiththecontract.

7.2 Ifthecostsofpacking,carriage,insurance,feesandothersupplementarycostsareincludedinthetenderpriceorcontractpriceorarereferredtospecificallyinthetenderorconfirmationoforder,GeorgFischerreservetherighttorevisetheirpricesaccordinglyshouldanychangeoccurintherelevanttariffs.

8 Terms of Payment8.1 ThePurchasershallmakepaymentinthemanneragreedbythepartieswithoutanydeductions

suchasdiscounts,costs,taxesordues.8.2 ThePurchasermayonlywithholdoroff-setpaymentsdueagainstcounterclaimswhichareeither

expresslyacknowledgedbyGeorgFischerorfinallyawardedtothePurchaser. Inparticular,paymentshallstillbemadewhenunessentialitemsarestillout-standingprovided

thattheProductsalreadydeliveredarenotrenderedunusableasaresult.

9 Retention of Title9.1 TheProductsshallremainthepropertyofGeorgFischeruntilthePurchasershallhavesettled

allclaims,presentandfuture,whichGeorgFischermayhaveagainsthim.9.2 ShouldthePurchaserresellProductstowhichtitleisreserved,intheordinarycourseofbusi-

ness,heshallherebybedeemedtohavetacitlyassignedtoGeorgFischertheproceedsderivingfromtheirsaletogetherwithallcollateralrights,securitiesandreservationsoftitleuntilallclaimsheldbyGeorgFischershallhavebeensettled.UntilrevokedbyGeorgFischer,thisassignmentshallnotprecludePurchaser’srighttocollecttheassignedreceivables.

9.3 TotheextentthevalueoftheProductstowhichtitleisreservedtogetherwithcollateralsecuritiesexceedsGeorgFischer’sclaimsagainstthePurchaserbymorethan20%,GeorgFischershallre-assigntheaboveproceedstoPurchaserathisrequest.

10 Delivery10.1 Thetermofdeliveryshallcommenceassoonasthecontracthasbeenenteredinto,allofficial

formalitiessuchasimportandpaymentpermitshavebeenobtainedandallessentialtechnicalissueshavebeensettled.Thetermofdeliveryshallbedeemeddulyobservedwhen,uponitsexpiry,theProductsarereadyfordespatch.

10.2 Deliveryissubjecttothefollowingconditions,i.e.thetermofdeliveryshallbereasonablyextended:

a) ifGeorgFischerarenotsuppliedintimewiththeinformationnecessaryfortheexecutionofthecontractorifsubsequentchangescausingdelaysaremadebythePurchaser.

b) ifGeorgFischerarepreventedfromperformingthecontractbyforcemajeure.ForcemajeureshallequallybedeemedtobeanyunforeseeableeventbeyondGeorgFischer’scontrolwhichrendersGeorgFischer’sperformancecommerciallyunpracticalorimpossible,suchasdelayedordefectivesuppliesfromsubcontractorslabourdisputes,governmentalordersorregulations,shortagesinmaterialsorenergy,seriousdisturbancesinGeorgFischer’sworks,suchasthetotalorpartialdestructionofplantandequipmentorthebreakdownofessentialfacilities,seriousdisruptionsintransportfacilities,e.g.impassableroads.

Shouldtheeffectofforcemajeureexceedaperiodofsixmonths,eitherpartymaycancelthecontractforthwith.

GeorgFischershallnotbeliableforanydamageorlossofanykindwhatsoeverresultingthere-from,anysuspensionorcancellationbeingwithoutprejudicetoGeorgFischer’srighttorecoverallsumsdueinrespectofconsignmentsdeliveredandcostsincurredtodate.

c) ifthePurchaserisindelaywiththefulfilmentofhisobligationsunderthecontract,inparticular,ifhedoesnotadheretotheagreedconditionsofpaymentorifhehasfailedtotimelyprovidetheagreedsecurities.

10.3 IfforreasonsattributabletoGeorgFischertheagreedtermofdeliveryorareasonableextensionthereofisexceeded,GeorgFischershallnotbedeemedindefaultuntilthePurchaserhasgrantedtoGeorgFischerinwritingareasonableextensionthereofofnotlessthanonemonthwhichequallyisnotmet.

ThePurchasershallthenbeentitledtotheremediesprovidedatlaw,itbeinghoweverunderstoodthat,subjecttolimitationsofArt.16,damageclaimsshallbelimitedtomax.10%ofthepriceofthedelayeddelivery.

10.4 PartshipmentsshallbeallowedandGeorgFischershallbeentitledtoinvoiceforsuchpartialdeliveries.

10.5 IfthePurchaserfailstotakedeliverywithinareasonabletimeofProductsnotifiedasreadyfordespatch,GeorgFischershallbeentitledtostoretheProductsatthePurchaser’sexpenseandriskandtoinvoicethemasdelivered.IfPurchaserfailstoeffectpayment,GeorgFischershallbeentitledtodisposeoftheProducts.

10.6 ShouldPurchasercancelanorderwithoutjustificationandshouldGeorgFischernotinsistontheperformanceofthecontract,GeorgFischershallbeentitledtoliquidateddamagesintheamountof10%ofthecontractprice,GeorgFischer›srighttoproveandclaimhigherdamagesremainingreserved.Purchasershallbeentitledtoprove,thatGeorgFischerhassufferednooraconsiderablylowerdamage.

11 Packing IftheProductsareprovidedwithadditionalpackingoverandabovethestandardpacking,such

packingshallbechargedadditionally.

12 Passing of Risk12.1 TheriskintheProductsshallpasstothePurchaserassoonastheyhaveleftGeorgFischer’s

works(EXWORKS,IncotermsICC,latestversion),evenifdeliveryismadecarriage-paid,undersimilarclausesorincludinginstallationorwhencarriageisorganizedandmanagedbyGeorgFischer.

12.2 IfdeliveryisdelayedforreasonsbeyondGeorgFischer’scontrol,theriskshallpasstothePurchaserwhenheisnotifiedthattheProductsarereadyfordespatch.

13 Carriage and Insurance13.1 Unlessagreedotherwise,thePurchasershallbearthecostofcarriage.13.2 ThePurchasershallberesponsiblefortransportinsuranceagainstdamageofwhateverkind. EvenwhensuchinsuranceisarrangedbyGeorgFischeritshallbedeemedtakenoutbytheorder

ofandfortheaccountofthePurchaserandathisrisk.13.3 SpecialrequestsregardingcarriageandinsuranceshallbecommunicatedtoGeorgFischerin

duetime.OtherwisecarriageshallbearrangedbyGeorgFischerattheirdiscretion,butwithoutresponsibility,bythequickestandcheapestmethodpossible.

Incaseofcarriage-paiddeliverytransportarrangementsshallbemadebyGeorgFischer.IfthePurchaserspecifiesparticularrequirements,anyextracostsinvolvedshallbebornebyhim.

13.4 IntheeventofdamageorlossoftheProductsduringcarriagethePurchasershallmarkthedeliverydocumentsaccordinglyandimmediatelyhavethedamageascertainedbythecarrier.NotreadilyascertainabledamagessustainedduringcarriageshallbenotifiedtothecarrierwithinsixdaysafterreceiptoftheProducts.

14 Inspection, Notification of Defects and Damages14.1 TheProductswillbesubjecttonormalinspectionbyGeorgFischerduringmanufacture. AdditionaltestsrequiredbythePurchasershallbeagreeduponinwritingandshallbecharged

tothePurchaser.14.2 ItshallbeaconditionofGeorgFischer’sobligationunderthewarrantiesstatedhereinafter

thatGeorgFischerbenotifiedinwritingbythePurchaserofanypurporteddefectimmediatelyupondiscovery.Noticeconcerningweight,numbersorapparentdefectsistobegivenlatestwithin30daysfromreceiptoftheProducts,noticeofotherdefectsimmediatelylatestwithin7workingdaysafterdiscovery,inanyeventwithintheagreedwarrantyperiod.

14.3 PurchasershallnotdisposeofallegedlydefectiveProductsuntilallwarrantyand/ordamageclaimsarefinallysettled.Atitsrequest,defectiveProductsaretobeplacedatGeorgFischer’sdisposal.

14.4 Atitsrequest,GeorgFischershallbegiventheopportunitytoinspectthedefectand/ordamage,priortocommencementofremedialwork,eitheritselforbythirdpartyexperts.

15 Warranty15.1 AtthewrittenrequestofthePurchaser,GeorgFischerundertaketorepairorreplaceattheir

discretion,asquicklyaspossibleandfreeofchargeallProductssuppliedwhichdemonstrablysufferfromfaultydesign,materialsorworkman-shiporfromfaultyoperatingorinstallationinstructions.

InordertoprotectemployeesfromtoxicorradioactivesubstanceswhichmayhavebeentransportedthroughdefectivepartsreturnedtoGeorgFischer’ssalesorganisation,saidpartsmustbeaccompaniedbyaMaterialSafetyDisclosureForm.TheformmaybeobtainedfromGeorgFischer’slocalsalescompanyorviawww.piping.georgfischer.com.

ReplacedpartsshallbecomepropertyofGeorgFischer.15.2 ForProductswhicharemanufacturedtospecifications,drawingsorpatternssuppliedbythe

Purchaser,GeorgFischer’swarrantyshallberestrictedtopropermaterialsandworkmanship.15.3 ThePurchasershallbeentitledtocancelthecontractortodemandareductioninthecontract

priceifalsoasecondattempttorepairorreplacetheProductshasfailed.15.4 ForProductsoressentialcomponentsmanufacturedbyathirdpartyandsuppliedbyGeorg

Fischerunderthiscontract,GeorgFischer’swarrantyislimitedtothewarrantyprovidedbysaidthirdparty.

15.5 Thiswarrantyshallnotapplytodamageresultingfromnormalwearandtear,improperstorageandmaintenance,failuretoobservetheoperatinginstructions,overstressingoroverloading,unsuitableoperatingmedia,unsuitableconstructionworkorunsuitablebuildingground,improperrepairsoralterationsbythePurchaserorthirdparties,theuseofotherthanoriginalsparepartsandotherreasonsbeyondGeorgFischer’scontrol.

15.6 NoactionorclaimmaybebroughtbythePurchaseronaccountofanyallegedbreachofwarrantyoranyotherobligationofGeorgFischeraftertheexpirationoftwelve(12)monthsfromreceiptoftheProductsbytheenduseroratthelatestwithineighteen(18)monthsoftheProductsbeingdespatchedbyGeorgFischer.

15.7 IncaseofProductsforuseindomesticinstallationsorinutilities – GeorgFischerwillassumethecostsofdismantlingthedefectiveProductandrestoringthe

damagedobjectaswellas,incaseofnegligence,allotherdirectdamagescausedbythedefectiveProduct(damagetopropertyandinjurytoordeathofpersons)uptoCHF1000000peroccurrence.

– thestatuteoflimitationsforwarrantyordamageclaims–contrarytoSection15.6–willbe5yearsfromthedateofinstallation.

16 Limitation of Liability Allcasesofbreachofcontractandtherelevantconsequencesaswellasallrightsandclaimson

thepartofthecustomer,irrespectiveonwhatgroundtheyarebased,areexhaustivelycoveredbythesegeneralconditionsofsupply.Inparticular,anyclaimsnotexpresslymentionedfordam-ages,reductionofprice,terminationoforwithdrawalfromthecontractareexcluded.Innocasewhatsoevershallthecustomerbeentitledtoclaimdamagesotherthancompensationforcostsofremedyingdefectsinthesupplies.Thisinparticularrefers,butshallnotbelimited,tolossofproduction,lossofuse,lossoforders,lossofprofitandotherdirectorindirectorconsequentialdamage.Thisexclusionofliability,however,doesnotapplytounlawfulintentorgrossnegligenceonthepartofGeorgFischerandincaseofstrictliabilityunderapplicableproductliabilitystat-utes,butdoesapplytounlawfulintentorgrossnegligenceofpersonsemployedorappointedbyGeorgFischertoperformanyofitsobligations.

17 Severability ShouldanytermorclauseoftheseGeneralConditionsinwholeorinpartbefoundtobeunen-

forceableorvoid,allotherprovisionsshallremaininfullforceandeffectandtheunenforceableorvoidprovisionshallbereplacedbyavalidprovision,whichcomesclosesttotheoriginalintentionoftheunenforceableorinvalidprovision.

18 Place of Performance and Jurisdiction18.1 PlaceofperformancefortheProductsshallbetheGeorgFischerworksfromwhichtheProducts

aredespatched.18.2 Anycivilactionbaseduponanyallegedbreachofthiscontractshallbefiledandprosecutedexclu-

sivelyinthecourtsofSchaffhausen,Switzerland. GeorgFischerhoweverreservestherighttofileactionsinanycourthavingjurisdictionover

controversiesarisingoutoforinconnectionwiththepresentcontract.18.3 ThecontractshallbegovernedbySwisslawwithoutregardtoconflictoflawprovisionsthatwould

requiretheapplicationofanotherlaw.
