SECTION I Limited Tenders are invited by the General Manager, Telecom, BSNL, Malappuram SSA, from Well Reputed and Experienced Agencies or Firms or Contractors for data collection from BTS sites in MALAPPURAM SSA and uploading and entering biannual EMF survey data in NEP Portal /OMC WEB. Those who are having EPF, ESI, Service Tax Registration and experience in similar works and PAN are eligible for participating in this tender. Schedule to the invitation of tender

Tender Document can be downloaded from the website www.keralatelecom.com,In this case DD of Rs.525/-(Five hundred and twenty five only) towards cost of tender document as should be submitted along with the tender in token of purchase of tender form . The last date for submission of tender is 14.00 hrs on 07 /12 /2016 along with DD for the amount of Rs.4973/-(Rupees Four Thousand Nine Seventy three only) as EMD in favour of Accounts Officer (Cash), BSNL, O/o GMT Malappuram payable at Malappuram

The tender documents shall be issued to MSE bidders free of cost provided the tendered item is listed in the Registration Certificate of MSE. The MSE units registered with the designated MSME bodies, like National Small Industries Corporation (NSIC) etc shall be given exemption from payment of Bid Security deposit, provided the tendered item is listed in the Registration Certificate of MSE. (a) A proof of registration with the designated MSME bodies, like District Industries Centers or with National Small Industries Corporation (NSIC) for the tendered items will have to be attached along with the bid.

(b) The enlistment certificate issued by bodies registered under MSME like District Industries Centers or National Small Industries Corporation (NSIC) should be current and valid on the date of opening of bid.

SECTION -II

Tender information

Type of tender:

1. Bid for tender should be submitted in three envelopes placed inside the main envelope. These

envelopes should contain the following: The first envelope named “Cost of tender form and EMD’ should

contain receipt/DD for cost of tender document and EMD”, second envelope named ‘Technical Bid’ should

contain all bid documents (items in section iv clause 8) and third is financial bid in separate envelop named

‘Financial Bid’.

2. All envelopes should be properly sealed (with sealing wax/packing PVC tape).

3. The main envelope must bear the following:

“Tender for Data collection from BTS sites in Malappuram SSA and uploading and entering biannual EMF survey data in NEP Portal/OMC WEB”

“NOT TO OPEN BEFORE 1430 hours on 07 /12 /2016.

SECTION III

GENERAL SCOPE OF WORK

1. General a. The Scope of Work shall be read in conjunction with TEC Guidelines (Test procedure for

measurement of electromagnetic field from base station Antenna no TEC/TP/EMF/001/02. Oct, 2012) where ever applicable in this regard. TEC guidelines are enclosed as Annexure -1.

b. Scope shall cover all BTS sites spread across Malappuram SSA .

c. Site count from the scope perspective shall be on the basis of physical location irrespective of number of tenants at site.

d. Scope shall cover capturing of the following data in brief

i. Latitude/Longitude of the site

ii. Address with postal PIN code

iii. Tower details

iv. Building height

v. Antenna Parameters

vi. EMF Parameters

vii. IBS details

viii. Layout of the site

ix. Neighboring Towers

x. Layout of the location within 60 meter radius from tower

xi. Adjacent building details within 60 meter radius

xii. Photographs

xiii. Broadband Certification

xiv. EMF survey, data uploading and data entry in OMCWEB /EMF PORTAL and handing over soft copy in CD

(As per section II clause 14)

e) EMF Survey should be carried out in the presence of concerned JTO/SDE in charge of BTS.

f) Vendor must provide captured survey data in NEP formats only.

g) Accuracy of the measured database/information is extremely critical and shall conform to specifications laid down in this scope of work/ DoT requirement. All the necessary information with an accuracy specified in the scope of work.

2. Scope of work: 1. Latitude/Longitude of site:

i. Shall be measured with an accuracy of better than +/- 5 meter. ii. The measurement shall be reported in decimal format and with 5 decimal digits. iii. GPS meter snapshot for the final captured lat/long shall be included. iv. Sufficient settling time shall be ensured while taking measurement and the GPS must get

locked to at least 4 geo-satellites.

2. Address with Postal PIN Code: i. Exact site address shall be ascertained locally and the postal code and district to be provided.

3. Tower details i. Tower Type:- Mention whether RTT / GBT / RTP/GBP / Wall Mount /GBM(GB_MAST)/COW/LP

BTS/IBS ii. Tower Height:- Height of tower structure to be mentioned.

4. Building Height:

i. In the case of Roof Top sites, building height has to be accurately assessed with an accuracy which is better than +/- 1 meter.

ii. Laser distance meter / measuring tape shall be used to measure height. iii. In case of any extension like Water tank/ roofing etc., building height to be measured including

it. 5. Antenna Parameters

i. Antenna height above ground level ii. Antenna orientation iii. Antenna tilt iv. System type (GSM/UMTS/CDMA/WIMAX) v. Make and model of antenna vi. Combiner Loss vii. RF Cable length

6. EMF Parameters The following EMF parameters can be verified with the existing data available in OMC Web/PMS and necessary corrections may be done in PMS

i. BCCH ii. Carriers per sector iii. Transmitted Power iv. Combiner Loss v. Connector Loss

7. IBS Details In case if IBS,

i. Include layout diagram, Building frontage photo, antennae photos in the main locations/corridors and photo of BTS with Board.

ii. Omni OR Directional antennae used for external coverage to be taken as normal site. 8. Layout of the site The site layout to scale should include:

i. Mark North direction ii. Location of tower/poles/GBT iii. Marking of tower corners as L1, L2, L3, L4 iv. Marking of site corners as C1,C2,C3,C4 v. Marking the position of DG, Battery, Equipments

9. Neighboring Towers

i. Shall be measured within 20 mts from the tower. ii. Details of towers (Operator/Service type/tower height/bldg. height/antenna height etc.) to be

collected. 10. Layout of the location within 60 mtr radius from the tower

i. Position of each bldg with exact azimuth. ii. Distance to bldg. from tower base. iii. Any other tower located within 60m from the tower iv. Specify if any school/hospital present

11. Adjacent buildings measurement within 60 meter radius

i. The surrounding 60 Meters radius of the site are to be surveyed and all buildings to be marked as B1, B2, B3, etc….

ii. Following data to be provided for each of these building (at the nearest point of the building from the tower):

• Horizontal Distance from Tower Base (in metres)

• Azimuth from the Tower (in Degree)

• Type of building

• Latitude of building

• Longitude of building

• Height of building (m) Above Ground Level

• No. of floors in the building

• Height of one floor of the building

iii. Number of floors shall be captured starting from G as ground ex. First floor= G+1, second floor = G+2 etc.

iv. All distance/height measurement accuracy shall be better than +/- 1 meter. v. Nearest towers within 60 m to be marked as T1, T2, etc. …

12. Photographs

i. Size of all photos should be less than 100KB ii. At each site photographs of panoramic views should be captured at 30 degree interval,

capturing all available signage, adjacent buildings, towers etc. iii. Front view of adjacent buildings and towers should be provided (to identify the buildings and

number of floors) iv. All photographs captured should be date stamped. v. Orientation of the camera shall be aligned with the true north and the angle at which the

photograph is to be taken, shall represent the true angle at which the view is to be captured.

vi. There could be situation where photography could be prohibited by law like defense areas. All such cases must be notified with justification and reason thereof properly get documented (a letter from the concerned agency that photography is not allowed, has be produced along with the certification). Attempt must be made with the authorities even before declaring the location non approachable from photograph point of view.

vii. Signage board photos should be labeled as Caution.jpg, Danger.jpg, Warning.jpg, Address.jpg, with a view of neighbouring area.

viii. If there is missing Signage, post installation of Signage board the Photos should be taken and complete the survey.

ix. The rules for placement of signage are as follow:

• DANGER: On the tower structure at a height of 2 to 4 meters (size 3”x2”)

• CAUTION: At the entry point of roof of the building of BTS in case of RTT or at the entrance of BTS compound in case of GBT. (size 3”x2”)

• WARNING: Where the tower is accessible by public. (size 3”x2”)

• ADDRESS BOARD (Tower Identification Board): At the entry point. Should be legible. It should have details of the Name of IP Provider, Site Name, IP ID, list of the Tenants, a statement that the site is well within EMF Norms set by DoT ( Self Certified / TERM Certified ) along with TERM Audit Date if any , Contact details of Technician in case of emergency. If the site is not audited, space should be provided for date entry.

• The sign boards should be clearly visible and identifiable

x. Provide photos in folder structure also, folder name will be Site ID and required photos inside

respective Site ID’s folder ie. “RP-00001” RP ID as folder name and 0.jpg, 30.jpg, etc inside “RP-00001” folder.

xi. Photos should be in .jpeg, .jpg, formats only. xii. Attach a photo in which GPS measurement screen as well as a portion of the tower is clearly

visible, to confirm the Lat/Long of the tower.

13. Broadband Certification i. All the above activities are carried to capture the EMF Self Certificates. Post the data

accumulation, if the site is non-compliant in Calculation Method, Broadband measurements are to be conducted at the sites, and necessary data submission should be done.

14. Data Submission

i. The data should be submitted in the format for the normal EMF submission procedure in NEP portal/OMC Web.(Contact BSS units while uploading for clarification regarding up loading procedure).

ii. The soft copy of excel attachment, photos and additional details if any, should be submitted along with. Provide data in folder structure, folder name will be Site ID and required photos and files inside respective Site ID’s folder with prescribed file name.

iii. 15.Work Schedule by TERM cell: 1. Survey data and document submission (in OMC Web and in CD) (by field team) - on weekly basis. 2. Field work completion and documentation (by field team) - on weekly basis 3. Data verification (by EMF team) - on weekly basis 4. Data Upload and certificate generation in NEP Portal (by EMF team)

- to be completed by January 2017 5. Broadband measurement at non-compliant sites and certificate generation-(by field team in

coordination with EMF team) - to be completed by February 2017 6. Verification by TERM Cell - 5th March 2017 7. Data correction, if any, and final submission (by EMF team) - 15th March 2017

Penalty on delayed & wrong data submission per BTS / Service:

In case of delay in submission of self certificates as per schedule,

� A penalty of Rs.5000/- will be levied for a period of 30 days, � Rs. 20000/- for beyond 30 days and up to 60 days � Rs. 50000/- for beyond 60 days and up to 90 days, and after that � The BTS has to be SHUT DOWN.

In case of incomplete or wrong submission of self certificates as per schedule, On detection of deficiencies by TERM Cell, penalty of Rs.5000/- per certificate will be levied immediately. In addition, if corrected certificate is not submitted,

� A penalty of Rs.20000/- will be levied for a period of 15 days from the date of communication from TERM CELL

� Rs. 50000/- for beyond 15 days from the date of communication from TERM CELL and up to 30 days , and after that

� The BTS has to be SHUT DOWN

Note: Any amendment directed by TERM Cell will be intimated as and when received.

3. Tool and Test Equipment:

a. The Vendor shall provide all necessary and calibrated tools for carrying out data measurement and submission to the central portal.

b. This shall include but not limited to (a) GPS within an accuracy of better than 5meter (inbuilt within tablet/an external device); (b) Camera to capture panoramic views (c) Laser distance measurement tool.

c. Vendor shall guarantee the accuracy of test equipment used for the purpose.

d. Quantity of test devices shall be commiserating with the contractual timeline. Under no circumstances vendor shall be given any extra time to complete the measurement task on count of inadequate number of test devises used by the vendor.

e. All devices used shall be in proper working condition during the entire process. Vendor shall also ensure availability of certified back-up tool availability.

4. Transportation for conducting Survey.

a. Transportation for the survey shall be part of the Vendor’s scope.

b. Number of Vehicles (or any other alternative arrangement) for the purpose shall be arranged by the Vendor and aligned with the timeline to compete the task.

5. Resources

a. The Vendor shall ensure adequate number and competent resources are deployed who are well conversant with & able to carry out data measurement and forward the data to the central portal.

b. They shall ensure proper receipt of information at the central portal, these are then validated for accuracy and correctness with the nodal in-charge.

c. Ensure Field Engineers are trained properly for (a) using of the instruments (b) precautions are taken while taking measurement and (c) have the skill set to ensure accuracy and adherence to specifications.

6. Quality adherence:

a. All measurements shall be accurate to ensure there are no measurement errors introduced.

b. Data submitted will be subjected to audit independently and in case any deviation in the measurement noticed then the entire lot of measurement carried out by that individual group will be completely rejected and shall be entitled for nil payment.

c. All instruments used shall be properly calibrated for its functioning and accuracy.

7. Project Management

a. The Vendor shall be responsible for all Project Management during the Site Measurement Process.

b. Vendor shall draw Project schedule that shall broadly align with the required milestone and ensure all requite data gets captured well ahead of the given timeline for completion.

SECTION IV GENERAL INSTRUCTIONS TO BIDDERS

1. Sealed tender should be addressed to Deputy General Manager (BSS), Office of the General Manager Telecom, Malappuram and should reach him on or before 14.00 hrs on 07 /12 /2016. Envelope containing the Tender should be properly sealed with sealing wax or packing pro-tape and super scribed as “Tender for data collection from BTS sites in Malappuram SSA and uploading biannual EMF survey data in OMCWEB /NEP PORTAL” 2. Tenders can either be sent by registered post with acknowledgement due or can be deposited in the box provided for the purpose in the office of GMT, BSNL, DPO Road,Malappuram-676 505. No separate acknowledgement will be given. BSNL will not be responsible for any delay in transit of tender sent by post or any other means. 3. An earnest money of Rs. 4973/- (Rupeese Four Thousand and Nine seventy three only) must be deposited in the form of DD issued by a scheduled bank, drawn in favour of the Accounts Officer (Cash), BSNL, O/o the General Manager Telecom , Malappuram – 676 505, payable at Malappuram. or EMD may be deposited at the cash counter, O/o GMT,BSNL,Malappuram-676 505 and the receipts obtained in the form of ACG-67 should be attached with the tender .The tender shall not be considered if earnest money is not deposited with the tender. 4. Eligibility Requirements

4.1. The bidder should have experience at least one Year for the same work for any major telecom service provider in India costing an amount not less than Rs.1 Lakh

4.2. List of Documents for eligibility requirement as mentioned in Para 8 of this document. 5. COST OF BIDDING The bidder shall bear all costs associated with the preparation and submission of the bid. BSNL will, in no case, be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process

6. Amendment of Bid document:

At any time prior to the date of submission of bids, BSNL may, for any reason whether at its own initiative or in response to a clarification requested by a prospective bidder, modify the bid documents by amendment.

7. Documents comprising the bid

7.1 The bid prepared by the bidder shall ensure availability of the following components

i) Documentary evidence establishing that the bidder is eligible to bid and is qualified to perform the contract if its bid is accepted in accordance with clause 4 & 8

ii) Bid security furnished in accordance with clause 3

iii) Rate schedule completed in accordance with clause 13 & 14

8 .Documents establishing bidder’s eligibility and qualification. 8.1. In the absence of any of the following bid will be rejected

. 8.2 .The Bidder is expected to examine all instructions, forms, terms and specifications in the Bid Documents. Failure to furnish all information required as per the Bid Documents or submission of bids not substantially responsive to the Bid Documents in every respect will be at the bidder’s risk and may result in rejection of the bid. 8.3.BSNL reserves the right to disqualify such bidders who have a record of meeting contractual obligations against earlier contracts entered in to with BSNL. Decision to GMT, Malappuram in this regard is final

9 Article of Association , Memorandum of Association , partnership deed or proprietorship deed and original power of attorney as the case may be wherever required.

10 A proof regarding current NSIC registration.

11 The authorization of the competent authority for signing the tender document, bid agreement etc.

12 Certificate of incorporation wherever applicable

13 Labour license.

8.4.VERIFICATION OF DOCUMENTS AND CERTIFICATES

The bidder will ensure that all the documents and certificates, including experience/ performance and self

certificates submitted by him are correct and genuine before enclosing them in the bid. The onus of

proving genuineness of the submitted documents would rest with the bidder.

Security Clause as per latest guidelines and requirement

Mandatory Licensing requirements with regards to security related concerns issued by the Government of

India from time-to-time shall be strictly followed and appropriate clauses shall be added in all bid

documents. Necessary guidelines in this regard shall be issued separately.

9. Security deposit 9.1. The contractor whose tender has been accepted shall deposit an additional sum, at the time of executing the Contract Agreement, which along with the EMD submitted with the tender, will make the security deposit equal to 5% (five percent) of the estimated cost or accepted tender cost whichever is higher. 9.2 The security deposit can be remitted by Cash/demand draft drawn in favour of the Accounts Officer(Cash),BSNL,O/o GMT, Malappuram and payable at Malappuram. EMD remitted by the successful tenderer can be adjusted against the Security deposit, balance received only be payable. 9.3 All agencies/firms/contractors including MSEs who are registered with the designated with the MSME bodies like NSIC etc shall furnish security deposit.

The security deposit will be refunded after six months from the date of payment of the final bill during the contract period/extended period after meeting all the contractual obligations. 9.4. EMD and Security Deposit will not bear any interest.

10. Period of bid validity/Agreement period: The tender will remain open for acceptance up to 180 days from the date of opening of the tender. In exceptional circumstances, the customer may request the bidder’s consent for an extension to the period of bid validity. The request and response thereto shall be made in writing. The period of discharge of EMD provided under clause 3 shall also be accordingly extended. A bidder accepting the request of period extension of the validity of bid will not be permitted to modify any of the terms and conditions of the bid. Rates once approved shall be firm and valid for one year from the date of agreement, However BSNL reserves the right to extend the duration of CONTRACT for further six months, at the same rate and terms & conditions.

11. Format and signing of Bid: 11.1 All pages of the bid and Annexure1 shall be signed by the authorized signatory of the firm.

11.2 Corrections and Alteration: Each correction and alteration in the bid document has to be necessarily authenticated by the authorized representative of the bidder under his signatures. 11.3 Complete document of bid in original duly filled and signed on each page of the document, has to be submitted as bid document.

12 Power of Attorney: (if applicable) 12.1 The power of attorney should be submitted and executed on the non-judicial stamp paper of appropriate value as prevailing in the respective states and the same may be attested by a Notary Public or registered before Sub-Registrar of the state(s) concerned.

12.2 The power of Attorney be executed by a person who has been authorized by the Board of Directors of the bidder in this regard, on behalf of the Company/institution/body corporate.

12.3 In case of the bidder being a partnership firm, the said Power of attorney should be executed by all the partner(s) in favour of the said Attorney.

13. The contractor shall quote the rate per site for data collection. The rate quoted shall be inclusive of any levies and taxes but exclusive of service tax if applicable. Service tax will be paid separately at prevailing rates to the agencies who have valid service tax registration and in such cases the service tax registration number shall be furnished in invoices. 14. The rate should be quoted in the Rate schedule Performa attached along with the tender document (Section XIII), in figures and in words in English. If there is a discrepancy between words and figures, the amount in words shall prevail.. No overwriting is allowed. 15. Submission of bids 15.1 Tenders should be sent by registered post with AD or should be dropped in the tender box available in the Office of GMT, Malappuram. No separate acknowledgement will be issued. Tenders received in unsealed covers and those received after specified date and time as in NIT will be rejected. The tenders will be opened at 14.30 hours on 07/12/2016 by the undersigned or any other person as may be authorized by the GMT, Malappuram on his behalf, in the presence of the tenderers or their authorized representatives available.

15.2Bids must be submitted by the bidders on or before the specified date & time indicated in section I.

15.3 The BSNL may, at its discretion extend this deadline for the submission of the bids by amending the bid documents in accordance with Clause 6. In such case all rights and obligations of BSNL and bidders previously subject to the deadline will thereafter be subject to the deadline as extended.

16. LATE BIDS: Any bid received by BSNL after the deadline for submission of bids prescribed by BSNL pursuant to Clause 15.1, shall be rejected and returned unopened to the bidder.

17. MODIFICATION AND WITHDRAWAL OF BIDS: No bid shall be modified after submission of bids.

18. BID OPENING AND EVALUATION OPENING OF BIDS: 18.1 BSNL shall open the bids on the date and time mentioned in the NIT or on the adjourned date as may be notified later, in the presence of bidders or their authorized representatives who choose to attend, at due time on due date at address specified in clause 6 of Section I. The bidder’s representatives, who are present, shall sign in an attendance register. Authority letter to this effect shall be submitted by the bidders before they are allowed to participate in bid opening (Format is given in section X). 18.2 A maximum of two representatives for any bidder shall be authorized and permitted to attend the bid opening. 18.3 The Bidder's name, Bid prices, modifications, bid withdrawals and such other details as the bidder, at its discretion, may consider appropriate; will be announced at the opening. 18.4 The date fixed for opening of bids, if subsequently declared as holiday by the BSNL, the revised date of schedule will be notified. However, in absence of such notification, the bids will be opened in the next working day, time and venue remaining unaltered. 19. CLARIFICATION OF BIDS FROM BIDDERS: To assist in the examination, evaluation and comparison of bids, BSNL may, at its discretion ask the bidder for the clarification of its bid. The request for clarification and the response shall be in writing. However, no post bid clarification at the initiative of the bidder shall be entertained. 20. PRELIMINARY EVALUATION: 20.1 BSNL shall evaluate the bids to determine whether they are complete, whether any computational errors have been made, whether required sureties have been furnished, whether the documents have been properly signed and whether the bids are generally in order. 20.2 If there is a discrepancy between the words and figures, the amount in words shall prevail. If the bidder does not accept the correction of the errors, his bid shall be rejected. 20.3 Prior to the detailed evaluation, pursuant to clause 22, the BSNL will determine the substantial responsiveness of each bid to the Bid documents. For purposes of these clauses, a substantially responsive bid is one which conforms, to all the terms and conditions of the Bid Documents without material deviations. BSNL's determination of bid's responsiveness is to be based on the contents of the bid itself without recourse to extrinsic evidence. 20.4 A bid determined as substantially non-responsive will be rejected by BSNL and shall not subsequent to the bid opening be made responsive by the bidder by correction of the non-conformity. However BSNL reserves its right to negotiate with L1 tenderer 21. Waiving of minor infirmity. The BSNL may waive any minor infirmity or non-conformity or irregularity in a bid which does not constitute a material deviation, provided such waiver does not prejudice or affect the relative ranking of any bidder.

22. Evaluation of substantially responsive Bids: 22.1 BSNL shall examine the bids to determine whether these are complete and are generally in order, without computational errors, with required enclosures and appropriate documents. Bids without quoting for all the items will not be evaluated.

23. Evaluation Criterion. 23.1. Evaluation will be made on the basis of sum of rate quoted for work and supply vide Section XIII multiplied with number of quantity mentioned in Section IX,but excluding service tax . 23.2 It may be noted that the methodology given in clause 23.1. is applicable only for the purpose of evaluation of bids and shall have no bearing on actual number of sites for which the services are required. 24. Award of Contract 24.1. BSNL will consider issue of Letter of Intent (LOI) to the lowest bidder amongst those who meets the eligibility requirements as mentioned in Clause 4 and agreeable to all terms and conditions. The bidder shall within 10 days of issue of LOI give its acceptance and furnish security deposit as mentioned in clause 9 and sign the contract with BSNL. The signing of contract shall constitute the award of the contract on bidder. 24.2. BSNL shall enter into Annual contract with the successful bidder, based on the terms and conditions of the bid document. The agreement as per Section -XI, shall be executed in non judicial stamp paper for Rs.200/-. The cost of the stamp paper shall be borne by the bidder. 24.3 After award of contract to the approved bidder DE(BSS) shall issue the work orders for commencement of the work. 24.4 After awarding of the contract, BSNL reserves the right to add/delete the number of sites for which the services are required at any site. The awarded work should be completed within the time specified in the work order. 24.5 Annual contract charges, terms and conditions of this tender etc. shall be valid in full, throughout the contract period. The above Annual contract shall be signed between DGM (BSS), O/o the GMT, BSNL, Malappuram and the chosen contractor. The signing of agreement shall constitute the award of contract of the bidder. 24.6 .Work order will be issued by DE BSS and all the works included in the work order should be completed within as per the time limit specified in the work order failing which liquidated damage will be imposed .In addition to this ,if any penalty is imposed by TERM Cell the same will be passed on to the vendor. 24.7 The successful bidder’s bid security will compulsorily be converted to form part of

performance security deposit in accordance with the relevant Clause. The bid security of the

unsuccessful bidder will be refunded as promptly as possible, but not later than 30 days after the

expiry of the period of bid validity prescribed by the BSNL

24.8 If any document/ paper/ certificate submitted by the successful bidder is found / discovered to be false

/ fabricated / tempered / manipulated either during bid evaluation or during award of contract or thereafter,

then

the bid security shall be forfeited and the Acceptance of the Tender shall be re-considered and revoked. The Tenderer may be debarred from participating in similar tenders called for by the SSA for a period of Three years from the date of issue of the order for revocation

25. Right to vary quantum of work BSNL shall have the right to increase or decrease the total number of sites for which services are required at any time up to 35% of the total requirement without any change in per site rate or other terms and conditions at the time of award of contract or during the operation of contract. 26. BSNL'S RIGHT TO EXTEND TIME OF AWARD: 27.1 The assigned work is time bound and is to be completed within the timeframe. The correctness of the submitted data is the responsibility of the bidder. At a later stage, if any of the data is found to be incorrect and if any penalty is imposed by Term cell due to this, the amount of penalty will be passed on to the bidder and the successful bidder is bound to compensate the penalty to BSNL. Bidder will be further responsible for any loss to BSNL consequent on the action by TERM cell in this regard. 27.2 BSNL's right to accept any bid and to reject any or all bids: BSNL reserves all rights to accept or reject wholly or partially any or all bids, at any time prior to award of contract without assigning any reasons and without incurring any liability of customer’s action on the above grounds, to the affected bidder(s). The decision of GMT BSNL Malappuram shall be final in this regard. 28. Near relatives of BSNL Employees either directly recruited or on deputation are prohibited from participating in tenders in different units of BSNL. The near relatives for this purpose means a. Members of Hindu Undivided family, b. Husband and wife. c.The one is related to the other in the manner as father, mother, sons, daughters, daughters- in- law, sons-in-law, brother, brother’s wife, sister, sister’s husband. A certificate to this effect be given in the prescribed format enclosed.(Section XI) 29. TERMINATION OF CONTRACT:

29.1. The General Manager, BSNL, Malappuram reserves the right to terminate the contract by giving notice of 15 days in writing without assigning any reason ,there of. The period of 15 days will count from the date of despatch of the notice. The BSNL shall not be liable for payment of any compensation for any loss that the contractor may be put to or alleged to be put to on account of such termination. 29.2. The General Manager Telecom, BSNL Malappuram reserves the right to terminate the contract and to forfeit the Security Deposit of the contractor in the following reasons. (i) In case the Contractor fails to carry out the work during the contract period. (ii). If the works of the contractor is found unsatisfactory / violation of any or all terms and conditions of this tender shall lead to termination of contract.

30.The tenderer is being permitted to give tenders in consideration of the stipulations on his part that after submitting his tenders, he will not resale from his offer or modify the terms and conditions thereof. If the tenderer fails to observe and comply with the foregoing stipulation the aforesaid amount of EMD will be forfeited. In the event of the offer made by the tenderer not being accepted, the amount of earnest money deposited by the tenderer will be refunded to him after he has applied for the same, in the manner prescribed by BSNL. 31. The sections of the tender form should be returned intact and pages should not be detached. Overwriting/erasing in rates to be quoted by the tenderer will not be allowed otherwise the tenders may be rejected. 32. The tenders are liable to be ignored if complete information as required is not given therein or if the particulars asked for in the sections to the tenders is not fully filled in. 33. If the tenderer does not accept the offer, after issue of letter of award by BSNL within 10 days, the offer made shall be deemed to be withdrawn without any notice & earnest money forfeited.

35.In case of partnership firms, where no authority has been given to any partner to execute the contract/agreement concerning the business of the partnership, the tenders and all other related documents must be signed by every partner of the firm. A person signing the tender form or any other documents forming part of the contract on behalf of another shall be deemed to warranty that he has authority to bind such other and if, on enquiry it appears that the persons so signing had no authority to do so, BSNL shall without prejudice to other civil and criminal remedies cancel the contract and hold the signatory liable for all costs and damages. Each page of the tenders and the sections to the tenders and annexures , if any should be signed by the tenderer. 35. The rates quoted by each firm for providing services under work contract in tenders are to be given both in words and figures failing which the same is liable to be rejected. Tenderer is at liberty to be present or to authorise a representative to be present at the time of opening of the tenders. The authorised representative should produce letter of authorisation from the tenderer for attending bid opening as per section X. 36. BSNL Malappuram not bound to accept the lowest or any other tenders and also reserve to itself the right of accepting the tenders in whole or in part. The bidder is however at liberty to tenders for the whole or any portion or to state in the tenders that the rates quoted shall apply only if the tenders are considered fully. Other conditional Tenders will not be accepted. 37. An amount of 5% of total contract value for the contract period as a security deposit in the form of crossed demand draft for the contract is to be deposited by the selected agency/successful tenderer only after receiving a communication from BSNL Malappuram. In the event of non-deposit of the same, the earnest money deposit will be forfeited. 38. Service tax or any other tax applicable or made applicable after awarding the contract in respect of this

contract shall be payable by contractor and BSNL will not entertain any claim whatsoever in this respect. (However the service taxes or any other tax which is as per the rules of the Govt. shall be deducted at source from monthly bills of the successful tenderer, as per rules/instructions made applicable from time to time by government.)

39. GMT,Malappuram reserves the right to reduce or terminate the period of contract or to extend its duration in the interest of the department, for any justifiable reasons, not mandatory to be communicated to the tenderer. 40. Decision of the GMT, Malappuram shall be final for any aspect of the contract and binding to parties. Disputes arising, if any on the contract will be settled at his/her level by mutual consultation and in case of failure of settlement dispute shall be referred to the sole arbitrator to be appointed by the GMT, Malappuram. The decision of the sole Arbitrator so appointed shall be final and binding on the parties. Arbitration proceedings shall be governed by the Arbitration & Conciliation Act, 1996. 41. Acceptance by the BSNL will be communicated by letter or any other form of communication. Formal letter of acceptance and work order of the Tenders will be forwarded as soon as possible, but the earlier instructions in the letter should be acted upon immediately. 43 The rate should be quoted keeping in view of all statutory liabilities (like minimum wages, EPF, ESI, Services Tax etc.), other factors like service charge, cost of input etc. 44..DISPUTE AND ARBITRATION:

i. In the event of any question, dispute or difference arising under this tender or in connection there with except as to matter the decision of which is specifically provided under this tender, the same shall be referred to sole arbitration of the General Manager Telecom, BSNL, Malappuram or in case his designation is changed or his office is abolished then in such case to the sole arbitration of the Officer for the time being entrusted whether in addition to the functions of the General Manager Telecom, BSNL, Malappuram or by whatever designation such Officers may be called (hereinafter referred to as the said officer) and if the General Manager Telecom or the said officer is unable or unwilling to act as such the sole arbitration some other person appointed by the General Manager Telecom BSNL Malappuram or the said Officer . The agreement to appoint as Arbitrator will be in accordance with the Arbitration and Conciliation Act 1996 ii. There will be no objection to any such appointment that the Arbitrator is BSNL Servant or that he has to deal with the matter to which the agreement relates or that in the course of his duties as BSNL servant he has expressed views on all or any of the matter under dispute. The award of the Arbitrator shall be final and binding on the parties in the event of such Arbitrator to whom the matter is originally referred, being transferred or vacating his office or being unable to act for any reasons whatsoever, such General Manager Telecom BSNL Malappuram or the said officer shall appoint another person to act as Arbitrator in accordance with terms of the agreement and the person so appointed shall be entitled to proceed from the stage at which it was left out by his predecessors. iii. The Arbitrator may from time to time with the consent of parties enlarge the time for making and publishing the award. Subject to aforesaid Arbitration and Conciliation Act 1996 and the Rules made there under, any modification thereof for the time being in force shall be deemed to apply to the Arbitration proceeding under this clause. iv.The venue of the arbitration proceeding shall be the office of the GM Telecom, BSNL, Malappuram or such other places as the Arbitrator may decide.

45. SUBMISSION OF BILLS:

Bills are to be submitted in triplicate on completion of all works mentioned in a work order. The work order in original should be attached along with the bill. Advance stamped receipt may also be submitted along with bill. PAN no.,S Tax Reg No.,KVAT Reg. etc of the contractor should invariably be written on all bills.

46. PAYMENT OF BILLS:

a. On receipt of the bills, the SDEs concerned, should forward the bills duly passed along with duly certified to the effect that the work has been carried out satisfactorily through the respective DEs for arranging payment.

b. The contractor will not be eligible to get interest on the amounts due in the pending bills in case the bill(s) are delayed due to unavoidable reasons. Income Tax / Work Contract Tax or any other taxes payable as per Rules will be deducted from the bill of the contractor.

47. e-payment 47.1 In cities /areas where ECS/EFT facility is provided by banks, the bidder must have accounts in such ECS/EFT facility providing banks and that bank account number shall be quoted in the bids by the bidder. The cost of ECS/EFT will be borne by BSNL in all cases where the payment to Contractor is made in a local branch i.e; bidder is having bank account in the same place where the payment is made by BSNL unit.

47.2.In case payment is made to outside branch i.e: bidder is having account not in the same place from where the payment is made by BSNL unit, the crediting cost will have to be borne by the bidder/recipient only. 47.3.The bidder must submit the Mandate form (Section XIV) for transfer of payment through Electronic Clearance/Electronic Fund transfer. 47.4 .In case e-payments is not possible, payment shall be made by Account payee cheque 47.5. Any increase in Taxes or other statutory duties / levies shall be to the contractor's account. However, the contractor shall pass on benefit of any decrease in the taxes / duties to the customer. 47.6 Payment will be made by central settlement cell (ERP),O/o CGMT,Kerala Circle ,Trivandrum

48. SET OFF : Any sum of money due and payable to bidder (including security deposit refundable to him) under this contract may be appropriated by BSNL or any other person or persons contracting through the BSNL and set off the same against any claim of BSNL or such other person or persons for payment of a sum of money arising out of this contract or under any other contract made by bidder with BSNL or such other person or persons contracting through the BSNL.

49. FORCE MAJEURE If any time, during the continuance of this contract, the performance in whole or in part by either party or

any obligation under this contract is prevented or delayed by reason of any war, or hostility, acts of the public enemy, civil commotion sabotage, fires, floods, explosions, epidemics, quarantine restrictions, strikes, lookouts or act of God (Herein after referred to as events) provided notice of happenings, of any such eventuality is given by either party to the other within 21 days from the date of occurrence thereof, neither party shall by reason of such event be entitled to terminate this contract nor shall either party have any such claim for damages against the other in respect of such non-performance or delay in performance and work under the contract shall be resumed as soon as practicable after such event may come to an end or cease to exist, and the decision of the BSNL as to whether the work have been so resumed or not

shall be final and conclusive, provided further that if the performance, in whole or part of any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 60 days either party may, at his option terminate the contract.

50.INSOLVENCY OR DEATH OF contractor:-

i.In the event of the contractor being, adjudged insolvent or going voluntarily into liquidation of having received order or other order under insolvency act made against him or in the case of Company, of the passing resolution, or making of any order for winding up whether voluntarily/or otherwise, or in the event of the contractor failing to comply with any of the conditions here in specified, the GMT, Malappuram shall have the power to terminate the contract without any notice.

ii. Contractor's heirs/representatives shall, without the consent in writing of the GMT, Malappuram have no right to continue to perform the duties or engagement thereof, the contractor under the contract in case of his death. In the event of the contractor, winding up his company on account of transfer or merger of his company with any other, the contractor shall make it one of the terms and stipulations of the contract for the transfer of his properties and business, that such other person or company, shall continue to perform the duties or engagement of the contractor under this contract and be subject to his liabilities there under.

iii. Without prejudice to any of the rights or remedies under this contract, if the contractor dies, the GMT, Malappuram shall have the option of terminating the contract without compensation to the contractor, which does not amount to Breach of the contract.

iv. If contractor without written approval of BSNL assign or sublet his contract, or attempt to do so, or become insolvent or commence any insolvency proceedings or make any composition with his creditors or attempt to do so, or if any bribe gratuity, gift, loan, perquisite, reward or advantage pecuniary or otherwise, shall either directly, or indirectly, be given, premised or offered by the contractor, or any of his servants or agent to any public officer or person in the employment of Government in any way relating to the office or employment, or if any such officer or person shall become in any way directly or indirectly interested in the contract, the GMT, Malappuram shall have power to adopt any of the courses as he may deem fit in the interest of BSNL.

v. Where the contractor is a partnership firm, the previous approval in writing of the GMT, Malappuram shall be obtained before any change is made in the constitution of the firm. Where the contractor is an individual or a Hindu undivided family business concern such approval as aforesaid shall likewise be obtained before the contractor enters into any partnership agreement where under the partnership firm would have the right to carry out the work hereby undertaken by the contractor. If previous approval as aforesaid is not obtained, the contract shall be deemed to have been assigned in the contravention of terms of tender and the same & action may be taken accordingly.

51. Jurisdiction : Subject to the Arbitration here in above provided, any suit or proceedings to enforce the right of either of the parties hereto under this agreement shall be instituted and tried only by the court in city of Malappuram, Kerala, and by no other court and both the parties hereto hereby expressly agreed to submit to the jurisdiction of such court.

SECTION VI SPECIAL CONDITIONS OF CONTRACT

1. The employees deployed for the work should be disciplined in the premises of BSNL.

2. The contractor shall not sublet the work without prior written permission of the BSNL.

3. The contractor or his workers shall not misuse the premises allotted to them for any purpose other

than for which the contract is awarded.

4. The persons so provided by the agency under this contract will not be the employee of the BSNL and there will be no employer employee relationship between the BSNL and the person so engaged by the contractor in the aforesaid services.

5. Payment for work contract will be made after completion of all works specified in a work order and

approved by TERM Cell upon submission of pre receipted bill.

6. The Tenders should indicate the lump sum amount in respect of all the services covered under this contract. No request for alteration in the rates once quoted will be permitted within one year.

7. The rates to be quoted should include cost of each and every item including transportation cost,

manpower cost and (taxes etc). BSNL shall not bear any extra charge on any account whatsoever i.e. EPF contribution, Uniform, OTA etc.

8. The work involved requires taking measurements / photographs from tower top / roof top of the buildings. All the safety measures required during the execution of the work shall be ensured by the contractor. The contractor should have arranged insurance coverage for all the employees deployed for any kind of such works. Any unexpected eventuality happened during the execution of the work in the contract period shall be covered under the responsibility of the contractor. BSNL is fully exempted from the responsibility of such unexpected acts.

9. The contractor will discharge all his legal obligations in respect of the workers/supervisors to be employed/ deployed by him for the execution of the work in respect of their wages and service conditions and shall also comply with all the rules and regulations and provisions of law in force that may be applicable to them from time to time.

10. The contractor shall indemnify and keep indemnified the BSNL from any claims, loss or damages

that may be caused to it on account of any failure to comply with the obligations under various laws. In case of any dispute, the decision of GMT,BSNL,Malappuram shall be final and binding on the contractor.

11. Income Tax will be deducted from the payments due for the work done as per rule. 12. The Contractor must employ adult employees only. Employment of the child labour may lead to the

termination of the Contract. 13. The contract is subject to the condition that the tenderer will comply with all the laws and acts of

Central Govt., State Govt. relating to this contract made applicable from time to time. 14. Risk Clause: BSNL Malappuram reserves the right to discontinue the service at any time, if the

services are found unsatisfactory by giving a show cause to be replied within a week and also has the right to award the contract to any other agency at the risk and cost of current agency and excess expenditure incurred on account of this can be recovered from Security deposit or pending bills or by rising a separate claim.

15. The BSNL will not be responsible either to the Contractor or to its workers deployed at these work points for any medical assistance/injuries/death or any kind of loss occurred to employees deployed by the contractor

16. The contractor shall be fully responsible for the damages caused by the workmen supplied under his tender during execution of work, to the properties belonging not only to BSNL but also to other Departments, Organizations, Other Private Operators/ Organizations and individuals and the cost of such damages will be recovered from the amount payable to the contractor.

17. The persons employed by the bidder are to be paid by the bidder with fair wages as per Labour Laws of Central/State Government. Other benefits to the persons like Bonus, ESI, Gratuity, PF etc., are complete responsibility of the bidder. Any injury/mishap caused to the worker during the course of work shall be the responsibility of the bidder.

18. The bidder is governed by the Workman’s Compensation Act in case of any claim by the persons employed by him/her/firm. The Service Contractor shall indemnify the Department of all claims made by the employees of the service contractor.

19. Bidder shall have insurance / Group insurance scheme for the employs deployed for CONTRACT. 20. The bidder shall provide proper identity card to the persons utilized/ subcontractors

17. LIQUIDATED DAMAGES CLAUSE: 21.1. An amount equivalent to 0.5% of contract amount, subject to a maximum of 12%/- will be levied as liquidated damages per day. Whenever and wherever it is found that the work is not up to the mark in any Section, It will be brought to the notice of the supervisory staff of the firm by BSNL and if no action is taken within one day liquidated damages clause will be invoked. 21.2. Any misconduct / misbehavior on the part of the workers deployed by the agency will not be tolerated and such person (s) will have to be replaced immediately. 21.2 The GMT,BSNL, Malappuram reserves the right to reject any or all Tenders in whole or in part without assigning any reasons therefore. The decision of GMT Malappuram SSA shall be final and binding on the contractor/agency in respect of any clause covered under the Contract.

: 22. Contract Labour License & EPF & MP Act 1952 The contract Labour License required for employing sufficient labourers to execute the work may be obtained from

the Asst. Labour Commissioner. The provisions of the Contract Labour (Regulation & Abolition) Act should be strictly

adhered to while engaging labourers for the work. A statement showing the number of labourers engaged on each day for

the work executed should be submitted on a monthly basis before 5th of succeeding month to this office. The contractor

should fulfill and comply with the terms of Employee’s Provident Fund and Miscellaneous Provision Act 1952 in respect of

the labourers / employees engaged by him for execution of the BSNL works. The details of payment particulars of EPF

should be submitted along with the bill. Bid document along with the EPF registration Certificate only will be considered.
