Agreement :
"Client”
of
this
contract ,
agrees
that
Long
Shots,
known
as
"Photographer ",
shall
provide
drone
photographic
services
in
the
manner
described
in
this
document .
This
document
incorporates
the
entire
understanding
of
the
parties ,
and
any
modifications
must
be
in
writing ,
signed
by
both
parties ,
and
physically
attached
to
the
original
agreement .
This
contract
is
governed
by
the
laws
of
the
State
of
California ,
and
any
resulting
arbitration
shall
take
place
within
Los
Angeles
County,
California .
Client
assumes
responsibility
for
any
costs
or
legal
fees
incurred
by
Photographer
should
collection
become
necessary.
In
the
event
that
any
part
of
this
Agreement
is
found
to
be
invalid
or
unenforceable ,
the
remainder
of
this
Agreement
shall
remain
valid
and
enforceable .
Any
failure
by
one
or
both
parties
to
enforce
a
provision
of
this
Agreement
shall
not
constitute
a
waiver
of
any
other
portion
or
provision
of
this
agreement.
Retainer
and
Payment:
Client
shall
reserve
the
time
and
date
of
services
specified
by
signing
and
returning
this
contract
along
with
a
reservation
retainer
equal
to
25%
of
the
total
drone
photography
fee.
No
date
is
reserved
until
the
contract
and
retainer
are
received.
The
balance
due
for
the
drone
photography
services
must
be
paid
in
full
within
30
days
of
the
shoot
date.
In
the
event
Client
fails
to
remit
the
retainer
as
specified,
the
Photographer
shall
have
the
right
to
immediately
terminate
this
Agreement
with
no
further
obligation .
Unless
the
contract
is
canceled,
the
retainer
fee
shall
be
applied
to
the
drone
photography
fee
total.
Cancellation :
Client
will
have
the
right
to
cancel
the
shoot
date
within
5
days
of
the
event
without
cost
to
the
Client .
If
the
Client
cancels
withing
5
days
of
the
shoot
date ,
the
Photographer
will
retain
any
amounts
paid .
Cancellation
must
be
made
in
writing
or
via
email,
and
signed
by
the
contracted
party.
Reschedule :
The
Client
may
reschedule
the
shoot
date
up
to
but
not
including
the
day
of
the
shoot
without
penalty.
However,
the
Photographer
cannot
guarantee
that
the
desired
reschedule
date
will
be
available.
Liability :
If
Photographer
is
unable
to
perform
any
or
all
of
the
duties
herein
for
any
reason ,
including
but
not
limited
to,
fire,
transportation ,
accident ,
illness ,
or
technical
problems ,
all
money
received
by
Photographer ,
minus
expenses ,
will
be
returned
to
Client,
and
Photographer
shall
have
no
further
liability
with
respect
to
this
agreement .
This
limitation
of
liability
also
applies
to
any
loss/damage
to
photographs
or
videos
resulting
from
drone
equipment
failure
or
crashes
.
Liability
for
a
partial
loss
of
photographs
shall
be
pro-rated
based
on
the
percentage
of
total .
The
sole
remedy
for
any
actions
or
claims
shall
be
limited
to
a
refund
whose
total
amount
cannot
exceed
the
total
monies
paid
by
Client
under
this
Agreement
during
the
time
preceding
the
date
on
which
such
liability
arises.
Online
Access
to
Videos
and
Video
DVD's :
Client
will
receive
access
to
Photographer 's
website
at
dronelongshots .com
on
completion
of
video
post
processing .
Client
will
be
able
to
download
a
ZIP
file
of
all
content .
Alternatively ,
Client
may
request
a
DVD
of
the
videos .
Photographer
will
be
required
to
maintain
Clients
video
files
for
one
year
from
the
shoot
date.
Photographer
is
not
responsible
for
the
lifespan
of
any
digital
media
provided
or
for
any
future
changes
in
digital
technology
or
media
readers
that
might
result
in
an
inability
to
read
discs
provided.
It
is
Client’s
responsibility
to
make
sure
that
digital
files
are
copied
to
new
media
as
required.

Event
Responsibilities :
Long
Shot
photographers
can
work
under
the
direction
of
your
primary
photographer
if
agreed
upon
in
advance ,
There
is
no
additional
charge
for
this
arrangement .
Videographers and
other
vendors
as
well
as
other
professional photographers must not obstruct or interfere with
the drone
photography ,
however .
Guests
or
attendees may
take photos ,
but it is the responsibility
of Client
to
prevent
others
from
interfering
with
Photographer ’s
duties.
Photographer
is
not
responsible for
compromised
coverage
due
to
other
people’s
camera
or
flash
interference
,
weather
conditions ,
schedule
complications ,
or
restrictions
of
the
venues
or
officiate .
Photographer
is
not
responsible
for
existing
backgrounds
or
lighting
conditions
which
may
negatively
impact
or
restrict
the
photography
coverage .
Client
agrees
to
confirm
the
schedule
one-week
prior
to
a
business
event
or
wedding
and
to
send
the
Photographer
a
copy
of
the
invitation
prior
to
the
event .
Notification
of
any
changes
in
schedule
or
location
must
be
made
in
a
timely
manner.
Changes
can
be
made
by
phone
with
a
follow-up
for
documentation.
If
is
sent,
confirmation
of
receipt
must
be
obtained.
Harassment:
Ensuring
the
appropriate
behavior
of
all
guests
and
attendees
of
an
event
covered
by
Photographer
shall
be
the
responsibility
of
Client .
In
the
event
Photographer
or
other Long
Shot
employees
experiences
any
inappropriate ,
threatening ,
hostile
or
offensive
behavior
from
any
guest
or attendee ,
the
Photographer
will
end
coverage
immediately
and
leave
the
event,
Photographer
shall
be
entitled
to
retain
all
monies
paid
hereunder
and
client
agrees
to
relieve
and
hold
Photographer
harmless
as
a
result
of
incomplete
event
photographic
coverage.
Video
Clips:
Every
reasonable
effort
will
be
made
to
shoot
the
requested
video
clips,
but
no
specific
video
angle
or
technique
can
be
promised.
The
Shot
List
supplied
will
be
used
for
organizational
purposes
only.
Weather,
sun
angle ,
and
other
environmental
conditions
may
impact
which
shots
are
prepared .
Images
determined
by
the
Photographer
to
be
substandard
or
duplicated
may
be
edited
out .
The
Photographer
will
use
professional
judgment
and
sole
discretion
to
select
which
photos
to
deliver.
Such
selection
shall
constitute
all
images
that
will
be
made
available
to
Client.
Completed
Movies:
Unless
specifically
ordered,
the
video
clips
will
be
provided
as
individual
clips
designed
to
be
edited
by
the
Client
and
not
as
a
final
cut
movie
with
a
story
line.
It
is
up
to
the
Client
to
use
the
video
clips
as
desired.
Client
can
purchase
additional
creative
time
to
prepare
a
completed
video
movie.
Image Processing :
Unless
agreed
upon
prior
to
any
editing
work,
high-resolution
discs
and/or
proof
sets
may
contain
a
mixture
of
color,
black
and
white,
and
selective
color
images.
An
alternately
colored
version
of
a
photo
may
be
purchased
at
the
current
rate.
Limited
color
correction
and/or
retouching
are
included
at
Photographer ’s
discretion .
Client
may
request
further
changes
for
an
additional
charge.
Drone
Photography
Agreement
Copyright : All
videos and photographs
taken
by
the
Photographer
are
the
sole
property
of
the
Client .
The
Client
may
utilize
the
videos
and
stills
in
any
way
they
wish.
The
Client
will
have
exclusive
rights to
income
and
royalty
ownership . Further ,
the
Client
may
supply
videos
and
images
to
any
third
parties
they
choose
however
it
is
the
responsibility of
the
Client
as
to
whether
they
wish
to
copyright
the
photos.
Safety and
Insurance :
FAA
Regulations
require
the
Photographer
to
maintain
and
operate
the
drone
equipment in
as
safe
a
manner
as
possible .
Regulations
limit
flights
to
a
maximum
of
400
feet
above
ground
level, no
flights
directly
over
people,
and
hours
of
operation
from
30
minutes
prior
to
dawn
and
30
minutes
after
dusk. Additionally
we
insure
flights
up
to
$5
million
dollars.

2. Client Changes. The Client has requested the following changes or conditions to which the Photographer agrees.
