The Corporate Membership Rewards program is for eligible Commercial Card Clients. Terms, conditions and restrictions apply; for more details, call 1-888-800-8564.

1 In order to redeem Membership Rewards® program points for purchases made on www.Amazon.com you must complete the Shop with Points registration process and agree to the following terms and conditions. Registration is limited to American Express® Card accounts (“Card”) enrolled in the Membership Rewards program (“Program”), that are active and in good standing. Your Membership Rewards program account (“Account”) will be linked to your Amazon.com account using the Card you selected. American Express Travel Related Services Company, Inc. and its affiliates (“American Express”) may provide Amazon Services LLC and/or its affiliates (“Amazon”) with information about your Account. Additional Membership Rewards program terms and conditions apply and are available at membershiprewards.com/terms. American Express will debit the number of points that you elected to redeem for your purchase from your Account. Your Account points balance may not reflect redemptions for pending purchase transactions until the purchase has been shipped. Amazon.com’s terms and conditions apply.

2 To redeem for statement credit on the Corporate Membership Rewards Program Administrator’s (“PA’s”) account, the PA must either make such request online at corporatemembershiprewards.com or call 1-888-800-8564. To redeem for statement credit on an enrolled account other than the PA’s account, the PA’s account must have a zero or negative balance and the PA must call 1-888-800-8564 and request a statement credit transfer. Please note that redemptions for statement credit may take up to five business days to appear on the applicable Corporate Card statement and may appear on a Corporate Card statement in a different billing cycle than the date that the transfer was requested. The PA and all Corporate Card Members are responsible for paying the amount due on their corresponding Card statement by the due date.

3 To use Pay with Points, you must charge your eligible purchase through American Express Travel to a Membership Rewards® program-enrolled American Express® Card. Eligible purchases exclude car reservations, non-prepaid hotels, and Fine Hotels & Resorts and The Hotel Collection bookings. Points will be debited from your Membership Rewards account, and credit for corresponding dollar amount will be issued to the American Express Card account used. If points redeemed do not cover entire amount, the balance of purchase price will remain on the American Express Card account. Minimum redemption 5,000 points. See membershiprewards.com/terms for Membership Rewards program terms and conditions. If a charge for a purchase is included in a Pay Over Time feature balance on your Linked Account (for example, the Extended Payment Option), the statement credit associated with that charge may not be applied to that Pay Over Time feature balance. Instead the statement credit may be applied to your Pay in Full balance. If you believe this has occurred, please contact us by calling the number on the back of your Card.

4 Enrollment in a participating Frequent Flyer program is required. Airline tickets are subject to availability. For each conversion of points into the Frequent Flyer program of a U.S. airline, a fee of $0.0006 per point, with a maximum fee of $99, will be charged to your Card account. We charge this fee to offset the federal excise tax we must pay on such conversions. The fee may be more or less than the actual amount of the excise tax we pay on any individual conversion. We may offer you the option to redeem points to pay this fee.

These Corporate Membership Rewards® program Terms & Conditions are an extension of the Commercial Card Agreement (the “Agreement”) entered into by and between you, the Client and us, American Express. You may participate in the Corporate Membership Rewards program only after being approved by American Express.

I. ABOUT THE PROGRAM

1. Important notice

The Corporate Membership Rewards program allows corporate clients to enroll their Corporate Cards issued under the Agreement (“Cards”) and get one point for every dollar charged for an eligible purchase by the enrolled Cards.

We may add to and/or change these Terms & Conditions at any time. For example, we could:

• Change eligibility requirements• Change the number of points you can earn for spending• Change the number of points required to get rewards• Impose caps and/or fees on earning and/or using points• Increase annual and/or other program fees• Cancel rewards

We also may cancel the program at any time, as long as we give you three months notice. During this three-month period, we may change or cancel some or all of the rewards that are current at that time. Once the three months have passed, you’ll no longer be able to earn or use points.

Our merchants and rewards may change at any time. Points can only be used for rewards that are currently available. Certain rewards are only available for specific time periods.

Some rewards may have additional Terms & Conditions, including those from our merchants. To see detailed Terms & Conditions for a specific reward, go online to corporatemembershiprewards.com, find your reward and then click the “Terms & Conditions” link on the reward detail page.

When you use points to get rewards, you release American Express and all of its affiliates from liability for your use of points, for the reward and how you use it and for your participation in the program.

American Express and our merchants are not responsible for replacing lost, stolen or damaged certificates, tickets or Gift Cards.

We may refuse your request to use points if any of the participating Cards linked to your account are not in good standing.

2. Who can use the program & annual fees

Not all Cards are eligible to enroll in the Corporate Membership Rewards program. The designated Corporate Membership Rewards Program Administrator (“PA”) can enroll eligible Cards in the program. Use the chart below to see if the Card is eligible for the program and if there’s an additional cost to enroll that Card. Cards not listed in the chart below are not eligible for the program.

Please note that these enrollment fees exclude any taxes. The PA will be charged the annual fees for all Cards enrolled in Corporate Membership Rewards. This annual fee is nonrefundable and will be billed on the PA’s enrollment date anniversary each year. The Corporate Membership Rewards enrollment date is the day we complete processing the enrollment form. If you un-enroll a Card in your program account within 30 days of the enrollment date, you’ll receive a prorated refund of any applicable annual fees.

Global Dollar Cards or Cards enrolled in a Pay Ahead schedule cannot be enrolled in the program.

Eligible Cards must also:

• Be issued by American Express or one of its affiliates in the U.S. and billed in U.S. dollars from an American Express Operations Center in the U.S.

• Be in good standing, meaning no account is cancelled, past due or in default (under the terms of the Card Member Agreement) at the time of enrollment

Card eligibility may change at any time.

3. Setting up and using your program account

Enrollment in the Corporate Membership Rewards program is not automatic. To enroll, your company must first complete all necessary paperwork and be approved.

The Program Administrator

To set up a new Corporate Membership Rewards account, your company will first authorize one PA whose Card will be the primary Card tied to your Corporate Membership Rewards program account. Any Card that can enroll in Corporate Membership Rewards can be designated as this PA Card, and there is no charge for enrolling such Card. The PA is responsible for managing your company’s Corporate Membership Rewards program, including enrolling/un-enrolling Cards, using points for rewards and more. Your company is completely responsible for any actions the PA takes when managing your account, and you release American Express and its parent, subsidiaries and affiliates from any and all liability related to how the PA uses your Corporate Membership Rewards account.

If your company’s Corporate Card program is a central bill account (such as if all Corporate Card charges on your employees’ Cards are billed directly to your company in one billing statement), the PA may receive a new Card when the company signs up for the program. If this happens:

• Corporate Membership Rewards enrollment is free for the PA, but a Card fee will be charged• The new Card must remain actively enrolled in the Corporate Membership Rewards program

• All points earned by all enrolled Cards will accumulate to the Corporate Membership Rewards account associated with the PA’s Card

To redeem for statement credit on the Corporate Membership Rewards PA’s account, the PA must either make such request online at corporatemembershiprewards.com or call 1-888-800-8564. To redeem for statement credit on an enrolled account other than the PA’s account, the PA’s account must have a zero or negative balance and the PA must call 1-888-800-8564 and request a statement credit transfer. Please note that redemptions for statement credit may take up to five business days to appear on the applicable Corporate Card statement and may appear on a Corporate Card statement in a different billing cycle than the date that the transfer was requested. The PA and all Corporate Card Members are responsible for paying the amount due on their corresponding Corporate Card statement by the due date.

With respect to the PA’s original Card, the PA may choose to:

• Cancel the original Card and the fee may be prorated• Keep the original Card but leave it un-enrolled in Corporate Membership Rewards. The PA will continue to be charged the annual Card fee for

this Card• Keep the original Card and enroll it in the Corporate Membership Rewards program. The PA will be charged the annual Card fee for the original

Card as well as the Corporate Membership Rewards fee

If you choose to cancel the PA’s original Card, we recommend you update the following with your new Corporate Card account information:

• All automatic renewal and/or recurring payments • Travel profile

The PA Card must always be active in the Corporate Membership Rewards program or the program account will be cancelled without notice. Circumstances that may cause the PA Card to be cancelled by us include notice to us of the death of your PA or if your PA files for personal bankruptcy. To change your company’s PA, you must call Corporate Servicing at 1-888-800-8564. Until the new PA is fully set up, your company will not have access to your program account and you will not be able to use points for rewards. Prior to cancelling the existing PA Card, you must submit a suspension form for the program to keep the program active.

Enrolling employee Cards

Using the @ Work system, the PA can enroll up to 100 additional employee Cards into the company’s Corporate Membership Rewards program. Any Card enrolled in the Corporate Membership Rewards program may not be enrolled in any other individual Membership Rewards program.

All Cards (including the PA’s) must have the same Corporate Client ID (CID), and each CID can only be linked to a single Corporate Membership Rewards account.

Cards will not earn points until the PA enrolls such Card in the company’s Corporate Membership Rewards account.

4. Points

Points are not your property. You can’t transfer points to any other person or program account. Points cannot be transferred by operation of law to any person, entity, Card, American Express Card account or Membership Rewards program account.

II. GETTING POINTS

1. Using enrolled Cards

Your Corporate Membership Rewards account will earn one point for every dollar charged for an eligible purchase by Cards enrolled in your company’s account. To earn points, Card Member statements must be paid on time for all participating Card accounts. Points will carry over in your program account each year as long as all other Terms & Conditions have been met.

The following transactions aren’t eligible purchases and you won’t earn points for them:

• Cash Advances• Balance Transfers• Privileged Assets• Express Cash• Corporate Express Cash• Purchases of American Express® Travelers Cheques or American Express® Gift Cheques• Foreign currency purchases and any related fees• Purchases paid with points• Convenience Check transactions• Purchases and loads of reloadable prepaid cards• Card account fees and charges (such as late payment fees, Card account annual fees, interest charges and delinquency charges)• Corporate Membership Rewards program fees and charges (such as annual program fees and charges for unsatisfied Points Advances)• Fees for Card Member services you enroll in

If you enroll a Card in your Corporate Membership Rewards program account that was already enrolled in an individual Membership Rewards program account, that Card will no longer earn points for the Card Member’s individual program account. Any points in the Card Member’s individual account will be forfeited if not used within 30 days of enrolling in the Corporate Membership Rewards program. However, if the Card Member has other American Express Cards linked to a Consumer or OPEN Membership Rewards account, the points in their individual Membership Rewards program account will not be forfeited and will instead remain linked to the other Cards. It is the company’s responsibility to tell the Card Member that they are no longer eligible to earn points on the Corporate Card.

III. FORFEITING AND GETTING POINTS BACK

1. For Returning Items Purchased with your Card

If you return something that you purchased with any of your enrolled Cards, the statement credit you receive will cause a corresponding deduction of points from your program account.

2. For returning rewards that you got with points

If you return any reward for which returns are permitted (other than items purchased at Amazon.com), you’ll either receive the points back in your Corporate Membership Rewards program account or a credit on your Card account in dollars, depending on the reward. If you receive a credit, you can convert it back into points by contacting us at 1-888-800-8564.

3. For making late payments

If the amount due on a Card enrolled in the Client’s Corporate Membership Rewards program is not paid within 30 days of the closing date of the billing statement on that Card, or within 60 days for Platinum or Centurion Cards, the Client will forfeit all points earned during the period covered by that statement. In order for points to be reinstated, the Card Member must return the Card account to good standing by making all required payments, then the PA can call Corporate Servicing at 1-888-800-8564 to reinstate the points. There is a $35 fee for each account and billing period for which you reinstate points. You must reinstate points within 6 months of forfeiting them in order to get them back.

4. For cancelling your account

If we cancel your Corporate Membership Rewards program account for any reason (including bankruptcy or insolvency), the company will forfeit all points in the program account. If we reinstate the Corporate Membership Rewards program within six months, these points will be returned to your account.

If you voluntarily cancel your company’s enrollment in the program but keep the PA Card open, you will have up to 30 days from the date of cancellation to use any points in your Corporate Membership Rewards program account. If you cancel your company’s enrollment in the program and cancel the PA Card, you’ll forfeit all points in your program account immediately. If the PA leaves the company, dies or files for bankruptcy, the company will need to call and request a suspension of the account as well as complete a PA change form to assign a new PA to administer the Corporate Membership Rewards program.

5. For Misuse of Your Account

If you, your PA or any employee, agent, representative or contractor of yours attempt to use or earn points in a fraudulent way, we may:

• Take away all points in your program account• Cancel your program account• Cancel any of your American Express® Cards

IV. USING POINTS

1. Returning products ordered from corporatemembershiprewards.com prior to May 9, 2014

You can return or exchange products within 30 days of delivery unless otherwise noted below. If a product is visibly damaged when it arrives, do not accept the delivery and make sure to call American Express at 1-888-800-8564.

To return a product, it must be in its original packaging (except for Velvet Glove Service items) and include all items in the original packaging (such as batteries, cables, remote controls and any other accompanying items.) The following are exceptions to this return policy:

• TVs, major appliances and products that you have assembled can’t be returned or exchanged unless you prove they are damaged or defective. You can’t exchange or return these rewards after 30 days.

• Tag Heuer products that are not damaged or defective can’t be returned. Products that are damaged or defective must be returned within 10 days of delivery.

• Sony, Panasonic, Samsung, Toshiba and Pioneer TVs that are 27-inch or larger have product warranties. Bowflex/Nautilus fitness equipment and some larger appliances also have product warranties. These products may not be returned.

• Dell products that are not defective can’t be returned. If a Dell product doesn’t function properly when you first receive it, you may return or exchange it within 30 days of when you purchased it.

• Husqvarna rewards cannot be returned. At its discretion, Husqvarna will repair or replace any defective product or part covered by the Limited Warranty free of charge. This will be done at any authorized Husqvarna Servicing Dealer/Center using original OEM Husqvarna replacement parts. Please contact Husqvarna at 1-800-487-5951 during the hours of 8am to 8pm Eastern Standard Time, or visit www.husqvarna.com for service and warranty details for each Husqvarna item.

2. Using points for Certificates and Gift Cards

Most Certificates and Gift Cards arrive within 7 business days. You can choose expedited delivery for some Certificates and Gift Cards, but this service comes with a fee.

Certificates and Gift Cards that you get with points can be used by anyone or combined unless they say otherwise, but they can’t be combined with other promotional offers. Accepting a Certificate or Gift Card is up to the participating merchant, but photocopies won’t be honored.

Certificates and Gift Cards can’t be used for purchases you already made or as a payment on any existing account balance. They have no cash value and can’t be redeemed for cash or its equivalent, and you can’t get a cash return for any unused amount (unless it says otherwise).

Certificates and Gift Cards can’t be used anywhere they are not legal. Any other terms, conditions or restrictions included with them also apply.

American Express® Reward Cards can be used at U.S. merchants that accept American Express® Cards except cruise lines, ATMs and recurring billing. Visit americanexpress.com/reward for complete terms. This Card is issued pursuant to a loyalty, reward or other promotional program. Card issued by American Express Prepaid Card Management Corporation.

3. Using points for American Express® Gift Cards at americanexpress.com/gift

You must have at least 1,000 points in your Corporate Membership Rewards program account to use points for an American Express® Gift Card.

You can only use points for American Express Gift Cards online. When you use points for an American Express Gift Card:

• Your PA Card will be charged for the Gift Card• American Express will deduct the points from your program account• American Express will apply an accompanying credit to your PA Card

The credit to your PA Card may appear during a different billing cycle than the charge for your purchase. You are responsible for paying the amount due on your Card statement by the due date. Any credit to your PA Card in connection with these purchases can’t be converted into points.

If the points you use don’t cover the entire amount of the charge, the difference will remain charged to your PA Card.

We won’t ship Gift Cards ordered online at americanexpress.com/gift to the states of VT and HI.

The funds on an American Express Gift Card don’t automatically expire after the “Valid Thru” date printed on the Gift Card. If you have leftover funds on your American Express Gift Card after the Valid Thru date, call the Customer Service number on or with your Gift Card to get a replacement Gift Card or information about a refund.

4. Using Pay with Points to book travel on American Express® Travel, for products through cororatemembershiprewards.com and elsewhere

When you use Pay with Points anywhere except on Amazon.com (including at shopAmex® through May 8, 2014, for products through corporatemembershiprewards.com, American Express® Travel, Ticketmaster, TeleCharge and elsewhere) three things will happen:

• Your PA Card will be charged for your purchase• American Express will deduct points from your program account• American Express will apply an accompanying credit to your PA Card

The credit to your PA Card may appear during a different billing cycle than the charge for your purchase. You are still responsible for paying the amount due on your Card statement by the due date. Any credit to your PA Card in connection with these purchases can’t be converted back into points.

If the points you use don’t fully cover the entire amount of the charge, the difference will remain charged to your PA Card.

Point minimums

You must use a minimum amount of points for some Pay with Points rewards:

• American Express Travel: 5,000 points• Ticketmaster: 2,000 points• Telecharge: 7,000 points

5. Shop with Points at Amazon.com

The Terms & Conditions for Shop with Points at Amazon.com apply to eligible purchases made with points at Amazon.com. The following American Express Membership Rewards terms also apply to purchases made through the use of Membership Rewards points at Amazon.com.

Linking your accounts

To use points at Amazon.com, you must first link your Corporate Membership Rewards program account with your Amazon.com account and agree to the Shop with Points at Amazon.com Terms and Conditions. Only PA Cards enrolled in the Corporate Membership Rewards program and in good standing can link their accounts and use points to make eligible purchases at Amazon.com.

Ordering

You may make eligible purchases at Amazon.com using only points, or a combination of points and the PA Card. When you use points at Amazon.com, American Express will deduct them from your program account. Points will not be deducted from your program account balance until your purchase has shipped.

Returning products purchased at Amazon.com

Returns are subject to Amazon.com’s policies and must be authorized by Amazon.com before refunded points will be added back into your program account.

6. Using points for Statement Credit

You can use points in 20,000 point increments to get a $100 credit. To redeem for statement credit on the Corporate Membership Rewards PA’s account, the PA must either make such request online at corporatemembershiprewards.com or call 1-888-800-8564. To redeem for statement credit on an enrolled account other than the PA’s account, the PA’s account must have a zero or negative balance and the PA must call 1-888-800-8564 and request a statement credit transfer. Please note that redemptions for statement credit may take up to five business days to appear on the applicable Corporate Card statement and may appear on a Corporate Card statement in a different billing cycle than the date that the transfer was requested. The PA and all Corporate Card Members are responsible for paying the amount due on their corresponding Card statement by the due date.

V. ADDITIONAL TERMS

If your ability to make charges on your Card is suspended for any reason (including bankruptcy or insolvency of your employer), your ability to use the points in your program account will also be suspended. You can use the points once your ability to make charges has been restored, as long as you meet all other conditions listed in these Terms & Conditions.

All questions or disputes about program eligibility, earning points or using points will be resolved solely by American Express.

It is your responsibility to find out if you are liable for any federal, state or local taxes as a result of earning or using points.

These Terms & Conditions replace all previous versions and are governed and construed under the laws (excluding conflicts of law provisions) of New York.

VI. CLAIMS RESOLUTION

Most customer concerns can be resolved by calling our Customer Service Department at the number listed on the back of your Card. In the event Customer Service is unable to resolve a complaint to your satisfaction, this section explains how claims can be resolved through mediation, arbitration or litigation. It includes an arbitration provision.

For this section, you and us includes any corporate parents, subsidiaries, affiliates or related persons or entities. Claim means any current or future claim, dispute or controversy relating to your participation in the program, these Terms & Conditions or any prior program agreement, except for the validity, enforceability or scope of the Arbitration provision. Claim includes but is not limited to: (1) initial claims, counterclaims, crossclaims and third-party claims; (2) claims based upon contract, tort, fraud, statute, regulation, common law and equity; (3) claims by or against any third party using or providing any product, service or benefit in connection with the program; and (4) claims that arise from or relate to (a) the program account or any point balances on the program account, (b) advertisements, promotions or oral or written statements related to the program or any reward or (c) the redemption for and use of any reward. You may not sell, assign or transfer a claim.

Sending a claim notice

Before beginning a lawsuit, mediation or arbitration, you and we agree to send a written notice (a claim notice) to each party against whom a claim is asserted, in order to provide an opportunity to resolve the claim informally or through mediation. Go to americanexpress.com/claim for a sample claim notice. The claim notice must describe the claim and state the specific relief demanded. Notice to you may be provided by your billing statement or sent to your billing address. Notice to us must include your name, address and Account number and be sent to American Express ADR c/o CT Corporation System, 111 8th Ave., NY, NY 10011. If the claim proceeds to arbitration, the amount of any relief demanded in a claim notice will not be disclosed to the arbitrator until after the arbitrator rules.

Mediation

In mediation, a neutral mediator helps parties resolve a claim. The mediator does not decide the claim but helps parties reach agreement.

Before beginning mediation, you or we must first send a claim notice. Within 30 days after sending or receiving a claim notice, you or we may submit the claim to JAMS (1-800-352-5267, jamsadr.com) or the American Arbitration Association (“AAA”) (1-800-778-7879, adr.org) for mediation. We will pay the fees of the mediator.

All mediation-related communications are confidential, inadmissible in court and not subject to discovery. All applicable statutes of limitation will be tolled until termination of the mediation. Either you or we may terminate the mediation at any time. The submission or failure to submit a claim to mediation will not affect your or our right to elect arbitration.

Arbitration

You or we may elect to resolve any claim by individual arbitration. Claims are decided by a neutral arbitrator.

IF ARBITRATION IS CHOSEN BY ANY PARTY, NEITHER YOU NOR WE WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM. FURTHER, YOU AND WE WILL NOT HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY OR AS A MEMBER OF ANY CLASS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. ARBITRATION PROCEDURES ARE GENERALLY SIMPLER THAN THE RULES THAT APPLY IN COURT, AND DISCOVERY IS MORE LIMITED. THE ARBITRATOR’S DECISIONS ARE AS ENFORCEABLE AS ANY COURT ORDER AND ARE SUBJECT TO VERY LIMITED REVIEW BY A COURT. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR’S DECISION WILL BE FINAL AND BINDING. OTHER RIGHTS YOU OR WE WOULD HAVE IN COURT MAY ALSO NOT BE AVAILABLE IN ARBITRATION.

Initiating Arbitration

Before beginning arbitration, you or we must first send a claim notice. Claims will be referred to either JAMS or AAA, as selected by the party electing arbitration. Claims will be resolved pursuant to this Arbitration provision and the selected organization’s rules in effect when the claim is filed, except where those rules conflict with these Terms & Conditions. If we choose the organization, you may select the other within 30 days after receiving notice of our selection. Contact JAMS or AAA to begin an arbitration or for other information. Claims also may be referred to another arbitration organization if you and we agree in writing or to an arbitrator appointed pursuant to section 5 of the Federal Arbitration Act, 9 U.S.C. §§ 1-16 (FAA).

We will not elect arbitration for any claim you file in small claims court, so long as the claim is individual and pending only in that court. You or we may otherwise elect to arbitrate any claim at any time unless it has been filed in court and trial has begun or final judgment has been entered. Either you or we may delay enforcing or not exercise rights under this Arbitration provision, including the right to arbitrate a claim, without waiving the right to exercise or enforce those rights.

Limitations on Arbitration

IF EITHER PARTY ELECTS TO RESOLVE A CLAIM BY ARBITRATION, THAT CLAIM WILL BE ARBITRATED ON AN INDIVIDUAL BASIS. THERE WILL BE NO RIGHT OR AUTHORITY FOR ANY CLAIMS TO BE ARBITRATED ON A CLASS ACTION BASIS OR ON BASES INVOLVING CLAIMS BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC, OTHER CARD MEMBERS OR OTHER PERSONS SIMILARLY SITUATED.

The arbitrator’s authority is limited to claims between you and us alone. Claims may not be joined or consolidated unless you and we agree in writing. An arbitration award and any judgment confirming it will apply only to the specific case and cannot be used in any other case except to enforce the award. Notwithstanding any other provision and without waiving the right to appeal such decision, if any portion of these Limitations on Arbitration is deemed invalid or unenforceable, then the entire Arbitration provision (other than this sentence) will not apply.

Arbitration Procedures

This Arbitration provision is governed by the FAA. The arbitrator will apply applicable substantive law, statutes of limitations and privileges. The arbitrator will not apply any federal or state rules of civil procedure or evidence in matters relating to evidence or discovery. Subject to the Limitations on Arbitration, the arbitrator may otherwise award any relief available in court. The arbitration will be confidential, but you may notify any government authority of your claim.

If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents, through a telephonic hearing, or by an in-person hearing. At any party’s request, the arbitrator will provide a brief written explanation of the award. The arbitrator’s award will be final and binding, except for any right of appeal provided by the FAA; however, any party will have 30 days to appeal the award by notifying the arbitration organization and all parties in writing. The organization will appoint a three-arbitrator panel to decide anew, by majority vote based on written submissions,

any aspect of the decision objected to. Judgment upon any award may be entered in any court having jurisdiction. At your election, arbitration hearings will take place in the federal judicial district of your residence.

Arbitration Fees and Costs

You will be responsible for paying your share of any arbitration fees (including filing, administrative, hearing or other fees), but only up to the amount of the filing fees you would have incurred if you had brought a claim in court. We will be responsible for any additional arbitration fees. At your written request, we will consider in good faith making a temporary advance of your share of any arbitration fees, or paying for the reasonable fees of an expert appointed by the arbitrator for good cause.

Additional Arbitration Awards

If the arbitrator rules in your favor for an amount greater than any final offer we made before arbitration, the arbitrator’s award will include: (1) any money to which you are entitled, but in no case less than $5,000; and (2) any reasonable attorneys’ fees, costs and expert and other witness fees.

Continuation

This section will survive termination of the program or your participation in it. If any portion of this Claims Resolution section, except as otherwise provided in the Limitations on Arbitration subsection, is deemed invalid or unenforceable, it will not invalidate the remaining portions of this Claims Resolution section.
