Bertino & Associates, Inc. formation is rooted in the foundation of more than 40 years of construction-industry experience. Under the leadership of Michael S. Bertino, President, the company concentrates on improving its clients’ busi-nesses through the management of construction programs for new facilities, renovations, fit-out programs and expansions. Broad in scope, the company’s services include development, construction management and owner/agent project management. Michael S. Bertino is the guiding force behind Bertino & Associates’ personnel. He is committed to affording clients with personal attention and instills this philosophy in each associate. A Registered Professional Engineer, Mr. Bertino has a strong history of orchestrating and completing the most challenging con-struction programs. For 10 years prior to forming Bertino & Associates, he was Principal in charge of Keating Building Corporation’s construction division where he administered more than $300 million in annual construction. As Senior Vice President of Mellon Stuart Company’s Eastern Region, he also ensured success for up to $350 million in annual construction during his 14 year tenure.

In evaluating projects, we draw from our staff and associates’ expertise to provide a base of services that is all encompassing for a smooth planning, programming, preconstruction and construction process.

Leading the Team to Success Bertino & Associates, as Program Manager, puts the entire project team into active roles within a fully integrated planning, design and construction proc-ess. Combining hands-on experience with practical solutions, we achieve success. We understand approvals and compliance concerns, budget restric-tions, schedule parameters, FF&E purchasing, tenant fit-out and occupancy requirements. We also know that the qualifications of the personnel as-signed are critical to the successful execution of the work, and we know how to structure the project team to ensure that resources are maxi-mized to potential. Equally important, we know that a successful project is a project com-pleted without claims. Towards that end, we ensure that the early up-front planning is a total and comprehensive team effort. This approach goes a long way in minimizing change orders in construction, and also in ensuring that the documents are as complete and thorough as possi-ble to minimize the potential for conflicts. Aiding our staff in the administration of the work, we apply a variety of computer based applications using Suretrak and Primavera for scheduling; Expedition and Pro Log for documentation, tracking, project controls and communications; estimating software and spreadsheet applications for cost-ing and budgeting; AutoCAD for document review; as well as software for word processing, layout, data management and accounting. All of these components are incorporated into the extensive planning that we apply in our projects. SCOPE OF SERVICES

OVERVIEW

Bertino & Associates specializes in providing Program and Development Management Services, as well as Construction Management Services and general construction. These services have been formulated to represent and protect the Owner’s interests from inception to final completion. Our interest lies in providing the highest level of professional services that ensure that the project is planned, designed, coordinated and constructed to meet the project’s objectives for program, quality, budget and operation. Bertino & Associates’ staff of senior professionals is, in fact, an extension of an Owner’s project staff. Each member of our staff is highly experienced in the development and construction of major sized projects, especially projects in the Hospitality and Gaming Industry. We are able to provide the manage-ment leadership, technical expertise, and relentless protection of the Owner’s interests throughout all phases of the project. Bertino & Associates will prepare trade subcontractor bid packages for solici-tation of bid proposals. These packages are based on the specific require-ments of the project. Upon receipt of responsible proposals, Bertino & Asso-ciates will renew the proposals, and as necessary, interview individual trade contractor to clarify scope, inclusions and exclusions. During the Planning Phase, our experience with similar projects will enhance the Design Team and Owner in the establishment of program and budget, phase development strategy, timeframe scheduling and operational planning and quality assistance in the development of a financing package and strat-egy. Budget and Schedule Control will continue throughout the Design and Pre-construction Phase. During this phase, we will develop and implement a con-tracting strategy that utilizes pre-qualified contractors, while taking full ad-vantage of the competitive marketplace. Through our staff’s 40 plus years experience in the construction industry, bidding documents will be prepared with an eye towards minimizing changes and potential claims. Prior to bidding, all contract documents and drawings will be reviewed for constructability and completeness. Incorporated within the documents will be a master schedule for timely start and completion of each phase of the project. Throughout the Construction Phase, our onsite professional staff will monitor and manage the construction contractors and consultants. In this process we will review and approve Applications for Payment, Change Orders, Project Schedules, and required Submittals. Our staff will conduct weekly Owner/Contractor/Architect meetings with a focus on coordination and prob-lem resolution.

SCOPE OF SERVICES

During the construction phase, in concert with the Owner’s Facilities Manage-ment Group, we will develop and implement a training and operational pro-gram to ensure that the facility will be properly operated once placed into ser-vice. As the project approaches completion, our onsite staff will provide complete closeout services including the management of punch list completion, and assembly and turnover of all closeout documents.

�� Consultant Selection/Contracting: Assist the Owner and Development

Team in identifying the special consultants that may be required. Pre-pare documents for the consultant/contracting solicitation process, as-sist in the evaluation of proposals and negotiations, and assist in the preparation of the contract agreement(s).

�� Project Budgets/Proforma: Assist the Owner in the formulation of an

overall project budget and Proforma. Develop a tracking and reporting system designed to monitor and report on the total project budget throughout the duration of the project. Provide cash flow projections of anticipated expenditures.

�� Program Development: Provide technical assistance to the Owner and the Design Team in the formulation of the overall Program. Provide com-parisons of the program to comparable facilities. As appropriate, make recommendations for program changes. Coordinate meetings between the Design Team and operations/maintenance staff for the purpose of program review and coordination of team input.

�� Design Concepts/Site Planning: Provide technical assistance to the

Owner and Design Team for the review of design concepts and overall site planning. Compare design concepts to the program requirements. As appropriate, provide recommendations for ensuring the best utiliza-tion of the site for current and future development; development of a cost-effective design; ensuring that quality expectations are met; and that the anticipated construction schedule can be achieved. Prepare cost comparisons of each design concept.

�� Agency Approvals: Assist the Owner and the Design Team in obtaining all

necessary agency approvals. Monitor and report on the progress of each approval process.

�� Master Project Schedule: Prepare an overall Master Project Schedule

that incorporates all major activities required during Planning, Precon-struction and Construction. Update the Master Project Schedule on a regular basis.

�� Job Progress Meetings: On a regular basis, schedule, coordinate and

attend Progress Meetings between the Owner, the Development Team and the Design Team.

�� Financial Assistance: Provide to the Financing Team any required budg-ets, cash flow projections, schedules, and phases that may be necessary for completion of a financial package.

�� Other Technical Assistance: Provide or secure any other technical assis-

tance the Owner may require to ensure the formulation of a Master Pro-ject that will meet the anticipated expectations and provide the required financial return.

�� Reporting:: Provide the Owner monthly progress reports incorporating all

aspects of the Planning Phase. • Design Consultant Selection/Contracting: Assist the Owner and the De-

sign Team in the solicitation and selection process, as well as negotiation and contracting of required special consultants. Assist in the preparation of contract agreements for each consultant.

�� Project Budget:: Continue the tracking and reporting of the overall project

budget, and incorporate all contracted costs into the reporting of the Pro-ject Budget. Provide cash flow projections of anticipated expenditures. If any portion of the budget is not met, make recommendations for actions required to be implemented for budget adherence.

�� Design Review & Coordination Meetings: On a regular basis, schedule,

coordinate and attend Design Review and Coordination Meetings. Provide technical assistance to the Design Team and the Owner regarding con-structability, cost-effective design, value engineering, systems selections and phasing/scheduling issues. Conduct a full review at completion of the schematic and design development stages and at issuance of each bid package.

�� Contractor Selection: In consultation with the Design Team, prepare a

solicitation package for construction services with an either stipulated Guaranteed Maximum Price (GMP) or a Lump Sum. The solicitation proc-ess will include the prequalification of invited Contractors and Subcontrac-tors, and issuance of a design package for preparation of bids, which bid packages will include front end documents and scope of work, design documents, outline technical and quality performance specifications, a matrix of Owner/Contractor FF&E responsibilities, necessary allowances, and construction schedule completion requirements. Upon receipt of pro-posals, Bertino & Associates will conduct Contractor interviews for clarifi-cation, evaluation and determination of the completeness of submissions. Following interviews, if necessary, addenda may be issued for re-pricing and submission of revised proposals. Bertino & Associates in consultation with the Owner and Design Team will negotiate the final contract.

�� Contractor Coordination: Upon selection, the Contractor and/or Trade

Contractors will join the preconstruction team to provide input into the de-sign for constructability, coordination of bid packages, design adherence to the agreed upon GMP (or Lump Sum) basis of design, and value engi-neering input.

�� Subcontractor Bidding: If the Contractor and Subcontractors provides a

GMP based upon incomplete design documents (i.e., an early-start ap-proach), Bertino & Associates will oversee the subcontractor bidding phase to ensure that the process is conducted in the best interest of the Owner and the project. Bertino & Associates will review bidders’ lists, participate in the review of bids received including post-bid interviews, and evaluate the Contractor’s recommendations for subcontractor awards.

�� Owner Furnished Furniture, Fixtures & Equipment (FF&E): In consulta-

tion with the appropriate consultants, including an FF&E Purchasing Agent as may be required, Bertino & Associates will assist in the prepara-tion of bidder solicitation packages and contracting for all Owner-furnished FF&E for the project. The Purchasing Agent’s solicitation proc-ess will include a prequalification of bidders, issuance of bid packages, receipt and evaluation of bids, post-bid interviews and negotiations, and preparation of contracts and purchase orders. Upon award, coordinate deliveries and installations with the work of the Contractor. Bertino & Associates will review and approve all awards and invoices. Bertino & Associates has the in-house capabilities of providing Purchasing Agent Services.

�� Invoice Review & Approval: Bertino & Associates will review and ap-

prove all consultant and contractor invoices for payment that will be sub-mitted to the Owner for payment. During the Preconstruction Phase, Ber-tino & Associates will establish cash flow projections for all work to be performed.

�� Preconstruction & Construction CPM Schedule: Review and monitor

the schedules prepared by the Contractor or individual subcontractors. Whenever activities deviate from the required schedule dates and dura-tions, recommend appropriate action to be taken to get activities back on schedule. Coordinate all Owner action and activities to ensure that the Owner required decisions or actions are made in a timely manner to avoid delaying the project.

�� Reporting: Provide to the Owner a monthly progress report incorporating

all aspects of the Design and Preconstruction Phase.

�� Construction Oversight: Establish a Field Management Office and pro-vide on-site staff to monitor, report and deliver technical assistance to the Owner on all aspects of the construction process including manage-ment of subcontractors and associated field staff.

�� Budget Control: Establish a construction budget reporting system that

incorporates a detailed schedule of values of the construction contract, subcontract awards and invoices, purchase orders by the Contractor, general conditions, consultant costs, soft costs and other related project costs. Report to the Owner on a regular basis regarding the status of the project budget and make recommendations where necessary to ensure that the overall project budget is maintained.

SCOPE OF SERVICES

�� Quality Control: Establish a project Quality Control Testing and Inspec-

tion Program utilizing Independent Testing and Inspection Agencies. Included will be a daily reporting and notification of inspections and tests, a deficiency correction and follow up procedure and preconstruc-tion conferences and mock-ups.

�� Change Order Procedures & Control: Bertino & Associates will estab-

lish a change order procedure which will be administered on the project for review and processing all change orders. We will make recommen-dations to the Owner for appropriate actions to be taken, and ensure that change orders are in keeping with the terms and conditions of the construction contracts. All change orders will be incorporated into the tracking and project budget reporting systems.

�� Job Progress Meetings: On a weekly basis, schedule, coordinate and

attend Progress Meetings between the Contractor and the Design Team.

�� Construction Schedule Reporting: Monitor the CPM construction

schedule prepared by the Contractor. Conduct regularly scheduled re-views and update sessions. Make recommendations whenever activity schedule dates are not being met and regularly report schedule pro-gress to the Owner. Whenever critical activities fail to meet the re-quired schedule dates, conduct schedule recovery sessions with the Contractor. Document all progress and issue appropriate notices to the Contractor when critical dates are not being met.

�� Construction Invoice Review: Review and make recommendations for

approval and payment of all construction invoices from the Contractors, Vendors and Consultants. Field verifies percentages complete and en-sure all required invoices are substantiated with proper back-up docu-mentation. Provide a cash flow projection for monthly requisitions along with a summary total Project Cost Report.

�� Owner-Furnished Furniture, Fixtures & Equipment (FF&E): Establish a

tracking procedure for the administration of the ordering, delivery, stor-age and installation of all Owner-furnished FF&E. Coordinate receipt of all Owner-furnished/Contractor-installed FF&E with the Contractor to ensure timely delivery, proper receipt, storage and installation. Coordi-nate the Owner’s direct-vendors with the Contractor. Verify receipt of all materials and work completed.

�� Claims Prevention & Resolution: Establish a claims prevention and

resolution procedure for the resolution of disputes on a continuing ba-sis. As part of this process, instill a partnering approach by the project team for the review of bid documents for completeness; prequalifica-tion of bidders; review of required bonds and insurance; and timely is-suance, response, discussion and reporting of any unresolved disputes with recommendations for actions to be taken.

When a claim is submitted, Bertino & Associates will thoroughly investi-

gate the merits of the claim, solicit input from the appropriate Consult-ants or other parties, and report to the Owner with appropriate action to be taken. When authorized by the Owner, conduct settlement negotia-tions and final resolution. If a claim cannot be settled, the Owner will initiate the claims resolution procedures of the contract with Bertino & Associates' full cooperation and support of such claims resolution ac-tions.

�� Start-Up & Testing: In conjunction with the Contractor and the Owner’s

facility operations and maintenance staff, Bertino & Associates will schedule, monitor and report on all start-up and testing of equipment and systems. Where independent testing is required, schedule, monitor and report such testing as performed by testing agencies and consult-ants.

�� Punch list & Close-Out Documentation: When the project or a portion

of the project has been substantially completed, schedule punch list visits by the Design Consultants. Upon receipt of punch list, establish a procedure and schedule for completion by the contractor. Monitor and verify completion of each punch list item.

As part of the closeout documentation process, schedule all operation and maintenance training sessions, and coordinate the receipt of all as-built drawings, operations manuals, shop drawing files, warranties and final releases of liens and invoices.

Assist the Owner operations/maintenance staff in establishing a library of all maintenance documentation. Where appropriate, assist the Owner in the solicitation and negotiation of outside maintenance contracts.

• Reporting: Provide the Owner a monthly progress report incorporating

all aspects of the Construction Phase. At the completion of the project, Bertino & Associates will turn over all files and construction documents for the Owner’s archives
