MINUTES July 7, 2016

The Owego Apalachin Board of Education held a Regular Meeting at Owego Free Academy, 1 Sheldon Guile Boulevard, Owego, NY, on Thursday, June 23, 2016.

I. CALL TO ORDER

President Barton called the meeting to order at 7:03 PM.

II. ROLL CALL

VII. PRESIDENT’S REPORT Mr. Barton welcome Corey Green, Superintendent and Mrs. Linda Gretz, BoE Member.

VIII. SUPERINTENDENT’S REPORT Mr. Green stated that he is “extremely happy” to be here. Construction update: All site work should be completed by next week. The playground is done. The calibration of HVAC units and punch list items to be addressed at OES. Maintenance building is coming along all the masonry is done on the outside walls. Administration building has its “final” clean yesterday. Moving in will start tomorrow with Tuesday will being our official 1st day in the new building.

IX. DISTRICT BUSINESS Bid Award – Bus Garage Pavement Improvements A motion was made by Mr. Gene Cvik and seconded by Mrs. Becky Goodrich that the Board of Education approve the Bid Award Bus Garage Pavement Improvements.

C. Adoption of Board Protocols A motion was made by Gene Cvik and seconded by Becky Goodrich that the Board of Education adopt the following protocols: For the purpose of enhancing teamwork among members of the board and between the board and the administration, we, the members of the Owego Apalachin School Board, do hereby publicly commit ourselves collectively and individually to the following protocols:

1. Don’t spring surprises on other board members or the superintendent. Surprises to the board or the superintendent will be the exception, not the rule. There should be no surprises at a board meeting. We agree to ask the board president or superintendent to place an item on the agenda instead of bringing it up unexpectedly at the meeting.

2. Communication between staff and the board is encouraged. However, board requests

that will likely require considerable time or have political implications are to be directed to the superintendent. All personnel complaints and criticisms received by the board or its individual members will be directed to the superintendent.

3. Follow the chain of command. The last stop, not the first, will be the board. We

agree to follow the chain of command and insist that others do so. While the board is eager to listen to its constituents and staff, each inquiry is to be referred to the person who can properly and expeditiously address the issue.

4. Own your own issues. The board will not be a ball carrier for others – but rather, will

encourage other to present their own points, problems or proposal when discussing issues.

5. Practice the governance rule. The board will emphasize planning, policy-making, and

communication rather than becoming involved in the management of schools.

6. Clearly state goals. The board will set clear goals for themselves and the superintendent. The board and the superintendent will set clear goals for the Owego Apalachin Central School District.

7. Utilize CEO input. The superintendent is the chief executive officer and should make

recommendations, proposals or suggestions on most matters that come before the board.

8. Board acts only as a body. Individual board members do not have authority. Only

the board as a whole has authority. We agree that an individual board member will not take unilateral action. When board members serve on various school committees, their role shall be defined by the board as silent observer or active participant. The

board president shall be the spokesperson for the board to all media inquiries of the board.

9. Debate the issues, not one another. Conduct at a board meeting is very important.

We agree to avoid words or actions that create a negative impression on an individual, the board, or the district. While we encourage debate and differing points of view, we do it with the care and respect to avoid an escalation of negative impression or incidents.

10. Avoid marathon board meetings. To be efficient and effective, long board meetings

must be avoided. Points are to be made in as few words as possible; speeches at board meetings will be minimal. If a board member believes s/he doesn’t have enough information or questions, either the superintendent or the board president is to be called before the meeting.

11. Practice efficient decision-making. Board meetings are for decision-making, action

and votes, not endless discussion. We agree to move the question when discussion is repetitive.

12. Speak to agenda issues. The board will not play to the audience. We agree to speak

to the issues on the agenda and attend to our fellow board members. Facts and information needed from the administration will be referred to the superintendent.

13. Executive/closed sessions will be held only for appropriate subjects. Executive

sessions will be held only when specific needs arise. Board members will respect the confidentiality of the session and will be extremely sensitive to the legal ramifications of their meetings and comments.

14. Children’s interests come first. The board will represent the needs and interest of all

the children in our district.

A. District Treasurer of the Board of Education A motion was made by Gene Cvik and seconded by Lee Dunham that the following resolution be adopted:

RESOLVED, That Kristopher B. Helman be appointed District Treasurer of the Owego Apalachin Central School District for the 2016-2017 fiscal year in accordance with Education Law 2114, 2130, 2503; Commissioner’s Regulation 170. The vote on the foregoing resolution was as follows:

This is with the understanding that payment for these services are included as an added stipend of $6,000.00. The vote on the foregoing resolution was as follows:

Agreement

This is an agreement between Kathleen Breese, hereinafter independent contractor, located at 311 Shady Hill Rd., Apalachin, NY 13732, and the Owego Apalachin Central School District, hereinafter District, located at 5 Sheldon Guile Blvd., Owego, New York 13827. 1. The term of this agreement is from July 1, 2016 through June 30, 2017. 2. The Independent Contractor agrees to provide Speech Therapy or Augmentative Services to the District as assigned by the District and in accordance with the assigned students’ Individualized Educational Plan. Such services shall include but are not limited to: a. evaluations of students. b. Speech Therapy or Augmentative Services.

c. attendance at Committee on Special Education and Committee on Preschool Special Education meetings as required. d. documentation of Speech Therapy or Augmentative Services and evaluations as required including but not limited to progress notes, evaluation reports, goal and objectives, filings for Medicaid.

3. The Independent Contractor agrees to abide by all applicable District policies and procedures. 4. The Independent Contractor must at all times maintain the required licenses and, upon request by the District, provide a copy to the District. 5. The District agrees to provide any required equipment for the provision of Speech Therapy or Augmentative Services pursuant to this agreement. 6. The District agrees to provide reasonable notice to the Independent Contractor of all deadlines, meeting and other time restrictions arising out of or relating to this agreement. 7. The District agrees to pay Independent Contractor $50 per half-hour or $90 per hour for Speech Therapy or Augmentative Services pursuant to this agreement. Independent Contractor shall issue invoices to the District on a monthly basis. 8. The District and the Independent Contractor agree that the Independent Contractor is not an employee of the District and is not entitled to Worker’s Compensation benefits or any other benefits available to the employees of the District. 9. The Independent Contractor must provide to the District proof of general liability insurance in the amount of $1 million dollars. 10. This agreement may be terminated by either party upon 15 days written notice provided to the other party.

Kathleen Breese Page 2 2016-17 Kathleen Breese represents and warrants that he/she, nor his/her employees or contractors, are not excluded from participation in, and is not otherwise ineligible to participate, in a “federal health care program”, including but not limited to Medicaid and Medicare, as defined in 42 U.S.C. Section 1320a-7b(f) or in any other government program. In the event that Kathleen Breese or one of his/her employees is excluded from participation or becomes otherwise ineligible to participate in any such program during the term of this agreement, Kathleen Breese agrees that it will notify the District in writing of the exclusion within three (3) business days after learning of the exclusion. INTERMUNICIPAL COOPERATION AGREEMENT BETWEEN THE TOWN OF OWEGO AND THE OWEGO APALACHIN SCHOOL DISTRICT, RELATIVE TO

SEWAGE DISPOSAL SERVICES

THIS AGREEMENT, made and entered into as of August __4__, 2016, between the Town of Owego, a municipal corporation of the State of New York situated in Tioga County at 2354 State Route 434, Apalachin, NY 13732, (hereinafter referred to as “Town”) and the Owego Apalachin School District, a municipal corporation of the State of New York situated in Tioga County with offices located at 5 Sheldon Guile Boulevard, Owego, New York 13827 (hereinafter referred to as the “School”).

WITNESSETH:

WHEREAS, the Town has an agreement with the Village of Owego to transport sewage from its Route 38 Sewer District to the Village’s Pumpelly Farm Sewage Treatment Plant; (the “Sewage Treatment Plant’); and WHEREAS, as part of same agreement, the Town has obtained the necessary approval from the Village to accept the school’s sewage; and WHEREAS, as part of said agreement the Town has the capability of supplying the School with the use of its interceptor lines and pumping station to deliver sewer services to the School on a temporary outside user basis; and WHEREAS, the School desires to contract with the Town for the purpose of providing the School with sewage transport from its new maintenance facility to the Village of Owego’s Sewage Treatment Plant as an outside user on a temporary basis contingent upon the School petitioning the Town for a sewer extension connecting the School to the Town’s Rt. 38 sewer district; obtaining any and all necessary easements and reports, including a map, plan and report prepared in accordance with Town Law Section 192, to effect said extension and installing a water meter in the maintenance facility ; and WHEREAS, by authority of Section 119-o of the General Municipal Law of the State of New York, the Town and the School are enabled to enter into binding agreements for the cooperative or contract performance of various municipal functions, including the transport of sewage; NOW, THEREFORE, for and in consideration of the mutual promises hereinafter set forth, Town and School agree as follows:

SEWER

1. The Town covenants and agrees to receive into its sewer system at the Town’s Rt. 38 Sewer District line, all sewage generated by the School’s new maintenance facility in the Town and to cause the same to be transmitted via the Town’s Rt. 38 Sewer District Force Main to the common boundary of the Village and Town, toward an eventual destination at the “Sewage Treatment Plant” in consideration of the payment by the School to the Town of the charges hereafter provided.

2. The charges to the School by the Town for transmittal of said sewage shall be based upon the flow, as determined by a permanent meter, measuring the facility’s water consumption. That flow will be used for all charges to the School for such transmittal. 3. The School agrees that in discharging sewage from its sewage system into the Town’s Rt. 38 Sewer District, it will at all times comply with the applicable rules, regulations and local laws of the Town and the Sewage Treatment Plant. The Town has adopted sewer local laws pursuant to Chapter 95 of the Town Code, to the extent that such local laws impose restrictions upon the discharge of wastes into the Town’s Rt. 38 Sewer District Sewage System, establishes procedures for enforcement and determines penalties for violations. The School shall indemnify and hold harmless the Town from all damages to the Town’s Rt. 38 Sewer District Sewage System resulting from the discharge of its sewage waste into said Town’s sewer system. 4. The Town shall have the right, power and privilege of inspecting, after appropriate notification, any conduit, main, service pipe, or attachment in the School’s sewage system up to the Town’s Rt. 38 Sewer District Force Main, in order to determine whether an actual, or a means for a potential, violation of the Town’s rules, regulations, and local laws, exist, or whether there has been any breach of the other terms and provisions of this Agreement relating to the Town’s Rt. 38 Sewer District. The Town shall give written notice thereof to the School, and the School agrees to remedy the violation or condition forthwith or notify the Town of the reasons why it disputes the existence of such violation or condition. Payment of any fine to the Town by the School due to a violation of the Town’s Rt. 38 Sewer District System including rules, regulations, and local laws governing the type, manner, nature, and strength of such substances, materials, waters or wastes to be discharged into the Town’s Rt. 38 Sewer District’s sewage system, if such a violation may be prosecuted, does not in any way relieve the School of liability to the Town for any expenses, loss, or damage incurred by the Town as a result of such violation. It is agreed herein that the School shall indemnify the Town for any expenses, loss, or damage to Town property resulting therefrom. The School shall only be liable for the payment of fines to the extent permitted by law. 5. The Town agrees, at all times to the extent of the capacity of its Rt. 38 Sewer District pumping facilities, to provide for and maintain proper transport of all sewage received from the School into the Rt. 38 Sewer District Force Main. However, the Town will not be liable for any delays or failures to perform due to causes beyond its reasonable control, including but not limited to strike, lockouts, fire, explosion, theft, acts of God, riots, civil commotion, and malicious mischief. Whether or not the same is herein specified, and in any event, the Town shall not be liable for any damages that are not insured in its commercial general liability insurance policy.

6. The sewage rate charged the School by the Town shall be $12.25 per 1,000 gallons plus capital rate of $7.50 per billing cycle or a minimum fee of $285.38 if less than 23,208 gallons per billing cycle, plus capital rates of $7.50 per billing cycle. The Town shall bill the School for sewage charges four times per year. The billing periods shall be as follows:

Any revenue received by the Town on behalf of the School as a result of judgments,

settlements of claims, adjustment of governmental appropriations, or the like which have

previously been charged to the Town by the Sewage Treatment Plant shall be apportioned

and credited against the next following quarterly payment of the School.

GENERAL

7. The rates set forth herein shall become effective upon commencement of school metered water flowing through its interceptor pipe, to the Town’s Rt. 38 Sewage District Force Main. 8. The term of this Temporary Agreement shall be from date of signing of agreement and continuing 180 days to allow the School the necessary time to petition the Town for a sewer extension connection.

NO ASSIGNMENT

In accordance with the provisions of section 109 of the General Municipal Law, the School is hereby prohibited from assigning, transferring, conveying, subletting or otherwise disposing of this Agreement, or of its right, title or interest in this Agreement, or its power to execute this Agreement, to any other person or corporation without the previous consent in writing of the Town. REQUIRED PROVISIONS OF LAW

Each and every provision of law and clause required by law to be inserted in this Contract shall be deemed to have been inserted herein. If any such provision is not inserted, through mistake or otherwise, then upon the application of either party, this Contract shall be physically amended forthwith to make such insertion. In particular, the Contractor shall, among other things, fully comply with: (a) Labor Law section 220-e and Executive Law sections 291-299 and the Civil Rights Law relating to prohibition against discrimination and providing equal opportunity. (b) Affirmative action as required by the Labor Law. (c) Prevention of dust hazard required by Labor Law section 222-a. (d) Preference in employment of persons required by Labor Law section 222.

(e) Eight-hour workday as required by Labor Law section 220(2).

PREVAILING WAGE RATES REQUIRED BY LAW

(a) The parties hereto, in accordance with the provisions of section 220(3) of the Labor Law, hereby agree that there shall be paid each employee engaged in work under this Contract not less than the wage rate and supplements set opposite the trade or occupation in which he/she is engaged, as listed on Exhibit A attached hereto and made a part of this Agreement, which are the wage rates and supplements established as the prevailing rate of wages for the work covered by this Contract. (b) Labor classifications not appearing on the schedule of wages can be used only with the consent of the Owner and then the rate to be paid will be given by the Owner after being advised by the Department of Labor. (c) The Contractor shall post in a prominent and accessible place on the site of the work a legible statement of all wage rates and supplements, as specified in the Contract, for the various classes of mechanics, workingmen/women, or laborers employed on the work.

ARBITRATION

Should any dispute arise between the Town and the School regarding the manner or sufficiency of the performance of the work, the disputed matter shall be settled by arbitration in accordance with the laws of the State of New York. There shall be three arbitrators, one of whom shall be selected by each of the parties hereto, and the third by the two arbitrators so selected. If the selection of any arbitrator is not made within fifteen (15) days of the time that either party has notified the other of the name of the arbitrator it has selected, then the arbitrator or arbitrators not selected shall be appointed in the manner provided by the laws of the State of New York. The work shall not be interrupted or delayed pending such decision.

AUTHORITY FOR EXECUTION ON BEHALF OF THE TOWN

The Supervisor has executed this Agreement pursuant to a Resolution adopted by the Town Board of the Town of Owego, at a meeting thereof held on ____________, 2015. Donald Castellucci Jr., Supervisor, whose signature appears hereafter, is duly authorized and empowered to execute this instrument and enter into such an Agreement on behalf of the Town of Owego. This instrument shall be executed in duplicate. At least one copy shall be permanently filed, after execution thereof, in the office of the Town Clerk of Owego.

WAIVER

No waiver of any breach of any condition of the Agreement shall be binding unless in writing and signed by the party waiving said breach. No such waiver shall in any way affect any other term or condition of this Agreement or constitute a cause or excuse for a repetition of such or any other breach unless the waiver shall include the same.

MODIFICATION

This Agreement constitutes the complete understanding of the parties. No modification of any provisions thereof shall be valid unless in writing and signed by both parties.

APPLICABLE LAW

This Agreement is governed by the laws of the State of New York.

HEADINGS

Headings in this Agreement are for convenience only and shall not be used to interpret or construe its provisions.

COUNTERPARTS

This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

BINDING EFFECT

This Agreement shall be binding upon the parties and their respective legal representatives, successors, and assigns. IN WITNESS WHEREOF, the Town of Owego has caused its corporate seal to be affixed hereto and these presents to be signed by Donald Castellucci Jr., its Supervisor, duly authorized to do so, and to be attested to by Michael Zimmer, Town of Owego Clerk, and the Owego Apalachin School District has caused its corporate seal to be affixed hereto and these presents to be signed by its ______________, the day and year first above written.
