Note:-

1. Tender documents can be purchased on payment of cost of tender document @ Rs.20000/- each on-line at the aforesaid website from 28th June, 2011 (10:30 Hrs.) and up to 06th July, 2011 (17:30 Hrs.). Contractors willing to participate in aforesaid tender are advised to go through the para of "Guidelines for contractors for Implementation of e-procurement systems in B.D.A." mentioned and attached with this tender document.

2. The tenders are hereby invited through three Envelope System i.e. Post Qualification Systems.

The Bid-Data should be filled and the Bid-Seals (Hashes) of all the envelopes and the documents which are to be uploaded by the bidders, should be submitted on-line at the aforesaid website between 28th June, 2011 (18:00 Hrs.) to 08th July, 2011 (17:30 Hrs.) as mentioned in para of key dates.

3. The Bidders shall have to submit their bids on-line at the aforesaid website (decrypt the bids and re-encrypt the bids) and upload the relevant documents from 11th July, 2011 (17:31 Hrs.) to 17th July, 2011 (17:30 Hrs.).

Documents required to be submitted manually such as Envelope-A (Earnest Money) and Envelope-B (Technical Bid) only and not to be applicable to Envelope-C (Financial Bid); should reach the office of

4. Since, the bids for the tender are required to be digitally signed using Class-III digital certificate of the authorized representative of the intending contractor / company / firm, contractors are advised to obtain the same at the earliest, as this process may take up to seven working days for issuance of Class-III digital certificate. Further information on the same may be obtained from e-procurement cell of BDA, Bhopal.

5. The Earnest Money Deposit Envelope (Envelope-A) and Technical Bid Envelope (Envelope-B) shall be opened on-line on 19th July 2011 (10:30 Hrs. to 17:30 Hrs.) in the presence of any intending contractors or their representatives, if they choose to be present. After assessment of eligibility of the bidders on the basis of Technical Bids (Post Qualification Documents) in Envelope-B submitted by the contractor, the Envelope-C (Financial Bid) of only post-qualified contractors shall be opened on-line on 20th July 2011 (10:30 Hrs. to 17:30 Hrs.) . The start date & time and the end date & time of opening of Financial Bid mentioned in the time schedule at para of key dates are tentative and subject to change.

1.2 The electrical works shall be executed only through the contractors who posses proper valid electrical license from Chief Electrical Inspector to the Govt. of M.P. He should also upload a copy of the license.

1.3 Not more than one tender shall be submitted by contractor or by a firm of contractors.1.4 No two or more concerns in which an individual is interested as a proprietor and or as a partner

shall tender for the execution of the same work. if they do so, all such tenders shall be liable to be rejected.

1.5 The Chairman, Bhopal Development Authority shall be accepting authority hereinafter referred to as such, for the purpose of this contract.


1.6 "Engineer-in-charge" means the "Executive Engineer" in-charge who shall supervise and be in charge of work and who shall sign the contract on behalf of the B.D.A.

1.7 Tender document consisting of plans, specifications, schedule of quantities of the various classes of work to be done, the conditions of contract and other necessary documents, will be open for inspection online and issued/sold online on payment of ` 20000.00 to e-paid online on or before 06 - 07 - 2011 upto 5.30p.m.

1.8 The copies of other drawings and documents pertaining to the work signed for the purpose of identification by the accepting officer of his accredited representative and samples of material to be arranged by the contractor will be open for inspection by tenderers at the following office during working hours between the dates mentioned in clause -1.7 above

2. RATES

2.1 The Schedule of Items. The schedule of main items of work to be executed is enclosed as annexure-E.

2.2 Percentage rate tender in form 'A' or 'C'.

2.2.1 In respect of percentage rate tenders, contractor should quote his rates above/below, or at par with the following Schedule of Rates:(a) Building work & Water Supply & Sanitary Fittings - The schedule of rates issued by

Engineer in Chief , M.P.P.W.D. for Building Works w.e.f. 15/06/2009 and its amendments and correction slips issued up to date of N.I.T.

(b) Internal Electrification Work - The schedule of rates issued by Engineer in Chief , M.P.P.W.D. for Internal Electrification Works w.e.f. 01/04/2008 and its amendments and correction slips issued up to date of N.I.T.

(c) Road & Bridge Work - The schedule of rates issued by Engineer in Chief , M.P.P.W.D. for Road and Bridge Works inforce from 15/04/2009 and its amendments and correction slips issued up to date of N.I.T.

The tender shall be submitted by the tenderer in the following three separate envelopes online:-

(a) Earnest money, scan copy of contractor registration in Bhopal Vikas Pradhikaran, scan copy of valid period revenue solvency / bank solvency of nationalized /scheduled bank.

Note: Online bidders are required to submit the physical EMD in physical EMD envelope - 'A' and any other documents related to technical bid which can not be submitted online in a physical technical envelope - 'B'. Price bids are to be submitted mandatorily online and shall not be accepted in any physical form as mentioned above.Reference of the EMD is to be mentioned online and a scanned copy of EMD is to be uploaded online. Also in case of technical bids the list of documents being submitted manually is to be uploaded online. Above envelopes, as applicable shall be kept in a big outer envelope, which shall also be sealed.In the first instance, the Envelope - 'A' containing the earnest money shall be opened online and manually. If the earnest money is found proper the Envelope 'B' containing technical bid shall be opened in the presence of such contractors who choose to be present. The financial offer in Envelope 'C' shall be opened only if tenderer meet the qualification criteria and availability of bid capacity as per qualification, criteria of the technical bid documents. Financial Bid will be opened as per online key date schedule. Bhopal Development Authority may change the date of Financial Bid Opening. All changes made in key dates will be made available online for bidder’s reference.

2.2.2 (For Form “A” only)The percentage of tender above/below or at par with the relevant schedule of rates inclusive of amendments and correction slips, issued upto the date of issue of this notice inviting tender should be expressed on the tender form itself, both in words and figures, in such a way that interpolation is not possible. Tenders not specifying percentage in words will summarily be rejected. Any amendment to the schedule of rates after the date of issue of this tender notice or the date of issue of any amendment to the N.I.T. specially notifying the said amendment to the current schedule of rates shall not apply to this tender.

2.2.3 The Percentage tendered by the contractor will apply to those rates which find place in the current schedule of rate mentioned in clause 2.2.1 or have been derived from the said current schedule of rates and not to other items.

2.2.4 The contractor shall not alter the percentage quoted by the contractor during the term of contract.


2.3 Item Rate Tenders in form - "B" In respect of item rate tenders, contractor should quote his rates for the items mentioned in the schedule of item of this N.I.T. Only rates quoted shall be considered. The rates should be expressed in figures as well as words and the unit should be as given by the Department. The contractor will not have freedom to change the unit.

2.4 LEAD AND LIFT OF WATER:- No lead and lift for carting of water will be paid.2.5 LEAD AND LIFT OF MATERIALS:- No lead and lift for carting of material shall be payable to the

contractors except in case of such items for which specific provision for payment of lead and lift are provided in the current schedule of rates, mentioned in clause 2.2.1 of the N.I.T. or in the schedule of items in respect of items rate tender.

2.6 NON SCHEDULED ITEMS OF WORK: During the execution of work there is likelihood of such items of works which do not find place in the current schedule of rates, referred to above, in respect of percentage rate contract or such items which are not given in the schedule of items in respect of item rate contracts, for which contractor has not quoted his rates, contractor will have to carry out these items of work.

Rates of such items for work which do not find place in the current schedule of rates referred to above, in respect of percentage rate contracts or such items in respect of item rate contracts shall be decided by the Superintending Engineer and the decision of the Chief Engineer (Superintending Engineer in case when Chief Engineer is not posted) shall be final.

3. SUBMISSION OF TENDER:3.1 EARNEST MONEY - No tender will be received without a deposit of earnest money of Rs

6,43,000.00 (Rs Six Lacs & Forty Three Thousand only) which will be returned to the unsuccessful tenderers on the rejection of their tenders, or earlier as may be decided by the competent authority and on production of a certificate of Executive Engineer, Division - 07, B.D.A. Bhopal that the all tender documents have been returned and will be retained from the successful tenderers as part of the security deposit.

3.2 FORM OF EARNEST MONEY: 3.2.1 Where the amount of Earnest money is more than Rs. 500/- the same shall be accepted only in the

shape of Bank Drafts in favour of the “Bhopal Development Authority”, Bhopal the same will not be converted in the form of Bank Guarantee, after execution of agreement. The instructions issued vide office. Order No ST/BVP/1983 Dt. 3.10.83 for acceptance of Bank Guarantee towards earnest money for works costing above five Lacks will not be acceptable in this case.

3.2.2 The intending tenderers from other states may remit E.M. in the form of the Bank draft of any schedule bank, in favour of the Bhopal Development Authority, Bhopal. Bidder has to upload the scan copy of Bank draft compulsorily. In absence of Scan copy of Bank Draft bid shall liable to be rejected.

3.3 EARNEST MONEY IN SEPARATE COVERS: - The earnest money in one of the prescribed forms should be produced/sent separately and not kept in covers containing the tender and if the earnest money is not found in accordance with the prescribed mode, the tender will be returned unopened to the tender. The reference details of EMD are required to be mentioned and a scanned copy of EMD is to be uploaded in the online EMD envelope for verification during opening by the online bidders.

3.4 ADJUSTMENT OF EARNEST MONEY: Earnest money which has been deposited for a particular work, will not ordinary, be adjusted towards the earnest money for another work, but if the tender of a contractor for a work has been rejected and the earnest money has been refunded to him due to some reasons it may be so adjusted by Executive Engineer.

3.5 SECURITY DEPOSIT:

(a) Security Deposit shall be recovered from the Running Bills, @ 5% (Five Percent) on, percentage basis as per clauses of the agreement read with Para 3.5 of the N.I.T.

(b) The amount of the E.M. shall not be adjusted when value of work done reaches the limit of the amount of Contract or exceeds the probable amount of the contract.

3.6 IMPLICATION OF SUBMISSION OF TENDER: Tenders are advised to visit the site sufficiently in advance of the last date fixed for submission of the tender. A tenderer shall be deemed to have full knowledge of all the relevant documents and site etc. whether he inspect them or not.The bid for the tender being submitted online must be digitally signed using digital certificate of the Individual in case of Individuals / proprietorships and Authorised representative in case of partnership firm / private limited companies / public limited companies / joint ventures. In any of the


above cases, a lawful power of attorney holder can also obtain the digital certificate to sign on behalf of the individual / organisation.

3.7 THE SUBMISSION OF A TENDER BY CONTRACTORS IMPLIES THAT : He has read the notice, conditions of tender. All other contract documents and has made himself aware of the standards and procedures in this respect laid down in the National Building Code of India 1970. the scope and specification of the work to be done and the conditions and rates at which stores, tools and plants etc. will be issued to him by the Authority further that he has seen the queries with their approaches, site of work etc. and satisfied himself regarding the suitability and availability of the material at the queries. The responsibility of opening new queries and construction and maintenance of approaches thereto shall lie wholly with the contractor.

3.8 INCOME TAX CLEARANCE CERTIFICATE - A tenderer purchasing tender documents for works exceeding Rs. 2.00 lacs shall submit either an income Tax Clearance Certificate in the form printed as Annexure D or a certificate for the. Income Tax authority that the assessment is under consideration No tender document can be issued/sold to him unless such certificate is submitted.

3.9 LIST OF WORK IN PROGRESS - Tender must be accompanied by a list of Contracts already held by the tenderer at the time of submitting the tender in the Department and elsewhere showing therein -

(i) The amount of each contract.

(ii) Balance of work remaining to be done, and

(iii) The amount of solvency certificate produced by him at the time of enrolment in

B.D.A., Bhopal.

3.10 RELATIONSHIP - The contractor shall not be permitted to tender for works in the Division (responsible for award and Execution of contracts) in which his near relative is posted as Executive Engineer/ Chief Account Officer. He shall intimate the name of his near relative working in Bhopal Development Authority. He shall also intimate the name of persons who are working with him in any capacity of subsequently employed by him and who are near relatives to any officer in the B.D.A. Bhopal. Any breach of this condition by the contractor would render himself liable to be removed from the approved list of contractors of the Bhopal Development Authority, Bhopal.

NOTE: By the term near relatives is meant wife, husband, parents and son, grandson, brothers, sister, brother-in-law, father-in-law and mother-in-law.

4. OPENING AND ACCEPTANCE OF TENDER:

4.1 PLACE AND TIME OF OPENING: The tenders shall be opened online on the website of BDA i.e. http://bda.mpeprocurement.gov.in as per key dates and time by the Executive Engineer (Division No - 07) in the presence of the tenderers or their duly authorised agents, who may choose to attend. The Executive Engineer under unavoidable circumstance may depute another officer in his absence to receive and open the tenders on his behalf.

4.2 Power of Executive Engineer: The Executive Engineer does not bind himself to accept or to recommend for the acceptance the lowest or any tender or to give any reasons for his decision.

4.3 Conditional Tender: Conditional tenders will be rejected.

4.4 Canvassing: Canvassing whether directly or indirectly, in connection with tenders is strictly prohibited and the tenders submitted by the bidders who resort to canvassing will be liable to rejection and bidder himself liable to penalties which may include removal of his name from the list of approved & registered contractors of Bhopal Development Authority and/or penal action under the section-8 of Madhya Pradesh Vinirdishtta Bhrast Acharan Nivaran Vidheyak- 1982 and such tenders are liable to be rejected.

4.5 Unsealed Tenders: The tender may be rejected if not properly sealed. (Physical Earnest money and technical bid envelope). Financial proposal should be submitted online only, in case of physical submission of financial bid tender shall be liable to be rejected. The tender will also be rejected if all required stages will not get completed message online.

4.6 Accepting authority's discretions: The accepting authority reserves the right of accepting the tender for the whole work or for a distinct part of it or distributing the work between one or more tenderers.


4.7 Validity of offer : Tender shall remain valid upto 120 days from the date of receipt of tender and in the event of the tenderer withdrawing the offer before aforesaid date for any reason whatsoever, earnest money deposited with the tender shall be forfeited by B.D.A. Bhopal.

5. SPECIFICATIONS:

5.1 BRIEF SPECIFICATION - A brief note on construction and specifications of the work is enclosed in Annexure - E.

5.2 MATERIAL OF CONSTRUCTION - The materials for construction to be used in the work shall be governed by the provision of part - V of the National Building Code of India. 1970 and the relevant Indian Standard specifications with amendments and revisions issued up to the date of tender notice.

5.3 WORKMAN SHIP - The work shall be carried out according to the specification referred to hereinafter and according to sound engineering practice. The decision of the Executive Engineer, in respect of workmanship will be final.

5.4 SPECIFICATION FOR BUILDING WORK - (Including water supply and sanitary fittings).

5.4.1 The contractor shall execute the work in conformity with the standards procedure laid down in the National Building Code of India, 1970 and as per C.P.W.D. specification or specifications in force or specification whichever enclosed separately, and in accordance with the approved drawing.

CONCRETE - All concrete shall be mixed in concrete Mixers and compacted by mechanical Vibrators, Slump test shall be carried out during concrete and sample test cubes prepared and tested in due course. The testing will be carried out by/through the Department. The result of the test shall confirm with the required standard and if the Engineer-in-Charge consider that a structural test in necessary, the same shall be carried out as instructed by the Engineer-in-Charge at the Contractor's expense and if result of this be unsatisfactory the contractor will be bound to take down and reconstruct the particular portion of work which has given unsatisfactory test results.

5.4.2 BRICKS - The Contractor should use the bricks manufactured on the measures, as far as possible.

5.4.3 All timber used in wood for all new works must be properly seasoned in case of important buildings mechanical seasoning should be done in good seasoning plant. In case the contractor does not procure good seasoned wood he may be asked to get it seasoned in plant at his own expense but a certificate is required where no additional rate is paid.

5.4.4 MAINTENANCE OF ROOFS - Subjects to the provision in the agreement, it will be the responsibility of the contractor to see that the building does not leak, during the period of the first rainy season in respect of tile and sheet roofing and two consecutive rainy season in respect of lime concrete and cement concrete terraced roof after its completion and he will make good and replace all the defective work on this account.

5.5 SPECIFICATION OF ELECTRICAL WORKS

5.5.1 The work will be carried out as per the approved drawing and as directed by the Executive Engineer (E/M) BDA the work will be governed by "General Specifications" for the Electrical works in Government buildings in Madhya Pradesh in force from 1972.

5.5.2 All samples of electrical accessories should be got approved from the Engineer-in-Charge. Contractor will have to arrange and afford all facilities for their inspection and rectify the defects pointed out by them. A list of accessories is enclosed in Annexure-H.

5.5.3 The period of testing and refund of deposit will be 6 months after completion of works.

5.5.4 In case of supply of ceiling fan, table fan, exhaust fan cabin fan, tube light fixtures will be made by the B.D.A. as mentioned in the S.O.R. As such labour rates only as per S.O.R. will be paid for fitting such items in position as per S.O.R.

5.5.5 The contractor should submit line diagram on tracing cloth showing the point position of switch, length of point, position of D.B. and main switch circuit Nos. which points fall at the time of final bill. Otherwise deduction of 1/2 percent (half percent) will be made from the bill.

5.6 SPECIFICATIONS FOR ROAD WORK

The road works and collection of materials for road works shall be carried out according to C.P.W.D. specifications, as adopted for this work or specifications in force or special specifications wherever enclosed separately, or the relevant specifications published by the Indian road Congress.

5.5 CONTRADICTION OR AMENDMENTS: In the event of contradictions between the stipulation of the current schedule of rates and specifications (vide paras 5.1 to 5.4 above) the stipulation in the current schedule of rates shall gain precedence. In the event of contradiction, if any, between


specifications and codes and practice, referred to above the decision of the Engineer-in-Charge shall be final and binding on the contractor.

6. SUPPLY OF MATERIALS - No material will be supplied by the B.D.A., Bhopal.

7. MISCELLANEOUS CONDITIONS -

7.1 SUBLETTING - The contractor shall not, without the prior approval of the competent authority in writing, sublet or assign to any other party or parties the whole or any portion of the work under the contract. Where such approval is granted, the contractor shall not be relieved of any obligation or duty or responsibility, which he undertakes under the contract.

7.2 TAXES - All dues regarding taxes, including the sales tax, other duties etc. levied on the contractor's work by Government and local bodies or private individuals will be payable by the contractor. The Executive Engineer Division No.- 07, B.D.A. will grant a certificate for the quantities actually used on the work but will not entertain any claim on this account.

7.3 Minerals extracted for works carried out on behalf of the Government of India, from the quarries in possession of and controlled by the state Government is subject to payment of Royalty by the contractor to whom it shall not be refundable. The Bhopal Development Authority shall not also issue any certificate in respect of such materials extracted for Government of India work (Applicable to Government of India works only).

7.4 RULES OF LABOUR CAMPS - The contractor will be bound to follow the Madhya Pradesh Model Rule relating to layout, water supply and sanitation on labour campus 1(Vide Annexure-A) and the provisions of the National Building Code of India, regard to constructions and safety.

7.5 FAIR WAGES - The contractor shall pay not less than fair wage to labourers engaged by him on the works (rules enclosed vide Annexure-B).

7.6 WORK IN THE VICINITY - The Executive Engineer reserves the right to take up departmental work or to award work on contract in the vicinity without prejudice to the terms of contract.

7.7 BEST QUALITY OF CONSTRUCTION MATERIALS - Materials of best quality will be used as approved by the Executive Engineer.

7.8 REMOVAL OF UNDESIRED PERSONS - The contractor shall on receipt of the requisition from the Executive Engineer at once remove any person employed by him on the work who, if in the opinion of the Executive Engineer is unsuitable or undesirable.

7.9 AMOUNT DUE FROM CONTRACTOR - Any amount due to B.D.A. Bhopal from the contractor on any account concerning work may be recovered from his as arrears of land revenue..

7.10 TOOLS AND PLANTS - The contractor shall arrange at his own cost tools and plants required for the proper execution of the work.

7.11 RIGHTS TO INCREASE OR DECREASE WORK - The competent authority reserve the right to increase or decrease work. The competent authority reserves the right to increase or decrease any item of the work during the currency of the contract and the contractor will be bound to comply with the order of the competent authority without any claim for compensation.

7.12 TIME SCHEDULE - the contractor according to the time schedule fixed by the competent authority shall do the work.

7.13 TIME OF CONTRACT - Time allowed for carrying out the work as entered in the N.I.T. shall be strictly observed by the Contractor and shall be reckoned from the date of work order to commence the work.

7.14 PAYMENT BY CHEQUES - The payment will be made by cheques on the Nationalized Bank payable at Bhopal only. No Bank commission charges on releasing such payments will be borne by the B.D.A. Bhopal.

7.15 TRANSPORT OF MATERIALS - The contractor shall make his own arrangement for transport of all material. The Bhopal Development Authority is not bound to arrange for priority in getting wagon or any other materials though all possible assistance by way or recommendation will be given if it is found necessary in the operation by the Engineer in charge. If it proves to be ineffective, the contractor shall have no claim for any compensation on that account.

8. SPECIAL CONDITIONS – Special Conditions are enclosed in Annexure-”D “

8.1 AGREEMENT

8.1.1 EXECUTION OF AGREEMENT - The tenderer whose tender has been accepted here in after referred as the contractor, shall produce an appropriate solvency certificate, if so required by the Executive Engineer and will executed the agreement in the prescribed form, within a fortnight of the


date of communication of the acceptance of his tender by competent authority. Failure to do so will result in the earnest money being forfeited to B.D.A. and tender being cancelled.

8.1.2 (a) The contractor shall employ the following Technical Staff during the execution of work.

1. One Graduate Engineer when work to be executed is more then Rs. 5 lakh.

2. One diploma Holder, Sub-Engineer when the cost of work to be executed is from Rs.2 lacs or more but not more than Rs. 5 lacs.

(b) The Technical Staff should be available at site whenever required by the Engineer-in-Charge to take instructions.

(c) In case the contractor fails to employ the technical staff as aforesaid, the E.E. shall have the right to take suitable measures.

(d) The contractor should give the names and other detail of the Graduate Engineer/Diploma Holder, Sub-Engineer whom he intends to employ to who is under employment on the work at the time he commences the work.

(e) The Contractor should give a certificate to the effect that the Engineer/Diploma holder, Sub Engineer is exclusively in his employment.

PROVIDED THAT:

(i) An Engineer or Sub Engineer may look after more than on work in the same locality but the total value of such work under him should not exceed. Rs 25 lakhs in the case of an Engineer and Rs. 5 lakh in the case of a Sub-Engineer.

(ii) It is not necessary for the contractor's partner in case of firm/company, who is himself an Engineer, Sub-Engineer to employ another Engineer, Sub-Engineer for the Supervision of work.

(iii) The Retired Assistant Engineer who is holding a Diploma may be treated at par with a Graduate for the operation of the above Clause.

In case the contractor fails to employ the technical staff as aforesaid he shall be liable to pay the Bhopal Development Authority sum of Rs. 10000 (Ten Thousand only) for each month of default in the case of graduate engineer and Rs. 5000 (Five Thousand only) for each month of default in the case of Diploma Holder Sub Engineer.

8.2 CONDITIONS APPLICABLE FOR CONTRACT - All the condition of the tender notice will be binding on the contractors in addition to the conditions of the contract in the prescribed form:

1. Tenders must be invited for all works proposed to be given on contract unless the amount of work proposed to be given on contract is Rs. 15000 or less. The N.I.T. shall be posted in public places signed by the authority inviting the tenders.

N.I.T. will state the work to be carried out as well as the date for submitting and opening tenders & the time allowed for carrying out the work, also the amount of earnest money to be deposited with the tender & the amount of the security deposit to be deposited by the successful tenderer and the percentage. If any, to be deducted from bills. It will also state whether refund of quarry fees, royalties, and ground rents will be granted. Copies of the specifications, design and drawings and a schedule of items and rates of the various description of work, and any other documents required in connection with the work signed for the purpose of identification by the authority competent to approve the tender shall also be open for inspection by the contractor at the office of the authority selling the tender forms during office hours.

Further that the schedule of items along with the rates payable shall be attached to the tender documents and in the event of variation in rates given such list with the Current Schedule of Rates the rates given in the S.O.R. approved by the competent authority shall prevail.

2. Registration of Bidders on e-Procurement System:

3. Digital Certificates:

The Bids submitted online should be signed electronically with a Class III Digital Certificate to establish the identity of the Bidder submitting the Bid online. The Bidders may obtain Class III Digital Certificates issued by an approved Certifying Authority authorized by the Controller of Certifying Authorities, Government of India.

A Class III Digital Certificate is issued upon receipt of mandatory identity proofs along with an Application Form. Only upon the receipt of the required documents, a Digital Certificate can be issued.

Note: It may take upto 4 working days for issuance of Class III Digital Certificate, hence the bidders are advised to obtain them at the earliest.

Important Note: Bid for a particular tender can be submitted during the ONLINE BID SUBMISSION stage only using the Digital Certificate that is used to encrypt the data and sign the hash during the ONLINE BID PREPARATION AND HASH SUBMISSION stage.

In case, during the process of a particular tender, the bidder looses his Digital Certificate because of any problem (such as misplacement, virus attack, hardware problem, operating system problem, etc.); he may not be able to submit his bid online.

The digital certificate issued to the Authorised User of a Partnership firm / Private Limited Company / Public Limited Company / Joint Venture and used for online bidding will be considered as equivalent to a no-objection certificate / power of attorney to that user.

In case of Partnership Firm, majority of the Partners have to authorize a specific individual through Authority Letter signed by majority of the Partners of the firm.


In case of Private Limited Company, Public Limited Company, the Managing Director / any other Person (having designated authority to authorize a specific individual) has to authorize a specific individual through Authority Letter.

Unless the certificate is revoked, it will be assumed to represent adequate authority of the specific individual to bid on behalf of the Organisation for online tenders as per Information Technology Act 2000. This Authorized User will be required to obtain a Digital Certificate. The Digital Signature executed through the use of Digital Certificate of this Authorized User will be binding on the firm in all respect. It shall be the responsibility of Management / Partners of the concerned firm to inform the Certifying Authority, if the Authorized User changes, and apply for a fresh digital certificate for the new Authorised User.

4. Set Up of Bidders’ Computer System:

In order for a Bidder to operate on the e-Procurement System, the Computer System of the Bidder is required to be set up for Operating System, Internet Connectivity, Utilities, Fonts, etc. A help file on setting up of the Computer System can be obtained from e-Procurement Cell.

5. Publishing of N.I.T.: For the Tenders processed using the e-Procurement System, only a brief Advertisement related to the Tender shall be published in the newspapers and the Detailed Notice shall be published only on the e-Procurement System. The contractors can view the Detailed Notice and the time schedule for all the Tenders processed using the e-Procurement System on the website http://bda.mpeprocurement.gov.in.

6. Key Dates: The Bidders are strictly advised to follow the time schedule (Key Dates) of the Tender for their side for tasks and responsibilities to participate in the Tender, as all the stages of each Tender are locked before the start time and date and after the end time and date for the relevant stage of the Tender as set by the concerned Department Official.

7. Purchase of Tender Documents:

The Tender documents can be purchased ONLY online. The Tender shall be available for purchase to concerned eligible contractors immediately after online release of the Tender and upto scheduled date and time as set in the key dates. Arrangements have been made for the Bidders to make payments online via Credit Card / Internet Banking. In case of online tendering, the application form for the purchase of tender documents shall not be required.

The Bidders can purchase the tender documents online by making online payment of tender document fees using the service of the secure electronic payments gateway (see point 7 below for further details), and should print out the system generated receipt for their reference which can be produced whenever required.

8. Electronic Payment Account:

As the tender documents shall be available for purchase only online, Bidders are required to pay the Tender Document fees online using the Online Payments Gateway Service integrated into the e-Procurement System.

9. Preparation of Bids and Submission of Bid Seals (Hashes) of Online Bids by the Bidders:

The Bidders have to prepare their Bids online, encrypt their Bid Data in the Bid Forms and submit Bid Seals (Hashes) of all the envelopes and documents required to be uploaded related to the Tender as per the time schedule mentioned in the key dates of the Notice Inviting Tenders after signing of the same by the Digital Signature of their authorized representative.

10. Generation of Super - Hash:

After the time of submission of Bid Seal (Hash) by the Contractors has lapsed, the bid round will be closed and the concerned Department Official shall generate a Tender Super – Hash which shall be digitally signed by the Department Official.

11. Decryption and Re - Encryption Bids:

Bidders have to decrypt the Bid Data with their Digital Certificate and re-encrypt the Bid Data and also upload the relevant documents using Online Briefcase feature for which they had generated the Bid Seals (Hashes) during the Bid Preparation and Hash Submission stage within the specified time as stated in the time schedule (Key Dates).

The encrypted data of only those Bidders who have submitted their Bid Seals (Hashes) within the stipulated time, as per the tender time schedule (Key Dates), will be accepted by the system. A Bidder who has not submitted Bid Seals (Hashes) within the stipulated time will not be allowed to decrypt and re-encrypt his Bid Data or upload the relevant documents.

12. Submission of Earnest Money Deposit:


The Bidders shall submit their Earnest Money Deposit as usual in a physically sealed Earnest Money Deposit envelope and the same should reach the concerned Office as stated in the Notice Inviting Tender by post or in person. Delays in post shall be the responsibility of Contractor.

The Bidders have to upload scanned copy of Earnest Money Deposit instrument along with the reference details.

13. Opening of Tenders:

The concerned Department Official receiving the tenders or his duly authorised Officer shall first open the online Earnest Money Deposit envelope of all the Bidders and verify the scanned copy of the Earnest Money Deposit uploaded by the Bidders. He shall check for the validity of Earnest Money Deposit as required. He shall also verify the scanned documents uploaded by the Bidders, if any, as required. In case, the requirements are incomplete, the commercial and other envelopes of the concerned Bidders received online shall not be opened.

The concerned Official shall then open the other envelopes submitted online by the Bidders in the presence of the Bidders or their authorised representatives who choose to be present in the order of opening.

He will match the Bid Seal (Hash) of each envelope and the documents uploaded, during the respective opening, with the hash submitted by the Bidders during the Bid Preparation and Hash Submission stage. In the event of a mismatch of hash, the bid shall be liable to be rejected.

14. Any person who submits a tender, shall fill up above or below the S.O.R. specified in rule 1, he is willing to undertake the work. Only one rate of percentage above or below the S.O.R. on all the scheduled items shall be named. Tenders which propose any alternation in the work specified in the said N.I.T. or in the time allowed for carrying out the work, or which contain any other conditions of any sort, will be liable to rejection. No single tender shall include more than one work, but contractors, who wish to tender for two or more works shall submit a separate tender for each. Tenders have the name and number of the work to which they refer, written outside the envelope.

15. The authority receiving the tenders or his duly authorised assistant will open tenders in the presence of any in attending contractors who may be present at the time, and will enter the amount of the several tenders in a comparative statement in a suitable form. Receipts for earnest money will be given to all tenderers except those tenders are rejected and whose earnest money is refunded on the day the tenders are opened.

16. The Chairman B.D.A. Bhopal shall have the right of rejecting all or any of the tenders.

The receipt of a clerk for any money paid by the contractor will not be considered as any acknowledgement of payment to the Sub Divisional Officer/Divisional acknowledgement of payment to the authority selling the tender form and the contractor shall be responsible for seeing that he procures a receipt signed by that authority or any other person duly authorised by him.

17. The memorandum of work tendered for and the schedule of material to be supplied by the B.D.A. and their issue rates be filled in and completed before the tender form is issued. If a form is issued to an intending tenderer without having been so filled in and completed, he shall request the office to have this done before he completes and delivers, his tender.

General Conditions of Contract

1- Definitions:-

a. The contract mean the documents forming the tender and acceptance thereof and the formal agreement executed between the Executive Engineer, Division No.-07, Bhopal Development Authority on behalf of the Chairman of Bhopal Development Authority and the contractor, together with the documents referred to therein including there conditions, the specifications, designs and instructions issued from time to time by the Engineer-in-charge and all these documents taken together, shall be deemed to form one contract and shall be complementary to one another.

b. In the contract, the following expressions shall, unless the context otherwise requires, have the meanings, hereby respectively assigned to them:-

I. The expression Works or Works shall, unless there be something either in the subject or context repugnant to such construction, be constructed and taken to mean the works by or by virtue of the contract, contracted to be executed whether temporary or permanent, and whether original, altered, substituted or additional.

II. The Site shall mean the land/or other places on, into or through which work is to be executed under the contract or any adjacent land, path or street through which work is to be executed under the contract or any adjacent land, path or street which may be allotted or used for the purpose of carrying out the contract.

III. The Contractor shall mean the individual, firm or company, whether incorporated or not, undertaking the works and shall include the legal personal representative of such individual or the persons composing such firm or company, or the successors of such firm or company and the permitted assignees of such individual, firm or company.

IV. The Chairman means the Chairman of Bhopal Development Authority.

V. The Chief Executive officer or C.E.O. means the Chief Executive Officer of Bhopal Development Authority.

VI. The Engineer-in-Charge or Executive Engineer means the Executive Engineer who shall supervise and be in-charge of the work -and who shall sign the contract on behalf of the Bhopal Development Authority i.e. Executive Engineer of Division No.- 07 of the Bhopal Development

Authority for time being, but for the electrical works, Executive Engineer-Electrical & Mechanical Division of the Bhopal Development Authority shall be the Engineer In charge of the work.

VII. Accepting-Authority shall mean the Bhopal Development Authority in this case.

VIII. The Chief Engineer, means the Chief Engineer of Bhopal Development Authority.

IX. The Superintending Engineer means the Superintending Engineer of that circle of Bhopal Development Authority under which the Engineer-in-Charge is being posted, but incase of electrical works, Superintending Engineer-Electrical & Mechanical circle of Bhopal Development Authority.

X. The Assistant Engineer means that Assistant Engineer of Bhopal Development Authority posted on site by the Engineer-in-Charge for supervision of work.

XI. The Sub-Engineer means that Sub-Engineer of Bhopal Development Authority posted on site by the Engineer-in-Charge for supervision of work.

XII. Department means the Bhopal Development Authority.

XIII. BDA or BVP means the Bhopal Development Authority.

XIV. Chief Accounts Officer means the Chief Accounts Officer of Bhopal Development Authority.

XV. Accounts Officer means the Account Officer of the Bhopal Development Authority.


XVI. Market Rate shall be the rate as decided by the Engineer-in-Charge on the basis of the cost of materials and labour at the site where the work is to be executed plus the fifteen percentage cost to cover, all overheads & profit.

XVII. Excepted Risk are risks due to riots (other than those on account of contractor's employees), war (whether declared or not), invasion, act of foreign enemies, hostilities, civil-war, rebellion revolution, insurrection, military or usurped power, any acts of Government, damages from aircraft, acts of God such as earthquake, lightening and unprecedented floods and other causes over which the contractor has no control and accepted as such by the Chairman or causes solely due to use or occupation by Department of the part of the works in respect of which a certificate of completion has been issued or a cause solely due to Department's faulty design of works.

XVIII. Schedule(s)/ S.O.R. referred to in these conditions shall mean the Schedule of Rates applicable on works with all its amendments up to the date of issue the tender notice as mentioned in Para -5 of Detailed Notice Inviting Tender.

XIX. District Specifications means the specification, followed by the State Government in the area where the work is to be executed.

XX. B.I.S. would refer to Bureau of Indian Standards.

XXI. C.P.W.D. means Central Public works Department of Government of India.

XXII. Government means the State Government of Madhya Pradesh or Central Government of India Local bodies/statutory Authority, whichever is applicable.

XXIII. Allot tees means any person or institution or agency to whom the built-up property or its part has been allotted by Bhopal Development Authority.

2 Scope and Performance:-

2.1 Where the context so requires, words imparting the singular only also include the plural and vice versa. Any reference to masculine gender shall whenever required include feminine gender and vice versa.

2.2 Headings and marginal notes of these General Conditions of Contract shall not be deemed to form part thereof or be taken into consideration in the interpretation or construction thereof or of the contract.

2.3 The contractor shall be furnished, free of cost one certified copy of the contract documents except standard specifications, Schedule of Rates and such other printed and published documents, together with all drawings as may be forming part of the tender papers. None of these documents shall be used for any purpose other than that of this contract.

3 Works to be carried out:-

The work to be carried out under the Contract shall, except as otherwise provided in these conditions, include all labour, materials, tools, plants, equipment and transport which may be required in preparation of and for and in the full and entire execution and completion of the work. The descriptions given in the Schedule of Rates shall unless otherwise stated, be held to include wastage on materials, carriage and cartage, carrying and return of empties, hoisting, setting, fitting and fixing in position and all other labours necessary in and for the full and entire execution and completion of the work as aforesaid in accordance with good practice and recognised principles.

4 Discrepancies and Adjustment of Errors:-

4.1 The several documents forming the Contract are to be taken as mutually explanatory of one another, detailed drawings being followed in preference to small scale drawing and figured dimensions in preference to scale and special conditions in preference to General Conditions.

4.2 In the case of any discrepancy between the descriptions for item of works as per Schedule of Rates applicable on work, the specifications and/or the drawings, the following order of preference shall be observed:-

I. Special-conditions & conditions mentioned in Notice Inviting Tenders.

II. Particular Specification and Condition if any.


III. Description of items of work as per Schedule of Rates applicable on work.

IV. Drawings

V. C.P.W.D. and M.O.S.T. Specifications.

VI. Indian Standard Specifications of Bureau of Indian Standards & I.R.C.

4.3 If there are varying or conflicting provisions made in anyone document forming part of the contract, the Superintending-Engineer shall be the deciding authority with regard to the intention of the document and his decision shall be final and binding on the contractor.

4.4 Any error in description, rate in Schedule of Rates or any omission there from shall not vitiate the Contract or release the Contractor from the execution of the whole or any part of the works comprised therein according to drawings and specifications or from any of his obligations under the contract.

4.5. Special Conditions as mentioned in Annexure-E are over & above to all the terms, conditions and clauses etc. of this agreement.

5. As soon as possible after the contract is conducted the contractor shall submit a "Time and Progress Chart" and get it approved by the Engineer-in-Charge. The chart shall be prepared in direct relation to the time stated in the contract documents for completion of items of the works. It shall indicates the forecast of the dates of commencement and completion of various trades of sections of the work and may be amended as necessary by mutual understanding between the contractor and Engineer-in-Charge within the limitations of time imposed in the contract documents.

6. Payment of Taxes:- In respect of this contract, all dues regarding any kind of tax levied by the local bodies, Government or private individuals will be payable by the contractor. The Engineer-in-Charge will grant a certificate for the quantities of various materials actually used on the work but will not entertain any claim on this account.

7. List of Near Relatives:- The contractor shall give a list of his all near relatives who are employees in Bhopal Development Authority as well as in Housing & Environment Department of Madhya Pradesh Government.

8. Work to be Executed Through Appropriate Agencies:- This tender for work includes in addition to building work all other works such as sanitary & water supply installations, drainage installation, Internal electrification works and path etc, the bidder must associate himself with such appropriate agencies which are eligible to execute these works and the internal electrical works shall be executed only through the agency who posses proper valid electrical license issued by the chief electrical advisor of Government of Madhya Pradesh. He should also submit a certified copy of the license.

9. Safety Code & Model Rules for labours:-

The Contractor is bound to follow the model rules as given in Annexure-"B" relating to layout, water supply and sanitation on labour camps. To follow the safety code as Annexure- 'A' in this tender form, is necessary for construction and safety.

10. Removal of Undesired Persons :-

The contractor shall on receipt of the requisition from the Engineer-in-Charge at once remove any person employed by him on the work, who is in the opinion of the Engineer-in-Charge is unsuitable or undesirable.

11 Best Quality of Construction Materials: Materials of best quality will be used as approved by the Engineer-in-Charge.

12 Work in The Vicinity:-

The Executive Engineer reserves the right to take up departmental work or to award work on contract in the vicinity without prejudice to the term of contract.

13. Amount Due From The Contractor:-

Any amount related to any work recoverable in favour of Bhopal Development Authority from the contractor or his related other concern on any account, may be recovered from the payable amount of this work as arrear of land revenue.

14. Tools & Plants:-


The contractor shall arrange at his cost all the tools & plants required for the proper execution of the work.

15. Rights to Increase or Decrease Work:-

The Engineer-in-Charge reserves the rights to increase or decrease work. The Engineer-in-Charge reserves the right to increase or decrease any item of work during the currency of work/currency of contract and the contractor will be bound to comply with the order of the Engineer-in-Charge without any claim for compensation.

16. Time-Schedule:-

The work shall be done by the contractor according to the time schedule fixed by The Engineer-in-Charge.

17. Transportation of Materials :-

The contractor shall make his own arrangements for transport of all materials.

18. Payment by Local Cheque:-

The payment will be made by the local cheque (crossed) of Schedule Bank payable only at Bhopal to the contractor and obtained by contractor himself or his authorised representative from the Account section of Bhopal Development Authority in person. Cheques cannot be delivered by post in any case.

19. Employment of Technical Employees :-

The contractor shall employ an independent engineer having at least qualification of B.E. or its equivalent during the execution of work. This technical employee of contractor should be available at site whenever required by the Engineer-in-Charge and other work in charge engineers to take necessary instructions.

If the contractor (or any partner incase of firm/company) who himself has such qualification of B.E. or its equivalent, then it will not be necessary for the said contractor to appoint such a technical employee separately, but the contractor shall designate and appoint a responsible agent to represent him and to be present at the work whenever the contractor is not in a position to be so present.

The contractor should give the name, address, age, qualification & experience in writing with necessary certificates to the Engineer-in-Charge before starting the work. Also the contractor should give a certificate to employ that technical employee exclusively is his employment.

The Retired Assistant Engineer who is holding a Diploma may be treated at par with an engineer having qualification of degree.

In case of the contractor fails to employ the technical employee as aforesaid, the deductions from his bills at rate of Rupees Fifty thousand per month will be made.

20. Regarding Electrical Works :-

For all contractual provisions in respect of electrical works shall be independently exercised by the Executive Engineer of Electrical & Mechanical Division, Bhopal Development Authority, Bhopal in place of Executive Engineer Division-07, Bhopal Development Authority.

21. Possession of Completed Houses:-

Under order of the competent authority of Bhopal Development Authority, the possession of the houses shall be given to the allot tees directly to his full satisfaction by the contractor.

22 Change in Item of Works:-

The Engineer-in-Charge has right to change any item(s) of work as desired by allot tees/Bhopal Vikas Pradhikaran, for which difference in cost shall be reimbursed as per contractual provisions.

CLAUSES OF CONTRACT

Security Deposit

Clause 1: The person/persons whose tender may be accepted (herein after called the contractors, which expression shall unless excluded by repugnant to the context, include his heirs executors, administrators, representatives and assigns) shall permit B.D.A. at the time of marking any payments to him for the value of work done under the contract to deduct the security deposit as under.

The Security Deposit to be taken for due performance of the contract under the terms and conditions printed on the tender form will be the earnest money plus a deduction of 5 percent from the payment made in the running bills, till the two together amount of 5% percent of the cost of work put to tender or 5 percent of the cost of the works executed when the same exceeds the cost of work put to tender.

All compensation or the other sums of money payable by the contractor under the terms of this contract may be deducted from his security deposit or from any sums which may be due or may become due to the contractor by B.V.P.

The above said amount of security deposit and Earnest money deposited with the tender will kept in the account of the Bhopal Development Authority and will be refundable according to the conditions mentioned in clause-19 of this contract and B.V.P. will not pay any interest or bank commission etc. on account of this amount.

COMPENSATION FOR DELAYClause -2 The time allowed for the carrying out the work, as entered in the tender from, shall be strictly observed by the contractor and shall be deemed to be essence of the contract and shall be reckoned form the fifteenth day after the date on which the order to commence the work, Issued to the contractor, for the work where completion is upto 6 months.

For works, for which the completion period is beyond six months - The period will be reckoned from the thirtieth day on which the order to commence the work is issued to the contractor. The work shall throughout the stipulated period of contract be proceeded with all due diligence, keeping in view that time is the essence of the contract. The contractor shall be bound in all cases, in which the time allowed for any work exceeds one month, to complete 1/8th of the whole work before 1/4th of the whole time allowed under the contract has elapsed 3/8th of the work before 1/2 of such time has elapsed and 3/4 th of the work before 3/4th of such time has elapsed In the event of the contractor failing to comply with the above conditions, the Executive Engineer shall levy on the contractor, as compensation an amount equal to:

(1) ½ percent of the value of work per week in respect of work costing upto Rs .2, 00,000.00(2) 3/8 percent of the value of work per week in respect of work costing above Rs. 2,00,000.00 and upto Rs.

5,00,000.00(3) 1/4th percent of the value of work per week in respect of work costing above Rs.5,00,000.00 and upto

Rs. 6,43,000.00(4) 1/8th percent of the value of work per week in respect of work costing above Rs.10,00,000.00 and upto

Rs.25,00,000.00(5) 1/16th percent of the value of work per week in respect of work costing Rs.25,00,000.00 and above.

The total amount of compensation under the provision of the clause shall be limited to 6 percent of the value of work. The decision of the Superintending Engineer shall be final. The delay in departmental assistance ingrained in the contract will be taken duly into account while recovering any compensation for the delay in the scales prescribed above Where the Engineer-in-charge decided that the contractor is liable to pay compensation for not giving proportionate progress under this clause and the compensation is recommended during the intermediate period such compensation shall be kept in deposit and shall be refunded if the contractor subsequently makes up the progress for the lost time, within the period of contract including extension granted, if any.

Action when the work is Left Incomplete, Abandoned orDelayed Beyond the Permitted Limit Allowed by the

Divisional officer

Clause 3: In any case in which under any clause or clauses of the contract shall have rendered himself liable to pay compensation amounting to the whole of the security deposit (whether paid in one sum or deducted by installments) or committed a breach of any of the rules contained in clause-24 or in the case of abandonment of the work, except due to permanent disability or death of the contractor or any other clause the Divisional Officer on behalf of the CHAIRMAN B.D.A. shall give a notice before 15 days for work costing upto Rs.10.00 lakhs and before 30 days for works costing above Rs. 10.00 lakhs and in the event of the contractor failing to comply with the directions contained in the said notice, shall have power to adopt any of the following courses, as he may deem best in the interests of the B.D.A.


(a) To rescind the contract (of which recession notice in writing to the contractor under the hand of the Executive Engineer shall be exclusive) and in which case the security deposit of the contractor shall stand forfeited and be absolutely at the disposal of B.D.A.

(b) To employ labour paid by the works Department and supply materials to carry out the work or any part of the work debiting the contractor with cost of the labour and the price of the materials (of the amount of which cost and price certificate of the Divisional Officer shall be final and conclusive against the contractor) and crediting him with value of the work done in all respect in the same manner and the same rates as if it had been carried out by the contract or the cost of the labour and the price of materials as certified by the Divisional Officer, which ever is less. The certificate of the divisional Officer as to the value of the. work done shall be final and conclusive against the contractor.

(c) To measure up the work of the contractor and to take such part there of shall as be unexecuted out of his hands, and to give it to another contractor to complete in which case any expenses which may be incurred in excess of the sum which would have been paid to the original contractor, if the whole work had been executed by him (of the amount of which excess certificate in writing of the Divisional Officer shall be final and conclusive) shall be borne and paid by the original contractor and may be deducted from any money due to him by B.D.A. under the contract or otherwise or from his security deposit or the processed of sale there for a sufficient part thereof.

In the event of any of the above courses being adopted by the Divisional Officer, the contractor shall have no claim to compensation for any loss sustained by him by reason of his having purchased or procured any materials or entered into any agreements or made any advances on account of or with a view to the execution of the work or the performance of the contract. And in case the contract shall be rescinded under the provision aforesaid the contractor shall not be entitled to recover or be paid any sum for any work thereto for actually performed under the contracts bill shall be finalised within three months Officer will have certified in writing the performance of such work and the value payable in respect thereof, and he shall only entitled to be paid the value so certified.

Whenever action is taken under clause 3(a) the contractor’s bill shall be finalised up within three months from the date of rescission both in the case of building works and road and bridge works.

Power to take Possession of or Require Removal of MaterialsTools and Plants or Sale of Contractor’s Plants etc.

Clause 4: In any case in which any of the powers, conferred upon the Divisional Officer by clause 3 hereof shall have become exercisable and the same shall not be exercised, the non-exercise thereof shall not constitute a waiver of any of the conditions hereof and such power shall not with standing be exercisable in the event of any further case of default by the contractor for which by any clause or clauses hereof he if declared liable to pay compensation amounting to the whole of his security deposit, and the liability of the contractor for the past and future compensation shall remain unaffected in the event of the Divisional Officer putting in force either of the power (a), (b) or (c) vested in him under the proceeding clause he may, if he so desires, take possession of all or any tools plant materials, and stores, in or upon the work, of the site thereof or belonging to the contractor or procured by him and intended to be used for the execution of the work or any part thereof, paying or allowing for the same in account at the contract rates or, in case of these not being applicable, at current market rates, to be certified by Divisional Officer, whose certificates thereof, shall be final, otherwise the Divisional Officer may by notice in writing to the contractor or his clerk of the works foreman or other authorised agent require him to remove such tools, plant, materials, or stores from the premises (within a time to be specified in such notice) and in the event of the contractor failing to comply with any such requisition, the Divisional Officer may remove them at the contractor’s expenses or sell them by auction or private sale on account of the contractor and at his risk in all respects and the certificate of the Divisional Officer as to the expense of any such removal, and the amount of the proceeds and expense of any such sale be final and conclusive against the con tractor.

Extension of Time

Clause 5: If the contractor shall desire an extension of time for completion of the work on the grounds of his having been unavoidable hindered in its execution or any other ground, he shall apply in writing to the Divisional Officer / Sub-Divisional Officer within 30 days of the date of hindrance on account of which he desires such extension as aforesaid and the E.E., with whom he has signed the Agreement shall if in his opinion, (which shall be final) reasonable grounds are shown there for, may authorise such extension for a period not exceeding 3 months. Any further extension shall be subjected to previous sanction of the SE. (grounds to be shown thereof) provided always where the Divisional Officer / Sub-Divisional Officer has recommended the grant of the extension / permitted the contractor to carry out the work reserving the right of the Department to impose the liquidated damages (as provided for under the agreement) the running bills shall continue to be paid to him

Provided further if any extension applied for is proposed to be refuse, the competent authority shall give the contractor an opportunity to be heard before taking final decision.

Final Certificate

Clause 6: On completion of the work, the contractor shall be furnished with a certificate by the Divisional Officer/Sub Divisional Officer (hereinafter called the Engineer in charge) of such completion but no such certificate shall be given, nor shall the work be considered to be complete until the contractor shall have removed from the premises on which the work shall be executed all scaffolding, surplus materials and rubbish and cleaned off the dirt


from all wood work door, windows, walls, floors, or other parts of any building or structure in, upon or about which the work is to be executed, or of which he may have had possession for the purpose of the execution thereof, not until the work shall have been measured by the Engineer in charge whose measurements shall be binding and conclusive against the contractor.; If the contractor shall fail to comply with the requirements of this clause as to removal of scaffolding surplus materials and rubbish and cleaning of dirt on or before the date fixed for the completion of the work, the Engineer in charge may, at the expense of the contractor Remove such scaffolding, surplus materials and rubbish and disposed of the same as he thinks fit and clean off such dirt as aforesaid and the contractor shall for which pay the amount of all expenses so incurred and shall have no claim in respect of any such scaffolding or surplus materials as aforesaid except for any sum actually realised by the sale thereof

Payments on Intermediate CertificateTo be Regarded as Advance

Clause 7: No payment shall ordinarily be made for works estimated to cost less than Rs. 1,000 (Rupees One Thousand) till after the whole of the works shall have been completed and a certificate of completion given, but if intermediate payment during the course of the execution of works is considered desirable in the interest of works the contractor may be paid at the discretion of the Engineer in charge. But in the case of works estimated to cost more than rupees one thousand the contractor shall on submitting the bills therefore be entitled to receive, a monthly payment proportionate to the part thereof then approved and passed by the Engineer in charge, whose certificate of such approval and passing of the sum so payable shall be final the conclusive against the contractor.; But all such intermediate payments shall be regarded as payment by way of advance contractor. But all such intermediate payments shall be regarded and taken away and reconstructed, or re erected or be considered as an admission of the due performance. of the contract, or any part thereof, in any respect or the accruing of any claim not shall it conclude, determine or effect in any way the powers of the Engineer in charge under these conditions or any of them as to the final settlement and adjustment of the accounts or otherwise or in any other way very or affect the contract. The final bill shall be submitted by the contractor within one month of the date of fixed for completion of the work, otherwise the Engineer in charge’s certificate of the measurement and of the total amount payable for the work accordingly shall be final and binding on all parties.

Bills to be submitted Monthly

Clause 8: A bill shall be submitted by the contractor each month on or before the date fixed by the Engineer in charge for all works executed in the previous month, and the Engineer in charge shall take or cause to be taken requisite measurement for the purpose of having the same verified and the claim as far as admissible adjusted if possible, before expiry of ten days from the presentation of the bill. If the contractor does not submit the bill within the time fixed as aforesaid the Engineer in charge may depute a subordinate to measure up the said work in the presence of the contractor whose counter signature on measurement list will be sufficient warrant, and the Engineer in charge may prepare a bill from such list which shall be binding on the contractor in all respects.

Bills to be on Printed Forms

Clause: 9 The contractor shall submit all bills on printed forms to be had on application at the office of the Engineer in charge and the charges in the bill shall always be entered at the rates specified in the tender or in the case of any extra work ordered in pursuance of these conditions and not mentioned or provided for in the tender at the rates hereinafter provided for such work.The deduction or addition as the case may be of the percentage will be calculated on the amount of the bill for the work done after deducting the cost of materials supplied departmentally at rates specified in the agreement.

Receipts to be Signed by Partners or Persons having Authority to do so.

Clause: 10 Receipts for payments made on account of a work when executed by a firm must also be signed by the several partners except where the contractors are described in their tender as a firm, in which case the receipts must be signed in the name of the firm by one of the partners or by some other person having authority to give effectual receipt for the firm.

Materials to be supplied by Bhopal Development Authority

Clause 11(A): No material will be supplied by the department.

Clause 11(B): Secured advance will be paid to the contractor. Cases in which a contractors, whose contract is for finished work, requires an advances on the security of non perishable materials brought to sites Divisional Officer may in such cases, sanction advances up to an amount not exceeding 75% of the value but 90% in the case of steel (as assessed by the Divisional Officer) provided that the rate allowed in no case is more than the rate payable for the finished item as stipulated in the contract of such materials, provided that they are of imperishable nature and that a formal agreement is drawn up with the contractor under which B. D. A. secures a lien on the materials and is safeguarded against losses due to the contractor postponing the execution of the work or to the shortage or to the shortage or misuse of the materials and against the expense entitled for their proper watch and safe custody.

Payment of such advances should be made only on the certificate of an officer not below the rank of Sub Divisional Officer that the quantities of materials upon which the advances are made have actually been brought to site, that


the contractor has not previously received any advance on the security and that al the materials are required by the contractor for use on items of work for which rates for finished work have been. agreed upon. Recoveries of advances so made should not be postponed until the whole of the work entrusted to the contractor is completed. They should be made from his bills, for work done as the materials are used the necessary deduction being made for balance amount whenever the item of work in which they are used are billed for. Before granting the above secured advance the contractor shall sign the prescribed indenture Bond in the prescribed form on a revenue stamp of Rs.50/-

Escalation in prices

Clause 11(C): The operative date hereinafter referred to means the date of receipt of tenders, if not otherwise mentioned in the contract. The operative period hereafter referred to, means the time ofCompletion of the work mentioned in clause-5 of the contract. For the purpose of calculating adjustment in the tender price by way of payment (s)/ refunds arising out of ‘variations the cost materials, P.O.L. and labour wages, the operative period shall end on the last date of the completion period as per clause 5 of the contract or with the last date of the valid time extension granted by the superintending Engineer only to cover the increase in the original scope of the work resulting in increase in the quantum of work over and the above the approved design as per terms of the contract and time extension granted, incase work is delayed by the department. This period of extension shall be considered in continuation of the original operative period as mentioned above.Provided that no claim for escalation on account of any reason whatsoever shall be entertained where the last date of total operative period is less than Eighteen months.In all cases, the decision of the Superintending Engineer of the B.D.A. with regard to the operative period shall be final and of binding on the original operative period as mentioned above. In after the operative date and during the total operative period there by any variation in the wholesale price index total commodities by groups and sub-groups source being the publication of the Economic Advisor to the Government of India Published in the Reserve Bank of India Bulletin, and Valid for the operative date.The calculation of payable or recoverable amount due to escalation in price for each component of Materials, High Speed Diesel and Labours according to the following formulae:-

Material

The price adjustment of materials (excluding cement, steels and bitumen) which are supplied by the Department) shall be calculated in the following manner subject, however, to the provisions of clause.

V1 = 0.75 x Po x K1 (M2-M1)/M1WhereVI = The amount of the price adjustment in INR.Po = Value of work in INR executed during the period under consideration.K1 = A factor representing all materials to be arranged and supplied for all works connected with the

completion for the work under the contract including all allied/ancillary/temporary work and over head etc. but excluding materials like cement, steel and bitumen.

M1 = Whole sale price index for all commodities on the operative dates as published in the Reserve Bank of India Bulletin by the Economic Advisor to the Government of India at Ministry of Industries & Commerce.

M2 = Whole sale price index for all commodities during the period under consideration as published in the Reserve Bank of India Bulletin by the Economic Advisor to the Government of India at Ministry of Industries & Commerce.

High Speed Diesel

For working out price adjustment on transportation case the representative item for reference shall be the cost of high-speed diesel oil only at nearest H.S.D. Pumps supply depot. If after the operative date and operative period there be any variation in the price H.S.D. such variation being duly notified by the Government of India, the price adjustments for transportation component of the work shall be calculated in the following manner

Labour

If after the operative date and during total operative period, there any variation in the consumer price index for industrial at the town nearest to site, of work, the source for such indices being publication of labours bulletin bureau, Government of India published in the reserve bank of india bulletin, the price adjustment on component representing labour cost including all type of benefits and amenities etc shall be calculated in the following manner

Note; Value of factors KI, K2 and K3 in clauses mentioned above are specified separately for different types of works as follows:

The variation in cost of cement shall be calculated according to the consumed quantity in the work, on the basis of the rate issued either by DGS & D Rate or by local authorised Dealer/Depot as applicable on the operative date and during the period under consideration.

The variation in cost of steel (reinforced steel and structural steel) be calculated according to the consumed quantity in the work, on the basis of the rates issued either by Local/Nearest Depot of Steel Authority of India Limited or by Authorised Dealer.

Work to be executed in accordanceWith Specification Drawing Order etc.

Clause 12: The contractor shall execute the whole and every part of the work in the most substantial and workmen like manner, and both as regards materials and otherwise in every respect in strict accordance with the specification. The contractor shall also conform exactly full and faithfully ,to the designs, drawings and instruction in writing relating to the work signed by the Engineer-in-charge and lodged in his office and to which the contractor shall be entitled to have access at such office or on the site of the work for the purpose of inspection during office hours and the contractor shall, if he so requires, be entitled at his own expense to take or cause to be made copies of the specification and of all such designs, drawings and instruction aforesaid.

C.P.W.D. specification shall apply along with the various IS I code in the case of any variance, the following order of precedence shall prevail:-

1. Specifications as per NIT2. Specification as per SOR of the circle3 l.S.l. code/ICC specification4. Central PWD specification.5. Mode- of measurements for building shall be provided .in the S.O.R. applicable to the contract. Where such mode of measurement is not specified in, the S.O.R. it shall be done as per I.SI code of building measurement. However, if any mode of measurements is specifically mentioned in the NIT the same will get precedence over all the above.

Clause 12 A: In respect of all bearings, hinges or similar parts intended for use in the superstructure of any bridge,, the contractor shall, whenever required, in the course of manufacture arrange and afford all facilities for the purpose of inspection and test of all or any of the parts and the material used therein to any officer of the Directorate of the inspection of the Ministry of works, production and supply of the B.D.A., and such bearing hinges or similar parts the Directorate to inspection all inspection charges will be payable by the contractors.

(This clause may be struck off it the tender is not for bridgework.)

Additions Alteration in Specifications and Designs

Clause 13: The Engineer-in-charge shall have power to make. any alterations in omissions from additions to or substitutions for, the original specification drawings and designs and instructions that may appear to him to be necessary or advisable during the progress of the work and the contractor shall be bound to carry out the work in accordance with any instructions which may be given to him in writing signed by the Engineer -in-charge and such alterations omissions additions or substitutions shall not invalidate the contract and any altered, additional or substituted work which the contractor may be directed to do in the manner above specified as part of the work shall be carried out by the contractor on the same conditions in all respects on which he agreed to do the main work and at the same rates as are specified in the tender for the main work provided the total value of such increased or altered or substituted work does not exceed 25% of the amount put to tender, inclusive of contractor’s percentage If such value exceeds 25% It shall be open to the contractor either to determine the contract or apply for extension.

13.1 Extension of Time in Consequence of Alterations.


The time for the completion of the work shall be extended in the proportion that the altered, additional or substituted work bears to the original contract work and certificate of the Engineer-in-charge shall be conclusive as to such proportion.

13.2 Rates for works not in Schedule of Rates of the Circle.

And if the altered. additional or substituted work includes any class of work, for which no rate is specified in this contract, then such class of work shall be carried out at the rates entered in the applicable schedule of rates of the circle which was in force at the date of the acceptance of the contract and if such class of work is not entered in the said schedule of rates then the contractor shall within 7 days of the date of his receipt of the order to carry out the work inform the Engineer in charge of the rate which it is his intention to charge for such class of work, and if the Engineer in. Charge does not agree to this rate he shall by notice in writing be at liberty to cancel his order to carry out as he may consider advisable provided always that if the contractor shall commence Work or incur any expenditure in this regard there to before the rates shall have been determined as lastly herein before mentioned then and in such case he shall only be entitled to be paid in respect of the work carried out on expenditure incurred by him prior to the date of the determination of the rates as aforesaid according to such rate or rates as shall be fixed by the Engineer-in-charge and approved by the CE (S.E. in case when C.E. is not posted) of the B. D. A. shall be final

If during the course of execution. Where it is found necessary that certain item/items of work. not provided for in the S.O.R. of the circle required to be carried out then the Engineer-in-charge shall identify such item/items including approximate quantity of the contract and ask the contractor to submit his rates in writing supported by the requisite data within a period of 7 days. The Engineer- in-charge shall obtain approval/modification of the proposed rate from the competent authority and communicate the same within a period of’ four weeks to the contractor, in case the contractor agrees to the above rate as fixed by the competent authority then they shall form part of supplementary schedule of the contract agreement. If the contractor does not agree to the rate of the competent authority then it shall be open for the Engineer-in-charge to get the work executed through any other agency. The contractor will not however be entitled to any compensation due to delay or hindrance or loss or profit accruing on account of this extra work be executed by alternative agency.If the contractor commences non-schedule work or incur expenditure in this regard there to before the rates shall have been determined by the competent authority, then he shall be entitled for payment for the work done as may be finally decided by the competent authority. In the event of dispute the decision of the Chief Engineer (S.E. incase when C.E. is not posted) shall be final.

No claim to payment or compensationfor alteration in or Restriction of work

Clause 14: If at any time after the execution of the contract documents the Engineer-in charge shall for any reason whatsoever require the whole or any part of the work as specified in the tender to be stopped for any period or shall not require the whole or any part of the work to be carried out at all or to be carried out by the contractor, he shall give notice in writing of the fact to contractor who shall there upon suspend or stop the work totally or partially as the case may be.

In any such case, except as provided hereunder, the contractor shall have no claim to any payment of compensation whatsoever on account of any profit of advantage which he might have derived from the execution of the work in full but which he did not so derive in consequence of the full amount of the work not having been carried out or on account of any loss that he may put to on account of materials purchased or agreed to be purchased, or for unemployment of labour recruited by him. He shall not also have any claim for compensation by reason of any alteration having been made in the original specifications drawings, designs and instructions, which may involve any curtailment to the work as originally contemplated where, however, materials have already been purchased or agreed to be purchased by the contractor before receipt by him of’ the said notice the contractor shall be paid for such material at the rates determined rates by the Engineer-in-charge provided they are not in excess of requirement and are of approved quality and/or shall be compensated for the loss any, that he may be put to in respect of materials agreed to be purchased by him the amount of such compensation to be determined by the Engineer-in-charge and approved by the CE (S.E. in case when C.E. is not posted) whose decision shall he final. If the contractor suffers any loss on account of his having to pay labour charges during the period during which the stoppage of work has been ordered under this clause the contractor shall on application be entitled to such compensation on account of labour charges as the Engineer-in-Charge, whose decision shall be final may consider reasonable. Provided that the contractor shall not be entitled to any compensation on account of labour charges, if in the opinion of the Engineer-in-Charge, the contractor else could have employed the labour where for the whole or part of the period, during which the stoppage of the work has been ordered as aforesaid.

If the total duration of suspension of the work is more than six months, then this suspension of the work will be considered as permanent stoppage of the work, and the contractor determine the contract, if he so desires.

Time limits for unforeseen claims

Clause 15: Under no circumstances whatever shall the contractor be entitled to any compensation from B.D.A. on any account unless the contractor shall have submitted a claim in writing to the engineer-in-charge within one month of the cause of such claim occurring.

Action and Compensation Payable in Case of Bad work


Clause 16: If at any time before the security deposit is refunded to the contractor, it shall appear to the Engineer-in-charge or his subordinate in-charge of the work, that any work has been executed with unsound, imperfect or unskillful workmanship or with materials of inferior quality, or that any materials or articles provided by him for the execution of the work are unsound, or of a quality, inferior to the contracted for, or are otherwise not in accordance with the contract, it shall be lawful for the Engineer-in-charge to intimate this fact in writing to the contractor and then not withstanding the fact that the work, materials or articles complained of may have been inadvertently passed certified and paid for the contractor shall be bound forthwith to rectify, or remove and reconstruct the work so specified in whole or in part, as the case may required, or if so required, shall remove the materials or articles so specified and provide other proper and suitable materials or articles at his own proper charge and cost, and in the event of his failing to do so within a period to be specified by the Engineer-in-charge in the written intimation aforesaid, the contractor shall be liable to pay compensation at the rate of one percent, on the amount of contract put to Tender every day not exceeding ten days, during which the failure so continues, and in the case of any such failure the Engineer-in- charge may rectify or remove and re-execute the work or remove and replace the materials or articles complained of as the case may be at the risk and expenses in all respects of the contractor. Should the Engineer-in-charge consider that any such inferior work or material as described above may be accepted or made use of it shall be within his discretion to accept the same at such reduced rates, as he may fix therefore.

Work to be Open for Inspection — Contractoror Responsible Agent to be present

Clause 17: All work under or in course of execution or executed in pursuance of the contract shall at all time be open to the inspection and supervision of the Engineer-in-charge and his subordinates and the shall at all times during the usual working hours and at all other times, at which reasonable notice of the intention of the Engineer-in-charge or his subordinate to visit the work shall have been given to the contractor, either himself be present to receive order and instructions or have a responsible agent duly accredited in writing present for that purpose orders given to the contractor’s agent shall be considered to have the same force as if they had been, given to the contractor himself.

Notice to be given before work is covered up

Clause 18: The contractor shall give not less than five days notice in writing to the Engineer-in-charge or his subordinate in charge of the work before covering up or otherwise placing beyond the reach of measurement any work in order that the same may be measured, and correct dimensions thereof be taken before the same is so covered up or placed beyond the reach of measurement, any work (without the consent in writing of the Engineer-in-charge or his subordinate in charge of the work and) if any work, shall be covered up or placed beyond the reach of measurement without such notice having been given or consent obtained, the same shall be uncovered at the contractor’s expenses or in default thereof, no payment or allowance shall be made for such work or the materials with which the same was executed.

Contractor Liable for Damage Done and for imperfectionsfor Twelve Months After Certificate

Clause 19: If the contractor or his work people or servants shall break, deface injure or destroy any part of building in which they may be working or any building, road, curbs, fences, enclosures, water pipes cables, drains, electric or telephone posts or wires tress, grass or grassland or cultivated ground continuous to the premises on which the work or any part of it is being executed, or if any damage shall happen to the work. while in progress, from any cause whatever, or any imperfections become apparent in it within three months (six months in the case of a road work) after a certificate final or otherwise or its completion shall have been given by the Engineer-in-charge as aforesaid, the contractor shall make good the same at his own expense or in default, the Engineer-in- charge may cause the same to be made good by other workman, and deduct the expense (of which certificate of the Engineer-in-charge shall be final) from any sums that maybe then or at any time there after, may be come due to the contractor or from his security deposits, or the proceeds, of sale thereof, or of a sufficient portion thereof.The contractor hereby also covenants that it shall be his responsibility to see that the buildings constructed under his contract do/does not leak during the period of two consecutive rainy seasons after its (their) completion and if any defects are pointed out to him by the Engineer-in-charge during the said period, the same shall be removed by him at his own expenses or in default the Engineer-in-charge may get them removed and deduct the expenses thereof from any sum that may he then due or may become due to the contractor or from the security deposit of the contractor on amount equal to 20% cost of the roof shall not withstanding anything contained in this clause he retained, till the roofs are tested during two consecutive rainy seasons as aforesaid and the defects are frilly removed if any amount is still remains due to this account after making deduction as aforesaid the same may be recovered from him as an arrears of land revenue/cash security. The Security deposit of the contractor to the extent of 50% shall be refunded on his getting the completion certificate, provided that all the. recoveries outstanding against him are realised 25% of the amount shall be refunded on maintenance period being over even if the final bill is not passed and balance 25 % shall be refunded after the final bill is passed.

Contractor to Supply Plant, Ladders, Scaffolding etc.

Clause 20: The contractor shall supply at his own cost, materials (except such special materials if any as may in accordance with the contract be supplied from the Engineer-in-charge’s store) plant, tools, appliances implement, ladders, cordage, tackle, scaffolding and temporary works, requisite for the proper execution of the work whether


original, altered or substituted and whether included in the specifications or other documents forming part of the contract or referred to in this conditions or not, or which may be necessary for the purpose of satisfying or complying with the requirements of the Engineer-in-charge as to any matter as to which under these conditions he is entitled to be satisfied, or which he is entitled to require together with carriage therefore to and from the work. The contractor shall also supply without charge the requisite number of persons with the means and materials necessary for the purpose of setting Out works, and counting weighting and assisting in the measurement or examination at any time and from time to time of the work or materials, failing his so doing the same may be provided by the Engineer-in-charge at the and expenses may be deducted from money due of the contractor under the contract or from his security deposit or the proceeds of sale. thereof or of a sufficient portion, thereof.

Contractor is liable for damages arising from non-provision of lights fencing etc. The contractor shall also provide at on his cost, except when the contract specifically provides otherwise and except for payments due under clause all necessary fencing and lights required to protect the public from accident, and shall be bound to bear the expenses of defense of every suit, action or other proceedings at law and may be brought by any person for injury sustained owning to neglect of the above precautions and to pay any damage and costs which may be awarded in any such suit action or proceedings to any such person or which may with the consent of the contractor be paid to compromise any claim by any such person.

Compensation under Section 12 Sub Section (1)of the Workman’s compensation Act. 1923

Clause 21: ln every case in which by virtue of the provision of Section 12, sub section (1) of the workman’s compensation Act I 923 B. V. P. is obliged to pay compensation to a workman employed by the contractor in execution of the works, and without prejudice to the right of B. D. A. Under section (1) Sub section (2) of the said Act. B. D. A. shall be at liberty to recover the amount or any part thereof by deducting it from the security deposit or from any sum due by B. D. A. to the contractor whether under this contract or otherwise B. D. A. may not. be bound to contest any claim made against them under section 12 sub section (1) of the said act except on the written request of the contractor and upon his giving to B. D. A. full security for all cases for which B. D. A. might become liable in consequence of contesting such claim.

Labour

Clause 22: The contractor should get himself registered under contract labour regulations and abolition Act, 1970 including its amendments after getting a certificate from the principal employer. who will be the Engineer-in-charge

Clause 23: Labour below the age of 12 years no labour below the age of 12 years shall be employed on the workFair wage

Clause 24: The contractor shall pay not less than fair wage to labours engaged by him on the work.

Explanation:(a) "Fair wage" means wage whether for time or piece work notified at the time of inviting tenders for the

work and where such wages have not been so notified, the wages prescribed by the works department for the division in which the work is done.

(b) The contractor shall not withstanding the provisions of any contract to the contrary, cause to be paid a fair wage to labourers indirectly engaged on the work, including any labour engaged by his sub contractors in connection with the said works as if the laboures had been immediately employed by him.

(c) In respect of all labour directly or indirectly employed on the works for the performance of the contractors part of this agreement. the contractor shall comply with or cause to be complied with the labour Act inforce.

(d) The Executive Engineer/SDO shall have the right to deduct, from the moneys due to the contractor any sum required or estimated to be required for making good the loss suffered by a worker, or workers by reason of non fulfillment of the conditions of the contract for the benefit of the workers non payment of wages of deductions made from his or their wages which are not justified by the terms of the contract or non observance of the regulations.

(e) The contractor shall be primarily liable for all payments to be made under and for the observance of the regulation aforesaid without prejudice to his right to claim indemnity from his sub contractors.

(f) The regulations shall be deemed to a part of this contract and any beach there of shall be deemed to be a breach of this contract.

Work not to be sublet

Clause 25: the contract may be rescinded and security deposit forfeited for subletting birding or if contractor become insolvent: The contract shall not be assigned or sublet without the written approval of the Divisional Officer and if the contractor shall assign or sublet his contract or attempt so to do or become insolvent, or commence any insolvency proceedings or make any composition with his creditor, or attempt so to do, or if any bribe gratuity, gift loan prerequisite, reward or advantage pecuniary or otherwise, shall either directly or indirectly be given promised or offered by the contractor or any of his servants or agents to any public officer or person in the employment of B.D.A.in any way relating to his office or employment, or if any such officer or person shall become in any way


directly indirectly interested in the contract the Divisional Officer may there upon by notice in writing rescind the contract and the security deposit of the contractor shall thereupon stand forfeited and be absolutely at the disposal of B.D.A. and the same consequences shall ensure as if the contract had been rescinded under clause 3. Thereof and in addition the contractors shall not be entitled to recover or be paid for any work there fore performed under the contract.

If the contractor gets item/items of work executed on a task mate basis with or without materials this shall not amount to subletting of the contract.

Sum payable by way of compensation to be considered as reasonable compensation without reference to actual loss.

Clause 26: All sums payable by way of compensation under any of these conditions shall be considered as reasonable compensation to be applied to the use of Government without reference to the actual loss or damage sustained, and whether or not any damage shall have been sustained.

Changes in the Constitution of Firm

Clause 27: In the case of tender by partners any change in the constitution of the firm shall be forthwith notified by the contractor to the Engineer-in-charge for his information.

Work to be under the Direction ofExecutive Engineer/Superintending Engineer

Clause 28: All works to be executed under the contract shall be executed under the direction and subject to the approval in all respect of the Executive Engineer/SE of the Division / Circle for the time being who shall be entitle to direct at what point or points and in what manner they are to be commended and from time to time carried on.

Arbitration Clause

Clause 29: Except as otherwise provided in this Contract all question and dispute relating to the meaning of the specification, designs drawing and instructions herein before mentioned and as to thing whatsoever in any way arising out of or relating to the contract, designs, drawings, specifications, estimates, concerning the works, or the execution or failure to executive the same, whether arising during the progress of the work or after the completion or abandonment there of shall be refereed to the Superintending Engineer in writing. for the decision, within a period of 30 days of such occurrence. Thereupon the Superintending Engineer shall give his written instructions and/or decisions within a period of 60 days of such request. This period can be extended by mutual consent of the partiesUpon receipt of written instructions or decisions, the parties shall promptly proceed without delay to comply such instructions or decisions. If the -Superintending. Engineer fails to give his instructions or decisions in writing within a period of 60 days or mutually. Agreed time after being requested of if the parties are aggrieved against the decision of the SE the parties may within 30 days prefer an appeal to the Chairman B.D.A./Chief Engineer who shall afford an-opportunity to the parties of being heard and to offer evidence in support of his appeal. The Chairman/Chief Engineer will give his decision within 90days. If any party is not satisfied with the decisions of the Chairman/Chief Engineer he can refer such disputes for arbitration by an Arbitration Board to be constituted by the State Government which shall consist of three members of whom one shall be chosen-from among the officers belonging to the Department not below the rank of S.E. , one Retired Chief Engineer of any Technical Department, and one serving officer not below the rank of SE, belonging another Technical Department.The following are also the terms of this contract namely:a) No person other than the aforesaid Arbitration Board constituted by the Government (to handle cases of

all Technical Departments) Shall act as Arbitrator and if for any reason that is not possible the matter shall not be referred to arbitration at all

b) The State Government may at any time effect any change in the personnel of the Board and the new member or members appointed to the arbitration board shall be entitled to proceed with the reference from the stage at which it was left by his or there predecessors.

c) The party invoking arbitration shall specify the dispute or disputes to be referred to Arbitration under this clause together with the amount or amounts claimed in respect of each such dispute(s).

d) Where the party invoking arbitration is the contractor, no reference for arbitration shall be maintainable, unless the contractor furnishes a security deposit of some determined according to the table given below, and the sum so deposited shall on the determination of Arbitration proceedings be adjusted against the cost if any awarded by the board against the party and the balance remaining after such adjustment or in the absence of the such cost being awarded, the whole of he sum shall be refunded to him within one month from the date of the award.

e) If the contractor does not make any demand for arbitration in respect of any claim(s) in writing within 90 days on receiving intimation from the Executive Engineer that the final bill is ready for payment the claim of the contractor shall be deemed to have been waived and absolutely barred and the B. D. A. shall be discharged or released of all liabilities under the contract in respect of such claims.

f) The arbitration board may from time to time, with the consent of the parties extend the time for making the award.

g) A reference to the Arbitration Board shall be no ground for not continuing the work on the part of the contractor and payment as per terms and conditions of the agreement shall be continued by the department.

h) Except where otherwise provided in this contract, the provisions of the Arbitration Act 1940 and the rules made there under the time being inforce, shall apply to the arbitration proceedings under this clause.

Lump Sums in Estimate

Clause 30: When the estimate on which a tender is made includes lump sums in respect of parts of the work, the contractor shall be entitled to payment in respect of the items of work involved or the part of the work in question at the same rates as are payable under this contract for such items, or if the part of the work in question is not, in the opinion of the Engineer-in-charge. May at his description pay the lump sum amount entered in the estimate and the certificate in Writing of the Engineer-in-charge shall be final and conclusive against the contractor, with regard to any sum or sums payable to him under the provision of this clause.

Action where no specification

Clause 31: in the case of any class of work for which there is no such specification as is mentioned in rule such work shall be carried out in accordance with the specification approved by the Superintending Engineer/Chief Engineer, for application to works in the district, and in the event of there being no such specification, then in such case the work shall be carried in all respect in accordance with the instructions and requirements of the Engineer-in-charge.

Contractor’s Percentage whether applied toNet or Gross amount of Bills

Clause 32: The percentage referred to at para 7 of the tender will be deducted from/added to the gross amount of the bill for work done/after deducting the cost of materials supplied by the Department

Claim for quantities Entered in the Tender or Estimate

Clause 33: Quantities shown in the tender are approximate and no claim shall be entertained for quantities of work executed being either more or less than those entered in the tender or estimate

Claim for Compensation for Delay in Starting the Work

Clause 34: No compensation shall be allowed for any delay caused in the starting of the work on account of acquisition of land, or in the case of clearance works, on account of any delay in according sanction to estimates.

Employment of Scarcity Labour

Clause 35: If B.D.A. declare a state of scarcity or famine to exist in any village situated within 16 km. of the work the contractor shall employ upon such part of the work as are suitable for unskilled labour, any person certified to him by the Executive Engineer or by any person to whom the Executive Engineer may have delegated this duty in writing to be in need of relief and shall be bound to pay such persons wages not below the minimum which government may have fixed in this behalf any dispute which may arise in connection with the implementation of this clause shall be decided by the Executive Engineer whose decision shall be final and binding on the contractor.

Refund of Quarry Fees and Royalties

Clause 36: All quarry fees, royalties, octroi duties and ground rent for stacking materials, if any, should be paid by the contractor, who will however, be entitled to a refund, of such of the charges as are permissible under the rules. after obtaining a certificate from the Engineer-in-Charge, that the materials were required for use on B.D.A. work. In the case of quarries, where extraction of minor minerals is done by the contractor, after taking permit from the collector, the contractor will get refund of royalty charges, after the work is completed and after obtaining a certificate from the Executive Engineer that the materials extracted by the contractor have been used on B.D.A. work. In the case of quarries which have been leased Out (Trade quarries) the contractor should make all payments of royalty charges at Government approved rates. These royalty charges will also be refunded to the contractor on production of actual cash vouchers on the certificate obtained from the Executive Engineer that these materials obtained by the contractor from the leased quarries have been used on B.D.A. work only.


In the first instance royalty charges will be refunded by the Collector and in the Second instance royalty charges will be refunded by the Executive Engineer. In the case of any dispute payment of royalty charges, decision of the Superintending Engineer will be final.

Technical Examination

Clause 37: The B.D.A. shall have the right. to cause Audit & Technical Examination of the works and the final bills of the contractor including all supporting vouchers abstracts, etc to be made as per payments of the final bill and if as a result of such audit and technical examination the sum is found to have been overpaid in respect of any work done by the contractor under the contract or any work claimed by him to have been done under contract and found not to have been executed, the contractor shall be liable to refund the amount of over payment and it shall be lawful for the B.D.A. to recover the same from the security deposit of the contractor or from any dues payable to the contractor from the B.D.A. account. If it is found that the contractor was paid lesser than what was due to him under the contract in respect of any work executed by him under it, the amount of such under payment shall be duly paid by the B.D.A.to the contractor.

In the case of any audit examination and recovery consequent on the same the contractor shall be given an opportunity to explain his case and the decision of the Superintending Engineer shall be final.

In the case of Technical Audit, consequent on which there is a recovery from the contractor no recovery should be made without orders of the Chief Engineer, (S.E. when C.E. is not posted) whose decision shall be final. All action under this clause should be initiated and intimated to the contractor within a period of twelve months from the date of completion.

Death or Permanent Invalidity of Contractor

Clause 38: If the contractor is an individual or a proprietary concern, Partnership concern, dies during the currency of the contract or becomes permanently incapacitated where the surviving partners are only minors the contract shall be closed without levying any damages/compensation as provided for in clause 3 of the contract agreement.

However if the competent authority is satisfied about the competence of the survivors then the competent authority shall enter into a fresh agreement for the remaining work strictly on the same terms and conditions under which the contract was awarded.

Penalty for Breach of Contract

Clause 39: On the breach of any term or condition of this contract by the contractor the said CHAIRMAN B.D.A. shall be entitled to forfeit the security deposit or the balance thereof that may at that time be remaining and to realise and retain the same as damages and compensation for the said breach but without prejudice to the right of the CHAIRMAN B.D.A.to recover further sums as damages from any sums due or which may become due to the contractor by B.D.A. or otherwise however.

Note: The person or firm submitting the tender should see that the rates in the schedule showing materials to be supplied by the department are filled up by the Engineer-in-charge on the issue of the form prior to the submission of the tender.

Unfiltered Water Supply

Clause-40 (A)

The contractor(s) shall make his/their own arrangements for water required for the work and nothing extra will be paid for the same. This will be subject to the following conditions.

i. That the water used by the contractor(s) shall be fit for construction purposes to the satisfaction of the Engineer-in-Charge.

ii. The Engineer-in-Charge shall make alternative arrangements for supply of water at the risk and cost of contractor(s) if the arrangements made by the contractor(.s) for procurement of water are in the opinion of the Engineer-in-Charge, unsatisfactory.

Alternate Water Arrangements

Clause-40 (B)

i. Where there is no piped water supply arrangement and the water is taken by the contractor from the wells or hand pump constructed by the Government no charge shall be recovered from the contractor on that account. The contractor shall, however, draw water at such hours of the day that it does not interfere with the normal use for· which the hand pumps and wells are intended. He will


also be responsible for all damage and abnormal repairs arising out of his use, the cost of which shall be recoverable from him. The Engineer-in-Charge shall be the final authority to determine the cost recoverable from the contractor on this account and his decision shall be binding on the contractor.

ii. The contractor shall be allowed to construct temporary wells in B.D.A. land for taking water for construction purposes only after he has got permission of the Engineer-in-Charge in writing. No charges shall be recovered from the contractor on this account, but the contractor shall be required to provide necessary safety arrangements to avoid any accidents or damage to adjacent building, roads and service lines. He shall be responsible for any accidents or damage caused due to construction and subsequent maintenance of the wells and shall restore the ground to its original condition after the wells are dismantled on completion of the work or leave it IS for the use of B. D .A. if desired by the Engineer-in-Charge.

With-holding and lien in Respect of Sums due From Contractor

Clause-41(A)

Whenever any claim or claims for payment of a sum of money arises out of or under the contract or against the contractor, the Engineer-in-Charge or the BDA shall be entitled to withhold and also have a lien to retain such sum or sums in whole or in part from the security, if any deposited by the contractor and for the purpose aforesaid, the Engineer-in-Charge of the BDA shall be entitled to withhold the security deposit, if any, furnished as the case may be and also have a lien over the same pending finalization or adjudication of any such claim. In the event of the security being insufficient to cover the claimed amount or amounts of if no security has been taken from the contractor, the Engineer-in-Charge of the BDA shall be entitled to withhold and have a lien to retain to the extent of such claimed amount or amounts referred to above, from any sum or sums found payable or which may at any time thereafter become payable to the contractor under the same contract or any other contract with the Engineer-in-Charge of the BDA or any contracting person through the Engineer-in-Charge pending finalization of adjudication of any such claim.

It is an agreed term of the contract that the sum of money or moneys so withheld or retained under the lien referred to above by the Engineer-in Charge or BDA. will be kept withheld or retained as such by the Engineer-in Charge or B.D.A. till the claim arising out of or under the contract is determined by the arbitrator (if the contract is governed by the arbitration clause) by the competent court, as the case may be and that the contractor will have no claim for interest or damages whatsoever on any account in respect of such withholding or retention under the lien referred to above and duly notified as such to the contractor. For the purpose of this clause, where the contractor is a partnership firm or a limited company, the Engineer-in-Charge or the BDA shall be entitled to withhold and also have a lien to retain towards such claimed amount or amounts in whole or in part from any sum found payable to any partner/limited company as the case may be, whether in his individual capacity or otherwise.

Lien in Respect of Claims in Other Contracts

Clause-41 (B)

Any sum of money due and payable to the contractor (including the security deposit returnable to him) under the contract may be with-held or retained by way of lien by the Engineer-in-Charge of the B.D.A. or any other contracting person or persons through Engineer-in-Charge against any claim of the Engineer-in-Charge or B.D.A. or such other person or persons in respect of payment of a sum of money arising out of or under any other contract made by the contractor with the Engineer-in-Charge or the B.D.A. or with such other person or persons.

It is as agreed term of the contract that the sum of money so withheld or retained under this clause by the Engineer-in-Charge or the B.D.A. will be kept withheld or retained as such by the Engineer-in-Charge or the B.D.A. or till his claim arising out of the same contract or any other contract is either mutually settled or determined by the arbitration clause or by the competent court, as the case may be and that the contractor shall have no claim for interest or damages whatsoever on this account or on any other ground in respect of any sum of money withheld or retained under this clause and duly notified as such to the contractor.

Compensation during Warlike Situations

Clause- 42

The work (Whether fully constructed or not) and all materials, machines, tools and plants, scaffolding, temporary buildings and other things connected therewith shall be at the risk of the contractor until the work has been delivered to the Engineer-in-Charge and a certificate from him to that effect obtained. In the event of the work or any materials properly brought to the site for incorporation in the work being


damaged or destroyed in consequence of hostilities or warlike operation, the contractor shall when ordered (in writing) by the Engineer-in-Charge to remove any debris from the site, collect and properly stack or remove in store all serviceable materials salvaged from the damaged work and shall be paid at the contract rates in accordance with the provision of this agreement for the work of clearing the site of debris, stacking removal of serviceable material and for reconstruction of all works ordered by the Engineer-in-Charge, such payments being in addition to compensation up to the value of the work originally executed before being damaged or destroyed and not paid for. In case of works damaged or destroyed but not already measured and paid for, the compensation shall be assessed by the Executive Engineer up to Rs. 5,000/- and by the Superintending Engineer concerned for a higher amount. The contractor shall be paid for the damages/destruction suffered and for the restoring the material at the rate based on analysis of rates tendered for in accordance with the provision of the contract. The certificate of the Engineer in-Charge regarding the quality and quantity of materials and the purpose for which they were collected shall be final and binding on all parties to this contract.

Provided always that no compensation shall be payable for any loss in consequence of hostilities or warlike operations (a) unless the contractor had taken all such precautions against air raid as are deemed necessary by the Air Raid Protection (A.R.P.) Officers or the Engineer-in-Charge (b) for any material etc. not on the site of the work or for any tools, plant, machinery, scaffolding, temporary building and other things not intended for the work.

In the event of the contractor having to carry out reconstruction as aforesaid, he shall be allowed such extension of time for its completion as is considered reasonable by the Executive-Engineer.

ANNEXURE "A"

Model Rules Relating to Labour, Water Supply and Sanitation in labour Camps

NOTE:These model rules are intended primarily for labour camps which are not of a permanent nature. They lay down the minimum desirable standard which should be adhered to standards in permanent or semi permanent labour camps should not obviously be lower than those for temporary camps.

1. LOCATION - The camp should be located in elevated and well drained ground in the locality.

2. Labour huts to be constructed for one family of 5 persons each. The lay out to be shown in the prescribed sketch.

3. HUTTING - The hut to be built of local Materials. Each hut should provide at least 20 Sq. meters of living space.

4. SANITARY FACILITIES - Latrines and urinals shall be provided at least 15 meters away from the nearest quarters separately for men and women and specially so marked on the following scale.

5. LATRINE - Pit provided at the rate of 10 users or two families per seat, separate urinals as required as the privy can also be used for this purpose.

6. DRINKING WATER - Adequate arrangement shall be made for the supply of drinking water. If practicable filtered and chlorinated supplies shall be arranged, when supplies are from intermittent source overhead storage tank shall be provided with a capacity of 5 liters a person per day where the supply is to be made from well it shall confirm to the sanitary standard laid down in the Rural Sanitation Committee. The well should be at least 30 meters away from any latrine or other source of pollution. If possible hand pump should be installed for drawing the water from well. The well should be effectively disinfected once every month and the water should be got tested at the public Health Institution between each work of disinfecting.

7. BATHING AND WASHING - Separate bathing and washing place shall be provided for men and women for every 25 persons in the camp. There shall be one gap and space of 2 Sq. meters for washing and bathing. Proper drainage for the waste water should be provided.

8. WASTE DISPOSAL - Dustbin shall be provided at suitable places in camp and the residents shall be directed to throw all rubbish into those dustbins. The Dustbins shall be provided with cover. The contents shall be removed every day the disposed off by trenching.

9. MEDICAL FACILITIES

(A) Every camp where 1000 or more persons reside shall be provided with whole time doctor and dispensary. If there are women in the camp a whole time nurse shall be employed.

(B) Every camp where less than 1000, but more than 250 persons reside shall be provided with a dispensary and a part time nurse/midwife shall also be employed.

(C) If there are less than 250 persons in any camp a first aid kit shall be maintained in charge of whole time persons, trained in first aid.

All the medical facilities mentioned above shall be for all residents in camp including a dependent of the worker, if any, free of cost.

SANITARY STAFF - For each labour camp there should be qualified sanitary inspector and sweeper should be provided in the following scales.

(1) For camps with strength over 200 but not exceeding 500 persons one sweeper for every 75 persons above the first 200 for which 3 sweepers shall be provided.

(2) For Camps with strength over 500 persons one sweeper for every 100 persons above first 500 for which 6 sweepers should be provided.

(3) For a camp with a strength of 200 persons, four sweepers.


ANNEXURE - "B"

CONTRACTORS LABOUR REGULATION

The Contractor shall not pay less than fair wage to labourers engaged by him in the work.

EXPLANATION:

(a) "Fair wages" means wage whether for time or piece work as notified at the time of inviting tender, for works and where such wage have not been so notified at the time wages prescribed by the labour department for the division in which the work is done.

(b) The contractor shall not with standing the provision of any contract to the contrary, cause to be paid a fair wage to labourers indirectly engaged on the work including any labour engaged by his subcontractors in connection with the said work as if labourers has been immediately employed by him.

(c) In respect of all labour directly or indirectly employed on the works or the performance of his contract by the contractor shall comply with or cause to be complied with the Labour Act in-force.

(d) The executive Engineer/Sub Divisional Officer shall have the right to deduct from the money due to the contractor any sum required or estimated to required for making good the loss suffered by a worker or workers by reason of non-fulfillment of the conditions of the contract for the benefit of the workers, non-payment of wages or of deductions made from his or their wages which are not justified by their terms of the contract or non-observance or regulations.

(e) The Contractor shall be primarily liable for all payments to be made under and for the observance of the regulations aforesaid without prejudice to his right to claim indemnity from his sub-contract.

(f) The regulations aforesaid shall be deemed to be a part of this contract any breach shall deemed to be a breach of this contract.

(g) The contractor shall obtain a valid license under the Contract (Regulation and Abolition) Act. 1970 and rules made there under by competent authority time to time before commencement or work, and continue to have a valid license unit the completion of the works.

Any failure to fulfill this requirement shall attract the penal provisions of this contract arising out of the resulted non-execution of work assigned to the Contractor.


Annexure "C"

TECHNICAL SPECIFICATIONS

1.1 CIVIL WORKS:-

1.1.1 Works shall be done as per latest C.P.W.D. specifications.

1.1.2 In the event of any discrepancy between the nomenclature of the item of work as per applicable Schedule of Rates and the attached specifications or C.P.W.D. specifications, the nomenclature of the item of work as per schedule of Rates applicable with the agreement shall prevail.

1.1.3 In the event of any discrepancy between the specifications as mentioned under particular specifications and as given in the C.P.W.D. specifications, the specifications mentioned and attached specifications shall prevail.

1.1.4 The relevant latest I.S. codes shall be followed if the specifications for the item are not available either in the C.P.W.D. Specifications or in attached specifications in the agreement.

1.1.5 The structural and architectural drawings shall at all times, be properly correlated before executing any work and no claim whatsoever shall be entertained. Any discrepancy in the above drawings should be brought to the notice of Engineer-in-charge promptly

1.1.6 Latest National Building Code shall be followed.

1.2 ELECTRICAL WORKS:-

1.2.1 The electrical works shall be done as per C.P.W.D. specifications and as per the provisions of latest B.I.S. relevant code according to the directions of engineers of electrical & mechanical divisions of Bhopal Development Authority.

1.2.2 Least National Electrical Code shall be followed.

1.3 ROAD WORKS:-

1.3.1 The road works and collection of materials for road works shall be carried out according to C.P.W.D. specifications, as adopted for this work or specifications in force or special specifications wherever enclosed separately, or the relevant specifications published by the Indian road Congress and M.O.R.T.H.


Annexure "D"

SPECIAL CONDITIONS

1. The department has full liberty to abundant or finalised the contact work at any stage of the work and at any cost level and in such case the payments will be made to the contractor against the amount of work done only. No any compensation or claim shall be allowed in such any case.

2. Clause 11 (C) and Clause 36 of agreement shall not be applicable on the work and to be treated as deleted from this agreement.

3. If as per local bodies notification, the huts for labourers are not to be erected at the site for work by contractors, then the contractors are required to provide such accommodation as is acceptable to local bodies and nothing extra shall be paid on this account.

4. Royalty at the prevalent rates shall have to be paid by the Contractor on all the boulders, bricks, metals shingle, sand and moorum etc., collected by him for the execution of the work, direct to the Revenue authority of authorised agent of the State Government concerned or Central Government.

5. Any damage done by the Contractor to any existing work during the course of execution of the work tendered for shall be made good by him at his own cost.

6. The contractor shall take all precautions to avoid all accidents by exhibiting necessary caution boards day and night, speed limit boards, red flags, red lights and providing barriers etc. He shall be responsible for all damages and accidents caused due to negligence on his part.

7. No payment will be made to the Contractor for damage caused by rains or other natural calamities during the execution of work and no such claim on this account will be entertained.

8. The work will be carried out in the manner complying in all respects with the requirements of relevant bye-laws of the local body under the jurisdiction of which the work is to be executed or as directed by the Engineer-in-charge and nothing extra will be paid on this account.

9. Some restrictions may be imposed by the security staff etc. on the working and/or movement of labour, materials etc. the contractor shall be bound to follow all such restrictions/instructions and nothing extra shall be payable on the account.

10. The Contractor shall comply with proper and legal orders and directions of the local or public authority or municipality and abide by their rules and regulations and pay all fees and charges which he may be liable.

11. Necessary TDS (Taxes Deductible at source) such as Income Tax, Commercial Tax, Education Cess, Labour Cess etc. shall be deducted from this bills as applicable as per the Govt. Rules. All the taxes imposed by Central Govt. / State Govt. / Local bodies etc. shall be borne by the Contractor / Agency.

12. Sample of various materials required for testing shall be provided free of charge by the Contractor. Testing charges, if any, with all other expenditure required to be incurred for testing the samples, conveyance, packaging etc. shall be borne by the contractor himself.

13. Relevant analysis of rates shall be referred regarding calculation of rates for the item of work not included is the applicable Schedule of Rules i.e. item of work executed is Non Scheduled of Rate item (Non S.O.R. item)

14. The tender rates quoted by the contractor in his tender and accepted by B.D.A. is not applicable on the Non S.O.R. items of work.

15. The structural and architectural drawings shall at all times, be properly correlated before executing any work and no claim whatsoever, be entertained. Any discrepancy in the above drawings should be brought to the notice of the Engineer-in-charge promptly.

16. The Contractor shall be required to produce samples of all materials sufficiently in advance to obtain approval of the Engineer-in-charge. Subsequently, the materials used in the actual execution of the work shall strictly confirm to the quality of sample approved.

17. The work will be carried out in the manner complying in all respects with the requirements of relevant bye- laws of the local body under the jurisdiction of which the work is to be executed or as directed by the Engineer-in-charge and nothing extra will be paid on this account.
