Two Bid System : The two bid system will be followed for this tender. Inthis system bidder must submit their offer in separate sealed envelopesas – Technical Bid and Commercial Bid. Both the technical bid andcommercial bid envelopes should be clearly marked as “Envelope No. 1 -Technical Bid" and "Envelope No. 2 - Commercial Bid" and both thesesealed covers are to be put in a bigger cover which should also be sealedand duly superscribed with our Tender No. & Due Date and to besubmitted to the concern department/section mentioned in tenderdocument.

SECTION 2 – ELIGIBILITY CRITERIA

1. The bidder should have existence of firm/organisation for selling air conditioners for minimum period of 3years. (Enclose copy of Certificate of Incorporation/ Registration Certificate of the firm/ Shop &establishment certificate)

2. Enclose copy of PAN CARD of the firm/organisation.

3. Enclose Authorised Channel Partner Certificate of mentioned brands . For dealers/ agencies it ismandatory to submit Authorisation letter from Manufacturer (OEM).

4. License/certificates as labour inspector/factory inspector issued by State/Central government or local bodiesto carry work in Mumbai/Maharashtra. (Enclosed copy of certificate if applicable).

5. Enclose list of present Technical staff with their qualification and experience certificates.

6. One bidder should quote for one brand only.

7. Enclose Bidder's Information. Annexure A1.

8. The bidder must not be blacklisted/Suspended or any service related dispute with any organisation/Govt.Organisations/ Bank in India or out side India. Annexure A2.

9. The bidder should accept Tender Terms & Conditions- Annexure A3.

10. The bidder must have experience of supplying air conditioners items to various Government/Semi-Government/PSU/Public Sector Banks during last three years. Enclose copy of atleast 3 purchase orders orcompletion certificates/invoices not less than Rs. 2 lakhs each. – Annexure A4.

11. The bidder must have Business Turnover of minimum Rs.1 crore from AC business in the last threecumulative financial years i.e. F.Y. 2013-14, F.Y. 2014-15 and F.Y. 2015-16 Annexure A5.(Enclose copy ofAudited Annual Accounts or Chartered Accountant certificate for turnover for the last three years).

12. The bidder should have submitted filed ITR copy for last three financial years i.e. A.Y. 2014-15, A.Y. 2015-16, A.Y. 2016-17. Annexure A5. (Enclose copy of Acknowledgments.)

13. Enclose copy of Valid Applicable Tax Registration Certificate. (GSTN Registration Certificate).

SECTION 3 – INSTRUCTIONS TO BIDDERS

A) PREPARATION AND SUBMISSION OF BID :

1. The Bid MUST BE ENCLOSED IN A SEALED COVER superscribing Tender number / due date & shouldreach the undersigned on or before due date mentioned in the tender notice. If the bid cover is not sealed, itwill be rejected.

2. The Bid should be dropped in the tender box kept in the office of concerned Department / Sectionmentioned in the tender. No tender is to be handed over to our staff personally unless otherwise specified.All communications are to be addressed to the undersigned only. In case due date happens to be holiday thebid will be accepted and opened on the next working day.

3. The bid can be submitted in person or through post/ courier (IIT Bombay shall not be responsible for anypostal delays or any other reason for not submitting the bid in the specified time and resulting indisqualification / rejection of any bid) so as to reach on or before the due date and time.

4. The leaflets catalogue, etc. should be sent invariably so that a proper evaluation of the air conditionersoffered is possible.

B) COST OF BIDDING :

1. The Bidder shall bear all costs associated with the preparation and submission of its Bid and thePurchaser shall not be responsible or liable for those costs regardless of the conduct or outcome of thebidding process.

C) VALIDITY OF THE BID : 180 Days from the date of submission of bid.

D) AMENDMENT OF BIDDING DOCUMENTS :

1. At any time prior to the deadline for submission of bids, IIT Bombay may, for any reason, whether on itsown initiative or in response to the clarification request by a prospective BIDDER may modify the biddocument.

2. All prospective BIDDER's who have downloaded the bidding document may visit IIT Bombay, website foramendments / modifications which will be binding on them.

E) DEADLINE FOR SUBMISSION OF BIDS :1. Bids must be received by IIT Bombay before the due date and time at the address specified in the tender

document. In the event of the specified date for the submission of bids being declared as a holiday for IITBombay the bid-closing deadline will stand extended to the next working day up to the same time.

F) BID OPENING PROCESS:1. In two envelop/cover/bid system, The Technical Bid will be opened in the first instance in the presence of

representatives of the bidders at IIT Bombay.2. Financial bids of only those bidders, whose bids are found technically qualified, by the Technical Evaluation

Committee, will be opened in the presence of the vendor’s representatives subsequently at a later date forfurther evaluation.

3. One authorized representative of each of the bidder would be permitted to be present at the time ofaforementioned opening of the bids.

4. The authorized representative of bidders, present at the time of opening of the bids shall be required to signan attendance register as a proof of having attended the bid opening meetings.

G) LATE BIDS :1. IIT Bombay will not be responsible:

(a) For delayed / late quotations submitted / sent by post / courier etc. (b) For submission / delivery of quotations at wrong places other than the mentioned in the tender. (c) Any bid inadvertently received by IIT Bombay after the deadline i.e. due date & time for submissionof bids, will not be accepted and returned.

(d) Fax / E-mail / Telegraphic / Telex tenders will not be considered.

H) SUPPLEMENTARY OFFER /MODIFICATION OF ORIGINAL BID: 1. Tender submitted against Notice Inviting Tender (NIT) shall not be returned in case the tender opening date

is extended/postponed. BIDDER desirous to modify their offer/terms may submit their revised /supplementary offer (s) within the extended Tender Opening Date (TOD) by clearly stating to the extent ofupdation done to the original bid. The purchaser reserves the right to open the original offer along with therevised bid.

I) CONFIDENTIALITY :1. Information relating to the evaluation of Bids, and recommendation of Contract award, shall not be

disclosed to Bidders or any other persons not officially concerned with such process until information onContract award is communicated to all Bidders.

2. Any attempt by a Bidder to influence the Purchaser in the evaluation of the Bids or Contract award decisionsmay result in the rejection of its Bid.

3. Notwithstanding, from the time of Bid opening to the time of Contract award, if any Bidder wishes tocontact the Purchaser on any matter related to the bidding process, it shall do so in writing.

J) DEVIATION, RESERVATIONS AND OMISSIONS:1. During the evaluation of Bids, the following definitions apply:

(a) “Deviation” is a departure from the requirements specified in the Bidding Documents;

(b) “Reservation” is the setting of limiting conditions or withholding from complete acceptance of the requirements specified in the Bidding Documents;

and(c) “Omission” is the failure to submit part or all of the information or documentation

required in the Bidding Documents.

K) CORRECTION OF ARITHMETICAL ERRORS :1. Provided that the Bid is substantially responsive, the Purchaser shall correct arithmetical errors on the

following basis:(a) if there is a discrepancy between the unit price and the line item total that is obtained by

multiplying the unit price by the quantity, the unit price shall prevail and the line item total shall be corrected,unless in the opinion of the Purchaser there is an obvious misplacement of the decimal point in the unit price, inwhich case the line item total as quoted shall govern and the unit price shall be corrected;

(b) if there is an error in a total corresponding to the addition or subtraction of subtotals, thesubtotals shall prevail and the total shall be corrected; and

(c) if there is a discrepancy between words and figures, the amount in words shall prevail, unless theamount expressed in words is related to an arithmetic error, in which case the amount in figures shall prevailsubject to (a) and (b) above.

2. Bidders shall be requested to accept correction of arithmetical errors. Failure to accept the correction inaccordance with the same, shall result in the rejection of the Bid.

L) EVALUATION OF BID :1. IIT Bombay evaluate technical and commercial acceptable offers on landed net Price basis.2. In case any BIDDER is silent on any clauses mentioned in this tender documents, IIT Bombay shall construe

that the BIDDER has accepted the clauses as per the invitation to tender and no further claim will beentertained.

3. No revision in the terms and conditions quoted in the offer will be entertained after the last date and timefixed for receipt of tenders.

M) PRICE BID :1. Quoting of Price (s) : Price quoted should be in Indian Rupees, free delivery at IIT Bombay Campus at site.2. PRICE BID must be submitted in enclosed Price Bid Form only.3. If the price is not quoted in Price Bid Form only provided in tender document then, IIT Bombay will reject

bid. 4. Tender will be taken as exclusive of all Taxes. Taxes to be mentioned seperately in Taxes coloumn.5. If supplier wish to give pricing details it may be attached in separate sheet. 6. In case of Multiple options of same product, bidders are requested to quote only one best option and not

multiple options. 7. Quantity : The quantity mentioned in the tender can be increased or decreased to any extent depending

upon the actual requirement.8. It is mandatory to quote optional items in separate sheet otherwise your quote will be rejected.

N) CORRUPT & FRAUDULENT PRACTICES:1. IIT Bombay requires that bidders, suppliers, contractors and consultants, if any, observe the highest

standard of ethics during the procurement and execution of such contracts. In pursuit of this policy, (a) The terms set forth below are defined as follows:

“Corrupt practice”means the offering, giving, receiving, or soliciting, directly or in directly, ofanything of value to influence the action of a public official in the procurement process or in contractexecution;

“Fraudulent practice”means a misrepresentation or omission of facts in order to influence aprocurement process or the execution of a contract;

“Collusive practice”means a scheme or arrangement between two or more bidders, designed toestablish bid prices at artificial, non- competitive levels; and

“Coercive practice” means harming or threatening to harm, directly or indirectly, persons or theirproperty to influence their participation in the procurement process or affect the execution of acontract;

(b) IIT Bombay will reject a proposal for award if it determines that the Bidder recommended for award has,directly or through an agent, engaged in corrupt, fraudulent, collusive or coercive practices in competing for the Contract in question.

O) TRANSFER AND SUBLETTING :

1. The seller shall not sublet, transfer, assign or otherwise part with the acceptance to the tender or any partthereof, either directly or indirectly, without the prior written permission of the Purchaser.

P) CANCELLATION OF TENDER : 1. Not withstanding anything specified in this tender document, Purchaser / IIT Bombay in his sole discretion,

unconditionally and without assigning any reasons, reserves the rights:a) To accept OR reject lowest tender or any other tender or all the tenders.b) To accept any tender in full or in part.c) To reject the tender offer not confirming to the tenders terms.

2. To give purchase preference to Public Sector undertakings when applicable as per Govt. Policy/ Guidelines.3. Offer which deviates from the vital conditions (as illustrates below) of the tender shall be rejected:

a) Non-submission of complete offers.b) Receipt of offers after due date and time and or by email / fax (unless

specified otherwise).c) Receipt of offers in open conditions.

4. Conditional Tenders and Unsigned Tenders will also be rejected.

Q) DELIVERY : 1. The successful BIDDER should deliver the material as per tender document/purchase order. The successful

bidder should emboss stickers of purchase order number on the material.

SECTION 4 – CONDITIONS OF CONTRACTA) AWARD OF CONTRACT :

1. A panel of suppliers/dealers/company will be selected for the Rate contract of Air conditions.2. The successful suppliers will be empaneled initially for the period of ONE year therefore, all the rates quoted

be valid for ONE year. The contract may be extended further for next one year subject to annual revision, iftheir performance found satisfactory.

3. Each brand wise L1 will be calculated and only L2 & L3 agency will be allowed to match L1 rate.4. Each brand can be quoted by more than one agency. Agencies quoted for same brand & model will be

matched to the L1 rate of that same brand & model.5. Order can be placed for any specific brand & model suitable for type of application, user preference if any

etc.6. The Empaneled bidder will abide by all the Terms & Conditions of the Tender Document.7. The services of the empaneled bidders will be reviewed by committee during contract period and IITB

reserve right to add or delete bidders in rate contract based on performance, if necessary, withoutintimation.

B) EARNEST MONEY DEPOSIT : (Format in Annexure A-6)

While submitting bid, the BIDDER shall deposit an amount mentioned in tender document as Earnest Money, withthe IIT Bombay as per following:

1. Earnest Money Deposit (EMD) of Rs. 1,00,000/- (Rs. One Lakhs only) in the form of Bank Guarantee to besubmitted in Technical Bid. Failing which, submitted bid will be Rejected.

2. Bank Guarantee to be issued in the favour of 'The Registrar, IIT Bombay' payable at Mumbai. 3. The Earnest Money shall be valid upto a period of 180 days or the complete conclusion of the contractual

obligations to the complete satisfaction of both the BIDDER and the BUYER.4. No interest shall be payable by the BUYER to the BIDDER on Earnest Money for the period of its currency. 5. EMD of a tenderer will be forfeited, if the tenderer withdraws or amends its tender or derogates from the

tender in any respect within the period of validity of its tender. Further, if the successful tenderer fails tofurnish the required performance security within the specified period, their EMD will be forfeited.

6. A confirmed Bank Guarantee by an Indian Nationalized Bank promising payment of the guaranteed sum tothe BUYER on demand within three working days without any demur whatsoever and without seeking anyreasons whatsoever. The demand for payment by the IIT Bombay shall be treated as conclusive proof ofpayment.

7. If successful bidder fails to submit the Performance Guarantee Bond within 15 days from the date of issuingaward of contract then contract will be canceled and EMD will be forfeited.

8. Return of EMD: In case of successful BIDDER, EMD in the form of Bank guarantee will be returned within30 days from the date of submission of Performance Guarantee Bond.

9. For unsuccessful bidder, Bank Guarantee will be returned within 30 days after technical evaluation report.

C) PERFORMANCE GUARANTEE BOND : (Format in Annexure A-7)

Performance Guarantee Bond is mandatory.1. Successful bidder should submit Performance Bank Guarantee (PBG) of Rs.3,00,000/- (Rs. Three Lakhs

only) in the form of Bank Guarantee in the favour of 'The Registrar, IIT Bombay' payable at Mumbai asprescribed above to be sent to Joint Registrar, Materials management Division, IIT Bombay on or before 15days from awarding rate contract. The PGB to be furnished in the form of bank guarantee as per givenAnnexure A-7 of the tender document.

2. PBG to be established through any of the National Banks (whether situated at Mumbai or outstation) with aclause to enforced the same on their local branch of Mumbai or any scheduled bank (other than nationalbank) situated at Mumbai. Bonds issued by co-operative banks will not be accepted.

3. Performance Guarantee Bond shall be for the due and faithfully performance of the contract and shallremain binding, notwithstanding such variations, alterations for extensions of time as may be made, given,conceded or agreed to between the successful tenderer and the purchaser under the terms & conditions ofacceptance to the tender.

4. The successful tenderer is entirely responsible for due performance of the contract in letter and spirit and allother documents referred to in the acceptance of tenders.

5. The PBG shall be kept valid for a period of One year.6. For successful suppliers, if PBG is not submitted within 15 days from the date of Award of Contract, then the

contract will be cancelled with forfeiting of EMD. 7. No interest shall be payable by the buyer to the Bidder on PBG.

D) TERMS OF PAYMENT :

1. 80% payment (Machine price) will be paid against delivery. Balance 20% and Installation charges willbe paid after satisfactory installation & commissioning.

2. Installation payments will be made within 30 days from the date of submission of bill alongwith installation report.

3. Payment shall be made by Cheque or such other mode / electronic fund transfer offered be the bank.4. No payment will be admissible for goods rejected.

E) PENALTY :

1. Timely delivery is essence of the contract and hence if any consignment be delayed, liquidated damagesat the rate 0.5% of the price of the delayed consignment, for each week or part whereof shall be leviedand recovered subject to maximum of 5% of total purchase order value.

2. If Installation is not done within 7 days from the date of written intimation to the party,penalty will be charged to the party @ 2% per week of purchase order value upto Maximum10%.

F) WARRANTY:1. One year warranty on whole unit, five years warranty on compressor for constant speed window

and split AC unit and 1 year warranty on complete unit including compressor for inverter AC,Cassette AC, Tower AC.

2. Installation of WAC will be free of charges. Support bracket for WAC may be quoted extra withspecification.

G) MAINTENANCE:

1. Quarterly preventive maintenance (3 dry and 1 wet ) for the guarantee period of One yearshould be provided compulsorily and at free of cost.

H) DELIVERY:1. Free delivery at IIT Bombay. Non-availability of the stock should be informed in writing immediately. Nopart-supply will be allowed. Defective items or items not as per given brands or samples, if any suppliedmust be taken back and be replaced with no additional cost.

I) INDEMNITY CLAUSE:1. Your firm shall indemnify the Institute against all actions, suits,claims and demands brought or made

against it in respect of anything done or committed to be done by your firm in execution of or in connectionwith the work of this contract and against any loss or damage to the the Institute in consequence to anyaction or suit being brought against your firm for anything done or committed to be done in the executionof this contract. Your firm will abide by the job,safety measures prevalent in India and will free the Institutefrom all demands or responsibilities arising from accidents or loss of life, the cause of which is your firm'snegligence. Your firm will pay all indemnities arising from such incidents, without any extra cost to Instituteand will not hold the Institute responsible or obligated. The Institute may at its discretion and entirely atthe cost of the contractor/vendor defend such suit, either jointly with your firm or singularly in case thelater chooses not to defend the case.

J) FORCE MAJEURE :

1. Force Majeure will be accepted on adequate proof thereof.

K) LEGAL MATTER :1. In the event of any dispute over this contract, IIT Bombay's decision shall be final and binding.

SECTION 5- TECHNICAL SPECIFICATIONS

A] SPECIFICATIONS AND ALLIED TECHNICAL DETAILS:

Applicable for All Categories: (SPLIT/WINDOW)

1. The condenser and cooling coil of all machines must be of copper coil/tube & Aluminum fin, no aluminum coil/ tube will be acceptable. The blower motor should have thermal, overload and short-circuit protection. Models with other technical specification will not be accepted. 2. Compressor preference will be as follows: Scroll followed by reciprocating and rotary. 3. All units should be with at least 3 fan speeds, and room temperature display on machine. 4. All units should be with cordless digital remote control. 5. Unit must remember set temperature through power outage. 6. Manpower deputed for installation job requires to have proper skill with satisfaction of Engineer (AC), I.I.T Bombay.

7. The holes made in wall for Piping should have inclination downward on outer side and pipes shallbe covered by PVC pipe for complete wall thickness with at-least 2 inch margin on outer side. The holesmust be sealed properly and it should not be a source of any water seepage. As shown in Fig No. 1

8. The agency should have required tools for AC installation. The list of tools is to be attached withthe price bid. 9. Scaffolding charges to be maintained separately for the heights where the installation point is not reachable byladder (above 2nd floor and onwards) 10. Site and Scaffolding work for installation of Air Conditioners will be carried out subject to aprroval by Ex.Engineer (EMD). 11. Detail and features of model and brand quoted should be mentioned in technical bid. 12. Product catalogue for the model quoted is to be attached with the sealed quotation. 13. Product code is to be mentioned clearly in the quotation.
