1 INTRODUCTION

This document applies to all ALDO International orders being shipped directly to the franchisees using our freight forwarding company. The instructions in this document supersede various provisions of the Supplier Partnership Manual (SPM). You must follow the SPM requirements and these instructions to adequately prepare shipments for the franchisees. Please read carefully the following packing and invoicing instructions. Should you have any questions on the contents of this document, please communicate with your Supplier Partnership Program contact.

If you do not have the ALDO Groupe SPM, please request one from the appropriate Supplier Partnership Program contact (please consult the Contacts section of this document).

2 REVISION CONTENT

• Pictograms to be applied on both shoes of a pair for all orders, except Mexico and South Africa orders.

• Updated Portuguese forwarder name.

• Chile permanent marking examples updated to illustrate new franchisee name and RUT number in section 9.

• Updated documentation requirements for Mexico, Poland, Taiwan and Ukraine in section 9.

• Updated requirements for Egypt (sunglasses), Mexico (permanent content label for all wearing accessories) and South Africa (permanent content label for all wearing accessories) in section 9.

3 IDENTIFICATION NOTE FOR PACKAGING AND INVOICING

• Supplier, vendor, exporter, manufacturer, agent or shipper name, address or any other type of co-ordinates must not appear on any product or any type of packaging.

• The commercial invoice, certificate of origin, packing list, export license or any other type of document (either the original or the copy) must never be mailed directly to the franchisee.



4 PRODUCTION

4.1 MANUFACTURING • Never use nails for the lasting of a shoe.

• Never use a tack system to attach the insoles. Alternatives to be used include: Hot melt adhesive, Unifast fitting and Self-Adhesive.

• It is the factories’ full responsibility to guarantee against the finding of any kind of metal pieces inside the shoe that may come into contact with the customer. A penalty will be applied if the above should occur. UK retailers usually ask for 1,000 Euro or more per shipment.

• The supplier must guarantee the best adhesion of the outsoles (your adhesive supplier may provide you with test data)

• The supplier must guarantee the outsole crack resistance and abrasion (your outsole supplier may provide you with test data).

In - house tests are recommended to validate your standards. A recommended best practice is to apply two layers of primer and glue and to make sure that the outsole is very well conditioned with UVA rays.

• The suppliers must be very accurate in attaching the heel to the shoe. We recommend using at least four long nails and one screw to assure the solidity of the heel/shoe assembly.

• The suppliers must guarantee the resistance of any strap buckle rivets, zip fasteners, eyelets, d/rings, elastics, laces, cords, etc.

• The suppliers must ensure all components are free of restricted materials (chemicals, metals, etc.) as per UK and EU Law. Especially free of Nickel (metal ornaments) and Chromium 6 (leather and lining). Tests can be provided by the suppliers of the metals and by the tanneries.

• Product manufactured for AGI AG must be safe to wear and must adhere to all applicable European legislation.

4.2 QUALITY OF MERCHANDISE • The quality of the merchandise is to be equal as for ALDO Canada/USA orders. ALDO

International has the right to return the goods to the supplier if this condition is not met.

• Size runs must be respected. If the size runs are not respected, we have the right to return goods at your expense or ask for a discount.

4.3 PARTIAL SHIPMENTS • No partial shipments are permitted.

4.4 CANCELLATIONS AND MODIFICATIONS • If there are any cancellations or modification in the orders placed by ALDO Canada/USA, the

changes will also apply to the ALDO International orders as long as the supplier communicates the changes to the International purchase order administrators. Exceptions should be discussed with the ALDO International buying directors.

If the above instructions are followed along with the quality of merchandise and punctuality of delivery dates are respected, we will assure you prompt payment. Payment will be made within 30 days of the goods being approved at the designated forwarder.



5 MARKINGS

5.1 COUNTRY OF ORIGIN • For all goods, the country of origin must be permanently marked in ENGLISH, Example: if

goods are made in China, the marking will read “MADE IN CHINA”.

• For Footwear products, the country of origin must be marked on both feet.

• For Handbags, Wallets, and Cardholders: the country of origin must be embossed, stamped or marked on a woven label stitched to the lining.

• For Accessories the country of origin must be marked as follows:

o Belts: Embossed, stamped or applied on a stitched woven label.

o Sunglasses: Engraved on one of the sunglasses branches.

o Watches: Engraved on the back of the watch casing.

o Gloves, Mitts, Hats, Scarves, Shawls: Applied on a stitched woven label.

Please refer to the below country of origin placement examples:



5.2 PICTOGRAMS • All footwear orders for ALDO International require pictograms to be applied on both shoes of a

pair except for Mexico and South Africa orders:

o For Mexico, pictograms are not to be applied onto the footwear.

o For South Africa orders, please refer to section 9 for the special content label to be used instead of pictograms.

• Pictograms are stickers containing diagrams of the different parts of the shoe with the corresponding composition.

(See example in Fig. 1).

• Supplier must provide the pictograms.

5.3 SPECIAL LABELS Since ALDO International orders get shipped to different destinations, some of those countries have special labeling requirements for customs. It is very important to comply with these requirements because in case of missing these labels, our franchisees will be unable to clear the goods from customs. See the appropriate section in this document for more details.

If the required special labels are not applied to the merchandise, the supplier is responsible for the custom fine imposed by the Governments of destined countries.



6 BARCODE STICKERS AND HANGTAGS

6.1 FOOTWEAR BARCODE STICKER • All ALDO International footwear orders require a barcode label that contains the ALDO style

number, color, size, season and SKU number (see example in figure 2).

• Use only the barcode labels supplied to you by ALDO International or by Avery Dennison.

• Barcode labels for ALDO International orders do not depict a retail price.

• These labels must be affixed to the front of the shoebox as indicated in figure 3.

• The supplier style number, color and size must not appear on any shoeboxes or any type of packaging.

• The supplier, vendor, exporter, manufacturer, agent or shipper name, address or any other type of coordinates must not appear on the shoe box or any type of packaging.

6.2 HANGTAGS FOR HANDBAGS • All hangtags must be attached to the merchandise in the same manner as for ALDO

Canada/USA orders.

• ALDO International will supply the hangtags.




6.3 ACCESSORY STICKERS AND CARDS • The application of the barcode sticker to the accessory card must be identical to the sample

provided with the sticker shipment.

• ALDO International will supply the accessory barcodes sticker with the accessory cards.

7 PACKAGING

7.1 GENERAL CONDITIONS • Packaging made of coniferous wood of any kind is not permitted.

7.2 MASTER SHIPPING CARTON PACKING • Never use empty ALDO shoeboxes, printed newspaper or magazine paper as filler in a master

carton.

• You must use foam, plain paper or white empty boxes without any markings.

7.3 TAMPERPROOF TAPE • All shipping cartons must be sealed using ALDO Groupe tamperproof tape. Please consult the

SPM for the authorized suppliers of our tamperproof tape.

7.4 MASTER SHIPPING CARTON MARKINGS

7.4.1 General conditions • Replace the supplier name with:

ALDO GROUPE INTERNATIONAL AG / ALDO

• The supplier, vendor, exporter, manufacturer, agent or shipper name, address or any other type of co-ordinates must not appear on the master shipping cartons.

• Verify that the style numbers and color codes on the cartons are the ones for ALDO.

• The “Ship to” address must be on the carton. This is the consignee’s address as mentioned in Annex 1.

7.4.2 Carton labels • All footwear suppliers will receive carton labels that will be included in the barcodes sticker

package.

• If you do not receive carton labels with your shoebox stickers package, the supplier must produce a manual carton label.

• For Handbags and accessory orders, the supplier must provide the carton label.

• The carton label for accessories and hand bags must always indicate the franchisee prefix such as: EU129623-AI

8 SHIPPING AND CUSTOMS DOCUMENTS

8.1 GENERAL CONDITIONS • All documents must be written in English.

• A copy of the documents must be handed to the forward along with the goods.

The forwarders have been instructed to refuse all shipments if they are not accompanied by a copy of all documents (certified when applicable).

• Do not mail any document to the consignee.

• Do not put the commercial invoice, packing list or certificate of origin inside any of the cartons.

• The various shipping documents must refer to the Buyer and the Consignee as indicated in Annex 1.



8.2 SHIPPING DOCUMENTS • All shipments must be accompanied by documents:

o Commercial invoice

o Packing list

o Certificate of origin

o Special documents (see the appropriate section in this document for more details).

• See country specific requirements section for which destination requires a certified certificate of origin.

8.2.1 Commercial Invoice In addition to the requirements in the SPM:

• The invoice must be addressed as follows:

• A director must sign the invoice.

• The invoice must contain the following statements and information:

o “First Quality Goods”.

o “We hereby guarantee that this is a true and correct invoice and that the goods referred to are of the origin, manufacture and production of (insert applicable country).”

o The manufacturer name and address followed by the statement “under contract of ALDO Groupe International AG, Switzerland”.

o The ALDO International Purchase Order number.

o The carton marks and numbers.

o The net and gross weight.

o The total number of cartons.

o The total number and value of goods by HS Tariff code stated to the 6th digit, as mentioned on our purchase order.

o For footwear, please specify:

For Boots: the height of the boot as being ankle, mid shaft or high shaft.

For shoes and sandals: the combined height of the outsole and heel. (Example: low, mid, high, wedge, platform).

o European suppliers: state our VAT No. GB 779 0522 05 on your invoices and as a result not charge local VAT.

o (For goods made in Portugal and shipped to the Portugal franchisee, please use VAT No. PT980 297 575.)


8.2.2 Packing List • Two copies of the packing list are needed for each shipment:

1. The first copy of the packing list must be affixed outside box #1 of every shipment with the name and address of the franchisee.

2. The second copy of the packing list must be given to the forwarder with the commercial invoice.

• The packing list must contain the following information in addition to the requirements in the SPM:

o Consignee name and address (as stated on orders).

o ALDO International style number, color, size, and total quantity.

o A brief description of goods.

o Every individual carton number and the list of styles packed in each carton.

The packing list must NOT show the supplier, vendor, exporter, manufacturer, agent name or shipper address or any other type of co-ordinates. (Do not use company letterhead).

Replace supplier name with “ALDO Groupe International AG” and address.

The unit cost, total cost, price or value of the goods must NOT appear on the packing list.

8.2.3 Certificate Of Origin • A Certificate of Origin is requested for all orders being shipped to franchisee except if the

goods are made in Europe and shipped to a European franchisee.

• See country specific requirements section for which destination requires a certified certificate of origin.

• The original Certificate of origin must be shipped via courier to ALDO Groupe International AG (Switzerland).

• The Certificate of origin must be consigned to the final destination “ the franchisee ”.

• The manufacturer name and address must be stated, and followed by the statement “under contract of ALDO Groupe International AG, Switzerland”.

• The certificate of origin must contain the following information:

o A brief description of the goods

o Net and gross weight

o Total number of cartons

o Invoice number

o Purchase order number

o The vendor name must appear as the shipper/exporter

o The manufacturer name and address must be stated and followed by the statement “under contract of ALDO Groupe International AG, Switzerland”



The unit cost, total cost, price or value of the goods must NOT appear on the certificate.

8.2.4 Special Documents • In addition to the previous documents, some of the franchise countries require special

documents for customs clearance. Please see the different country listing for these additional requirements.

8.3 PAYMENTS • The day the goods are received at the forwarder, the supplier should receive an FCR note

from the forwarder as a proof of delivery.

• To help prompt payment, the supplier must fax and/or email the commercial invoice, certificate of origin, packing list and FCR document s to ALDO Groupe International AG.

• To issue payment, the original commercial invoice, the original certificate of origin, three (3) original packing lists and the original FCR document must be received by courier by ALDO Groupe international AG in Switzerland, at the below address:

9 COUNTRY-SPECIFIC REQUIREMENTS

9.1 AUSTRALIA

Material restriction

• Goods made with real feathers are restricted. If you have a purchase order for accessories made with real feathers, please contact the ALDO International PO Admin team.

• Wood pallets or merchandise made of wood are not allowed. Plastic pallets - no timber products are allowed. Any merchandise made of wood must require specific treatment / fumigation in line with Australian Quarantine and Inspection Service requirements before being released on import. For additional information please go to web site: www.aqis.gov.au

• Straw of any construction or in packing materials is not allowed.

Shipping document requirement – Sunglass lens certificate

• A sunglass lens certificate to the standard (AS/NZS 1067:2003) is required for all sunglasses shipped to Australia. For more information, please visit web: www.sai-global.com/shop

• The ALDO PO number, ALDO style name and ALDO color code must be indicated on each lens certificate.

• The lens certificate must be provided to the AGI PO Admin team for review upon request.

• If the sunglasses destined to the Australian franchisee do not pass the AS/NZS 1067:2003 Australian standard, ALDO Group International may cancel the order.

• If the lens certificate is not provided when required, it will delay PO release or authorization to ship to our forwarders.

• The original lens certificate must be sent to AGI AG in Switzerland office with the other original documents.

Labeling requirement for sunglasses

• All sunglasses are required to have an Electrostatic label affixed to the bottom of the right lens. Please see Figures 5, for label placement and 6 for your examples of the labels.

• The label includes the following information:

o Lens Category

o Description

o Additional marking and symbols (if applicable)

o Distributor name

• ALDO International will supply these labels. • NOTE: It is very important that the lens category is confirmed with the ALDO Product

Development Team at the time of confirming all of the product details and must be re-confirmed with the AGI PO Admin team at the time of receiving the booking orders.

9.2 CHILE

Special footwear requirement

• All footwear will be required to have an additional marking in Spanish in both shoes of the pair:

o The franchisee name and RUT number (see example in figure 7)

o The composition breakdown: upper, lining, sole (see Spanish translations in annex 3)

o The country of origin: e.g. “Hecho en China” (see Spanish translations in annex 2)

• Supplier must provide this label.

• The Spanish country of origin marking must be in addition to the regular English marking in your footwear production.

A sticker with the country of origin marking in Spanish will not be permitted. The required marking in Spanish must be either stamped in ink, or stitched with a woven label.

• The location of the marking should be applied on the lining of the footwear:

o Stamped on the lining

o A stitched woven label applied onto the lining

9.3 GREECE

Shipping document requirement – Certificate of origin

• A Certificate of origin Form A certified by chamber of commerce is required for all merchandise made in the following countries: Bangladesh, Brazil, Cambodia, India, Indonesia, Pakistan, Philippines, Thailand, Vietnam.

• A legalized EURO 1 certificate is required for all merchandise made in Tunisia.

• A regular Certificate of origin certified by chamber of commerce is required for goods made in all other countries.

9.4 EGYPT

Special marking on shoebox - Country of origin

• A sticker with the country of origin needs to be applied on the shoeboxes.

• ALDO International will provide this sticker (see figure 8 for an example and label location).

• The certificate of origin must be officially stamped by a Chamber of Commerce.



9.5 ISRAEL

Special labels – Hebrew labels

• All footwear, handbags and some accessories shipped to Israel require a Hebrew label containing the country of origin and the composition of the merchandise being shipped. See an example in figure 9.

• ALDO International will provide these labels to suppliers.

• The sticker must be placed as follows:

o Footwear: on the outsole of the right foot

o Handbags: on the inside of the bag

o Outerwear: on the inside of the outerwear

o Accessories: on the inside of the item (Example: hats, gloves, scarves, socks, belts**. etc)

o Textile accessories: textile gloves and scarves require a stitched woven label. ALDO International can provide the Hebrew writing but the supplier must provide the label.

**Note: All belts require a Hebrew label even if the material used is plastic**

9.6 JORDAN

• All sunglasses must have the country of origin engraved on one of the branches of the sunglasses frame.

• A sticker is not permitted.



Shipping document requirement – Sunglass lens certificate

• A sunglass lens certificate to the standard EN 1836:2005 (ISO4851) is required for all sunglasses shipped to Jordan. For more information, please visit: www.iso.org.



• If the sunglasses destined to the Jordanian franchisee do not pass the EN 1836:2005 European standard, ALDO Group International may cancel the order.

9.7 KUWAIT


• No pigskin must be used in the manufacturing of goods going to this country. In addition, any material (leather and/or non-leather) resembling pigskin must not be used. ALDO International has the right to return the goods to the supplier if this condition is not met.

• Goods made with real feathers are not allowed.

• No goods with religious symbols are allowed. Example: bracelets with cross shape charms.

Marking restriction

• The reproduction on any goods of the Government Mark (Crossed swords surmounted by a palm tree) or of human or animal pictures is prohibited for goods going to Kuwait.

Country of origin restriction

• Goods made in or shipped from Israel are not allowed to be shipped to Kuwait.

Shipping document requirement - Invoice

• The invoice must contain the following statement: “We hereby guarantee that no pig skin has been used in the manufacture of the goods”.



9.8 LEBANON

Country of origin restrictions

• Goods made in or shipped from Israel are not allowed to be shipped to Lebanon.

• Goods made in Egypt are not allowed to be shipped to Lebanon.

9.9 MEXICO


Certain goods made in China are not allowed to be shipped to Mexico.

• Accessories

o Knitted and/or woven accessories are not allowed.

• Footwear

o Boots are not permitted.

o Only shoes and sandals with leather upper and synthetic outsole are allowed.

o Special Note:

o For goods made in China, It is very important that you respond to the ((Preview for the month)) e-mail sent by ALDO International Deliver follow up team and to specify the material used for upper, lining and sole per style color.

• Handbags

o Knit or woven handbags are not allowed


Footwear special product marking requirement – No Pictograms

• Pictograms must not be applied on the footwear for orders destined to Mexico.

Footwear special product marking requirement – Country of Origin

• All footwear will be required to be stamped in both shoes of the pair with the country of origin in Spanish “ Hecho en …”.

• The Spanish COO marking must be in addition to the regular English marking in your footwear production.

• The COO marking in Spanish must be in ink in order to comply with Mexican Customs, and should be identical in colour and size as the English marking for consistency.

• A sticker with the COO in Spanish will not be permitted.

• Example: if goods are made in Brazil, the markings must read “ MADE IN BRAZIL” and

“ HECHO EN BRASIL”

Please refer to the English/Spanish country translations in Appendix 2.

Footwear special product marking requirement – Content label

• All footwear will require an additional content label.

• This label must be placed on the outsole of both feet.

• It is very important that the upper, lining and sole material type and % of each material type used to manufacture the style/color is confirmed with ALDO International PO Admins when confirming the booking orders because this information must be included in the labels.

• For leather upper, the exact material must be specified such as calf, pig, cow, etc.

• For Synthetic or plastic, the exact material must be specified such as PVC, rubber, Vinyl, etc.

• ALDO International will provide this label. See an example in figure 10.

• Suppliers must follow the example provided in appendix 6 of this document.

• Please complete an excel template and forward it to your assigned forwarder for franchisee’s approval before legalization the document by customs.

• Once the approval received, please proceed with the legalization.

• All textile accessories as well as non-textile (such as leather or PU) accessories (Gloves, Hats, Mitts, Hats, Socks, Legwarmers, Scarves, Shawls and Tights) are required to have a permanent content label in Spanish (e.g. stitched woven label).

9.11 PHILIPPINES


• Goods made with real feathers are restricted if you have a purchase order for accessory made with real feather, please contact the ALDO International PO admin team.

Special carton marking requirement

• The country of origin must be permanently marked (printed or stamped) on the shipping cartons.

• A handwritten marking, or label pasted to the carton will not be accepted.

Shipping document requirement – Form “D”

• A certificate of Origin Form D (which can be acquired from your local government authorities) must be included with the shipping documents for all goods produced in member countries of the Asean Free Trade Area (AFTA). The member countries are:

Brunei, Cambodia, Indonesia, Laos, Malaysia, Myanmar, Singapore, Thailand, and

Vietnam.

9.12 PORTUGAL


• Certificate of origin is required for goods not made in Europe only.

• The certificate of origin must be officially stamped by a Chamber of Commerce

Shipping document requirement – Form “A”

• The form “A” is required for goods (footwear and handbags only) shipped from Brazil, India or Vietnam.


• The CITES certificate is required for accessories made with real feathers

Documentation requirement – VAT number for Portugal only • For all merchandise Made in Portugal and shipped to the Portugal franchisee, the VAT No. to

be indicated in the Bill-To field on your documents is PT980 297 575. For all other merchandise Made in Portugal and shipped to the other franchisees, please indicate the original VAT No., which is GB779 052 205, in the Bill-To field.

9.13 POLAND


• The form “A” is required for goods made in India.


• The CITES certificate is required for goods made of reptiles.



9.14 ROMANIA


• The form “A” is required for goods shipped from Brazil, China, India, Indonesia and Vietnam.

9.15 RUSSIA




• The form “A” is required for goods shipped from India or Vietnam.

9.16 SAUDI ARABIA




Marking restriction

• The reproduction on any goods of the Government Mark (Crossed swords surmounted by a palm tree) or of human or animal pictures is prohibited for goods going to Saudi Arabia.

• Goods must not contain the designation “Persian Gulf”. If any designation is required use only “Arabian Gulf” otherwise the Custom authorities may confiscate the shipment for goods going to Saudi Arabia.


• Goods made in or shipped from Israel, Serbia, Montenegro or North Korea are not allowed to be shipped to Saudi Arabia.

Accessory special product marking requirement – Country of Origin

• All tights are required to have the country of origin in English “Made in …” permanently marked on a stitched woven label.

Documentation restrictions

• Documents must not contain the designation “Persian Gulf”. If any designation is required use only “Arabian Gulf” otherwise the Custom authorities may confiscate the shipment for goods going to Saudi Arabia.







9.17 SERBIA





Shipping document requirement – CITES Certificate

• The CITES certificate is required for products made with Reptiles.

Shipping document requirement – Certificate of Health

• Customs in Serbia require a Certificate of Health for the following accessory categories:

o Earrings, necklaces, bracelets, chains, anklets, and rings

• Without this document, the product cannot enter Serbia. We therefore require that you provide a Certificate of Health. One Certificate of Health should be produced for each commercial invoice. Therefore, all style colors included in a commercial invoice must be accompanied by a Certificate of Health.

• A copy of this Certificate of Health must also be given to our forwarding agent with your other

shipping documents. If the Certificate of Health is not provided to our forwarding agent, the shipment cannot be shipped to the franchisee. The original Certificate of Health must be sent to ALDO Group International AG in Switzerland along with your other original documents.

Product special marking requirement – care label

• All footwear, handbags, textile and non-textile (including leather and PU) wearing accessories and/garments require a special label.

• Footwear care labels (cleaning instructions and RN number) must be applied on the outsole of both feet.

• Handbags care labels (cleaning instructions and RN number) must be applied inside the handbag.

• Wearing accessories/garments require a label depicting the RN number only. This label must be applied inside the item.

• ALDO International will provide these labels to the suppliers. Pease find samples of care labels in Table 1.
